ActivIdentity Corp.

Mr. Fedronic is the Chief Technology Officer of ActivIdentity and is responsible for leading and directing strategic technical decisions regarding the company's products and services. Since joining the company in 1995, he has held senior roles of increasing responsibility in the engineering organization, most recently as the Senior Vice President of Research and Development. Prior to that, serving as Chief Architect, Mr. Fedronic has made major contributions to the design and standards development of the U.S. government's GSA Smart Card Interoperability program and the U.S. Department of Defense Common Access Card program. Mr. Fedronic holds a masters degree in telecommunications engineering from the Université de Paris Nord, Galileo Institute in Paris, France. Mr. Fedronic has served on the GlobalPlatform Board of Directors since 2007.

Mr Kerrest joined ActivIdentity in August 2008. Previously, Mr Kerrest served as Chief Financial Officer of Virgin Media Inc., the second largest communications company in the UK, where he was responsible for overseeing every aspect of finance. Before that, he was Chief Financial Officer of Equant N.V. and prior to that of Harte-Hanks, Inc. and Chancellor Broadcasting Company.

Mr. Brandewie has served since November 2007 as the Senior Vice President, Identity and Security Solutions of Telos Corporation. Previously, Mr. Brandewie served as our Senior Vice President, Public Sector Solutions, from July 2006 to October 2007. From July 2004 to July 2006, he served as the Director, and from August 1982 to July 2004 as the Deputy Director, of the Department of Defense's (DoD), Defense Manpower Data Center (DMDC) in Monterey, California, where he was architect of the DoD's Common Access Smart Card (CAC) system. During his tenure with DMDC, he was also responsible for the oversight of the largest and most comprehensive automated personnel data base in the DoD, and management of a dozen major operational DoD programs. He has also served as technology liaison to visiting governments from around the world as they planned their large scale smart card implementations. Mr. Brandewie was awarded with the Smart Card Alliance's Outstanding Smart Card Achievement Leadership Award for 2005 and has three times been the recipient of the Secretary of Defense Medal for Meritorious Civilian Service.

Larry has over ten years of experience in the information security industry and as CTO of MXI Security since 2005, is responsible for the technology vision and product development for the division. Larry began his career at American Biometric Company where he developed fingerprint technology, eventually becoming Vice President of Engineering and spearheading the development of leading authentication and single sign-on solutions. He then held Director of Research and Program Management positions at ActivCard, where he further developed biometric matching and technology evaluation systems for smart cards. Larry holds a B.Sc. in mathematics from McMaster University.

James Ousley has been a director of the Company since April 2004. Mr. Ousley served as President and Chief Executive Officer of Vytek Corporation, a wireless integration company, from September 2000 until Vytek was acquired by the Company effective April 12, 2004. From 1999 to 2000, Mr. Ousley was President, Chief Executive Officer and Chairman of Syntegra (USA) Inc. From 1992 to 1999, Mr. Ousley was President and Chief Executive Officer of Control Data Systems. Earlier in his career, Mr. Ousley held executive management positions with Ceridian, including Executive Vice President of Control Data Corp. (now Ceridian) and President of Ceridian s Computer Products business. Mr. Ousley is also a director of ActivCard, Corp., an authentication software company; Bell Microproducts, a value-added distributor of storage products and systems, semiconductors and computer products and peripherals; Datalink Corporation, a developer of enterprise-class information storage infrastructures; and Savvis, Inc., a provider of internet protocol (IP) applications and services.

Mr. Hart was elected to the Board of Directors in August 2005. Mr. Hart is an independent investor and previously served as Chief Executive Officer of the Company from February 2006 until November 2007. From August 2005 to February 2006, Mr. Hart served as our Senior Vice President, Sales, with his commencement of service starting with the Company's acquisition of Protocom Development Systems Pty. Ltd. In August 2005. Prior to his joining the Company, Mr. Hart was the Chief Executive Officer of Protocom, which he founded in 1989.

Mr. Frankola was elected to the Board of Directors in February 2006. Mr. Frankola currently serves as Executive Vice President of Strategy at Ariba, where he initially held the position of Executive Vice President and Chief Financial Officer. From 1997 to 2001, Mr. Frankola held various positions with Avery Dennison Corporation, a manufacturer of pressure-sensitive materials and office products, most recently as Vice President of Finance and IS, Fasson Roll Worldwide. From 1986 to 1997, Mr. Frankola held various financial and executive positions with IBM. Mr. Frankola holds a Bachelor of Science degree in accounting from Pennsylvania State University and an M.B.A. degree from New York University.
