Dr. Gralla is currently President of the New York Lung Cancer Alliance in New York, NY, USA. Prior to accepting that position, he was Professor of Medicine, Columbia University, in New York. He has also been the Chief of the Thoracic Oncology Service at Memorial Sloan-Kettering Cancer Center (New York), and Director of the Ochsner Cancer Institute in New Orleans, Louisiana. Dr. Gralla received his medical degree from the University of Virginia in Charlottesville. He completed a fellowship in medical oncology and was a National Cancer Institute fellow in clinical research at Memorial Sloan-Kettering Cancer Center. Dr. Gralla is the author or co-author of over 200 articles and book chapters, and his work has been published in journals such as the New England Journal of Medicine, Annals of Internal Medicine, Journal of Clinical Oncology, Cancer, and Cancer Research. Dr. Gralla serves on the editorial boards of Cancer, Lung Cancer, and Supportive Care in Cancer. He is a member of the American Society of Clinical Oncology, the American Association for Cancer Research, and the International Association for the Study of Lung Cancer. Dr. Gralla is past-president of the Multinational Association of Supportive Care in Cancer.

Brian M. Culley was appointed Chief Business Officer in January 2007. Mr. Culley joined the Company as Vice President, Business Development in December 2004 and was appointed Senior Vice President in January 2006. From 2002 until 2004, Mr. Culley managed all strategic collaborations and licensing agreements for Immusol, Inc. in San Diego, where his most recent title was Director of Business Development and Marketing. At Immusol, Mr. Culley negotiated a discovery, development and commercialization deal with Novartis Pharma AG worth $78 million. From 1999 until 2000, he was a licensing and marketing associate at the University of California, San Diego Department of Technology Transfer & Intellectual Property Services and from 1996-1999 he was a research associate for Neurocrine Biosciences, Inc. where he performed drug discovery research. Mr. Culley has over 12 years of experience in the biotechnology industry, including deal structure and negotiation, licensing, due diligence, market and competitive research, and venture funding. He received a MS in Biochemistry from the University of California Santa Barbara and an MBA from The Johnson School of Business at Cornell University with an emphasis on private equity and entrepreneurship.

Dr. Joachim Schupp is Vice President, Medical Affairs and has served in this role since joining the Company in August, 2006. Dr. Schupp has more than 20 years experience in the global pharmaceutical industry. From October 2004 until August 2006, Dr. Schupp served as Vice President of Clinical Data Services and Clinical Solutions at ProSanos Corporation, a company specialized in the capture, integration and analysis of healthcare related data with focus on post-approval and pharmacovigilance studies. From January 1997 until September 2004, he was Global Project Leader at Novartis Pharma AG of Basel, Switzerland where he was responsible for life cycle management of numerous projects and compounds in oncology, dermatology and wound healing, including several first-of-kind therapeutics. In this executive director position within project management, his team leadership is credited for the market approval of several drugs, including Femara in the US and EU for breast cancer and Apligraf in the US for venous and diabetic ulcers, and for the international development of Exjade , recently approved for transfusional hemosiderosis. Dr. Schupp served at Ciba-Geigy AG (later merged with Sandoz to form Novartis in 1996) from October 1985 until December 1996 as Medical Advisor/Clinical Research Physician and International Team Leader/Director of Clinical Research. Dr. Schupp received several prestigious awards at Ciba and Novartis for his contributions. He served on the faculty at the University of Pretoria, South Africa from January 1984 until February 1986 after receiving his M.D. from the Free University of Berlin.

Mark N.K. Bagnall, C.P.A. Mr. Bagnall has served as a director since February 2004. Mr. Bagnall currently serves as president of ProGenTech Limited, a life science and molecular diagnostics company committed to developing next generation instrumentation for nucleic acid and protein purification and molecular diagnostic testing, a position he has held since July 2009. From March 2009 to July 2009, Mr. Bagnall served as chief financial officer of ProGenTech Limited. Mr. Bagnall has held senior management positions in the biotechnology industry for over 20 years. During his time in the industry, he has held positions in both finance and business development and has managed equity and debt financings, corporate partnering and licensing deals and mergers and acquisitions transactions. From April 2008 to December 2008, Mr. Bagnall served as the Company s chief financial officer, executive vice president and treasurer, and from November 2008 to December 2008, he served as interim principal executive officer. Since December 2008, he has served as a consultant to the Company, and from February 2009 to July 2009, he served as the Company s interim principal financial and accounting officer. From June 2000 to June 2007, Mr. Bagnall served as senior vice president and chief finance and operations officer of Metabolex, Inc., a biotechnology company dedicated to the discovery and development of novel therapeutics for diabetes and related metabolic disorders. Prior to joining Metabolex, Mr. Bagnall held the top financial position at four life science companies: Metrika, Inc., a privately held diagnostics company, and three publicly held biotechnology companies, Progenitor, Inc., Somatix Therapy Corporation, and Hana Biologics, Inc. Mr. Bagnall is a director of VIA Pharmaceuticals, Inc., a publicly held biotechnology company focused on the development of compounds for the treatment of cardiovascular disease. In addition, he is a co-founder and director of the Association of Bioscience Financial Officers, an international organization of life science finance professionals. Mr. Bagnall received his B.S. in Business Administration from the University of California at Berkeley, Haas School of Business and is a Certified Public Accountant.

Dr. Richman is a professor of pathology and medicine at the University of California in San Diego and chief of the virology section and director of the research center for AIDS and HIV infection at VA San Diego Healthcare system. He is also the director of the AIDS research institute and the center for AIDS research at the University of California San Diego. Dr. Richman has made major clinical and laboratory contributions to the field of HIV/AIDS, which represent a model of translational medical research. He helped design and conduct the clinical evaluation of new drugs and treatment strategies, including the first trial of combination antiretroviral therapy and the initial study documenting the value of the strategy of rendering HIV RNA undetectable. Two areas of his laboratory investigations represent landmark studies in HIV research. His laboratory first identified HIV drug resistance. This was the scientific foundation for the development of combination antiretroviral therapies. Subsequent studies documented the impact of drug resistance on treatment failure, the presence of mixtures of different viral phenotypes and genotypes circulating in the same patient, the pre-existence of drug-resistant mutants in untreated patients, the impact of disease stage and viral replication on the rates of viral evolution, and the independent evolution of different populations of HIV in lymphoid tissues and the brain. These studies have had a broad impact on the development, evaluation and regulatory approval of drugs, and helped to establish the importance of drug resistance assays in the day-to-day management of infected patients. His laboratory also documented the existence of reservoirs of latently infected CD4 cells in patients who appeared to be "fully suppressed" on potent antiretroviral therapy. These observations have raised fundamental questions about T lymphocyte biology and viral replication that bridge to a basic understanding of viral pathogenesis. More recently, his laboratory elucidated the remarkable evolution of neutralizing antibody responses in HIV infection, providing important insights for the development of an effective HIV vaccine. He plays an authoritative and constructive role as a speaker on both basic and clinical subjects, a lead editor of the major textbook on clinical virology, organizer of major international meetings and chair of national and international committees.

Jack Lief is a co-founder of Arena and has served as a director and our President and Chief Executive Officer since April 1997. Mr. Lief has also served as the Chairman of our Board of Directors since October 2007. From 1995 to April 1997, Mr. Lief served as an advisor and consultant to numerous biopharmaceutical organizations. From 1989 to 1994, Mr. Lief served as Senior Vice President, Corporate Development and Secretary of Cephalon, Inc., a biopharmaceutical company. From 1983 to 1989, Mr. Lief served as Director of Business Development and Strategic Planning for Alpha Therapeutic Corporation, a manufacturer of biological products. Mr. Lief joined Abbott Laboratories, a pharmaceutical company, in 1972, where he served until 1983, most recently as the head of International Marketing Research. Mr. Lief serves as a member of the board of directors of Adventrx Pharmaceuticals, Inc., a research and development company focused on pharmaceuticals for cancer and infectious disease. Mr. Lief is also an Executive Board Member of BIOCOM, a life science industry association representing more than 550 member companies in Southern California, and was the Chairman of the board of directors of BIOCOM from March 2005 to March 2006. Mr. Lief holds a B.A. from Rutgers University and an M.S. in Psychology (Experimental and Neurobiology) from Lehigh University.
In late January 2009, Dr. Denner was interviewed by Messrs. LeBuhn, Micati and Salisbury, and Professor Mulligan was interviewed by Drs. Ando and Geltosky and, at their invitation, Dr. Ivan Horak, the Company s Executive Vice President, Research and Development and Chief Scientific Officer. At a meeting of the Governance and Nominating Committee held on January 28, 2009, the Committee determined to recommend to the Board the nominations of Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At a meeting of the Board held later that day, the Board determined to accept the recommendation of the Governance and Nominating Committee and nominated Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At the request of the Icahn Group, the Board committed to the Icahn Group that if, for any reason, the Board subsequently determined not to nominate both Dr. Denner and Professor Mulligan, or to nominate any persons in addition to Dr. Denner and Professor Mulligan, for election as Class I Directors at the Annual Meeting, the Company would give the Icahn Group prompt written notice thereof and the Company would take all necessary action to permit the Icahn Group to nominate persons named in a notice of nomination for election to the Board which the Icahn Group would deliver to the Company on or before the close of business on the tenth day following the date on which the Icahn Group received such written notice from the Company.
Eric K. Rowinsky, M.D. Dr. Rowinsky has served as a director since February 2008. Dr. Rowinsky currently is chief medical officer, a position he has held since February 2005, and executive vice president, a position he has held since December 2007, of ImClone Systems Incorporated, a wholly-owned subsidiary of Eli Lilly and Company. Dr. Rowinsky held the position of director of the Institute of Drug Development ( IDD ) at the Cancer Therapy and Research Center from 2002 to 2004 and was the director of clinical research at the IDD from 1996 to 2002. In addition, he held the SBC Endowed Chair for Early Drug Development at the IDD. From 1996 to 2006, Dr Rowinsky was also a clinical professor of medicine (division of medical oncology) at the University of Texas Health Science Center, San Antonio, Texas. Dr. Rowinsky also served as an associate professor of oncology at Johns Hopkins University from 1988 until 1996. He served on the Board of Scientific Counselors of the National Cancer Institute from 2004 to 2007. Dr. Rowinsky received a B.A. degree from New York University and an M.D. degree from the Vanderbilt University School of Medicine. Following his residency in internal medicine, he completed fellowship training in medical oncology at the Johns Hopkins University School of Medicine. Mr. Meister, since August 2003, has served as Vice Chairman of the Board of Icahn Enterprises G.P. Inc., the general partner of Icahn Enterprises L.P., a diversified holding company engaged in a variety of businesses, including investment management, metals, real estate and home fashion. From August 2003 through March 2006, Mr. Meister also served as Chief Executive Officer of Icahn Enterprises G.P. Inc., and since March 2006, Mr. Meister has served as Principal Executive Officer of Icahn Enterprises G.P. Inc. Since November 2004, Mr. Meister has been a Managing Director of Icahn Capital LP, the entity through which Carl C. Icahn manages third-party private investment funds. Since June 2002, Mr. Meister has served as senior investment analyst of High River Limited Partnership, an entity primarily engaged in the business of holding and investing in securities. Mr. Meister also serves on the boards of directors of XO Holdings, Inc., WCI Communities, Inc., and Federal-Mogul Corporation. With respect to each company mentioned above, Mr. Icahn, directly or indirectly, either (i) controls such company or (ii) has an interest in such company through the ownership of securities. Mr. Meister received an A.B. in government, cum laude, from Harvard College in 1995.
Dr. Pykett is President and Chief Operating Officer for Boston Life Sciences, Inc. Previously, Dr. Pykett was President, CEO and Director for Cytomatrix, LLC, which he cofounded in 1996 and President of Cordlife, Pte. Ltd., of Singapore, which acquired Cytomatrix in 2003. Dr. Pykett graduated Phi Beta Kappa, Summa Cum Laude from Amherst College, holds a veterinary degree, Phi Zeta, Summa Cum Laude, and doctorate in molecular biology from the University of Pennsylvania, and received an M.B.A. degree Beta Gamma Sigma from Northeastern University. He completed post-doctoral fellowships at the University of Pennsylvania and Harvard University. In his research in academia, Dr. Pykett focused on understanding the molecular basis of cancer. Dr. Pykett held an adjunct faculty position at the Harvard School of Public Health from 1997 to 2003.
