Cheryl A. Bachelder joined AFC in November 2007 with extensive experience in brand building, operations and public-company management. Ms. Bachelder has served as director of AFC Enterprises since November 2006 and True Value Corporation since July 2006. From 2001 to 2003, Ms. Bachelder was the president and chief concept officer for KFC Corporation in Louisville, KY. While at KFC, she was responsible for leading their U.S. restaurants, including operations and all other functional areas of the business.
From 1995 to 2000, Ms. Bachelder served as vice president, Marketing and Product Development for Domino's Pizza, Inc. During her tenure, she was the brand architect responsible for contemporizing the restaurant chain during which time the chain saw steady same-store sales growth for five years across 5,400 units.
Prior to her restaurant experience, Ms. Bachelder served as general manager of the LifeSavers Division of RJR Nabisco. Her early career years included brand management roles at The Gillette Company and The Procter & Gamble Company.
Ms. Bachelder holds a Bachelor's of Science degree in Business Administration and a Master's of Business Administration in Finance and Marketing from the Kelley School of Business at Indiana University.

H. Melville Hope, III has served as our Chief Financial Officer since December 2005. From February 2004 until December 2005, Mr. Hope served as our Senior Vice President, Finance and Chief Accounting Officer. From April 2003 to February 2004, Mr. Hope was our Vice President of Finance.
Prior to joining AFC, he was an independent consultant in Atlanta, Georgia from January 2003 to April 2003. From April 2002 to January 2003, Mr. Hope was Chief Financial Officer for First Cambridge HCI Acquisitions, LLC, a real estate investment firm, located in Birmingham, Alabama. From November 2001 to April 2002, Mr. Hope was a financial and business advisory consultant in Atlanta, Georgia. From July 1984 to July 2001, Mr. Hope was an accounting, auditing and business advisory professional for PricewaterhouseCoopers, LLP in Atlanta, Georgia, in Savannah, Georgia and in Houston, Texas where he was admitted to the partnership in 1998.
Mr. Hope holds a Bachelor's degree in Business Administration-Accounting from Belhaven College, where he graduated with honors.

Ralph W. Bower joined AFC in February 2008 with extensive experience in general management and operations in the retail food service industry. Prior to joining AFC, Mr. Bower was the KFC operations leader responsible for more than 900 KFC franchised restaurants in the western United States. Prior to this position, he led KFC company operations in Pennsylvania, New Jersey, and Delaware. He also directed the guest satisfaction function for all Yum Brands restaurants. Before joining Yum Brands in 2002, Mr. Bower was employed by Western Ohio Pizza, a franchisee of Domino's Pizza, overseeing operations in Dayton, OH and Indianapolis, IN. He began his restaurant career with the second largest Domino's franchise organization, Team Washington, where he was a regional supervisor. In each of these roles he has demonstrated exceptional leadership and performance results in the restaurant industry. Prior to his restaurant experience, Mr. Bower served as an officer in the United States Navy. He holds a Bachelor's of Science degree in English from the United States Naval Academy.
Stan F. Stout is responsible for developing and driving all people-related strategies for the brand, while expanding services and deliverables in support of all its franchise partners.
Mr. Stout joined Popeyes from AFC Enterprises (AFC), its parent company, serving AFC for ten years in various positions such as Chief People Services Officer, Vice President of Shared Services, and Director of People Services. During his tenure, Mr. Stout designed and implemented AFC's employee call center, rebuilt the compensation system, and led the selection and implementation of the HRIS system.
Prior to joining AFC in 1995, Mr. Stout worked at Dun & Bradstreet, where he spent ten years in various human resource and business unit leadership positions. While at D&B, he led two global reengineering initiatives and designed and launched a global training and development business unit.
Mr. Stout received his Bachelor of Science degree from the University of Chattanooga and completed an Executive Development Program at the University of Wisconsin.
Harold M. Cohen has served as our Senior Vice President of Legal Affairs, Corporate Secretary and General Counsel since September 2005. Mr. Cohen has been General Counsel of Popeyes Chicken & Biscuits, a division of AFC Enterprises, Inc., since January 2005. He also has served as Vice President of AFC since July 2000. From April 2001 to December 2004, he served as Deputy General Counsel of AFC. From August 1995 to June 2000, he was Corporate Counsel for AFC.
Prior to joining AFC, Mr. Cohen was in private legal practice for seven years.

Mr. Roth joined Microsat Systems, Inc. (MSI) on January 1, 2002 as Senior Vice President of Business Operations. He was named President and Chief Operating Officer in September of 2002. Mr. Roth has more than 25 years experience in the aerospace industry and has demonstrated success in business acquisition and organizational leadership. Prior to joining MSI, Mr. Roth was Vice President of the Electronic Combat Business Unit for Litton Advanced Systems, a $200M division of Litton Industries, a Fortune 500 company. At Litton, Mr. Roth had profit and loss responsibility for the business unit and overall management responsibility for the engineering, program management and business development directorates of the company. Programs under his leadership included major defense systems such as the Joint Strike Fighter Electronic Warfare suite, ICAP III electronic warfare suite for the Navy E-2C carrier aircraft, the Advanced Integrated Electronic Warfare System (AIEWS) for Navy surface ships, as well as classified satellite payloads for U.S. military satellite prime contractors. Prior to his position as Vice President, Mr. Roth was the Director of Engineering for Litton Advanced Systems with responsibility over all engineering personnel and laboratories. Prior to joining Litton, Mr. Roth worked for Lockheed Martin as Director of Colorado Springs Operations for Lockheed Martin Electronic Defense Systems which provided direct support to the Air Force Space Command's Space Warfare Center at Schriever AFB. Mr. Roth has also held positions at Litton Amecom as Director of Advanced Programs, at HRB-Singer as Electronic Warfare Programs Manager, and at Hughes Aircraft as Manager of their Processor Architecture group. Mr. Roth holds an M.S. degree in Electrical Engineering from the University of Southern California, and a B.S. degree in Computer Engineering from the University of Illinois, and has attended the Harvard Business School Executive Education program in Management and Leadership and the Wharton Business School Executive Education Program in Finance. Mr. Roth currently serves on the board of directors for the Colorado Space Business Roundtable and is on the Advisory Board of the Colorado Space Grant Consortium.
