Affinion Group

Nathaniel J. Lipman has served as our President and Chief Executive Officer and a director of Affinion since October 17, 2005. He was formerly the President and CEO of Trilegiant starting in August 2002 and President and CEO of Cendant Marketing Group starting in January 2004. From September 2001 until August 2002, he was Senior Executive Vice President of Business Development and Marketing of Trilegiant. He served as Executive Vice President of Business Development for Cendant Membership Services from March 2000 to August 2001. He joined the Alliance Marketing Division of Cendant in June 1999 as Senior Vice President, Business Development and Strategic Planning. Mr. Lipman was previously Senior Executive Vice President, Corporate Development and Strategic Planning, for Planet Hollywood International, Inc., from 1996 until April 1999. Prior to his tenure at Planet Hollywood, Mr. Lipman was Senior Vice President and General Counsel of House of Blues Entertainment, Inc., Senior Corporate Counsel at The Walt Disney Company and a corporate associate at Skadden, Arps, Slate, Meagher and Flom.

Thomas J. Rusin has served as our President and Chief Executive Officer, North America, since June 1, 2007. From October 17, 2005 to May 31, 2007, Mr. Rusin served as our Executive Vice President and Chief Revenue Officer. Mr. Rusin joined us in December 1999 as Product Manager in the Netmarket Group overseeing Travel Marketing and was subsequently promoted to Vice President of Travel in January 2001, Senior Vice President Consumer Saving Group with responsibility for Travel, Auto and Leisure in October 2001, and then Executive Vice President of Product Management, New Product Development in December 2003. From 1990 to 1998, he owned and operated Just for Travel Inc., a business he then sold.

Brian J. Dick has served as our Senior Vice President and Chief Accounting Officer since December 1, 2005. Prior to joining Affinion, he was most recently an independent contractor from February 2005 through November 2005. He served as the Vice President and Controller for Modem Media, Inc. (which was acquired by Digitas, Inc. in October 2004) from October 2002 through January 2005, where he oversaw the global accounting, financial reporting, tax and treasury functions. From 1999 to 2001, he was the Vice President of Finance for Crompton Corporation, where he managed the Controllers, Information Systems and e-Business functions. From 1995 to 1999, he held various senior financial positions at Witco Corporation until it was acquired by Crompton Corporation. He also served as the Controller of Formica Corporation from 1989 to 1995. From 1978 to 1989, he held various positions with Price Waterhouse LLP.

Thomas A. Williams has served as our Executive Vice President and Chief Financial Officer since January 1, 2007. Prior to joining Affinion, Mr. Williams was most recently Vice President and Chief Financial Officer of two operating divisions of AT&T Inc., AT&T Network and AT&T Customer Service, from January 2004 to December 2006 with additional responsibilities for the merger synergy between AT&T Corp. and SBC Communications Inc. Mr. Williams started in Bell Laboratories and spent over twenty-one (21) years at AT&T from June 1985 to December 2006, where he held numerous senior positions including the following: Chief Financial Officer, AT&T Global Networking Technology Services; AT&T Chief Process Officer; Chief Financial Officer, AT&T Laboratories; Vice President Business Planning, AT&T Network & Computing Services; Chief Financial Officer, AT&T Operations Service Management. Prior to his tenure at AT&T, Mr. Williams was International Controller of McLean Industries Inc. from 1984 to 1985, Industry Analyst of Interpool Ltd. from 1982 to 1984 and Commodity Trading Associate with Bache Halsey Stuart Shields, Inc. from 1981 to 1982.

John Kitzie is executive vice president of global operations for Affinion. Mr. Kitzie, who joined the company in 1995, previously served as senior vice president of shopping, contact centers and fulfillment. As EVP of Global Operations, Mr. Kitzie is responsible for contact centers, fulfillment, merchandising, supply chain, procurement and telecommunications and coordinates the ongoing integration of the company’s North American travel businesses. Prior to joining Affinion Group, he served as president of Savemart. Mr. Kitzie began his career as a manager of financial analysis at CBS Inc.

Michael P. Rauscher is executive vice president of marketing services for Affinion. He served in a similar position for Cendant Membership Services from May to July 2001, prior to which time he was senior vice president of Marketing Services for the Individual Membership division of Cendant. Before that, Mr. Rauscher served as president of Cendant's subsidiary, Benefits Consultants, Inc., as Cendant's senior vice president of Inbound Marketing, vice president of Partnership Marketing and Business Development and as director of Marketing & Member Communications. Mr. Rauscher joined the Individual Membership division of Cendant in September 1988 as product manager, Travelers Advantage .

Peter Taktikos serves as executive vice president of Business Development/Strategic Marketing and New Business Development. From 2000 until 2002, he was senior vice president of Business Development and Strategic Marketing. Mr. Taktikos worked as senior vice president in Preferred Alliance from 1998 to 2000, and he was a senior vice president of New Channels from 1997 to 1998. From 1992 to 1997, he served as vice president in Account Management/Partnership for Cendant Membership Services, Inc. From 1985 to 1992, Mr. Taktikos was a vice president in Marketing, managing the credit card portfolio at First Interstate Bancorp, Los Angeles, CA.

Todd H. Siegel serves as executive vice president of business and legal affairs and general counsel for Trilegiant. Mr. Siegel joined the individual membership division of Cendant in November 1999 in the legal department. Previously, Mr. Siegel worked as an attorney in the mergers and acquisitions department of Skadden, Arps, Slate, Meagher and Flom and prior to that, from 1992 until 1994, he worked as a certified public accountant for Ernst and Young.

Tom Smith is executive vice president of product development. Mr. Smith, who previously served as executive vice president of operations, joined the company as senior vice president of finance in 2002, overseeing Progeny Marketing Innovations' corporate finance and financial planning functions, strategic objectives and profitability goals. With more than 20 years of finance and management experience, Mr. Smith previously served as vice president of corporate development for Exide Technologies, the world's largest manufacturer of lead-acid batteries. He also served as chief financial officer of GNB Technologies from 1996-2000, and is a certified public accountant.

Julia Ryan, who currently serves as vice president of Travelers Advantage, an Affinion Group company, began her career in 1992 with CUC Travel, Inc. as a travel agent, advancing to manager of product development for the company. She was also director of North American Marketing for Global Refund, an international VAT refund company. In this role, she achieved a 39 percent year-over-year growth in American VAT refunds in 1998 and 24 percent year-over-year growth in 1999.

Eric Zinterhofer has been a Director since Novembwer 6, 2006. Mr. Zinterhofer is a partner at Apollo Management, L.P. and has been with Apollo since 1998. From 1994 to 1996, Mr. Zinterhofer was a member of the Corporate Finance Department at Morgan Stanley Dean Witter & Co. From 1993 to 1994, Mr. Zinterhofer was a member of the Structured Equity Group at J.P. Morgan Investment Management. Mr. Zinterhofer is a member of the board of directors of Affinion Group, Inc., Central European Media Enterprises Ltd. and Unity Media GmbH.A Mr. Zinterhofer graduated Cum Laude from the University of Pennsylvania, with BA degrees in Honors Economics and European History and received his MBA from the Harvard Business School.

Eric L. Press has been a director of Affinion since October 17, 2005. Mr. Press is a partner of Apollo Management, L.P. He has been employed with Apollo Management, L.P. since 1998 and has served as an officer of certain affiliates of Apollo Management, L.P. From 1992 to 1998, Mr. Press was associated with the law firm of Wachtell, Lipton, Rosen & Katz specializing in mergers, acquisitions, restructurings and related financing transactions. Mr. Press serves on several boards of directors, including Metals USA, Inc., Noranda Aluminum, Inc., Oceania Cruise Holdings, Inc. and Quality Distribution, Inc. From 1987 to 1989, Mr. Press was a consultant with The Boston Consulting Group.

Kenneth A. Vecchione (age 54) has been a director of the Company since October 2007. Mr. Vecchione is the Chief Financial Officer of Apollo Global Management, L.P., one of the largest private equity firms in the United States, and is the former Vice Chairman and Chief Financial Officer of MBNA Corporation with prior work experience at AT&T Universal Card, First Data Corp and Citicorp Credit Card Services. Mr. Vecchione serves as a Director of Affinion Group, and is the Chairman of its Audit Committee, in addition to being a Director of International Securities Exchange. Mr. Vecchione is a graduate of the State University of New York.

Marc E. Becker has been a director of Affinion since October 17, 2005. From October 17, 2005 to December 20, 2006 he served as the Chairman of the Board of Directors of Affinion. Mr. Becker is a partner of Apollo Management, L.P. He has been employed with Apollo Management, L.P. since 1996 and has served as an officer of certain affiliates of Apollo since 1999. Prior to that time, Mr. Becker was employed by Smith Barney Inc. within its Investment Banking division. Mr. Becker serves on several boards of directors, including Countrywide plc., Metals USA, Inc., Quality Distribution, Inc., Realogy Corporation and SourceCorp Incorporated.

Matthew H. Nord has been a director of Affinion since October 30, 2006. Mr. Nord is a principal of Apollo Management, L.P. He has been employed with Apollo Management, L.P. since 2003. Prior to that time, Mr. Nord was a member of the Investment Banking division of Salomon Smith Barney Inc. Mr. Nord serves on several boards of directors, including Hughes Telematics, Mobile Satellite Ventures, Noranda Aluminum, Inc. and SourceCorp Incorporated.

Rich Srednicki was named a director of Affinion on September 21, 2007. From January 2000 to September 2007, Mr. Srednicki was an Executive Vice President of JPMorgan Chase and was responsible for its credit card business, Chase Cardmember Services. Mr. Srednicki was also a member of JPMorgan Chase’s Executive Committee and Operating Committee. Previously, Mr. Srednicki held Chief Executive Officer positions with Sears, Roebuck and Co. and AT&T, as well as General Manager positions during his 13 years with Citibank. On August 10, 2007, Joseph W. Saunders resigned, effective immediately, as a member of our board of directors and of the board of directors of Affinion Group. Mr. Saunders had been a director of Affinion since August 24, 2006. Prior to his resignation, Mr. Saunders did not serve as a member of any committee of our board of directors or of Affinion Group’s board of directors. Mr. Saunders’ resignation is not the result of any dispute or disagreement with us or Affinion Group.
