Robert Greenberg has served as a member of our Board of Directors since March 2009. Since January 2009, Mr. Greenberg has been the Chief Information Officer and Vice President for Agco Corporation, a global manufacturer and distributor of agricultural equipment. Prior to joining Agco Corporation, Mr. Greenberg was Vice President and Chief Information Officer for 5 years with Nissan Americas, the US subsidiary of Nissan Motor Ltd, a global automotive manufacturer. Mr Greenberg also served in executive and CIO capacities over 20 years with Avaya, Inc., a global enterprise communications provider, Dell Computer, Inc and Exxon Mobil, including time spent in Asia Pacific. Mr. Greenberg holds both a Bachelor of Science and Masters of Engineering degrees in Operations Science and Industrial Engineering from Cornell University and an MBA in Finance from the University of Maryland.

David Caplan is Senior Vice President of Material Management Worldwide of AGCO Corporation and is responsible for AGCO's global activities related to purchasing and logistics. This new senior position will focus AGCO's efforts on continuous improvement of all processes related to the timely and cost effective supply of high quality components and materials to AGCO's manufacturing facilities. Mr. Caplan was appointed to his position in October 2003. Mr. Caplan has spent over twenty years managing purchasing, logistics and manufacturing operations at PACCAR Inc and Kenworth Trucks. He holds a Bachelor of Science in Industrial Management from Carnegie Mellon University and additionally an MBA from State University of New York. Further, he has attended the Manufacturing Executive Program at Cornell University and is a Six Sigma Black Belt.

Mr. Ball was appointed AGCO’s Senior Vice President - Engineering in June 2001. From 1999 to 2000, Mr. Ball was employed as Vice President of Construction Equipment New Product Development at CNH Global N.V., where he managed their global engineering group for all CNH construction equipment. Prior to that assignment, he held several key positions including Vice President of Engineering Agricultural Tractor for New Holland N.V., in Europe. Further back in his distinguished career, he was Chief Engineer for Tractors at Ford New Holland and Design Manager for Construction and Agricultural Tractors at Ford Tractor Operations. Throughout his career, he has held many technical positions in the field of agricultural products and he is acknowledged as a leader in the development of innovative products and systems. Mr. Ball is a graduate of Oklahoma State University with a B.S. and M.S. in Mechanical Engineering, where he also received recognition as an Honor Graduate Student. He graduated with Honors from Michigan State University, where he received his Master of Business Administration degree.

Hubertus M. Mühlhäuser was appointed Senior Vice President & General Manager of Eastern Europe and Asia (EEA) in January 2009. Mr. Mühlhäuser joined AGCO as Senior Vice President for Strategy & Integration in September 2005. In 2006 he assumed additional responsibilities for Global IT and in 2007 he became General Manager for AGCO´s global engine business, AGCO SISU POWER. Mr. Mühlhäuser will continue to have overall responsibility for these areas in addition to his new role. Prior to AGCO, Mr. Mühlhäuser spent more than 10 years at Arthur D. Little. He succeeded in being the youngest partner in the history of Arthur D. Little, when being made Partner in 1999. From 1999 - 2005, he led Arthur D. Little's Global Strategy & Organization Practice, the company's largest line of business. From 2001 to 2005, he was Managing Director of the Swiss Operations of Arthur D. Little and he was a key negotiator of Arthur D. Little's successful management buy-out in 2002. Mr. Mühlhäuser graduated from the European Business School, Oestrich-Winkel, Germany with a Master in Business Administration (Diplom Kaufmann) including semesters at the European Business School in London, UK as well as the Universidad Argentina de la Empresa in Buenos Aires, Argentina.

Norm Boyd was appointed Senior Vice President, Executive Development in January 2009. As part of his responsibilities, Boyd works with Management Teams to provide guidance and counseling to facilitate effective support of AGCO's culture and strategy. Prior to his current position, Boyd was Senior Vice President Human Resources at AGCO. With 30 years of experience in the farm equipment industry, Mr. Boyd held several key management positions within both AGCO Corporation and Massey Ferguson Group Ltd., prior to its acquisition by AGCO, as well as Case Corporation and International Harvester Company. His most recent positions with AGCO include Senior Vice President, Corporate Development, Vice President, Sales and Marketing, Europe/Africa/Middle East, where he was responsible for all sales and marketing functions in that region and Vice President - Marketing, North America. Mr. Boyd holds a Bachelor of Science degree in Business Administration from Indiana University and completed the Executive Management Program at the Tuck School of Dartmouth College.

Randall G. Hoffman has been Senior Vice President Global Sales & Marketing and Product Management since November 2005. Mr. Hoffman was the Senior Vice President and General Manager, Challenger Division Worldwide, from January 2004 to November 2005, Vice President and General Manager, Worldwide Challenger Division, from June 2002 to January 2004, Vice President of Sales and Marketing, North America, from December 2001 to June 2002, Vice President, Marketing North America, from April 2001 to November 2001, Vice President of Dealer Operations, from June 2000 to April 2001, Director, Distribution Development, North America, from April 2000 to June 2000, Manager, Distribution Development, North America, from May 1998 to April 2000, and General Marketing Manager, from January 1995 to May 1998.

Randy Hoffman was appointed Senior Vice President of Global Sales and Marketing for AGCO in January 2005. He is responsible for the distribution, marketing, product development strategy, revenue growth and profitability of all AGCO brands. Also, he is responsible for the corporate communication, global parts and product service/reliability areas of the corporation. Hoffman was previously Vice President and General Manager of the Challenger Division Worldwide. He has been employed with AGCO since 1995 and has been instrumental in the progress of the company through key management positions as Vice President of Sales and Marketing for North America, Vice President of Dealer Operations for North America and Marketing Manager for the White and New Idea product lines. Prior to coming to AGCO, Hoffman spent 20 years in University Administration at three different universities. Hoffman holds a Bachelor of Science Degree in Business Administration and a Bachelor's Degree in Liberal Studies, along with a Master's Degree in Administration from the University of Maryland.

Debra Kuper was appointed Vice President, General Counsel and Corporate Secretary in May 2008. She has overall responsibility for the Company's legal matters, including the ethics and compliance program, litigation, regulatory and securities filings, executive compensation, mergers, acquisitions, and joint ventures and other worldwide legal activities. She also is responsible for the corporate records and minutes, resolutions and consents of AGCO's Board of Directors. Kuper has a broad range of legal experience. She joined AGCO from Caterpillar Inc. in Peoria, Illinois, where she served as Senior Corporate Counsel. She oversaw Caterpillar's corporate governance, securities, tax and regulatory compliance group. Prior to joining Caterpillar, she served as Associate General Counsel of Wal-Mart Stores Inc. in Bentonville, Arkansas where she handled international commercial agreements and litigation. She received her J.D. from Marquette University and a B.A. from the University of Wisconsin.

Andre Muller Carioba is Senior Vice President and General Manager for AGCO South America. He is responsible for the implementation of all business strategies within South America, including Sales and Marketing, Finance & Administration, Manufacturing, Product Management, Purchasing, Engineering and the dealer organization for all brands, such as Massey Ferguson, Valtra, Challenger, AGCO Allis and Sfil. Mr. Carioba was previously President at BMW Brasil Ltda. He has held other management positions within BMW Brasil Ltda as Purchase and Logistics Director, Projects Sr. Manager for International Purchases at BMW AG in Munich. He has also worked in the Sales Division of International Organization for after sales, Purchase Manager for Portugal and Spain at BMW in Madrid. He was President of ABEIVA (Brazilian Association of Vehicle Importer Companies) and Member of the Advisory Board of the Chamber of Commerce & Industry Brazil-Germany in Sao Paulo. Mr. Carioba holds a degree in Economy and Business Administration from the Ludwigs-Maximilian University in Munich, Germany.

Gary Collar is Senior Vice President and General Manager of the Europe, Africa and the Mid-East region (EAME). Mr. Collar is responsible for all brands within the region, with the exception of the Challenger brand. His responsibilities include the Massey-Ferguson, Fendt, Valtra and SISU Diesel brands as well as the Parts Distribution and Customer Service operations. He was appointed to his current position in January 2004. Mr. Collar previously served as Vice President of Market Development, Worldwide for the Challenger Division, after joining AGCO in 2002. Mr. Collar has previously held various senior management positions within several divisions at ZF Friedrichshaven A.G. between 1994 and 2002. These assignments included President and CEO of the company's Joint Venture producing steering systems for the North American automotive market, and Vice President, Business Development for the automotive group. Prior to this, he was employed by Caterpillar and the Caterpillar Dealer organization. Mr. Collar holds a Bachelor of Science Degree in Business Administration from California State University.

Hubertus M. Muehlhaeuser has been Senior Vice President Strategy & Integration and General Manager, Eastern Europe & Asia since January 2009. From September 2005 to December 2008, Mr. Muehlhaeuser was Senior Vice President Strategy & Integration. Mr. Muehlhaeuser has responsibility for our engines division. Previously, Mr. Muehlhaeuser spent over ten years with Arthur D. Little, Ltd., an international management-consulting firm, where he was made a partner in 1999. From October 2000 to May 2005, he led that firm s Global Strategy and Organization Practice as a member of the firm s global management team, and was the firm s managing director of Switzerland from April 2001 to May 2005.

Lucinda B. Smith has been Senior Vice President — Human Resources since January 2009. Ms. Smith was Vice President, Global Talent Management & Rewards from May 2008 to December 2008 and was Director of Organizational Development and Compensation from 2006 to 2008. From 2005 to 2006, Ms. Smith was Global Director of Human Resources for AJC International, Inc. Ms. Smith also held various domestic and international human resource management positions at Lend Lease Corporation, Cendian Corporation and Georgia-Pacific Corporation.

Gerald L. Shaheen , age 64, has been a director of the Company since October 2005. Until his retirement from Caterpillar Inc. in January 2008, Mr. Shaheen held numerous marketing and general management positions, both in the United States and Europe. Most recently from 1998 to 2008, Mr. Shaheen served as a Group President. Mr. Shaheen is the Chairman of the Board of Trustees of Bradley University and a Board member and past Chairman of the U.S. Chamber of Commerce. He is also a Board member of the National Chamber Foundation, the Ford Motor Company, Peoria Next and the National Multiple Sclerosis Society, Greater Illinois Chapter.

Francisco R. Gros, has been a director of the Company since October 2006. Mr. Gros was President and Chief Executive Officer of OGX Petroleo e Gas from 2007 to 2008, and is now the Vice Chairman of the Board of Directors. Mr. Gros also served as President and Chief Executive Officer of Fosfertil S.A., a company involved in the chemical, fertilizer and logistics industries in Brazil, from 2003 to 2007. Prior to that, Mr. Gros was President and Chief Executive Officer of Petróleo Brasileiro S.A. from January 2002 to December 2002, and President and Chief Executive Officer of the Brazilian Development Bank from 2000 to 2001. In addition, Mr. Gros was also a Managing Director of Morgan Stanley from 1993 to 2000, and was Governor of the Central Bank in 1987 and again from 1991 to 1992. Mr. Gros is also the Chairman of the Board for Wilson Sons Ltd., and serves on the Boards of Lojas Renner S.A., Globex Utilidades S.A., Fosfertil S.A., Energias do Brasil S.A. and Wellstream Holdings PLC.

Hendrikus Visser, age 64, has been a director of the Company since April 2000. Mr. Visser is Chairman of Royal Huisman Shipyards N.V. and serves on the Boards of Sovion N.V., Friesland Bank N.V., Foundation OPG N.V., Sterling Strategic Value, Ltd. and Teleplan International N.V. He was the Chief Financial Officer of NUON N.V. and has served on the Boards of major international corporations and institutions including Rabobank Nederland, the Amsterdam Stock Exchange, Amsterdam Institute of Finance and De Lage Landen. The three nominees who receive the greatest number of votes cast for the election of directors at the Annual Meeting shall become directors at the conclusion of the tabulation of votes.

Raised in rural Georgia, Herman Cain adopted the lessons of his parents - dedication to hard work and the importance of faith - and carried them with him to the pinnacle of the corporate world. Cain earned a degree in mathematics from Morehouse College in 1967 and later earned a master's degree in computer science from Purdue University, while working as a mathematician for the Department of the Navy. He then worked as a business analyst for The Coca-Cola Company. In 1968, he married his wife, Gloria and they have two grown children. In 1977, Herman Cain joined The Pillsbury Company and within three years, at the age of 34, rose to the position of Vice President of Corporate Systems and Services. Cain, reflecting his father's drive to seek greater challenges, then set his sights on a corporate presidency. With this goal ahead of him and his mother's faith to support him, Cain resigned his senior position and started on another career path - the restaurant industry. He started from the ground up by making hamburgers at Pillsbury's Burger King division. Nine months later, he was managing 400 Burger King units in the Philadelphia region, the country's poorest performer. Within three years, his region had earned the reputation for excellence and was the company's best. In 1986, Pillsbury appointed Cain to the presidency of the then financially troubled Godfather's Pizza, Inc. chain headquartered in Omaha, Nebraska. In 14 short months, under Cain's leadership, the chain regained profitability. In 1988, he led his executive team in a buyout of the company from Pillsbury. Cain was elected to the Board of Directors of the National Restaurant Association in 1998. In 1994 to 1995, he served as Chairman of the Board of Directors. While leading this association, he developed the organization into a pro-business voice via national debates and speeches concerning health care reform, employment policies, and taxation. Following this experience, he was appointed to serve on the Economic Growth and Tax Reform Commission in addition serving as Chairman and Member of the Board of Directors for the Federal Reserve Bank of Kansas City. He then became a senior advisor to the 1996 Dole/Kemp campaign for the Presidency. Herman Cain continued the responsibilities of President and Chairman of Godfather's Pizza, Incorporated, while beginning a second career delivering national keynote speeches. Using his messages as the foundation, he created his own leadership consulting company, T.H.E. Incorporated (The Hermanator Experience). T.H.E. packages his speaking and develops his products, including books, videotapes and audio tapes, CDs of gospel music, and promotes his keynote speeches. He has authored three books to date on topics ranging from leadership to self-empowerment including Leadership is Common Sense and CEO of Self. In 2002, he became an Executive Lecturer for the Gallup Organization. In 1996, Cain became CEO and President of the National Restaurant Association. He had been a member of the NRA Board since 1988, and had served as its elected volunteer chairman in 1994/1995. Cain thus became the only volunteer chairman to become the full-time CEO and President of the Association while still a member of the Board. Cain headed the NRA in this position for two and a half years. In 1999, Cain sought to leverage his restaurant experience with the technology market and he became CEO and President of RetailDNA. Its mission is to provide innovative marketing solutions to the retail sector. Today, Herman is a national syndicated radio talk show host "The Herman Cain Show" out of Atlanta's WSB 750am, is a FOX News Business Commentator and is a syndicated columnist. Cain remains President and CEO of T.H.E., Incorporated and serves on the Boards of Directors for AGCO Corporation, Aquila, Incorporated, Reader's Digest Association, Incorporated, Hallmark Cards Incorporated and Whirlpool Corporation.
