We are an energy services holding company whose principal business is the distribution of natural gas through our regulated natural gas distribution business and the sale of natural gas to end-use customers primarily in Georgia through our retail natural gas marketing business. As of June 30, 2009, our six utilities serve approximately 2.3 million end-use customers, making us the largest distributor of natural gas in the southeastern and mid-Atlantic regions of the United States based on customer count. Although our retail natural gas marketing business is not subject to the same regulatory framework as our utilities, it is an integral part of the framework for providing natural gas service to end-use customers in Georgia. We also engage in natural gas asset management and related logistics activities for our own utilities as well as for non-affiliated companies; natural gas storage arbitrage and related activities; and the development and operation of high-deliverability underground natural gas storage assets. These businesses allow us to be opportunistic in capturing incremental value at the wholesale level, provide us with deepened business insight about natural gas market dynamics and facilitate our ability, in the case of asset management, to provide transparency to regulators as to how that value can be captured to benefit our utility customers through profit-sharing arrangements. ...

Henry P. "Hank" Linginfelter was named executive vice president, Utility Operations, in June 2007. He is chairman and CEO of the company's six utilities and is also responsible for marketing, sales, customer experience and all regulatory and governmental affairs. In his years of service with the company, he has assumed increasing levels of responsibility and has played a key role in the company's marketing and regulatory activities. He has more than 26 years of experience in utility operations with AGL Resources. Prior to his current role, Linginfelter had oversight responsibilities for the company's Mid-Atlantic operations. This included the integration and management of the two largest acquisitions in the company's history; Virginia Natural Gas (VA) in 2000 and Elizabethtown Gas (NJ) in 2004. He resided in Virginia and served as president of each of those utilities along with Elkton Gas (MD) until 2007 when he returned to Atlanta. Linginfelter served on numerous civic and community boards during his time in Virginia and received the Paul A. Askew Community Service Award presented by regional organized labor groups for the advancement of workers' rights in service to their community. John W. Somerhalder II was named president and chief executive officer of AGL Resources (NYSE: ATG) in March 2006 and elected as chairman of company’s board of directors in November 2007. AGL Resources is an Atlanta-based natural gas company serving 2.2 million customers in six states. The company also operates natural gas distribution systems, markets natural gas at wholesale and retail, and owns and operates dark fiber optic network infrastructure. Somerhalder joined AGL Resources from El Paso Corporation (NYSE: EP) where he spent almost 30 years with El Paso and its predecessor entities, rising through the ranks from engineer to president of El Paso Pipeline Group and executive vice president of El Paso Corporation. Dana Grams was named president of the AGL Resources Pivotal Energy Development (Pivotal) business unit in November 2005. In this position, Grams is responsible for leading a business development team responsible for identifying and developing assets that extend AGL Resources' current natural gas business, providing the company with a sharper focus on project development activities promoting future company growth. Previously, Grams was senior vice president at Pivotal. Prior to 2003, he served as senior vice president of asset management at Sequent Energy Management, the Houston-based AGL Resources subsidiary focused on fuel supply, asset management and optimization, producer services, wholesale marketing and risk management. Responsible for Sequent’s supply and distribution operations, his duties included ensuring natural gas supplies for AGL Resources subsidiaries -- Atlanta Gas Light Company, Chattanooga Natural Gas and Virginia Natural Gas -- as well as coordinating Sequent’s wholesale market activities and managing gas control. He also worked to leverage AGL Resources’ assets in the wholesale market, including financial opportunities in the present and future markets. Grams has also worked for Coral and Phibro Energy USA where he was manager of natural gas trading from 1990 to 1995. He began his energy career in 1980 as a reservoir geologist at MidCon Services/Natural Gas Pipeline Company of America, where he rose to become district manager for Houston and New Orleans. James A. Gillis was named president of AGL Networks in June, 2006, having joined the company in 2003 as vice president of wholesale markets. Gillis is responsible for leading all aspects of Networks’ operations, including p & l, engineering, operation and construction, sales and all new market and business expansion. He plays a vital role in the development and implementation of a sustainable long term growth strategy for Networks. Prior to being named president, Gillis served as vice president of sales, marketing and business development for AGL Networks since January 2004. In that role he was responsible for setting an aggressive customer attainment and retention program in the wholesale and enterprise markets as well as evaluating new network and market expansion. Gillis was a founding employee of KMC Telecom Holdings, a national facility based CLEC with 35 operating markets. Melanie M. Platt currently serves as Senior Vice President of Human Resources with executive responsibility over the entire AGL Resources human resources function and corporate communications. She also serves as President of the AGL Resources Foundation. In that role, she oversees the company's corporate giving strategy, focusing its efforts on programs and activities that benefit the communities in which AGL Resources operates. Ms. Platt joined the company in 1995 as Vice President and Corporate Secretary of Atlanta Gas Light. Suzanne Sitherwood was named senior vice president, Southern Operations in November 2004. Primary among her responsibilities is executive oversight of the three utilities – Atlanta Gas Light, Chattanooga Gas and Florida City Gas. Prior to this role, Sitherwood served as vice president of gas operations and capacity planning, a position she held since June 2002. As vice president, Sitherwood directed the natural gas distribution infrastructure, gas control, gas measurement, marketer relations, customer-related services, interstate pipeline relationships, asset management, and management of storage facilities. Sitherwood joined Atlanta Gas Light over 25 years ago as a co-op student in the cathodic protection group. She has held a variety of positions including vice president of engineering, environmental, and construction, chief engineer, director of competition planning, director of rates and regulatory affairs, and director of residential markets. A graduate of Southern College of Technology with a bachelor’s degree in industrial engineering technology, Sitherwood also holds a master’s degree in business administration from Brenau University. Sitherwood currently serves on the Governor’s Energy Policy Council and the Metropolitan North Georgia Water Planning District Governing Board. Sitherwood is 2010 chair-elect, an officer and board member of the Georgia Chamber of Commerce, past chair of Environment & Energy Committee and general co-chair of the GA Initiative. Andrew Evans was named senior vice president, chief financial officer and treasurer in September 2005 and promoted to executive vice president, chief financial officer in May 2006. Donna Peeples was named vice president, corporate communications and chief marketing officer for AGL Resources in November 2008. Peeples brings more than 20 years of energy and related industry experience to the AGL Resources team. Gene Rozgonyi was named vice president and chief risk officer of AGL Resources in November 2001. In this role, Royzgonyi is responsible for measuring and monitoring risk throughout AGL Resources and its subsidiaries -- including financial risk, weather risk, and risk related to the company's trading and asset optimization activities. He also has the responsibility for overseeing the company's risk management committee, which oversees development and recommends risk management policies and procedures that prudently control the risks taken in the various subsidiaries under the AGL Resources holding company. Rozgonyi has more than 22 years of professional experience in managing financial, risk management and trading business activities. Prior to joining AGL Resources, he was with New Century Energies as director of risk management. In this position, he was responsible for managing day-to-day risk control activities associated with retail and wholesale energy trading, marketing, and asset optimization operations. His professional work activities also include tracking, capturing, and overseeing trading activities within the regulated utility, the local distribution company, and unregulated marketing subsidiaries. He also has worked as a trader, floor broker and analyst and has been involved with implementing and launching products and services targeted at energy traders worldwide in markets such as electricity deregulation. In addition, Rozgonyi's career highlights include work as an independent NYMEX trading company owner. Rozgonyi has served on the board of directors for Colorado's Senior Housing Options (1999-2000) and for the New York Mercantile Exchange Charitable Foundation committee (1995-1996). Joe Surber became vice president and chief information officer at AGL Resources in November 2008. He has been an integral part of the company’s Information Technology department since 2004. As chief information officer, Surber is responsible for the ongoing enhancement of the company’s technology platform in alignment with business goals. Surber is recognized as a strategic thinker with the ability to bridge business and technology. Paul Shlanta was named executive vice president, general counsel and chief ethics and compliance officer in September 2005. Prior to this promotion, Shlanta was chief corporate compliance officer since June 2002 and senior vice president and general counsel since 1998. As general counsel, Shlanta is responsible for managing all of AGL Resources' corporate legal affairs, as well as corporate insurance matters, claims, internal audit, corporate security and the corporate secretary organization. He also served as corporate secretary from June 2002 until February 2005. Prior to joining AGL Resources, Shlanta served as a partner with Rowe, Foltz and Martin, P.C. Ronald Lepionka was named chief auditor of AGL Resources in April 2004. He is responsible for internal audit’s independent, objective assurance and advisory services designed to assess the effectiveness of internal controls, promote efficiency, encourage a sense of responsibility and accountability, and share business insight with its customers. Lepionka has more than 20 years experience in accounting, planning, budgeting, economic evaluation and start-ups. Prior to being named chief auditor, Lepionka served as vice president and controller for Sequent Energy Management, a wholly owned subsidiary of AGL Resources headquartered in Houston. He was responsible for managing the financial administration activities at Sequent including accounting, budgeting, financial reporting, accounting strategies, and controls for the company. Prior to Sequent, Lepionka served as vice president and controller for Mirant Americas, where he had responsibility for the oversight of the accounting and consolidation of Mirant Americas. His experience includes organizing and directing the external reporting of financial and statistical information; ensuring that adequate controls are in place; and developing accounting strategy. Lepionka also served as operational controller at Mirant Americas Energy Marketing, where he coordinated and oversaw the company’s energy and trading accounting operation in the Americas. In addition, he has served as middle officer director, which included responsibilities for compliance with risk policies and calculation of daily portfolio positions, market prices, and value. Lepionka also held various positions with Consolidated Natural Gas. Lepionka is a certified management accountant and is a member of the Institute of Management Accountants. He graduated from Clarion University of Pennsylvania with a Bachelor of Science degree in accounting and holds a master’s degree in business administration from Robert Morris University. Todd Rimmer was named Senior Vice President and Chief Financial Officer for Sequent Energy Management in February 2008. He joined Sequent as Vice President and Controller in March 2004. Rimmer’s responsibilities include gas accounting (volume actualization and settlements), general ledger maintenance and monthly close procedures, and technical accounting policy and research. He also is responsible for financial reporting, financial planning and budgeting, Sarbanes-Oxley 404 compliance and the Information Systems and Technology function. Prior to joining Sequent, Rimmer was with American Electric Power (AEP) in Columbus, Ohio where he served as the Director of Financial Reporting responsible for the corporate level consolidation and external reporting for AEP’s eleven public registrants, as well as all other regulatory and non-public filings. In addition, he held a position in the accounting policy and research department where he evaluated the appropriate accounting treatment for energy trading and derivative transactions. A majority of Rimmer’s career was spent with the worldwide accounting and consulting firm of Deloitte (previously Deloitte & Touche LLP) where he focused primarily on energy trading, oil field service and independent power producer clients. There, he achieved the level of Senior Manager. Rimmer graduated summa cum laude with a bachelor of business administration degree in accounting from Stephen F. Austin State University and is a Certified Public Accountant in the state of Texas. Henry P. "Hank" Linginfelter, president of Virginia Natural Gas (VNG), was named senior vice president, Mid-Atlantic Operations, for AGL Resources, and president of two companies acquired by AGL Resources: Elizabethtown Gas (New Jersey), and Elkton Gas (Maryland) in December 2004. Linginfelter has been president of Virginia Natural Gas since October 2000 when AGL Resources acquired the Norfolk-based company. Virginia Natural Gas is a local distribution company serving more than a quarter million customers in Southeastern Virginia. Linginfelter is responsible for three utilities serving more than 525,000 customers in New Jersey, Maryland and Virginia. Elizabethtown Gas, the third largest natural gas company in New Jersey, serves more than 260,000 residential, business and industrial natural gas customers in New Jersey. Elizabethtown Gas serves parts of Union, Middlesex, Sussex, Warren, Hunterdon, Morris and Mercer counties. Elkton Gas serves approximately 5,100 residential and business natural gas customers in Maryland. Prior to joining Virginia Natural Gas, Linginfelter worked for Atlanta Gas Light, another subsidiary of AGL Resources, for 17 years in various positions in sales, marketing and division operations. Most recently he served as vice president of rates and regulation, representing the company before the Georgia Public Service Commission, Tennessee Regulatory Authority, and the Federal Energy Regulatory Commission. With a solid background in customer service, he also is very experienced in building and managing cooperative and productive relationships with government officials and business and civic leaders. Linginfelter serves on numerous civic and community boards in Virginia, including the boards of the Virginia Chamber of Commerce, United Way of South Hampton Roads, Norfolk State University Foundation, Tidewater Community College, The Virginia Aquarium, Virginia FREE and Hampton Roads Partnership. In 2004, he received the Paul A. Askew Community Service Award presented by regional organized labor groups for the advancement of workers' rights in service to their community. In 2005 he received the Corporate Volunteer Excellence Award presented by Virginia Business Magazine and Volunteer Hampton Roads for outstanding leadership in volunteerism. Peter Tumminello was named executive vice president of business development and support for Sequent Energy Management in February 2007. Previously, Pete had served as vice president, corporate development for AGL Resources since November 2005. He joined the executive management team of Sequent Energy Management in August 2003 as vice president of asset management and origination. Tumminello is responsible for leading, developing and executing a coordinated business development strategy for Sequent, including oversight of several commercial business functions. Central to Pete’s new role at Sequent are evaluation and implementation of new commercial business ventures, and new products and services aligned with the critical support functions. Tumminello brings to Sequent Energy Management more than 17 years experience in natural gas marketing and trading and more than 25 years in the energy industry. Prior to joining AGL Resources and Sequent, Pete’s previous position was vice president of energy supply for Green Mountain Energy Company. He has also worked for TPC Corp in various capacities in energy marketing and storage and transportation asset management. Tumminello earned his MBA from the University of Southwestern Louisiana and his B.S. in petroleum engineering from Louisiana Tech University. He frequently speaks on natural gas storage, transportation and asset management at energy industry conferences. A native of New Orleans, Tumminello lives with his wife and two daughters in Katy, Texas.

Brett A. Stovern was named vice president and treasurer in September 2005. He is responsible for the company’s treasury and finance operations including cash management, banking, capital market activities, rating agency relationships and corporate planning and analysis. He also supports the company’s corporate development and growth initiatives. Stovern has nearly two decades of experience in the areas of finance, risk management, cash/information management, asset/liability management, and corporate development. He joined AGL Resources in 2000 as a senior business consultant. In 2002 he was named assistant treasurer, and added the additional title of managing director of finance in 2004. Prior to joining AGL Resources, Stovern spent nine years at Pratt Industries where he led the mergers and acquisitions, treasury and accounting functions. Charles A. Rawson III was named vice president, gas operations, in July 2007. He has more than 23 years of valuable company experience and is especially well-suited to assuring that AGL Resources' gas operations are state-of-the-art and meet the needs of our utilities and customers for years to come. In November 2004, Rawson was named vice president and general manager of Florida City Gas, where he was responsible for serving 101,000 residential and industrial customers in seven counties, from Brevard to Miami-Dade. He also served as vice president and general manager of Southeast Georgia and led the successful integration of FCG into AGL Resources. Prior to that role, Rawson served as manager of wholesale services, where he was responsible for AGL Resources' largest customers natural gas marketers, shippers, poolers, power generators, and commercial and industrial operators. Rawson first joined Atlanta Gas Light as an engineer. Since then, he has developed an in-depth knowledge of the utility and its customers as he progressed into commercial sales and marketing, and then into the new business and marketing division. From 2002 to 2004, he was managing director of research and analysis in the new business department. Rawson's broad experience was put to good use when he helped revamp the process of adding new customers, reducing capital costs and resulting in a savings of approximately 40 percent of the $62 million budget. An Atlanta native, Rawson earned a bachelor's degree in mechanical engineering from Georgia Tech and a master's of business administration from Georgia State University.

Connie McIntyre was named vice president of customer experience in July 2007. She is responsible for managing service for 2.2 million customers in the six states served by AGL Resources. This includes overseeing all call center operations, customer logistics, credit and collections, and supporting technology. McIntyre has an outstanding reputation for delivering results and an unwavering commitment to the customer. Most recently, she served as region manager of Northeast Georgia – Gwinnett, North Fulton, Forsyth and Hall Counties – at Atlanta Gas Light, where she led diverse teams of over 80 employees dedicated to improving operations and resolving customer service issues in an area that serves over 300,000 customers. McIntyre has been employed at AGL since 1977 and has also worked as director of the Customer Care Center, served in management positions in Information Systems and Process Improvements, and led the marketer services team through deregulation. McIntyre is a board member of the Greater North Fulton Chamber of Commerce, the American Cancer Society, and YWCA Atlanta. She is also very active in other community and civic organizations. McIntyre graduated from Georgia College with a bachelor’s degree in business administration and has a master’s of business administration from Brenau University.

Dan Lambright was named vice president of information technology in November 2008. He is responsible for system support, technology architecture and vision. Lambright has been instrumental in the modernization of customer service information systems and dispatch systems. He also handles program development and application maintenance and support. Darilyn Jones joined Sequent Energy Management as vice president of risk control in August 2003. She is responsible for management and oversight of Sequent’s mid office functions including contract administration and compliance, market risk control, and operational risk control. Prior to joining Sequent, Jones was a senior manager with Accenture’s global energy strategy consulting practice where her primary focus was North America’s energy trading and risk management practices. She also assisted energy clients in developing an enterprise risk management framework across all commodities. Her career, which spans three decades in the energy industry, also includes accounting, auditing, operations and technology experience with major oil companies such as Exxon, Tenneco and Mobil Oil. Jones earned her MBA and her bachelor’s degree in business administration from the University of Houston’s Bauer School of Business. She is an active member of Global Association of Risk Professionals (GARP) and speaks frequently to groups and non-profit organizations about risk management principles. Donald F. “Don” Carter was named vice president of operations for Elizabethtown Gas in August 2005. In this role he is responsible for the operations, management and maintenance of the utility which provides natural gas delivery service to 265,000 residential, business and industrial customers in parts of Union, Middlesex, Sussex, Warren, Hunterdon, Morris and Mercer counties in New Jersey. Since December 2004, Carter had been region manager for the Elizabethtown Gas Northwest Jersey Service Area with offices in New Village, Flemington and Andover, New Jersey. He has held a number of positions with increasing responsibility throughout his two decades of service with AGL Resources. Carter, 42, joined Atlanta Gas Light in 1984 after his graduation from the Georgia Institute of Technology with an engineering degree. He earned a masters degree in business administration from Brenau University in 1992 and is a Registered Professional Engineer in the State of Georgia. While in Georgia, Carter sat on the boards of the Utilities Protection Center of Georgia and the Greater North Fulton Chamber of Commerce. He was a member of the Gwinnett Chamber of Commerce and the Gwinnett Council for Quality Growth. He was also active in the Cumming-Forsyth Chamber of Commerce and the Gwinnett United Way Campaign Cabinet. Carter, his wife, Betty, and their 8-year-old daughter, reside in Long Valley, New Jersey.

Ira G. Pearl joined AGL Resources in March of 2005 and serves as Vice President of Engineering Services and Supply Chain. He is responsible for leading several departments, including engineering, construction, fleet, crisis management, supply chain management and environmental, health & safety. Prior to joining AGL Resources, Pearl held several executive positions at Delta Air Lines, including the areas of environmental affairs, ground operations, safety and security, and flight operations. Pearl is a licensed pilot and previously served on the Board of Directors of ARINC, Inc., an $800MM privately held provider of aviation, communication and transportation services. Pearl graduated from the Georgia Institute of Technology in 1985 with a bachelor’s degree in chemical engineering. He then completed his post-graduate education in nuclear engineering and spent more than six years as a nuclear submarine officer in the US Navy. He is married to the former Leslie Spencer of Atlanta, Georgia. They have one daughter.

James “Jim” Pitts joined AGL Resources in January of 2007 as vice president of midstream services. Jim is responsible for asset development of midstream projects and the operations of midstream assets, including JISH and the Golden Triangle Storage project in Beaumont, Texas, which is currently in development. Since February of 2005, Jim has provided consulting services to AGL Resources for development and operation of salt dome storage related assets. In his capacity as a consultant, Jim has been responsible for operation of the JISH facility since January 2006. Jim’s career in the natural gas industry began at Kinder Morgan after obtaining a BSEE from Texas Tech University. Jim left Kinder Morgan after completing 28 years of service in various operations and engineering assignments with the last position held as vice president of engineering. Jim is a registered Professional Engineer in the State of Illinois. Jim is now located in AGL Recources’ Houston office and has recently moved his family from Littleton, Colorado to Spring, Texas.

Jim Kibler, vice president, Governmental Relations, relocated from Virginia to Atlanta during the summer of 2008. Kibler and his family moved to Atlanta due to his expanded responsibilities in all areas of Governmental Relations for the company. Jim previously managed Governmental Relations for the company’s Mid-Atlantic utilities as well as its wholesale and Mid-Stream operations, located primarily in the Gulf Coast region. Prior to joining AGL Resources in January 2005, Jim was a partner in two prominent Virginia law firms. His energy and telecommunications practice included counseling clients in acquiring, permitting and operating energy infrastructure, especially natural gas production, gathering, storage, transmission and distribution facilities. He served as counsel to the Virginia Oil and Gas Association, a statewide association of natural gas production, transportation and distribution companies. He also represented energy marketers. Kibler is the Chair of the Southern States Energy Board’s Associate Members program, which encourages cooperation by the region’s Governors, legislators, businesses, universities and public interest groups to advance consensus on energy and environmental policy. Kibler earned his bachelor’s degree from the University of Virginia and his law degree, with honors, from the University of Richmond.

Jay Sutton was named vice president and general manager, Coastal Region in July 2008. He is responsible for driving financial performance, meeting customer needs, ensuring compliance, building strong community relationships and all other operations at Florida City Gas and Coastal Georgia. An engineer by training, Sutton brings 23 years of diverse company experience to his position. Most recently, he served as director, Strategic Alliances, and played a key role in the successful transition of AGL Resources’ call center operations and other back office functions to India. Prior to that, Sutton held numerous engineering leadership positions, and was responsible for centralizing and standardizing our pipeline construction program and practices. He implemented new procedures and technology that led to improved customer service and significant capital cost reductions. Sutton was also responsible for managing the construction program in Georgia which included one of the most aggressive pipeline replacement programs in the country, and an overall annual construction budget of more than $150 million. Sutton received his bachelor’s degree in mechanical engineering from Clemson University and is a registered professional engineer in the state of Georgia. He currently serves on the board of directors for the Florida Natural Gas Association.

Jeffrey Brown was named vice president and associate general counsel of AGL Resources in September 2002. Brown came to the company in July 2001 as an accomplished senior level counsel with over 20 years experience in the Atlanta legal community. Prior to joining AGL, Brown held several senior management positions in the Legal Department of BellSouth Corporation, including vice president and group counsel for the company’s domestic, wireless, Internet, video and long-distance units and vice president and general counsel of its International unit. Robert Duvall was named vice president and general manager of Virginia and Maryland Operations for AGL Resources on February 1, 2005. In his new position, Duvall will be responsible for the day-to-day operations of the three utility subsidiaries in Virginia and Maryland that are part of AGL Resources’ Mid-Atlantic Region, which was created after AGL Resources acquired NUI Corporation in December 2004. Prior to this move, Duvall served as managing director of Field Operations at Atlanta Gas Light (AGL), another AGL Resources subsidiary, responsible for the company’s 1,500-mile distribution pipeline system and management of field services in Georgia. Duvall’s career at AGL Resources began in 1984. He has held a variety of positions within the company, including: region manager of the AGL Cumming/North Fulton service area, where he was responsible for daily operations and field services; project manager of AGL’s field service automation project; region engineering and operations manager as well as various other engineering positions. Duvall has served on numerous civic and community boards in the metro Atlanta area including the Greater North Fulton Chamber of Commerce, Atlanta Technical College and Atlanta Union Mission. He is a member of the Alpharetta Rotary Club. A native of Columbia, S.C., Duvall earned a Bachelor of Science degree in civil engineering from Clemson University in 1984. As vice president, regulatory affairs, Scott Carter is responsible for insuring that the natural gas utility, pipeline and storage operations of AGL Resources are in compliance with federal and state laws and regulations. He is also responsible for maintaining positive relationships with state regulators and their staffs as well as for regulatory filings that affect the rates charged to customers of AGL Resources’ regulated utilities in six states on the East Coast. Carter has extensive regulatory knowledge relevant to AGL Resources’ utility operations in Georgia, Tennessee and Virginia. With AGL Resources’ expansion in 2004 through the acquisition of NUI Corporation and Jefferson Island Storage and Hub, Carter’s regulatory oversight responsibilities expanded to include AGL Resources’ operations in New Jersey, Maryland, Florida, and Louisiana. In addition, Carter is responsible for representing the company’s interests in matters before the Federal Energy Regulatory Commission. Before joining AGL Resources in 2001, Carter developed his regulatory affairs expertise as a senior accountant at Deloitte & Touche and Conn & Company P.C., where he specialized in gas and electric utilities. He provided consulting services to clients on such matters as regulatory filings, rate case forecasting, billing pro-ration, debt structuring, centralized service allocation, derivative transactions and other business matters. A Certified Public Accountant (CPA), Carter holds a bachelor of business administration in accounting from Valdosta State University, where he was vice president of the Honorary Accounting Organization and a student member of the Association of Certified Fraud Examiners. He is a member of the Georgia Society of CPAs and the American Institute of Certified Public Accountants. Carter is a native of Georgia. He and has a wife, Tanya, have two daughters, Hannah and Brooke.

Scott E. Maddox joined Sequent Energy Management as vice president of information systems and technology in August 2003. Maddox is responsible for all aspects of systems and technology used to manage and support Sequent’s gas trading, asset management and gas origination business. Maddox came to Sequent from Duke Energy where he served as vice president of trading systems for Duke Energy North America. Wendell Dallas was named Vice President and General Manager of Atlanta Gas Light in September 2006. He is responsible for the day-to-day operations and market development of Atlanta Gas Light. Prior to this role he served as general manager since February 2005. Dallas has over 17 years of operations, management and engineering experience in the natural gas industry. Dallas joined AGL in 2000 and served as a Service Area Manager in Macon and as a Region Manager for Southeast Georgia in Savannah. He came to AGL from El Paso Energy's Macon office, where he was an operations supervisor. In that role he was responsible for the operations of the natural gas transmission pipeline facilities in central Georgia. Previous to that Dallas was a senior project engineer. Dallas is a graduate of Leadership Georgia’s class of 2006 and a graduate of Leadership Savannah’s class of 2004. He is a gubernatorial appointee to the State of Georgia’s Workforce Investment Board and serves as Vice-chairman. He is also a member of Auburn University’s Engineering Alumni Council and serves as Chairman, Academic Assessment Committee, serves on the board of the Atlanta Neighborhood Development Partnership and the board of Gwinnett Technical College. Dallas grew up in Opelika, Alabama and earned a degree in mechanical engineering from Auburn University in 1990. Dallas, his wife, and three children reside in Gwinnett County.

Bryan Batson was named senior vice president, Governmental and Regulatory affairs in January 2008. Primary among his responsibilities is executive oversight and coordination of all governmental and regulatory matters that impact the company’s regulated utilities: Atlanta Gas Light, Elizabethtown Gas, Florida City Gas, Virginia Natural Gas, Chattanooga Gas and Elkton Gas, as well as oversight of economic development and regulatory compliance. Batson previously served as director of state regulatory affairs representing the company before the Georgia Public Service Commission. He received his bachelor’s degree in civil engineering from Clemson University and is a registered professional engineer. He also holds a master’s degree in technology management from Mercer University. Charles H. “Pete” McTier, is retired President to the Robert W. Woodruff Foundation, the Joseph B. Whitehead Foundation, the Lettie Pate Evans Foundation and the Lettie Pate Whitehead Foundation, which are all based in Atlanta and make up one of the largest foundation groups in the Southeast (the “Foundations”). He was President of the Foundations from 1988 until 2006 and served as Vice President, Secretary and Treasurer of the Foundations from 1987 to 1988. He also was Secretary and Treasurer of the Foundations from 1977 to 1987 and Secretary of the Foundations from 1971 until 1977. Prior to that, he held several administrative positions at Emory University. He is currently a director of Coca-Cola FEMSA, S.A. de C.V., and an advisory board member of SunTrust Bank of Georgia and SunTrust Bank Atlanta. Mr. McTier, 67, has been a director of AGL Resources since 2006.

O'Hare, of Far Hills, New Jersey, joined Chubb in 1963 as an underwriting trainee and was named an officer of the corporation in 1972, chief financial officer in 1980, president in1986, and chairman and chief executive officer in 1988 where he served until his retirement in 2002. He is the chairman of the board of SeaPass and a director of DFA Capital Management and Proudfoot Consulting. O’Hare is chairman of the Partnership for New Jersey: A coalition of leaders of the state's major corporations in association with nonprofit institutions and smaller businesses committed to act in partnership with government and the independent sector to make New Jersey a better place to live and work. He has been a director of HJ Heinz Company since 2000. O’Hare has been a director of the Fluor Corporation since 1997 and is presently chairman of the Audit Committee of the board. One of the world's largest publicly owned engineering, procurement, construction, and maintenance services organizations, Fluor’s global clients include those in the oil and gas industry. A leading voice on international trade issues, O’Hare is vice-chairman of the United States Council for International Business and has served as a member of the President’s Trade Advisory Committee, chairman of the U.S. Coalition of Service Industries, member and immediate past chairman of the U.S. - India Council, member of the Global Business Dialogue on Electronic Commerce, and a financial governor of the World Economic Forum (Davos). Myra Coleman Bierria was appointed vice president, corporate secretary and securities counsel at AGL Resources in March 2008. She is responsible for all corporate governance and securities law compliance and disclosure matters. Bierria was appointed corporate secretary and securities counsel in February 2005 and previously served as executive director, corporate governance and securities counsel for the company. She was the lead governance counsel for AGL Resources subsidiary Atlanta Gas Light when it was honored with the Georgia Business Ethics Award in 2004. Before joining AGL Resources in 2002, Bierria was a business and technology associate at Brobeck, Phleger & Harrison LLP in New York, where she specialized in securities offerings, venture capital transactions, mergers and acquisitions, and general corporate representation. Bierria is a member of the Georgia Asian Pacific American Bar Association, the National Asian Pacific American Bar Association and serves on its in-house counsel and mentor program planning committees, the American Bar Association and the Atlanta Bar Association. Bierria recently completed a two-year term as an ambassador for the Business Law Section of the American Bar Association. She also is a member of the American Association of Blacks in Energy, the Society of Corporate Secretaries and Governance Professionals and the Association of Corporate Counsel.
