Agrium Inc.

Mr. Waterman joined Agrium in 2000, bringing more than 25 years' experience as a financial executive. Prior to joining Agrium, Mr. Waterman was the Vice President and Chief Financial Officer at Talisman Energy Inc.

Mr. Mittag joined Agrium in 2005. He brings over 24 years experience in business development, investment banking and corporate business. Prior to joining Agrium, he was President and CFO as well as co-founder of Rockland Capital Partners.

Mr. Grossett joined Agrium in 2002. He brings over 25 years of experience as a human resource executive both in North America and internationally. Previously, he was Senior Vice President, Human Resources for both Molson Inc. and Coca-Cola Beverages, Ltd.

Ms. O’Donoghue joined Agrium in 1999. She formerly practiced corporate and securities litigation as a partner with the law firm Blake, Cassels & Graydon LLP.

Mr. Wilkinson joined Agrium in 1996 and has since held positions of increasing responsibility. Mr. Wilkinson has over 25 years of engineering, operations and business management experience within the petrochemical industry.

Ms. Lekatsas joined Agrium in 2003. She brings over 18 years of financial and management experience. Prior to joining Agrium, Angela was a Senior Manager with Deloitte & Touche LLP in their Assurance and Advisory practice.

Mr. Tworek joined Agrium in 1996, and brings more than 25 years experience in the fertilizer and petrochemical industries, including positions with Viridian Fertilizers Limited and Esso/Exxon.

Mr. Helash joined Agrium in 1996. He has over 14 years of progressive experience in fertilizer sales and marketing both in North America and internationally. He currently serves on the Board of Directors of the International Plant Nutrition Institute (IPNI).

Mr. Freeman joined Agrium in 1993 following an 18-year career in the treasury, finance and accounting areas of major Canadian corporations.

Mr. Boycott joined Agrium in June of 2003 as General Manager for Kenai Nitrogen Operations (KNO). He has held positions of increasing responsibility throughout his 19 years in the oil industry.

Derek G. Pannell was appointed a director of Teck Cominco Limited in October 2006. He is a graduate of Imperial College in London, England (BSc. Eng.) and the Royal School of Mines, London, England (ARSM). Mr. Pannell was President and Chief Operating Officer of Noranda/Falconbridge from 2001 to October 2006 and Vice President, Operations of Compania Minera Antamina from 1999 2001. He is presently the Managing Partner of Brookfield Asset Management (asset management company), Chairman of Brookfield Infrastructure Partners and a director of Brookfield Infrastructure Partners, Agrium Inc. and Major Drilling Group International Inc. Mr. Pannell is also a professional engineer registered in Quebec and Peru. He is a resident of Bathurst, New Brunswick, Canada and is 62. Mr.

Dr. Devine, 63, is a farmer and rancher, the President of Grant Devine Farms and Consulting Services Ltd., and Board Chair of Live Global Bid Inc. He joined Agrium's Board in 1993.

Mr. Proto, 65, is a former director of Nelson Group Inc. He joined Agrium's Board in 1993 and has served as Board Chair since 1998.

Ms. Gibara, 63, is President of Avvio Management Inc. and serves on the Boards of Sun Life Financial Inc., Cogeco Cable Inc., and TECNHIP. She is also a director of the Canada Pension Plan Investment Board. She joined Agrium's Board in 2004.

Victor J. Zaleschuk, a corporate director, is the Chair of the Board of Cameco. He is the former President and CEO of Nexen Inc., a publicly traded independent global energy and chemicals company. Mr. Zaleschuk has been a chartered accountant since 1967 and holds a Bachelor of Commerce degree from the University of Saskatchewan.

Mr. Kalma joined Newalta in 2006 as Vice President, Information Technology and leads Newalta's IT activities and initiatives. His extensive industry knowledge includes 25 years of senior experience with companies such as the Alberta Electric System Operator, Engage Energy, Agrium Inc. and Shell, both in Canada and the Netherlands. Mr. Kalma has demonstrated proven leadership abilities and business acumen throughout his career and has played an instrumental role in the development and implementation of numerous strategic IT and organizational change solutions. He holds a Bachelor of Science degree in Physics from the University of Lethbridge.

Gladys McCoy brings to the Totally Green Alberta team, her extensive administrative and computer systems experience with the Canadian Air Force, National Energy Board, Agrium, and Petro Canada. She has operated her own successful small business and is currently working in a management position with the Display Centre. Gladys volunteers in many social programs including the Calgary Drop In Centre and the Church Christmas Hamper create and delivery.

Ray is originally from Manitoba, where he attended the University of Manitoba. Ray's academic background included study in the Faculties of: Commerce (Management Information Systems), Science (Zoology/Botany), Agriculture (Soil Science), and a MSc. in Soil Chemistry and Fertility from the department of Soil Science. Ray's graduate work included the development of copper recommendations for Manitoba Agriculture. Ray started work in the fertilizer industry with Sherritt Fertilizers in Saskatoon, Saskatchewan and later included a move to Edmonton, Alberta, with Sherritt Fertilizers. Sherritt evolved into the fertilizer/supplier/manufacturer, Viridian, which later merged with Agrium. Ray currently resides in Calgary, Alberta, where he continues work in the areas of fertilizer research and development, education and extension. Ray practises in the broad area of soil and crop fertility, and specifically in field scouting and crop diagnostics.

The Honourable A. Anne McLellan is a former Deputy Prime Minister of Canada and has held several senior cabinet positions, including federal Minister of Natural Resources, Minister of Health, Minister of Justice and Attorney General of Canada, and federal interlocutor of Métis and non-status Indians. Prior to entering politics in 1993, Ms. McLellan was a law professor and administrator at the University of Alberta. Since leaving politics, she has been appointed distinguished scholar in residence at the University of Alberta in the Institute for United States Policy Studies and counsel in the national law firm of Bennett Jones, LLP. Ms. McLellan holds a Bachelor of Arts degree and a Law degree from Dalhousie University, and a Master of Laws degree from King's College, University of London. In 2007, Ms. McLellan completed the Directors' Education Program through the Corporate Governance College. Ms. McLellan also serves on the boards of the Royal Alexandra Charitable Foundation and the Edmonton Airport Authority.

"Russ Girling is Chairman and Chief Executive Officer, TC PipeLines GP, Inc. (general partner of TC PipeLines, LP). He is also President, Pipelines of TransCanada Corporation, where he has overall responsibility for TransCanada Corporation’s regulated businesses, including gas and oil pipelines in Canada, the U.S. and Mexico. Prior to his current appointment, Mr. Girling was Executive Vice-President, Corporate Development and Chief Financial Officer of TransCanada. He had overall responsibility for finance, accounting, treasury, taxation, risk management, corporate strategy, corporate development, investor relations and project evaluation. Mr. Girling was responsible for TransCanada’s $4 billion debt reduction and balance sheet restructuring during 2000. Through 2001, he was also President of TransCanada Gas Services and was responsible for its ultimate disposition. Mr. Girling was Executive Vice-President, Power where he had overall responsibility for the creation and management of the TransCanada subsidiary, TransCanada Power, including the creation of TransCanada Power, L.P. Prior to joining TransCanada in 1994, Mr. Girling held several marketing and management positions at Suncor Inc., Northridge Petroleum Marketing and Dome Petroleum. He is currently a Director of Agrium Inc. He is the former Chairman of TransCanada Power, L.P and a former Director of Bruce Power Inc. Mr. Girling is a Director of the Willow Park Charity Golf Classic and was a member of the United Way Campaign from 2002-2004. He is also a former Director of the Alberta Children’s Hospital Fund, the Power Pool of Alberta and Junior Achievement. Mr. Girling holds a Bachelor of Commerce and a Master of Business Administration in Finance from the University of Calgary."

Mr. Horner, 58, is the President and Chief Executive Officer of Catalyst Paper Corporation. He joined Agrium’s Board in 2004.

Dr. Henry, 61, is currently the Ronald P. Lynch Dean of the College of Agriculture and Life Sciences at Cornell University in Ithaca, NY, where she is also a professor. She is on the board of Seneca Foods Corporation, the Scientific Advisory Board of Cellomics, Inc., the Advisory Board of BioEconomy Partners and NRC Committee. She joined Agrium’s Board in 2001.
