Mr. Wainscott, age 49, a director of the Company since October 16, 2003, has served as Chairman, President and Chief Executive Officer of the Company since January 1, 2006. He served as President and Chief Executive Officer of the Company from October 2003 to December 2005; Chief Financial Officer from July 1998 until October 2003; and as Treasurer from April 1995 until April 2001. He was elected Senior Vice President in January 2000, having previously served as Vice President from April 1995 until that date. He also serves on the Board of the American Iron and Steel Institute.

Mr. Perry joined AK Steel following 34 years of service with U.S. Steel Corporation. In addition to his corporate and plant-level purchasing experience, Mr. Perry has extensive management experience in operations, environmental controls and maintenance. Mr. Perry holds a Bachelor of Science degree from Bluefield State College in West Virginia.

Dr. Hill, age 64, a director of the Company since April 7, 1994, is President of B. Hill Enterprises, LLC, a consulting firm specializing in corporate governance and board organizational and public policy issues. From February 1997 to July 2001 she was President and Chief Executive Officer of The Times Mirror Foundation, Vice President of The Times Mirror Company, and, from August 1998 to July 2001, Senior Vice President Communications and Public Affairs for the Los Angeles Times. Prior thereto, she served as Dean of the McIntire School of Commerce at the University of Virginia. She is also a director of Hershey Foods Corporation, The Home Depot, Inc., Albertson’s, Inc., YumBrands, Inc. and California Water Service Group, and serves on the boards of Goodwill of Greater Los Angeles, the Los Angeles Urban League and the NASD Investor Education Foundation.

Mr. Meyer, age 69, a director of the Company since January 1, 2000, retired as Chairman and Chief Executive Officer of Milacron Inc. in May 2001. He also serves as a director of Hubbell Inc. and Cincinnati Bell Inc. Shirley

Prior to joining Arent Fox, Dennis was the senior vice president of Toyota Motor North America, where he was in charge of legal affairs, administration, public relations, investor relations, corporate advertising, industry and government relations, philanthropy, planning, research and the Latin American Group. Dennis also served as corporate secretary and as the company's chief environmental officer. In his years at Toyota, Dennis helped make the company one of the leading manufacturers of automobiles in this country. One of Toyota's earliest American executives, Dennis played a key role in the launch of Toyota's manufacturing operations in the United States as part of the management team at New United Motor Manufacturing Incorporated (NUMMI), a joint venture with General Motors that was Toyota's first vehicle assembly plant here. Later, he was a member of the start-up team at the company's North American manufacturing headquarters, which has been instrumental in securing Toyota's reputation for quality, efficiency and innovation. For most of the past 10 years, Dennis led the site selection for Toyota's new plants in North America. He was named as one of the top 10 people who have influenced economic development in the South by Southern Business & Development in 2004. As senior vice president, Dennis developed new advertising and public relations programs for Toyota, strengthened its government relations, and expanded the company's outreach to the investment community. Dennis was also responsible for executing Toyota's diversity strategy, and in 2006 he was named by Minority Business News USA magazine as one of the top "100 Men Impacting Supplier Diversity." From 1980 to 1984, Dennis was an associate at Arent Fox, where he worked on various legal and regulatory matters. He was the primary associate for the Toyota account. Prior to Arent Fox, Dennis was a trial attorney in the Antitrust Division of the U.S. Department of Justice.

Dr. Thomson, age 61, a director of the Company since March 18, 1996, is the President and Chief Executive Officer of The RAND Corporation, having served in that capacity since August 1989. He also serves as a director of Encysive Pharmaceuticals Inc.

John S. Brinzo has been a member of our board of directors since October 2006. Mr. Brinzo has been affiliated with Cleveland-Cliffs, North America's largest producer of iron ore pellets, since 1967. He served in various operational finance roles and also as chief financial officer before becoming chief executive officer in 1997. In 2000 he was named chairman of the board. Mr. Brinzo retired from Cleveland-Cliffs as its CEO In September 2006 and has announced his intention to retire as chairman in early 2007. Mr. Brinzo served as chairman of the National Mining Association from 2005 to 2006, and currently is a director and chairman-elect of the Audit Committee at The Brink's Company. He is a former director of International Steel Group Inc.

Mr. Leser, age 70, a director of the Company since May 17, 1995, retired as Chairman of The E.W. Scripps Company in May 1999, having also served as its Chief Executive Officer from July 1985 until May 1996. Mr. Leser also serves as a Trustee of Xavier University.
