Mark J. Czarnecki, age 53, is president and a director (2007) of the Registrant and president and a director (2007) of M&T Bank. Previously, he was an executive vice president of the Registrant (1999) and M&T Bank (1997) and was responsible for the M&T Investment Group and the Company’s Retail Banking network. Mr. Czarnecki is chairman of the board (2007) and a director (1999) of M&T Securities and chairman of the board, president and chief executive officer (2007) and a director (2005) of M&T Bank, N.A.

Robert G. Wilmers, age 74, is chief executive officer (2007), chairman of the board (2000) and a director (1982) of the Registrant. From April 1998 until July 2000, he served as president and chief executive officer of the Registrant and from July 2000 until June 2005 he served as chairman, president (1988) and chief executive officer (1983) of the Registrant. He is chief executive officer (2007), chairman of the board (2005) and a director (1982) of M&T Bank, and previously served as chairman of the board of M&T Bank from March 1983 until July 2003 and as president of M&T Bank from March 1984 until June 1996.

Robert J. Bojdak, age 53, is an executive vice president and chief credit officer (2004) of the Registrant and M&T Bank. From April 2002 to April 2004, Mr. Bojdak served as senior vice president and credit deputy for M&T Bank. Previous to joining M&T Bank in 2002, Mr. Bojdak served in several senior management positions at KeyCorp., most recently as executive vice president and regional credit executive. He is an executive vice president and a director of M&T Bank, N.A. (2004) and M&T Credit (2004).

Joined AIB in 1971. Appointed General Manager, Retail Operations in 1999, and Managing Director, AIB Bank, Republic of Ireland in 2001. Appointed Chief Executive Officer of AIB's USA Division and Executive Chairman of Allfirst Financial Inc. in 2002. Appointed Chairman and CEO, Mid Atlantic Division, M&T Bank, and a member of the Executive Management Committee and Board of M&T Bank Corporation (M&T) in April 2003, following the acquisition by AIB of a strategic stake in M&T. Appointed AIB Group Chief Executive Designate in March 2005, co-opted to the Board on 12 May 2005, and assumed responsibility as Group Chief Executive with effect from 1 July 2005. Fellow and past President of the Institute of Bankers in Ireland. Eugene was born in July 1954.

James J. Beardi, age 62, is an executive vice president (2003) of the Registrant and M&T Bank, and is responsible for managing the Company’s Corporate Services, Central Operations, Automobile Floor Plan and Lending Services Groups. Previously, Mr. Beardi was in charge of the Company’s Residential Mortgage business and the General Counsel’s Office. He was president and a director of M&T Mortgage Corporation (1991) until its merger into M&T Bank on January 1, 2007. Mr. Beardi served as senior vice president of M&T Bank from 1989 to 2003.

Kevin J. Pearson, age 47, is an executive vice president (2002) of the Registrant and M&T Bank. He is a member of the Directors Advisory Council (2006) of the New York City/Long Island Division of M&T Bank. Mr. Pearson is responsible for managing all of the non-retail segments in the New York City, Philadelphia, Connecticut, New Jersey and Tarrytown markets of M&T Bank, as well as the Company’s commercial real estate business, Commercial Marketing and Treasury Management. He is an executive vice president of M&T Real Estate (2003), a director of M&T Realty Capital (2003) and an executive vice president and a director of M&T Bank, N.A. (2008). Mr. Pearson served as senior vice president of M&T Bank from 2000 to 2002.

Michael P. Pinto, age 53, is a vice chairman (2007) and a director (2003) of the Registrant. Previously, he was an executive vice president of the Registrant (1997). He is a vice chairman and a director (2003) of M&T Bank and is the chairman and chief executive officer of M&T Bank’s Mid- Atlantic Division (2005). Prior to April 2005, Mr. Pinto was the chief financial officer of the Registrant (1997) and M&T Bank (1996), and he oversaw the Company’s Finance Division, Technology and Banking Operations Division, Corporate Services Group, Treasury Division and General Counsel’s Office. He is an executive vice president (1996) and a director (1998) of M&T Bank, N.A. Mr. Pinto is chairman of the board and a director of MTB Investment Advisors (2006).

Richard S. Gold, age 48, is an executive vice president of the Registrant (2007) and M&T Bank (2006) and is responsible for managing the Company’s Residential Mortgage and Consumer Lending Divisions. Mr. Gold served as senior vice president of M&T Bank from 2000 to 2006, most recently responsible for the Retail Banking Division, including M&T Securities. Mr. Gold is an executive vice president of M&T Bank, N.A. (2006) and a director of M&T Credit (2008).

Stephen J. Braunscheidel, age 52, is an executive vice president (2004) of the Registrant and M&T Bank, and is in charge of the Company’s Human Resources Division. Previously, he was a senior vice president in the M&T Investment Group, where he managed the Private Client Services and Employee Benefits departments. Mr. Braunscheidel has held a number of management positions with M&T Bank since 1978.

Paul D. Moore, age 57, is a senior vice president of M&T Bank Corporation. He currently serves as senior credit officer overseeing all corporate lending activity in the Rochester, Buffalo and Binghamton, New York markets. During his 29-year career at M&T Bank, he has been the commercial banking manager for the Rochester, New York market and has held various commercial loan positions in Buffalo, New York.

Francis Liuzzi is the Assistant Vice President of Business Banking at M&T Bank, and has been with the bank for approximately 19 years. In addition to The Peacemaker Program, he is involved in various community and charitable organizations including The Genesis Group, United Way Young Leaders United and United Way Allocation Committee, Sons of the American Legion, and the American Heart Association. He is a recognized leader in his field with awards that include the Savings Bank of Utica President's Award.

Jayne K. Rand, became a director in 1989. Since 1993, Ms. Rand has been a Vice President of M&T Bank. From 1989 to 1993, Ms. Rand was an Assistant Vice President of Marine Midland Bank.

Jean is vice president of corporate communications at M&T Bank. Prior to joining the bank, she was a news anchor at the ABC television affiliate in Buffalo for 12 years. Before making Buffalo her home, Jean was an international correspondent for ?Beyond Tomorrow,? a science magazine program, produced in Sydney, Australia and Los Angeles. She holds an MBA from State University of New York at Buffalo, as well as a degree from Ohio State, both in journalism. Jean also writes freelance articles and has contributed reports for ESPN and Empire Sports Network. She enjoys international travel and has a keen interest in foreign cultures. She has taken French classes with the AFB school and won the condo in the annual raffle in 2005. She is interested in developing a marketing plan for the AFB. She also serves on the board of directors of Buffalo Prep.

Mr. Eyster is a graduate of York College of Pennsylvania. As the Administrative Vice President of M&T Bank in York, he is able to provide the NHACS Board with experienced financial guidance. His commitment to community service shows in his extracurricular activities: President, Yorktown Senior Center, United Way, YCEDC Board Member and York Chapter of the American Red Cross. Mr. Eyster is also the President of the PIAA basketball officials York Chapter.

John A. Carmichael is Vice President of M&T Bank and the Chief Executive Officer of the Westminster Community Charter School. For the past 14 years, Mr. Carmichael has managed a partnership in which M&T Bank has contributed over $11 million to Westminster (formerly Buffalo Public School #68). During this time, the school's test scores have risen from the bottom of the district to among the top of the district. Mr. Carmichael holds a BA in French Literature and an MBA from Cornell University.

Malik Evans is an Assistant Vice President with M&T Bank. The University of Rochester graduate believes that financial literacy and economic empowerment, in concert with a quality education, are key to improving the lives of citizens in the community. Mr. Evans regularly presents financial literacy seminars that focus on money management, business development and basic banking. Business development is a regular part of Mr. Evans' job, and he enjoys assisting current and new businesses in securing financing for their operations. The Rochester resident believes bankers are a vital part of the community. "Bankers provide the catalyst for making dreams come true -- from investing in the future to buying a home to starting a business." A passionate believer in the power of education, Mr. Evans ran for and became the youngest member ever elected to the Rochester Board of Education in 2003. He currently serves as Vice President. Mr. Evans holds a political science degree from the University of Rochester. He serves on the boards of several organizations, including the Monroe County Fair and Recreation Association, the University of Rochester Trustee Alumni Council, the Catholic Family Center Homeless and Housing Panel, and the Rochester Area Community Foundation Board of Directors where he serves on the Distributions Committee. Mr. Evans was a Legislative Aide to then-City Council Member Wade S. Norwood, and he was a member of former Rochester Mayor Bill Johnson's Commission on Race and Ethnicity.

Richard Bidgood is a Vice President for M&T Bank, where he specializes in financing healthcare facilities. He has extensive banking and financing experience and has brought that experience to a number of non-profit boards, including The Janus School, providing financial oversight and advice. Mr. Bidgood holds a Bachelors degree in Philosophy from Franklin & Marshall College and a Ph.D. in Philosophy from the University of Massachusetts. He was a member of the Franklin & Marshall faculty for several years, and has been active in several educational projects at the college, including teaching humanities in the Clemente Program, and acting as faculty advisor for Model UN.

JORGE G. PEREIRA is 74 and has been a director since 1982. He is the vice chairman of the board of M&T Bank Corporation and is a member and the chairman of its Nomination, Compensation and Governance Committee. Mr. Pereira is a private investor. He is a vice chairman of the board and a director of M&T Bank. Mr. Pereira also serves as the lead outside director of M&T Bank Corporation and has been designated as the presiding director of the non-management directors of M&T Bank Corporation when they meet in executive sessions without management.

As a branch manager for M & T Bank, John is the perfect person to check our books. His knowledge of sound financial practices and cuurent information relative to business accounting is a welcome addition to our group.

Ashley has been volunteering with Moving Miracles since January, 2008 and is thrilled to now be teaching at the studio! Ashley began her formal dance education 16 years ago while in First Grade at Dance Dimensions in East Aurora, under the direction of Janet Rush. She has never lost her love of dance, performing several styles including tap, jazz, lyrical, and even country line dancing. Ashley furthered her dance training through summers spent dancing in musicals with the Lancaster Youth Bureau and Lancaster Performing Arts Society. She is a 2008 graduate of Canisius College where she received a degree in Finance. During her four years at Canisius, she was a part of the Dance Griffs, a dance team which performed during selected sports events. Ashley is currently employed at M&T Bank and is also dancing with the Buffalo Stampede (PBL) Dance Team.

Mr. Marsico is Executive Vice President of The Kafafian Group, Inc. His specialties are building client-specific performance measurement models and facilitating the development of client strategies, which includes mergers & acquisitions and operations consulting engagements. He is a member of the firm's profitability implementation team that has achieved a 100% success rate in building tailored performance measurement models. As part of the strategic consulting team, he has analyzed and facilitated strategy development for dozens of community financial institutions resulting in documented strategic plans to guide client employees and improve performance. He has negotiated, analyzed, and advised Boards of Directors regarding bank mergers and acquisitions resulting in whole institution and branch sale transactions with values in excess of $500 million, including the only reverse merger-conversion where the converting thrift acquired a commercial bank. Mr. Marsico has over fourteen years of financial industry experience, including: IT and Trust operations with Northeastern Bank of Pennsylvania (now PNC Bank, NA); retail branch management and strategic planning with First Maryland Bancorp (now M&T Bank); and financial institution mergers & acquisitions, consulting, and capital formation with Tucker Anthony Sutro Capital Markets (now RBC Capital Markets). He served seven years as a Military Intelligence Analyst in the United States Navy, earning three Navy Achievement Medals, the Kuwait Liberation Medal, the Southwest Asia Service Medal, the Combat Action Ribbon, Sea Service Ribbon, and other various commendations. He received his bachelor?s degree in Professional Studies/Business Administration from the University of Hawaii and his MBA from Lebanon Valley College. Professional education includes the AMIfs Institute, NASD Series 6 and 7, and the U.S. Navy systems administrator designation from the University of West Florida. He is a member of AMIfs and participates on various charitable committees.

Jen Lasota graduated from Buffalo State University in 1994 with a degree in Business Administration. She's engaged to John Bushen class of '90, and they plan on getting married in September 2005. Jen now works for M&T Bank.

Mr. Buckley MA, LPh, MSI, (aged 61), recently retired from the position of Group Chief Executive of AIB. In addition to his extensive operational experience as Chief Executive of Ireland's largest public company, Mr. Buckley, as a former Managing Director of AIB Capital Markets division and the NCB stockbroking group, has extensive capital markets knowledge and experience. Prior to his involvement in the financial services area, he was a senior public servant in Ireland and the EU. He is currently a non-executive director of M&T Bank Corporation, Buffalo, New York State.

Richard F. DiGiacomo concentrates his practice on Real Estate Law, including purchases and sales, bank, industrial development agency and other financial transactions. He serves as attorney for M&T Bank and has extensive experience in representing lenders, purchasers, and sellers in commercial transactions.

Scott Gribben GribbenRacing@yahoo.com drives the 71 car. Scott is an Enterprise Architect at M&T Bank with a degree in Electrical Engineering from University at Buffalo and a deep passion for racing. Ed Gribben is Scott's father and the driving force behind the Gribben Racing. Ed works designing rocket engines for AmPac with Engineering degrees from Purdue University and University at Buffalo. Scott and Ed are co-owners of Gribben Racing, Inc., the business behind the race team.

Amy L. Tait has served as a director of the Company since its inception in 1993. She is currently the principal of Tait Realty Advisors, LLC. Mrs. Tait joined Home Leasing in 1983 and held several positions with the Company, including Senior and Executive Vice President and Chief Operating Officer. Effective February 15, 2001, Mrs. Tait resigned her full-time position as Executive Vice President of the Company. She currently serves on the M & T Bank Advisory Board and the boards of the United Way of Greater Rochester, Princeton Club of Rochester, the Al Sigl Center, Center for Governmental Research, Allendale Columbia School and Monroe County Center for Civic Entrepreneurship. Mrs. Tait is a graduate of Princeton University and holds an M.B.A. from the William E. Simon Graduate School of Business Administration of the University of Rochester.

ROBERT T. BRADY is 68, is a member of the Nomination, Compensation and Governance Committee and has been a director since 1994. Mr. Brady is chairman of the board of directors and chief executive officer of Moog Inc., a worldwide manufacturer of control systems and components for aircraft, satellites, automated machinery and medical equipment. He is a director of M&T Bank. Mr. Brady is a director of Seneca Foods Corporation, National Fuel Gas Company and Astronics Corporation. He is also a director of the Buffalo Niagara Partnership, a director of the Albright-Knox Art Gallery and serves on the University at Buffalo Council.
