Mr. Walton is the Chairman of the Board and an executive officer of Allied Capital. From 1997 until March 2009, Mr. Walton served as Allied Capital’s Chairman, President, and Chief Executive Officer. He has been a director since 1986. Mr. Walton's previous experience includes serving as a Managing Director of Butler Capital Corporation, a mezzanine/buyout firm; the personal investment advisor to William S. Paley, founder of CBS; and a Senior Vice President in Lehman Brothers Kuhn Loeb's Merger and Acquisition Group. He also founded two education service companies – Language Odyssey and SuccessLab. Mr. Walton currently serves on the boards of directors of The American Enterprise Institute, the U.S. Chamber of Commerce, and the Financial Services Roundtable. He is also a member of the Trustees’ Council of the National Gallery of Art. After serving in the U.S. Army as an enlisted specialist at the Pentagon, Mr. Walton completed his B.S. from Indiana University and his M.B.A. from Indiana’s Kelley School of Business.

Ms. Sweeney, Managing Director and Senior Advisor to the Chief Executive Officer, has been employed by the Company since 1993. She has served as a director of the company since 2004. Prior to joining Allied Capital, Ms. Sweeney was employed by Ernst & Young, Coopers & Lybrand, and the Division of Enforcement of the Securities and Exchange Commission. Ms. Sweeney earned her B.S. from the University of Arizona.

Ms. Roll, Chief Financial Officer, has been employed by Allied Capital since 1995. Ms. Roll is responsible for the Company's financial operations. Prior to joining the Allied Capital, Ms. Roll was employed by KPMG LLP in the firm's audit practice. She earned her B.S. from West Virginia University.

Suzanne V. Sparrow, Chief Compliance Officer, Executive Vice President and Corporate Secretary, has been employed by the Company since 1987. Ms. Sparrow is responsible for Allied Capital s compliance and corporate governance activities.

For the last 3 decades Mr. Bathrick has led or created financial services organizations with quantifiable success. A veteran of Robert W. Baird & Co, where he ran the Bond trading desk, he now serves as Senior VP of Allied Capital in Washington, DC. Complimenting his success in business, Mr. Bathrick has led a passionate campaign to attract and nurture minority owned organizations in the Milwaukee area.

Mr. Kelleher, Managing Director in the Washington office, joined Allied Capital in February of 2006. Most recently, Mr. Kelleher served as a Managing Director with the Mergers & Acquisitions Group of BB&T Capital Markets from 2004 to 2006. Prior to joining BB&T, Mr. Kelleher was a co-founder, Managing Director and Board member of Cary Street Partners, a boutique investment bank. He was a Director in the Investment Banking Group at Wachovia Securities from 1998 to 2002, where he was a co-founding member of the Technology Investment Banking Group. From 1994 to 1998, Mr. Kelleher was a member of the Investment Banking Group at Raymond James & Associates, Inc. He has also worked in the investment banking department of Paine Webber Incorporated. Mr. Kelleher received his M.B.A. from the Darden Graduate School of Business at the University of Virginia and a B.S. from the University of Virginia.

Ms. DelDonna, Managing Director in the Washington office, has been employed by the Company since 1992. She currently serves on the company's Portfolio Management Committee. Ms. DelDonna has previously worked in a number of other managerial roles during her 14 year tenure with the Company. Prior to joining Allied Capital, Ms. DelDonna held several accounting, audit, and financial analyst roles within a variety of industries. She earned her B.B.A. from James Madison University.

Mr. Russell, Managing Director in the Washington office, has been employed by Allied Capital since 1998 and currently serves as Head of Private Finance. During his tenure with Allied Capital, Mr. Russell has worked on a range of transactions, including both buyout and leveraged finance deals in distribution and logistics industries, transportation services, business services, aviation services, and consumer products. Prior to joining Allied Capital, Mr. Russell was employed by KPMG LLP in the firm's financial services group. He earned his B.S. from Widener University.

Mr. Izzo, Managing Director in the Washington office, has been employed by Allied Capital since 2001. During his tenure with Allied Capital, Mr. Izzo has worked on a variety of debt and equity transactions, including buyouts and leveraged finance deals in business services, consumer products and services, healthcare, distribution services, and government contractors. Prior to joining Allied Capital, Mr. Izzo was a Director in the Corporate Finance Group of Banc One Capital Markets from 1999 to 2001. From 1989 to 1999, Mr. Izzo worked at Bank of America in both corporate finance and lending roles. He earned his B.B.A. from the University of Notre Dame and his M.B.A. from the University of Texas at Austin.

John D. Shulman, Managing Director, has been employed by the Company in the private finance investment group since 2001. Prior to joining the Company, Mr. Shulman served as the President and CEO of Onyx International, LLC from 1995 to 2001. He currently serves as a Director of ChemLink Laboratories LLC and as a member of the investment committee of Taiwan Mezzanine Funds.

John M. Fruehwirth is a Managing Director of Allied Capital with over ten years of private equity and merchant banking experience. Mr. Fruehwirth joined Allied Capital in its private finance investment group in 2003. His primary focus is on identifying proprietary opportunities in specialty financial and insurance services companies. In addition, Mr. Fruehwirth has completed numerous investments in value-added distribution and business services firms, as well as in the restaurant and retail industries. He currently serves as a director or observer on a number of Allied Capital portfolio company boards. Prior to joining Allied Capital, Mr. Fruehwirth worked at Wachovia (formerly First Union) in several merchant banking groups including Wachovia Capital Partners, leveraged capital and middle market capital. Before joining Wachovia, Mr. Fruehwirth worked in First Union's leveraged finance group. Prior to business school, he worked for Conoco, Inc. in a variety of operating and financial management positions. Mr. Fruehwirth graduated with a BBA from the University of Wisconsin and holds an MBA from the Colgate Darden School of Business at the University of Virginia.

Mr. Scheurer, Chief Executive Officer and President, has been employed by Allied Capital since 1991. He has served as a director of the company since 2009. During his tenure with Allied Capital, Mr. Scheurer has held several leadership positions, most recently as a Managing Director and Head of Commercial Real Estate Finance. Mr. Scheurer also served as President of Allied Capital Commercial Corporation, a predecessor to Allied Capital, from 1993 until 1997. Mr. Scheurer received his B.B.A. from Stetson University and his M.S. from Benjamin Franklin University (which was merged into George Washington University in 1987).

Mr. Taylor, Managing Director in the New York office, has been employed by Allied Capital since 2006. Prior to joining Allied Capital, Mr. Taylor was a Managing Director from 2004 to 2006 with Callidus Capital Management, where he was Head of Syndications for Middle Market Loan Origination. Mr. Taylor was a Vice President at JP Morgan Chase from 1998 to 2003 where he worked in the Global Syndicated Finance Group and the Financial Sponsor Group. From 1989 to 1996, he held numerous positions at First Union/First Fidelity, including Associate of Capital Markets, Middle Market Commercial Underwriter, and Commercial Credit Department Unit Manager. Mr. Taylor earned his B.A. from the University of Scranton and his M.B.A. from New York University.

Mr. Maccarone, Managing Director in the New York office, has been employed by the Company since April 2005. He currently serves on the Management Committee and the Investment Committee. Prior to joining Allied Capital, Mr. Maccarone served as a partner with UBS Capital Americas, LLC, a private equity fund focused on middle market investments, from 1993 to 2005. Prior to that, Mr. Maccarone served as a Senior Vice President at GE Capital specializing in merchant banking and leveraged finance from 1989 to 1993 and served as Vice President of the Leveraged Finance Group at HSBC/Marine Midland Bank from 1981 to 1989. He earned a B.A. from Trinity College and his M.B.A. from Columbia University Graduate School of Business.

Michael J. Grisius, Managing Director, has been employed by the Company since 1992. Prior to joining Allied Capital, Mr. Grisius worked in corporate finance at Chemical Bank and was employed by KPMG LLP.

Mr. Miller, Managing Director in the New York office, joined Allied Capital in 2005. Prior to joining Allied Capital, Mr. Miller spent over 16 years with JPMorgan Chase. Most recently, he served as a Managing Director in the eastern region of JPMorgan's asset based lending business, which included origination, underwriting and portfolio management. He also worked with the middle market financial sponsor group for several years, serving as originator and client executive from 2000 to 2003 and as Senior Portfolio Manager from 1998 to 2000. From 1988 to 1997, he held various management positions with JPMorgan's corporate banking group. Mr. Miller earned a B.S. from Cornell University and his M.B.A. from The Stern School at New York University.

Paul R. Tanen, Managing Director, has been employed by the Company in the private finance investment group since 2000. Prior to joining the Company, Mr. Tanen served as a Managing Director at Ridgefield Partners and was a Founding Member of the private equity group at Charter Oak Partners.

Mr. McNeill is currently the Chief Investment Officer for SPP Mezzanine Partners. Prior to joining SPP Mezzanine Partners, Mr. McNeill served as a Managing Director and co-head of mezzanine investing at Allied Capital Corporation where he was co-head of its Private Finance and Mezzanine activities and a member of its Investment Committee. Before joining Allied Capital in 1993, Mr. McNeill served as Vice President of M&T Capital Corporation, the SBIC investment division of M&T Bank. Prior to entering the private finance industry in 1988, he developed, founded, managed and owned a Boston-based retail and manufacturing company and was a founding director of City National Bank of Weatherford, Oklahoma. Mr. McNeill holds an M.B.A. from the Harvard Business School and a B.S. in Finance, Accounting, and Law & Public Policy from Syracuse University.

Age 77. Mr. Long has been the Chief Executive Officer and a director of GLB Group, Inc., an investment management firm, since 1997 and President of Ariba GLB Asset Management, Inc., the parent company of GLB Group, Inc., since 2005. He has been the Chairman of Emerald City Radio Partners, LLC since 1997. Mr. Long was the President of Business News Network, Inc. from 1995 to 1998, the Chairman and Chief Executive Officer of Southern Starr Broadcasting Group, Inc. from 1991 to 1995, and a director and the President of Potomac Asset Management, Inc. from 1983 to 1991. Mr. Long is a director of AmBase Corporation, CSC Scientific, Inc., and Advanced Solutions International, Inc. He has served as a director of the Company or one of its predecessors since 1972. Mr. Long is the father of Robert D. Long, an officer of the Company.

Mr. Hicks, Managing Director and Portfolio Manager of the Allied Capital Senior Debt Fund and the Knightsbridge Funds in our New York office, joined Allied Capital in 2008. Prior to joining Allied Capital, Mr. Hicks was Managing Director of Deustche Bank's Middle Market Capital Group. Mr. Hicks has more than 20 years of experience in corporate and structured finance. From 2004 to 2006, he was a Managing Director in CIT Group's Communications, Media and Entertainment Finance Group, and from 1994 to 2004 he was responsible for new business development at the CIT Group and its predecessor companies. Mr. Hicks earned his B.S. in Accounting from The Pennsylvania State University and his M.B.A. from Farleigh Dickinson University.

Mr. Monk, Managing Director in the Washington office, has been employed by the Company since 1993. Throughout his 13 years with the company, Mr. Monk has worked on a variety of debt and equity transactions, including both buyout and leveraged finance deals in consumer packaged goods, post-secondary education, specialty manufacturing and business services. He currently serves on the the Investment Committee. Prior to joining Allied Capital, Mr. Monk worked in the leveraged finance group at First Union National Bank (currently Wachovia Securities). Mr. Monk earned his B.B.A. from the University of Georgia.

Samuel B. Guren, Managing Director, joined the Company in 1999. He joined the Company to develop the Company s private equity investment business. Mr. Guren has more than 26 years of venture capital investing experience. Prior to joining the Company, Mr. Guren was the Senior Managing Partner at Baird Capital. He also served as a Senior Managing Partner at William Blair Venture Partners for 15 years.

Mr. Binder, Managing Director in the Washington office, has been employed by Allied Capital since 1997 and currently serves as Head of Special Assets. He served as a consultant to the Company from 1991 until 1997. During his tenure with Allied Capital, Mr. Binder has worked on a variety of debt and equity transactions as well as served as the company's Chief Valuation Officer from June 2003 to August 2008. Prior to joining Allied Capital, Mr. Binder formed and was President of Overland Communications Group. He also served as a board member and financial consultant for a public affairs and lobbying firm in Washington, DC. Mr. Binder founded Lonestar Cablevision in 1986, serving as President until 1991. In the early 1980's, Mr. Binder worked for two firms specializing in leveraged lease transactions. From 1976 to 1981, he was employed by Coopers & Lybrand. Mr. Binder earned his B.A. from Princeton University and his M.S. from New York University, Graduate School of Business.

Ms. Mayer, Managing Director in the Washington office, has been employed by Allied Capital since 2003. Ms. Mayer leads the Portfolio Management team, working with portfolio companies on value creation initiatives. During her tenure with Allied Capital, Ms. Mayer has worked on a variety of debt and equity transactions, including buyouts and leveraged finance deals in business services and consumer products and services. Prior to joining Allied Capital, Ms. Mayer served in various investment and management positions with MCI Communications Corporation from 1993 to 2003. Before joining MCI, Ms. Mayer served in a variety of corporate development and management roles at NHP, Inc. from 1991 to 1993, and Comsat, Inc. from 1986 to 1991. She was in a consulting role at the Boston Consulting Group from 1979 to 1986. Ms. Mayer earned her B.A. from Boston University and her M.B.A. from Harvard Graduate School of Business Administration.

Prior to joining BB&T Capital Partners, Tom was a Managing Director of Allied Capital Corporation (NYSE: ALD), a publicly traded $4.5 billion business development company. During his 14 year tenure at Allied, Tom directly invested over $500 million in over forty mezzanine and buy-out transactions. He served on ALD's Investment and due diligence committees and was responsible for all aspects of the investment process. Tom served on numerous portfolio company Boards of Directors and assisted with strategic decisions including evaluating acquisitions, financing alternatives and exit opportunities. Prior to joining Allied Capital, Tom was an Associate with the North Carolina Enterprise Fund and a corporate lending officer with NCNB (now Bank of America).

Warren K. Montouri has been a Partner of Montouri & Roberson (real estate investment firm) since 1980. Mr. Montouri was a director of C&S/Sovran Bank from 1970 to 1990, a director of Sovran Financial Corporation from 1989 to 1990, a director of NationsBank, N.A. from 1990 to 1996, a director of BB&T Bank (formerly Franklin National Bank) from 1996 to 2000, a Trustee of Suburban Hospital from 1991 to 1994, and a Trustee of The Audubon Naturalist Society from 1979 to 1985.

Mr. Lynch, Executive Vice President and Director of Capital Markets, has been employed by Allied Capital since 2004. Mr. Lynch is involved in the company's capital raising activities and oversees investor relations activities. Prior to joining Allied Capital, Mr. Lynch was with Lehman Brothers Inc. in the Debt Capital Markets and Equity Research groups from 1997-2004. Prior to joining Lehman Brothers, Mr. Lynch held various investment banking and business development roles at Merrill Lynch and Deutsche Bank. Mr. Lynch earned his B.S. in Accounting from The Pennsylvania State University and his M.B.A. from The University of Chicago Graduate School of Business.

Alex Pollock is a resident fellow at the American Enterprise Institute (AEI) and a former president and chief executive officer of the Federal Home Loan Bank of Chicago.

Ms. Bates has been a strategic and financial consultant since 1997. From 1995 to 1997, Ms. Bates served as Executive Vice President, CFO and Treasurer of NHP, Inc., a national real estate services firm. From 1991 to 1995, Ms. Bates was Vice President and Treasurer of US Airways. She currently serves on the boards of Franklin Mutual Series, Franklin Mutual Recovery, and SLM Corporation (Sallie Mae). She has served as a director of the Company since 2003.

Mr. Browne has been a private investor since 2002. Mr. Browne was the President of Environmental Enterprises Assistance Fund from 1993 to 2002 and served as a director from 1991 to 2006. He currently serves as Chairman of the Board for Winrock International, a non-profit organization. He has served as a director of the Company or one of its predecessors since 1990.

John I. Leahy has been the President of Management and Marketing Associates, a management consulting firm, since 1986. Mr. Leahy was the President and Group Executive Officer, Western Hemisphere of Black & Decker Corporation from 1982 to 1985. Mr. Leahy is a director of B&L Sales, Inc. and is Trustee Emeritus of the Sellinger School of Business, Loyola College, Maryland. Alex J. Pollock has been a Resident Fellow at the American Enterprise Institute since 2004. He was President and Chief Executive Officer of the Federal Home Loan Bank of Chicago from 1991 to 2004. He serves as a director of the Chicago Mercantile Exchange, Great Lakes Higher Education Corporation and the Great Books Foundation. Mr. Pollock is Past President of the International Union for Housing Finance.

T. Murray Toomey, Esq. has been an attorney at law since 1949. Mr. Toomey is a director of The National Capital Bank of Washington and Federal Center Plaza Corporation. He is also a Trustee Emeritus of The Catholic University of America. Laura W. van Roijen has been a private real estate investor since 1992. Ms. van Roijen was the Chairman of CWV & Associates (RTC qualified contracting firm) from 1991 to 1994, a director and the Treasurer of Black Possum Inc. (retail concern) from 1994 to 1996, the President of Volta Place, Inc. (real estate advisory firm) from 1991 to 1994, and Vice President (from 1986 to 1991) and Market Director (from 1989 to 1991) of Citicorp Real Estate, Inc.

Mr. Garcia has been a private investor from March 2007 and a faculty member at a private school since March 2008. Previously Mr. Garcia was President of Finance of Kirusa, a developer of mobile services, from January to March 2007. Mr. Garcia was a private investor from 2003 through 2006. Mr. Garcia was Vice President of Finance of Formity Systems, Inc., a developer of software products for business management of data networks, from 2002 through 2003. Mr. Garcia was a private investor from 2000 to 2001, the General Manager of Breen Capital Group, an investor in tax liens, from 1997 to 2000, and a Senior Vice President of Lehman Brothers Inc. from 1985 to 1996. He has served as a director of the Company or one of its predecessors since 1991.

Age 67. Mr. Mathias has served as a Managing Director of The Carlyle Group, a global private equity firm, since 1994. From 1971 to 1993, Mr. Mathias served as Managing Director and Board Member of T. Rowe Price Associates, Inc., an investment management firm. Mr. Mathias presently serves as a Trustee of the University of Pennsylvania and as a member of the Penn Investment Board that oversees the University s endowment. He serves on the Howard Hughes Medical Institute s Investment Advisory Committee. Mr. Mathias is also a director of NexCen Brands, Inc., Victory Acquisition Corp., and Triple Crown Acquisition Corp. He has served as a director of the Company since 2008.

George C. Williams, Jr. is Chairman Emeritus of the Company. Mr. Williams was an officer of the predecessor companies from the later of 1959 or the inception of the relevant entity and President or Chairman and Chief Executive Officer of the predecessor companies from the later of 1964 or each entity s inception until 1991. Mr. Williams is the father of G. Cabell Williams III, an executive officer of the Company.

Ms. van Roijen has been a private investor since 1992. Ms. van Roijen was a Vice President at Citicorp from 1982 to 1992. She has served as a director of the Company or one of its predecessors since 1992.

Lawrence I. Hebert is Senior Advisor for PNC Bank, N.A., and was a director and President and Chief Executive Officer of Riggs Bank N.A. (a subsidiary of Riggs National Corporation) from 2001 to May 2005. Mr. Hebert also served as Chief Executive Officer of Riggs National Corporation during 2005 and served as a director of Riggs National Corporation from 1988 to 2005. Mr. Hebert served as a director of Riggs Investment Advisors and Riggs Bank Europe Limited (both indirect subsidiaries of Riggs National Corporation). Mr. Hebert previously served as Vice Chairman (1983 to 1998), President (1984 to 1998), and Chairman and Chief Executive Officer (1998 to 2001) of Allbritton Communications Company. PNC Bank N.A. has a $60 million commitment under our revolving line of credit.
