Allos Therapeutics Inc.

David Clark has served as the Company's Principal Financial Officer since March 2006, and as the Company's Corporate Controller and Treasurer since May 2004. From March 2000 to October 2003, Mr. Clark held several positions at Seurat Company (formerly XOR Inc.), a web commerce and marketing solutions provider, serving most recently as Vice President of Finance and Chief Financial Officer. From 1992 to March 2000, Mr. Clark worked in the audit practice of PricewaterhouseCoopers LLP. Mr. Clark is a Certified Public Accountant and received a Masters of Accountancy and a B.S. in Accounting from the University of Denver.

Doug holds a B.S. in Agricultural Business Administration from the University of Minnesota and an interdisciplinary Doctorate in Land Resources from the UW-Madison Gaylord Nelson Institute of Environmental Studies. Doug provides clients with management expertise on the strategic use of integrated eco-technologies and management systems so that the highest internal and external value can be realized. He is a registered auditor of ISO 14001 Environmental Management Systems, and he has assisted clients in defense, state government, agriculture and industry with the design and implementation of integrated management systems for profitable, sustainable, eco-efficient management of environment, quality, facility and infrastructure security and food safety. For the last five years, his recent work specializes in the design of eco-industrial, closed-loop systems for water conservation, nutrient harvesting and food production including sustainable aquaculture systems design for temperate and arid climates.

Mark Edwards has served as a member of Allos' Board of Directors since 1999. He is Managing Director of Recombinant Capital, Inc., a pharmaceutical and biotechnology consulting firm he founded in 1988. From 1999 until December 2000, he served as a General Partner of International Biomedicine Management Partners A.G., a venture capital fund based in Switzerland. Mr. Edwards received his B.A. and M.B.A. from Stanford University.

Timothy P. Lynch has served as a member of the Board of Directors since November 2005. Mr. Lynch is the President and Chief Executive Officer of NeuroStat Pharmaceuticals, a start-up specialty pharmaceutical company he founded in October 2005. From June 2005 through September 2005, Mr. Lynch was President and Chief Executive Officer of Vivo Therapeutics, Inc., a venture-backed specialty pharmaceuticals start-up. From October 2002 through June 2005, Mr. Lynch served as Chief Financial Officer of Tercica, Inc. From 1999 to June 2002, Mr. Lynch served as Chief Financial Officer of InterMune, Inc. He was involved with the initial public offerings of both biopharmaceutical companies. Previously, Mr. Lynch served as Director of Strategic Planning and as a pharmaceutical sales representative at Elan Corporation, plc, a pharmaceutical company. He started his career as an investment banker at Goldman, Sachs & Co. and Chase Securities, Inc. Mr. Lynch is a director of Aradigm Corporation, BioForm Medical, Inc., and Nabi Biopharmaceuticals. Mr. Lynch received his B.A. in economics from Colgate University and his M.B.A. from the Harvard Graduate School of Business.

Stephen K. Carter, M.D. has served on our Board of Directors since September 1998. Since 1997, Dr. Carter has been a consultant to the pharmaceutical industry. Dr. Carter was Senior Vice President of Research and Development at Boehringer Ingelheim Pharmaceuticals, Inc. from 1995 to 1997. Prior to joining Boehringer, Dr. Carter was Senior Vice President of Worldwide Clinical Research and Development at Bristol-Myers Squibb Company. From 1976 to 1982, Dr. Carter served as Director of the Northern California Cancer Program. Dr. Carter was also appointed to President Clinton's panel for AIDS drug development. Dr. Carter is a director of Allos Therapeutics, Alfacell Corporation, Emisphere Technologies, Inc. and Vion Pharmaceuticals Inc. and several privately held companies. Dr. Carter received an A.B. in History from Columbia College and an M.D. degree from New York Medical College. He completed a medical internship and residency at Lenox Hill Hospital.

Mr. Stout, age 53, has been President, Pharmaceuticals, GlaxoSmithKline, with responsibility for global pharmaceutical operations, since January 2003. Prior to that, he served as President, U.S. Pharmaceuticals from 1999 to January 2003. He served as Senior Vice President and Director, Sales and Marketing-U.S., for SmithKline Beecham from October 1996 until 1998. Mr. Stout was President of Schering Laboratories, a division of Schering-Plough Corporation, from 1994 until 1996. He held various executive and sales and marketing positions with Schering-Plough from 1979, when he joined the company, until 1994. Mr. Stout has been an Airgas director since 1999.

Stephen K. Carter, M.D., a Director of the Company since 2003, is the former Senior Vice President, Clinical and Regulatory Affairs, of Sugen, Inc. (ownership of Sugen has since passed to Pfizer, Inc. as part of its acquisition of Pharmacia in April 2003). Dr. Carter previously was the Senior Vice President, Research and Development of Boehringer Ingelheim Pharmaceuticals, Inc., now independently owned. Prior to this, he served 13 years at Bristol-Myers Squibb Co., including, as its Senior Vice President, Worldwide Clinical Research and Development. Dr. Carter is a former Deputy Director at the National Cancer Institute (NCI)'s Division of Cancer Treatment and is a member of the American Society of Clinical Oncology. He received his Medical Doctorate from New York Medical College. He is currently a member of the boards of directors of Alfacell Corporation, Achillion Pharmaceuticals, Inc., Cytogen Corporation, Sopherion Therapeutics, Inc., and Vion Pharmaceuticals, Inc.
