William R. McManaman, Chief Executive Officer, was named Chairman of the Board of Directors of AMCORE Financial on May 6, 2008. He was named CEO on February 25, 2008. Mr. McManaman has more than 35 years experience in senior financial and strategic positions, including CFO at consumer products and services businesses. He has been a member of AMCORE’s Board of Directors since 1997. Mr. McManaman has significant business and management expertise. During his career, he has worked growing and expanding household names, as well as streamlining companies. His experience includes: senior level accounting and finance positions with Brunswick Corporation from 1979 to 1995; Executive Vice President and Chief Financial Officer for Dean Foods from 1995 to 2000; Executive Vice President and Chief Financial Officer of Aurora Foods, Inc. from 2002 to 2004; Senior Vice President and Chief Financial Officer of First Health Group from 2004 to 2005 and most recently, Executive Vice President and Chief Financial Officer of Ubiquity Brands; a role he held with the manufacturer and distributor of snack foods from 2006 to 2007. Mr. McManaman is a Certified Public Accountant. He earned a bachelor’s degree in management from Lewis University and a master’s degree in business administration in accounting from the University of Detroit. In addition, he attended the Advanced Management Program at Harvard University.

Thomas Szmanda, Executive Vice President Consumer Banking Group, joined AMCORE in 2003 as Senior Vice President and Chief Retail Officer, bringing with him over 19 years of sales management experience. Mr. Szmanda served as Executive Vice President of the Retail Banking Group since 2005. In his current position Mr. Szmanda is responsible for developing and implementing the business plan for AMCORE’s Retail, Mortgage and Marketing divisions. Prior to AMCORE, he was Senior Vice President, Director of Retail Banking at Citizens Bank in Pittsburgh. His experience also includes senior positions with Key Bank Corporation and St. Paul Federal Bank in Chicago, Ill. Mr. Szmanda earned his bachelor’s degree in finance and economics, as well as a master’s degree in finance from the University of Wisconsin-Whitewater. Active in the community, Mr. Szmanda serves on the board of CONTACT. He is also a member of the American Heart Association and Bethlehem Lutheran Church boards. In addition, he is a former advisor to the Small Business Administration.

Guy W. Francesconi, Executive Vice President and General Counsel, was named Corporate Secretary in May 2008. He was promoted to Executive Vice President in October 2006 and joined the company as Senior Vice President and General Counsel in February 2006. Mr. Francesconi has more than 20 years of experience in the banking industry. As General Counsel, Mr. Francesconi has oversight and management responsibility for all legal resources and services. In addition, he provides legal and regulatory advisory and strategic support to the Company. Prior to joining AMCORE, Mr. Francesconi held various counsel positions within Merrill Lynch & Co. Inc. He has a bachelor’s degree in history from LeMoyne College in Syracuse, New York and a juris doctorate from Brooklyn Law School, where he was a member of the Brooklyn Law Review.

Russell Campbell, Executive Vice President of AMCORE Investment Group, joined AMCORE in March 2007, bringing more than 25 years of investment industry and leadership experience to the Company. Mr. Campbell directs all aspects of the trust, investment management and private banking businesses. Previously he held the position of President and CEO at ABN AMRO Asset Management Holdings Inc., the investment management affiliate of LaSalle Bank N.A., Chicago. Mr. Campbell earned a master’s degree in business administration in investment finance and marketing from York University and a bachelor’s degree in industrial relations from McGill University. He also is a graduate of the Advanced Management Program at INSEAD in Paris, France, and is a Chartered Financial Analyst (CFA). Mr. Campbell is on the board of directors for the Heartland Alliance, co-chair of the finance committee for Court Theatre and is a member of the Union League Club. He is also a member of the Executives' Club of Chicago, Economic Club of Chicago, the CFA Institute and CFA Societies in Chicago and Toronto.

Lori M. Burke was named Executive Vice President, Administrative Services in May 2008. In this role, Ms. Burke is responsible for employment and employee relations, compensation and benefits, corporate skills development, corporate communications and investor relations, facilities and administrative services, and chairs the AMCORE Foundation. Ms. Burke joined AMCORE in 1999 as Vice President and Manager of Corporate Skills Development. She has more than 18 years of human resources and training management experience. Prior to joining AMCORE, she was the principal consultant of a private human resources consulting practice and held various managerial positions at Sundstrand Corporation in human resources and marketing. Ms. Burke earned a bachelor’s degree from Western Illinois University and did graduate work at Northern Illinois University. In addition, she attended Duke University’s Executive Development Program, the Leadership Development Program at the Center for Creative Leadership and is a 2006 graduate of the University of Wisconsin Graduate School of Banking. Ms. Burke holds her Employee Relations Law Certification and Certified Compensation Professional designation. Ms. Burke is a member of the Society for Human Resource Management and the American Compensation Association. In addition, Ms. Burke served as past president of the board of the Epilepsy Foundation of Northern Illinois and is currently involved with the Crusader Health Foundation.

John A. Halbrook has served as Chairman of the Board of Woodward since January 1995. Halbrook was also Chief Executive Officer from November 1993 to July 2005. He has served in various executive positions with the company including Chief Operating Officer and President. He has also held positions with Worthington Pumps, McGraw Edison, Turbodyne, General Electric, and General Dynamics. Halbrook received his bachelor's degree in electrical engineering from Purdue University and his master's degree in business administration from the University of Rochester.

Mr. Hay retired as Senior Vice President-Operations of Snap-on Incorporated, a manufacturer of tools, in February 2002. Prior to that, he was Senior Vice President-Transportation of Snap-On Incorporated. Mr. Hay, who joined the board in 1997, is Chairman of the Governance & Nominating Committee and is a member of the Executive and Compensation Committees.

Mr. Ward is an Attorney at Law and Partner with the law firm of Reno & Zahm LLP of Rockford, IL. Mr. Ward joined the Board in 1995, and is the Chairman of the Compensation Committee and a member of the Executive and Governance & Nominating Committees.

Mr. Gleeson, 60, has been a Director of the Company since 2004. Mr. Gleeson is Senior Vice President and Chief Strategy Officer of Walgreen Co. From 2004 to April 2007, he served as Senior Vice President, Corporate Strategy and Treasurer of Walgreen Co. and as Treasurer since 2002. From 2000 to 2004, Mr. Gleeson was Vice President, Corporate Strategy of Walgreen Co. He also served as the Divisional Vice President, Marketing Systems and Services of Walgreen Co. from 1992 to 2000. Mr. Gleeson first joined Walgreen Co. in 1962. Mr. Gleeson also serves as a Director of AMCORE Financial, Inc. Mr. Gleeson is Chairperson of the Audit Committee and a member of the Corporate Governance and Nominating Committee.

Ms. Bauer is the retired Senior Vice President of Worldwide Supply Chain and Information Services, Spectrum Brands, Inc., Formerly RAYOVAC Corporation, Spectrum Brands is a global consumer product company supplying batteries, lighting products, shaving and hair care, home and garden, and specialty pet products. She was previously Senior Vice President of Integration for Spectrum. She joined the board in 1999 and is a member of the Audit and Governance & Nominating Committees.

Ms. Iglesias-Solomon is Vice President of Multi-Cultural Initiatives for Best Buy. She also is nationally known for the company she founded, Niños Catalog Company, a direct marketing firm focused on bilingual educational products for children. Ms. Iglesias-Solomon joined the board in 2006 and serves on the board’s Investment and Audit Committees.
