Following the sale of the Company's Copy Protection Business, the Company's then existing management considered several possible alternatives regarding the Company's strategic direction, including, the acquisition, development or investment in new lines of business. The Company announced on January 14, 2004 that it and Lucent Technologies, Inc. ("Lucent") entered into the Development and Licensing Agreement, effective as of January 6, 2004, as subsequently amended as of January 16, 2004 (the "Development and Licensing Agreement"), pursuant to which Lucent has agreed to develop for and license to the Company next-generation management and routing technologies and equipment designed to provide Fiber-to-the-Premises (FTTP) capabilities for voice, video, data, and voice-over-Internet protocol (VoIP) services. The Development and Licensing Agreement contemplates that Lucent deliver to the Company design models of specified equipment designed to enable the provision of very rapid broadband access to a range of communication services directly to the consumer's facility (collectively, the "Equipment"). The Equipment includes optical fiber based advanced communication technologies designed and developed at Lucent's Bell Labs division in New Jersey. The Board unanimously voted on January 6, 2004 to approve the Transaction and enter into the Development and Licensing Agreement, subject to the approval of the Company's stockholders.

Gary Feldman is the Vice President of Marketing and Business Strategy for Amedia Networks, a supplier of IP/Ethernet-based Gateway and Broadband Access products. He was among the founders of Amedia, and responsible for its brand and marketing efforts as well as for its business and product portfolio strategy. Prior to joining Amedia, Gary was a business consultant in the Telecommunications Networking Industry. His clients included optical component vendors, wireless billing / cellular wholesale services companies, messaging services firms, trans-oceanic carriers, CLECs, & IXCs. His expertise and market acumen were honed by a wide range of positions within the industry most of them with AT&T and Lucent Technologies. As Vice President of Strategy at Lucent Technologies' Optical Networking Group, Mr. Feldman was responsible for product and marketing strategies associated with a family of new ONG products, as well as for leading an eBusiness team that encompassed marketing initiatives critical to the success of that business. In an earlier assignment when the Optical Business Unit was first formed from what had been the Transmission Group, he was "anointed" by the President of that unit as the "Deputy Mayor of Photon Valley " (his official title) to reflect the broad range of marketing, technical, and business expertise that he brought to this assignment. Gary was one of a select few "evangelist" speakers for the company and regularly spoke at industry forums. In Lucent's Marketing and Technology Strategy Organization, Gary was instrumental in implementing the solutions approach for going to market. In other Lucent and AT&T organizations he had responsibilities for Systems Development, Technology Incubation, Corporate Strategy, Economic Analysis, Architecture, Regulatory Affairs, and Product Management for Switching, Access, and Consumer Products. Before joining AT&T, Gary was a business development consultant for municipal governments, on the staff of the New York State Economic Development Board, and a research member of the Wharton Busch Center in Philadelphia , Pennsylvania . He received his M.A. in Regional Economics from the University of Pennsylvania , and a B.A. from Boston University . Gary has authored numerous white papers and articles for Lucent Technologies, including "Innovations for the Coming Cognitive TeraNet," and "Navigating the CyberScape." He resides in Marlboro, New Jersey with his wife Jan, and his two children Lawrence and Kimberly.
