Bill Borne founded Amedisys in 1982, and has served as Chief Executive Officer and Chairman of the Board since that time. Mr. Borne's leadership has resulted in Amedisys being listed in Inc. Magazine's 1989 and 1990 lists of the country's fastest growing companies; being listed on Investors Business Daily's Top 100 list as the number one investment recommendation in 2004; ranked by Forbes magazine as fourth out of the Top 200 Small Companies in the U.S. in 2004; ranked twelfth out of the Top 200 Small Companies in the U.S. in 2005; ranked the fourth best stock of the decade by CNBC on MSN Money in 2005; ranked by Forbes magazine as fifty-fifth out of the Top 200 Small Companies in the U.S. in 2006; ranked by BusinessWeek online as twenty-fourth on its list of 100 Hot Growth Companies in 2006; ranked by Fortune magazine as seventh on its list of 100 Fastest-Growing Companies in 2006; ranked by BusinessWeek online as sixty-fifth on its list of 100 Hot Growth Companies in 2007; ranked by Forbes magazine as thirty-second out of the Top 200 Small Companies in the U.S. in 2007; named Outstanding Employer or Facility of the Year (other than hospital) by the Louisiana State Nurses Association Foundation in 2008; and ranked by TheStreet.com as a top five fast-growth stock in 2008. In addition, Mr. Borne has received the following awards: Baton Rouge Business Report's 1990's Young Businessperson of the Year and 1990 Entrepreneur of the Year, Forbes magazine 2004 Entrepreneur of the Year, and 2004 Guardian Angel Award from the Caring Institute. In 2008, Mr. Borne was voted as Chairman of the Alliance for Home Health Quality and Innovation. In 2009, Mr. Borne was appointed to the E.J. Ourso College of Business Dean's Advisory Council and inducted into the E.J. Ourso College of Business Hall of Distinction.

Larry Graham is the President, Chief Operating Officer and a member of the Board of Directors for Amedisys. Previously, he was Vice President of Operations and has served as Vice President of Finance. Through his focus on enhancements to Amedisys' home health operations, disease management and successful acquisitions, Mr. Graham has been a key driver behind the growth in both revenues and earnings for the Company. From the time Mr. Graham's term as COO began in 1999, the Company has grown from 50 home care agencies to more than 500 home care and hospice agencies in 37 states across the United States, the District of Columbia as well as Puerto Rico, and increased revenue from $25 million to an annualized revenue in excess of $1 billion in 2008. In addition, Mr. Graham played a key role in the development of the Company's charitable organization, the Christen Foundation, which was created as a means for the organization to give back in the communities the Company services.

As Chief Information Officer and Senior Vice President of Clinical Operations, Alice Ann's dual role is to ensure the IT and clinical systems are integrated to meet the operational, business, and clinical needs of the organization. Employed with Amedisys since 1997 and having functioned in several critical positions within the organization, she assumed the position of Vice President of Operations in 2001, charged with restructuring the company's operational systems. She was subsequently promoted to Senior Vice President of Clinical Operations in 2003 and is responsible for the organization's quality infrastructure. Prior to entering the home care sector, Alice Ann was employed in the acute care trauma and cardiovascular surgery intensive care settings at The Adam Crowley Shock Trauma Center and Johns Hopkins Hospital in Baltimore Maryland. She is a graduate of Louisiana State University and Johns Hopkins University.

Dale Redman is the Chief Financial Officer for Amedisys. He brings more than 34 years of senior level financial experience to the position. Most recently, Mr. Redman served as a Managing Director at Windward Capital Consulting, LLC, where he assisted businesses with capital issues and provided management consulting services in support of companies' growth strategies. Prior to this, Mr. Redman served for 10 years as Executive Vice President and Chief Financial Officer of United Companies Financial Corporation, which was a publicly traded home mortgage and home equity lender based in Baton Rouge, Louisiana. In addition, Mr. Redman is an Adjunct Instructor in Finance at Louisiana State University, where he graduated with a master's degree in accounting.

Jeffrey Jeter started with Amedisys in 2001 and currently serves as Chief Compliance Officer/Corporate Counsel. Prior to joining Amedisys, Mr. Jeter served as an Assistant Attorney General for the Louisiana Department of Justice where he prosecuted health care fraud and nursing home abuse. He received his Juris Doctorate from Louisiana State University and also holds a Masters of Public Administration degree from Louisiana State University. Additionally, he is a graduate of the prosecutor training course at Northwest University of Chicago. He also has served as an instructor at both the Federal Law Enforcement Training Center and the Louisiana Law Enforcement Commission Officer Training Program.

Michael Fleming, M.D., joined Amedisys as Chief Medical Officer in 2009. Dr. Fleming brings more than 39 years of medical field experience to his new position. He is past President of the American Academy of Family Physicians and the Louisiana Academy of Family Physicians; and is founding President of the Louisiana Health Care Quality Forum, a partnership with the State of Louisiana aiming to provide high-quality health care to the state. Dr. Fleming has served as Speaker of the Congress of Delegates of the AAFP and as Board Chair of the AAFP Board of Directors. As an active member of the medical quality field, he serves on various boards and panels to the health information technology industry. Additionally, he participates in international activities promoting medical education and primary care worldwide. Dr. Fleming continues his role as founding director, Chairman and Chief Medical Officer for Antidote Education Company, producing continuing education for health care providers. He serves as an assistant clinical professor in the Department of Family Medicine at Louisiana State University Health Science Center and in the Department of Family and Community Medicine at Tulane University Medical School. Dr. Fleming was honored as Louisiana Family Doctor of the Year in 1996. The LSU Health Science Center presented him with the Family Medicine Award upon graduation in 1975; in 2003 the award was renamed, and is now called the Michael O. Fleming Award in Family Medicine.

Beth Boulet is the Senior Vice President of Audit for Amedisys. Ms. Boulet joined Amedisys when the Internal Audit Department was established in 2002. Since that time, she has served in Staff Auditor and Audit Supervisor positions. She was responsible for starting and developing the internal audit function at the Company. As the department has evolved, the role of audit in the organization centers around internal control assurance work, risk management and corporate governance. Ms. Boulet has nine years of clinical cadiology experience as a cardiac rehabilitation manager and exercise physiologist. She is a Certified Internal Auditor and a graduate of Louisiana State University (B.S. Physical Education, M.B.A.-Internal Audit Specialization). She also holds a Master of Science in exercise physiology from the University of Louisville in Kentucky.

David R. Bucey is Senior Vice President, General Counsel and Secretary. Mr. Bucey has more than 24 years of experience as a corporate attorney, and was named a "Georgia Superlawyer" by Law and Politics magazine in 2005. Prior to joining Amedisys, Mr. Bucey served as Senior Counsel of Mergers and Acquisitions with The Coca-Cola Company in Atlanta, Georgia, and as a partner in a major Atlanta law firm. Bucey received his Bachelor of Arts in English from Kenyon College in Gambier, Ohio. He went on to receive his Juris Doctor degree from Washington and Lee University of Law in Lexington, Virginia.

Farid Guediri is the Senior Vice President of Enterprise Metrics. He has more than 25 years of experience in Business and Information Technology. Most recently, Mr. Guediri directed the implementation of an enterprise IT Portfolio Management system and governance framework for CompuCredit. He has also provided IT Management Consulting services to Coca Cola, Boeing and PNC Bank. Prior to this, he spent several years with General Electric where he built and directed a global Program Management Office. Mr. Guediri holds a Master of Science in Industrial Engineering and a Bachelor of Science in Computer Engineering from the University of Central Florida in Orlando.

Francis Mayer is the Senior Vice President of Contracting. Mr. Mayer has worked at Amedisys since 1997 serving as Director of MSO, Vice President of Business Development, and Vice President of Collections and Contracting. He is a graduate of Louisiana State University and obtained a master's degree in healthcare administration from Tulane University. In 2006, Mr. Mayer received the Amedisys Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his efforts related to the construction of Amedisys' new corporate office.

Janet Britt is the Senior Vice President of Billing and Collections. Ms. Britt has more than 20 years of experience and success in streamlining operations, reducing accounts receivable days outstanding, negotiating contracts and improving bottom line results. Prior to joining Amedisys, Ms. Britt served as Vice President of Contracts and Pricing for PharMerica in Tampa, Florida. Before being named VP of Contracts and Pricing, she served in various other roles for PharMerica. Ms. Britt received her Bachelor of Science in accounting from Kansas State University. In addition, she is a member of the American Institute of Certified Public Accountants.

Kevin Gunter is the Senior Vice President of Business Development. Prior to joining Amedisys in 2007, Mr. Gunter served as an Area Sales Director since 2004 for Auxilium Pharmaceuticals, where he led a team of eight regional sales directors and 80 medical sales consultants. In addition, he has more than 15 years of experience in various sales management roles with the following companies: Elan Pharmaceuticals, Carnrick Laboratories and King Pharmaceuticals. Mr. Gunter received his Bachelor of Science degree in Marketing Management from the University of Southern Mississippi.

Patty Graham is the Senior Vice President of Marketing and has been with the Company since 1991. Prior to her current role, Ms. Graham served in various sales and marketing roles and assumed her position as SVP in 2004. Ms. Graham developed and implemented infrastructures within the department so that Marketing now provides communications, sales support and meetings/event planning services for more than 500 sales employees and agencies, as well as within the Corporate office. Due to her experience in marketing and the home care industry, Ms. Graham served on the National Association of Home Care and Hospice (NAHC) as a Board member representing the Corporate Provider Section and has also served an at-large position on NAHC's Executive Committee. Additionally, Ms. Graham chaired NAHC's annual industry conference in the fall of 2007.

Pete Hartley is the Senior Vice President of Strategic IT and has been with Amedisys since 1992. He has developed a number of software systems for the medical industry including an agency management software system with integrated billing for Medicare/Medicaid, and a single entry multi-site, multi-company home health system. In 2007, Mr. Hartley was the recipient of the Amedisys Joffrion Award, which is presented each year to an individual who makes the most significant contribution to Amedisys, for his outstanding work with AMS2 and other software systems.

Ric Pritchard is the Senior Vice President of Corporate Growth Strategies for Amedisys. He joined Amedisys in 2002 as Senior Vice President of Business Development and was responsible for implementing initiatives that spurred internal growth during his four year tenure. In 2005, Ric left Amedisys to begin a consulting company, which was retained by Tender Loving Care for strategic growth endeavors. Upon the acquisition of TLC in April 2008, Ric re-joined Amedisys as Vice President of Acquisition Integration. He has since been promoted to his current position as Senior Vice President of Corporate Growth Strategies and is responsible for enhanced internal growth, start-up acceleration and acquisition integration.

Thomas Fisher is the Senior Vice President of MIS. He has more than 25 years of experience in the information technology field. Prior to joining Amedisys, he served as Senior Vice President and Chief Information Officer for Precision Response Corporation (a Top 5 Global Contact Center Corporation). Mr. Fisher has consulted with companies such as Bellsouth, Monsanto, GeorgiaPacific, Pfizer, Bank of America, Coca-Cola Company, Ryder Logistics, Turner Broadcasting and CNNfn. In June 2003, he was named as one of "The 25 Most Influential Executives in the Consumer Goods Industry" by Consumer Goods Technology magazine. He has completed the Senior Executive Program at Columbia University Graduate School of Business. Mr. Fisher is a member of the American Bar Association, Section of Business Law; a senior member of the Institute of Electrical and Electronic Engineers; and a member of the Microsoft Executive Circle.

Edna Fannin is the Vice President of Operations for the Hospice Division of Amedisys. She joined Amedisys in 2005 in the role of Hospice Regional Administrator and was appointed Vice President of Operations in late 2005. Fannin has over 18 years of experience in health care management including hospice, home care, long-term care, and rehab. She has more than 13 years of experience in hospice with extensive background in start-ups, business development, and senior operations management. Ms. Fannin served on the Louisiana State Board of Practical Nurse Examiners for six years and on numerous task forces for the National Council of State Boards of Nursing.

Judy T. Postle is the Vice President of Arete Medical Services, LLC, a division of Amedisys. Ms. Postle joined Amedisys in 2005 to develop a new division for the Company providing management's collaborative medical housecall program in conjunction with Amedisys' home health agencies throughout the Southeast. Ms. Postle is currently operating a collaborative medical housecall practice in North Carolina and Tennessee. Prior to joining Amedisys, Ms. Postle was Vice President of Operations for CareLink Physician Housecalls Inc., where she developed and operated the company's collaborative medical housecall practices in Nashville, TN and Dallas, TX. Ms. Postle holds a Bachelor of Science degree in Health Care Administration from St. Joseph College in Windham, ME. Patti Waller is one of two Senior Vice Presidents of Operations over several states throughout Amedisys' 19 state coverage area. She joined Amedisys in 1998 in the role of New Business Development for the state of Georgia and was appointed Senior Vice President of Operations in 1999. Waller has over 22 years of home care operations experience with Amedisys, Central Home Health Care and Healthfield Inc. She holds Nursing degrees from Crawford Long/Emory School of Nursing as well as Brenau University in Gainesville, GA. Ms. Waller also serves as Secretary on the Board of Directors for the Georgia Association of Home Health.

Henry Murphy III is the father of two children, ages 9 and 11, and the proud coach of his son's soccer team. He has spent the last 12 years developing employee benefits programs for companies such as Allstate Insurance, United Airlines, and the Rehabilitation Institute of Chicago, and is currently a strategic sourcing manager for Amedisys, one of the nation's leading home health care services corporations. "As a working parent and human resources professional, I know all too well how hard achieving work/life balance can be. But, I'm committed to finding solutions so that no parent ever has to choose between career and family". Henry lives with his wife and children in Evanston.

Scott Ginn is the Senior Vice President and Controller. He brings more than 15 years of public accounting experience to the position. Prior to joining Amedisys, Mr. Ginn served as an Audit Director for the Baton Rouge office of Postlethwaite & Netterville, a Louisiana-based accounting and business advisory firm. He joined Postlethwaite & Netterville in 1991 after working for Ernst & Young in Baton Rouge, and he was admitted as a Director there in 2002. Most recently, Mr. Ginn was the lead Director in the firm's automotive dealership and employee benefit plan accounting and audit practice. Mr. Ginn received his Bachelor of Science in accounting from Louisiana State University. In addition, he is a member of the American Institute of Certified Public Accountants as well as the Louisiana Association of Certified Public Accountants.

Jake L. Netterville . Mr. Netterville was the Managing Partner of Postlethwaite & Netterville, a professional accounting corporation, from 1977 to 1998 and has since been Chairman of its Board of Directors. Mr. Netterville is a certified public accountant, has served as Chairman of the Board of Directors of the American Institute of Certified Public Accountants, Inc. ( AICPA ) and is a permanent member of the AICPA s Governing Council. Mr. Netterville was appointed Chairman of the Audit Committee of our Board of Directors in February 2003.

Donald A. Washburn has served as a trustee of the Company since 1998. Mr. Washburn is also a member of the Company’s Audit Committee and the Nominating and Governance Committee and the Chairman of the Compensation Committee. Mr. Washburn is a private investor. Mr. Washburn is a retired Executive Vice President of Northwest Airlines, Inc. (“Northwest”) and Chairman and President-Northwest Cargo, Inc. Mr. Washburn joined Northwest in 1990 and served in a number of capacities, including Executive Vice President-Customer Service and Operations. Prior to joining Northwest, Mr. Washburn was a corporate Senior Vice President of Marriott Corporation, most recently Executive Vice President and general manager of its Courtyard Hotel division. Mr. Washburn is a director of Princess House, Inc., Key Technology, Inc. and Laga, Inc. Mr. Washburn serves as a private equity fund advisory board member of Spell Capital Fund II. Mr. Washburn graduated from Loyola University of Chicago, Kellogg Graduate School of Management at Northwestern University and the Northwestern University School of Law.
