Richard Hallworth joined ASG/PHS in March of 2006. He has developed a strategic orientation to managing operations of a complex industry in a challenging environment. He couples industry vision with a track record of planning and executing actions necessary to take advantage of anticipated market direction. In the past he has developed and implemented unique clinical, technological and consumer-based programs, improving offerings and services while holding or reducing costs. Mr. Hallworth has expertise in building strategic partnerships to drive cutting-edge initiatives and is a successful team builder with a reputation for honesty and integrity and is known for his approachability. A Certified Public Accountant with a broad range of experience in leading companies through major transformation, his solid finance background and strong record of budgetary management has been shaped by early experience working in public accounting.

Lawrence Pomeroy has served as Senior Vice President and Chief Development Officer since February 2003 and as Senior Vice President of Marketing of Prison Health Services since April 1998. He is responsible for the implementation of national marketing and sales strategies, business development, including client services, proposal development, pricing and budget preparations. Mr. Pomeroy joined ASG in 1998, bringing with him 22 years of executive level experience in the healthcare field with emphasis in hospital administration, behavioral health and managed care. He held several positions with HCA Healthcare Corporation over 16 years, including Hospital Administrator, National Director of Managed Care and National Product Director for Behavioral Health. Mr. Pomeroy earned a Masters of Business and Hospital Administration from Cornell University in Ithaca, New York.

Rodney D. Holliman has multi-facility responsibility for PHS sites and regions. Mr. Holliman has a 20-year history of increasingly responsible management experience in operations, strategic planning, marketing, financial management, program development and training, and construction management. In his prior position, Mr. Holliman was a Director of Management Services at HCA, the Healthcare Company, where he provided management services consulting to HCA-affiliated hospitals and medical groups in addition to development and implementation of operational improvement systems. Prior to his HCA experience, Mr. Holliman served as the Vice President of the Services and Solutions Division and Operations at PhyCor, Inc., where he provided operational review and re-engineering services and solutions. As Vice President of Operations, he was responsible for multiple PhyCor-affiliated clinics ranging in size from 32-115 providers. Mr. Holliman holds a Masters of Science in Health Administration from the University of Colorado and is a member of the Medical Group Management Association and the HealthCare Financial Management Association.

Scott King is charged with oversight of the Company’s Legal Department, including contracting functions, litigation management and general operational issues. Mr. King has over 15 years of legal experience with a practice focused on health care and transactional law. He joined the Company in 2005. Prior to joining the Company, Mr. King held several senior legal positions with Dialysis Clinic, Inc. over a 6 year period, including Chief Compliance Officer and Associate General Counsel. He received his law degree from the University of Memphis, and a B.A. in Economics and International Studies from Rhodes College in Memphis, Tennessee.

Mr. Walker previously served as Vice President of Business Development of PHS from November 2004 until November 2007. From November 2007 to March 2009 Mr. Walker served as Vice President of State Systems Development for Aramark, where he was the head of sales for new business in state department of corrections, federal and private contractors.

Scott Hoffman has served as Chief Compliance Officer since August 2007 and as Senior Vice President and Chief Administrative Officer since July 1999. He served as Vice President of Human Resources and Administration from July 1998 to July 1999. He is responsible for the Company's human resource initiatives and various administrative functions. He joined America Service Group in 1998 and has more than 26 years of experience in healthcare human resources and management. Prior to joining ASG, Mr. Hoffman held various human resources positions at Hospital Corporation of America, Behavioral Healthcare Corporation and Equicor. He earned his Master of Science degree in Industrial Relations from West Virginia University in Morgantown, West Virginia.

Richard Wright is a Senior Partner with more than 35 years of health care management experience in a wide variety of organizations. He has operated health maintenance organizations, a leading physician practice management company, hospitals, (both domestic and international), insurance companies, a healthcare technology firm, a management consulting firm and a company delivering services in the field of correctional medicine. He is a unique resource for strategic planning, mergers and acquisitions, executive coaching and evaluation/resolution of operational challenges in physician organizations. Mr. Wright recently completed a rebuilding effort as part of the America Service Group (ASG) management team serving as the Vice Chairman of ASG and President and Chief Executive Officer of Prison Health Services. ASG is the leading provider of managed care services to the correctional healthcare market and he remains on the Board of Directors. Prior to joining ASG, Mr. Wright was Chairman, President and Chief Executive Officer of Covation, LLC, a provider of software integration and data management services for healthcare payors until acquired by Perot Systems. Wright was a co-founder of PhyCor, Inc., where he served as Director and Executive Vice President of Operations over a ten-year period. PhyCor, the pioneering physician practice management firm grew to 55 clinics with 3,800 physicians in 28 states with $1.2 billion in revenue. PhyCor paved the way for many of today's health system and other health care firms working with organized physician practices. He also held senior management roles at HCA International and its group health venture, EquiCor, while living and working in Saudi Arabia, Pakistan, England, Brazil and Nashville. Mr. Wright holds a Masters of Health Administration from Georgia State University and a Bachelor of Science degree from Michigan State University. He was honored with the GSU Institute of Health Administration Professional Achievement Award in 2006.

Assistant Vice Chancellor - Risk and Insurance Management and University Counsel in the office of General Counsel for Vanderbilt University since January 2007; Assistant Vice Chancellor - Risk and Insurance Management for Vanderbilt University since August 2004; Executive Director of Risk and Insurance Management for Vanderbilt University from March 1996 to August 2004. Mr. McCauley served as a member of the Board of Directors of American Retirement Corporation, from 2003 to 2006.

Managing Partner of BridgeLink LLC, a Swiss-based capital advising firm, since October 2003; President of Fenimore and Associates, a management and consulting company, from January 2000 to October 2003; Mr. Fenimore also serves on the Board of Directors of Wausau Financial Systems and UTIX Corporation.

Practicing Physician, since 1966; Private Practice of Psychiatry, Dallas, Texas, since 1966; Clinical Professor of Psychiatry at Southwestern Medical Center since 1997; Chairman, Holocaust Studies Advisory Committee at the University of Texas at Dallas, since 1993; Fellow of the American College of Psychiatrists.

Managing Director and Founder of Hale Advisory Groups LLC, a consulting and advisory group specializing in mergers and acquisition of healthcare and technology companies; President and Chief Executive Officer of Beech Street Corporation, one of the nation's largest Preferred Provider Organizations, from June 1998 to June 2006. Mr. Hale served on the Board of Directors of America's Health Insurance Plans and the Executive Committee of the Board of Directors for the American Association of Provider Organizations, from 1999 to 2006.
