CERTAIN BUSINESS DEVELOPMENTS DURING 2002, 2003 AND 2004 Between December 2001 and December 2002, the Company sold an aggregate of $235,000 of its 10% Cumulative Convertible Participating Preferred Stock to one of its directors and two non-affiliated accredited investors. During 2004, the Company secured financing in the form of notes payable from related parties in the amount of $320,000. BUSINESS - CAPITAL FINANCIAL CORP. The Company, through Capital, is primarily engaged in mortgage banking activities which involves the origination and sale of residential first mortgage loans collateralized by one to four family homes.
