Keith A. Jensen was named Chief Financial Officer of American Financial Group in 2005. He has been a Senior Vice President of American Financial Group since February 1999. He also serves as Executive Vice President of the Great American Property and Casualty Insurance Group and is a member of Great American’s Board of Directors. Before working for AFG, Mr. Jensen was a Partner with Deloitte & Touche LLP, an independent accounting, tax, and consulting firm. He is a licensed Certified Public Accountant in California, New York, Ohio, and Kentucky, and is a member of the AICPA.

Thomas E. Mischell is Senior Vice President – Taxes of American Financial Group. He has served as a Vice President of the Company for over ten years. He began his tax accounting career with Ernst & Ernst in Cincinnati (now Ernst & Young) and spent several years there prior to joining AFG in 1972. He is a Certified Public Accountant.

Mr. Kennedy has been the vice president, deputy general counsel and secretary of American Financial Group, Inc., parent of our largest shareholder, since 1998. Mr. Kennedy joined American Financial Group, Inc. in 1976, was named secretary in 1984, deputy general counsel in 1988 and vice president in 1998. Mr. Kennedy is the Chair of the Nominating/Governance Committee.

Jeff founded the American Financial Group in 1984, his 20th year in the financial services industry. He has been the architect of special insurance and investment products blending the disciplines of asset management and insurance to take advantage of the tax benefits of the latter and the asset growth of the former. Jeff works closely with other professional advisors in structuring wealth transfer plans and is a nationally known financial professional specializing in the design of funding vehicles. An honors graduate of the Wharton School of Pennsylvania in Finance and Economics, Jeff is a well-known lecturer in professional circles and also provides continuing education to Certified Public Accountants.

Jim joined American Financial Group in 1996, and has six years experience in the financial services industry. He is a licensed registered representative with Walnut Street Securities, Inc. Jim concentrates his practice on the design, installation and servicing of 401(k)'s, qualified and non qualified retirement plans. He is active in presenting financial education seminars to his corporate clients' employees. Additionally, Jim provides group medical benefits to small and midsized corporations. Jim is a graduate of Villanova University with a degree in Business Administration.

Stephanie joined American Financial Group, Ltd in 1997, after working for a number of years in the telecommunications industry. She served as Business Development Manager for Alcatel Telecom's mobile communications division. Before that, she was an International Trade Specialist in the U.S. Department of Commerce, assisting U.S. companies to develop international business in international wireless telecommunications markets. Stephanie holds an M.A. from the Johns Hopkins School of Advanced International Studies and a B.A. from Duke University. She is Series 7 licensed and is currently studying for her ChFC.

Theodore H. Emmerich has been a member of AFG’s Board of Directors since 1988. He is Chairman of the Audit Committee. Prior to his retirement in 1986, he was managing partner of the Cincinnati office of the independent accounting firm, Ernst & Whinney. Mr. Emmerich is a Certified Public Accountant and is a member of several professional societies including the Ohio Society of CPA’s and the American Institute of CPA’s. He currently serves on several other organizations’ Boards and over the years has served as a volunteer director on a number of charitable organizations.

William R. Martin has been a member of AFG's Board of Directors since 1994. He is Chairman of the Compensation Committee and a member of the Audit Committee. He is also a director of Great American Financial Resources. From 1993 until his retirement in 2003, Mr. Martin had been Chairman of the Board of a computer software and services company, MB Computing, Inc. Prior to that time, he served as Chairman, President and Chief Executive Officer of the same company.

Mr. Von Lehman was elected to AFG’s Board of Directors on August 27, 2008. He is a member of the Audit Committee. Mr. Von Lehman began his career as a Certified Public Accountant with Haskins & Sells, a predecessor of Deloitte. He served The Midland Company, an Ohio-based provider of specialty insurance products and services (“Midland”), in various capacities, including as Chief Financial Officer from 1988 to 2006, as Executive Vice President from 1996 to 2007 and as Secretary from 1998 to 2007. Mr. Von Lehman also served as a director of Midland from 1991 to 2007.

Terry S. Jacobs has served on our board of directors since April 2002. Mr. Jacobs has served as President and CEO of JFP Group, LLC, a real estate management and development company since September 2005. From its founding in September 1996 until September 2005, Mr. Jacobs served as Chairman of the Board and Chief Executive Officer of Regent Communications, Inc. (II). Regent Communications owns and operates 75 radio stations in 15 markets. Mr. Jacobs currently serves as Vice Chairman of the board of directors of Regent Communications, Inc. and as Mr. Jacobs is a member of the board of directors of American Financial Group, Inc. and Global Entertainment Corp., both of which are public companies. He holds a BBA and Masters of Actuarial Science from Georgia State University.

William Shutzer is a Senior Managing Director of the firm’s corporate advisory business. Prior to joining the firm, Mr. Shutzer was a Managing Director of Lehman Brothers, where he did both advisory work and was a principal in Lehman’s Merchant Banking Group from 2000-2003. From 1994-2000, he was at Furman Selz and ING Baring Furman Selz where he was President and Executive Vice President. Before Furman Selz, Mr. Shutzer spent 22 years at Lehman Brothers, where he was a Managing Director, Head of Corporate Finance and a member of the Management Committee. Mr. Shutzer is a senior advisor to Hallmark Cards, Inc., Levi Strauss & Co., Tiffany & Co., TAMKO Building Products, and KB Homes and has represented all of the above companies in recent transactions. Mr. Shutzer also helped found Evercore Wealth Management LLC and is a member of its Board of Managers. Mr. Shutzer is a director of Test Equity, LLC., Tiffany & Co., and JupiterMedia Corp., and was a director of CSK Auto, E&J Gallo Winery, American Financial, RSI Holding Co. and Turbochef Technologies, Inc. He is a trustee of Prep for Prep and the Paul Taylor Dance Company. Mr. Shutzer is also a member of Harvard’s Graduate School Resource Committee. Mr. Shutzer received an M.B.A. from Harvard Business School and a B.A. from Harvard College, both in Cambridge, Massachusetts.

William W. Verity was elected to AFG's Board of Directors at the annual meeting of shareholders held on June 17, 2002. He is Chairman of the Governance Committee and is a member of the Compensation Committee. From 1994 until March 2002, he served as an independent director of Chiquita Brands International. Inc. Will has been President of Verity & Verity, LLC, an investment management company, since January 2002. Prior to that time, he had been a partner with Pathway Guidance LLC, an executive consulting firm, since October 2000. Previously, he served as Chairman and Chief Executive Officer of ENCOR Holdings, Inc., a developer and manufacturer of plastic molded components.
