Gene Henneberry is President & CEO of AIG Rail Services, a division of AIG Financial Services. Prior to joining AIG, Gene spent 10 years with GE Rail Services, his last position being Executive Vice President of Operations and Six Sigma Quality, responsible for the overall supply base, acquisition of new equipment, GE owned repair shops and all operations related activities of the business. Before joining GE in 1997, Gene spent 14 years with McDonnell Aerospace in St. Louis where he led various manufacturing and quality positions including Group Manager of Supplier Quality Assurance for Major Subcontractors, Electro/Hydra/Mechanical & Detail Part Suppliers, Superintendent of the In Service Aircraft Support Center and Senior Engineer of Nondestructive Testing. Gene holds a MBA from Maryville University and a Bachelor of Science in Finance from Webster University with a Minor in Material Science & Nondestructive Testing. Gene is a member of the American Society for Quality as a Certified Quality Manager, member of the American Society of Nondestructive Testing & MDC NDT Level III, Registered ISO 9000 Lead Assessor, and Co-author of AS9000, the Aerospace ISO 9000 requirement.

Mr. Thompson is the Head of Alternative Investments. This business includes private equity, hedge fund, leveraged finance and capital recovery teams that make direct investments and loans, distressed asset purchases, and fund commitments to leading asset managers globally. Prior to joining AIG Investments in 2005, Mr. Thompson spent 25 years in private equity, leveraged finance and strategic consulting. He was a Co-Founder and Managing Member of Ferrer Freeman Thompson & Co., LLC (FFT), a private equity firm. Prior to FFT, Mr. Thompson was Managing Director and Equity Group Leader at GE Capital where he founded, organized and developed GE Capital’s private equity activities throughout the United States, Europe, Asia and Latin America. Previous experience includes five years each at Chemical Bank and Bain & Co. He currently serves on all investment committees for AIG Investments’ alternative investments activities. Mr. Thompson received an AB in Economics from Harvard College and an MBA from Stanford University.

Mr. Guterman is responsible for AIG Investments' global business development effort, which includes sales, marketing, client relations and RFPs. He is also a Vice President of AIG, Inc. Mr. Guterman joined AIG Investments through the acquisition of American General Investment Management (AGIM) in 2001. At AGIM, Mr. Guterman held a similar position as Executive Vice President and Head of Institutional Asset Management. Prior to joining AGIM in 1998, he was a Managing Director and Head of U.S. Fixed Income Portfolio Management with Salomon Brothers Asset Management. Mr. Guterman joined Salomon in 1983 as a research analyst where he pioneered the development of many of the firm's proprietary quantitative models used for analyzing mortgage-backed securities (MBS) including prepayment, option-adjusted spread (OAS) and asset/liability models. Mr. Guterman began his financial career in 1980 with Chase Manhattan Bank. He began his professional career as a Principal Investigator at Brookhaven National Laboratory. Mr. Guterman earned a BS in applied mathematics from the State University of New York at Stony Brook and an MBA in quantitative analysis from Long Island University.

Mr. Leemann joined AIG Investments in 1997 and is now a Senior Managing Director and Head Global Wealth Management. Mr. Leemann joined AIG Investments as Chief Executive Officer of AIG Private Bank Ltd in Zurich. He previously worked at Goldman, Sachs & Co Bank as Member of the Management Committee and Head of Private Banking. Prior to that, Mr. Leemann was Deputy to the Head of Private Banking worldwide at Bank Julius Baer with direct responsibilities for the Western Hemisphere, Switzerland as well as the overall marketing effort in Private Banking. Prior to that, he was responsible for building the private banking business of Bank Julius Baer in their New York branch. Eduardo Leemann is a graduate of the Swiss School of Economics and Business Administration (SEBA) and the Advanced Executive Program of the J.L. Kellogg Graduate School of Management at Northwestern University in Chicago, USA.

Chairman of the Board of Campbell Soup Company. Mr. Golub was Chairman and Chief Executive Officer of American Express from 1993 to 2000. Mr. Golub joined American Express in 1984 as President and Chief Executive Officer of IDS Financial Services. Prior to joining American Express, Mr. Golub was senior partner with McKinsey & Co. Elected director in 1996.

Dennis D. Dammerman, 62. Chairman and Director since 2007. Mr. Dammerman retired in 2005 as vice chairman of the board and executive officer of General Electric Company and director, chairman and chief executive officer of GE Capital Services, after a nearly 40-year career with GE. He is chairman of the board of directors of Capmark Financial Group Inc. and a director of BlackRock, Inc.

Mr. Miles is president and Chief Executive Officer of WQED Multimedia, the public broadcaster in southwestern Pennsylvania, and became a director on the board of HFF, Inc. and Chairman of the Audit Committee in January 2007. He joined WQED in 1994 after serving ten years as Executive Vice President and Chief Operating Officer of WNET/Thirteen in New York. Prior to that he held executive positions at KDKA, Pittsburgh; WPCQ, Charlotte; the Westinghouse Television Group; and WBZ-TV, Boston. Earlier in Mr. Miles’ career he was a contract auditor at the U.S. Department of Defense and a manager at Touche Ross & Co. He earned his BA degree from Seton Hall University and his MBA from Fairleigh Dickinson University. He serves on the Board of Directors of American International Group, Inc. (AIG)— Audit Committee; WESCO International, Inc.; Equitable Resources, Inc.; Harley Davidson, Inc.; the University of Pittsburgh and the UPMC Health System. He is the former Chairman of the Association for America’s Public Television Stations and the Urban League of Pittsburgh, Inc.

He was a Director of Historic TW from 1997 until the AOL-Historic TW Merger in January 2001, and has been a Director of the Company since that date. • Other Directorships: Mr. Bollenbach serves as Chairman of the Board of KB Home, and as Director of Harrah’s Entertainment, Inc. and Macy’s, Inc.

Ginni Rometty is the senior vice president, IBM Global Sales and Distribution, responsible for revenue, profit and client satisfaction in the 170 global markets in which IBM does business. In this role, Ms. Rometty leads IBM’s sales force on a worldwide basis, including ibm.com which handles sales of all IBM products and services. Prior to this, Ms. Rometty was the senior vice president, IBM Global Business Services, which encompasses IBM’s consulting, systems integration and applications businesses, with 2008 revenues of $19.6B and a workforce of more than 100,000 professionals worldwide. During her tenure, Ms. Rometty led the integration of PricewaterhouseCoopers Consulting – the largest acquisition in professional services history -- creating the industry's largest team of business consultants and services experts to help clients apply information technology to optimize business performance. Other roles in IBM’s Services business included, general manager of IBM Global Services, Americas, where she led a team of more than 75,000 and was responsible for strategic leadership, operations and client relationships. Ms. Rometty has also served as the general manager of strategy, marketing and sales operations for IBM Global Services worldwide. Before joining IBM services, Ms. Rometty was general manager of IBM's Global Insurance and Financial Services Sector, where she led IBM's business strategy for the worldwide insurance marketplace, with responsibility for marketing, sales and consulting. She also supervised the operations of IBM's Insurance Research Centers in Hawthorne, N.Y., Zurich, Switzerland and Yamato, Japan, and was in charge of IBM's insurance solutions development worldwide. Ms. Rometty reports to the IBM Chairman, and serves on his global Performance Team and IBM's Integration and Values Team. She is also a member of IBM's Operations team. She is a leader in diversity initiatives, including the Women in Technology Council and the Women's Leadership Council, and is one of the senior sponsors of the Women's Executive Council at IBM. She is a frequent speaker at industry and business conferences, the recipient of the Carl Sloane Award 2006, given by the Association of Management Consulting Firms, and was named to Fortune magazine's “50 Most Powerful Women in Business” in 2005, 2006, 2007, and 2008, and Forbes magazine’s 2008 listing of the “World’s 100 Most Powerful Women”. Ms. Rometty serves on the Board of Directors of APQC, a not-for-profit business research organization serving global companies. Before joining IBM, Ms. Rometty was with General Motors Corporation. She holds a Bachelor of Science degree with high honors in computer science and electrical engineering from Northwestern University.
