Joel D. Talcott is Vice President and Secretary of the Company, positions he has held since 1987. He has served as General Counsel since January 1996, a position he also held from 1987 to January 1994. He is also responsible for our patent licensing activities (having served as Patent Counsel from 1981 to 1987). Mr. Talcott also serves as Chairman of Ampex Data Systems Corporation, as Vice President, Secretary and a director of Ampex Data Systems Corporation, Ampex Data International Corporation, Ampex Finance Corporation and Ampex International Sales Corporation, as Vice President and Secretary of Ampex Holdings Corporation, and as Secretary of AFC Holdings Corporation, wholly-owned subsidiaries of the Company. Mr. Talcott currently serves as a director of Command Audio Corp., a licensor of intellectual property to consumer electronics, media and technology companies.

Lee Givens, Jr. Mr. Givens directs technical and delivery systems for Alley Films. He recently has managed the Webcast Engineering group at Loral Cyberstar in Rockville, MD, a leader in satellite data networks delivering IP-based data to 90 countries around the world. Within the streaming media industry, Mr. Givens has been Director of Technology of Executive Branch Television in Washington, DC, a subsidiary of iNEXTV/AMPEX Corporation since 1999. Mr. Givens' new media experience began at Bell Atlantic (now Verizon) Video Services Stargazer interactive television group Tele-TV. At Bell Atlantic Video Services and TELE-TV, Mr. Givens was the Enterprise Systems Manager responsible for technical support, database development, Intranet implementation, and training. He has also been the Chief Technical Officer and co-founder of SimplySavings.com, one of the first e-commerce shopping comparison engines on the Internet. From there, Mr. Givens worked with Apple Computer in the Educational Division before heading back to new media. Mr. Givens earned an BS degree in Information Systems Management from the University of Maryland and is currently pursuing a dual MS/MBA degree in Technical Systems Management and Masters of Business Administration at the University of Maryland.

Ric founded BDS in 1991 to meet the production, post production, and transmission system needs of South Texas broadcasters and production facilities. The goal was simple: provide the highest quality equipment with the best possible service. Ric started BDS after working with Ampex as Southwest Regional Account Manager. Ric's experience in the marketing and design of facilities include such milestones as the first high speed half inch camcorder, the first component analog post production facility, the first non-linear editing facility, and the first fully digital post production facility in the South Texas region.
