Christopher A. Holden joined AmSurg in October 2007 as President, Chief Executive Officer and Director. Mr. Holden is a healthcare industry veteran of more than 21 years, engaged during most of his career directly in multi-facility and multi-market healthcare management. Prior to joining AmSurg, Mr. Holden served as Senior Vice President and a Division President of Triad Hospitals, Inc., of which Mr. Holden was a founding team member and officer in May 1999. From August 1994 until May 1999, Mr. Holden held several officer positions with Columbia/HCA Healthcare Corporation.

Claire M. Gulmi joined AmSurg in September 1994 as Vice President and Chief Financial Officer. Ms. Gulmi became Senior Vice President in March 1997, Secretary in December 1997, Director in May 2004 and Executive Vice President in February 2006.

David L. Manning has served as Senior Vice President of Development and Assistant Secretary of AmSurg since April 1992. Mr. Manning became Executive Vice President and Chief Development Officer in February 2006. Mr. Manning is a founding shareholder of AmSurg. Mr. Manning co-founded and was a principal of Practice Development Associates, Inc., a company specializing in developing single specialty surgery centers, from March 1987 until it was acquired by AmSurg in 1992

Phillip A. Clendenin joined AmSurg in March 2009 as Senior Vice President, Corporate Services. Mr. Clendenin has served in various positions in health care for more than two decades. Prior to joining AmSurg, he held management positions with Community Health Systems, Triad Hospitals, HCA and National Medical Enterprises. Clendenin received his B.S. in business administration from the University of Tennessee at Martin, and holds a master's degree in health administration from Washington University School of Medicine.

Royce D. Harrell joined AmSurg in October 1992 as Senior Vice President of Operations. In August 2000, Mr. Harrell became Senior Vice President of Corporate Services. Mr. Harrell served, in successive order from 1982 to 1992, as a Vice President of Development, Senior Vice President of Development, and Senior Vice President, Operations of Forum Group, Inc., an owner and operator of healthcare properties.

Billie A. Payne joined AmSurg in 1995 as a Director of Operations. She came to the company after managing a large cardiology practice for more than a decade. Since joining the company, she has served in several functions in Operations including Vice President of one of the company's major divisions. She was named Senior Vice President of Operations in 2007.

Frank J. Coll joined AmSurg in February 2005 as Senior Vice President, Operations. Since November 2001, Mr. Coll served as President and Principal of The Bottom Line Solution, a private management consulting company. From November 1999 to October 2001, he served as Senior Vice President, Operations for WebMD/Envoy Corporation, which primarily provides electronic transaction processing services to the healthcare industry.

Frank J. Coll joined AmSurg in February 2005 as Senior Vice President, Operations. Since November 2001, Mr. Coll served as President and Principal of The Bottom Line Solution, a private management consulting company. From November 1999 to October 2001, he served as Senior Vice President, Operations for WebMD/Envoy Corporation, which primarily provides electronic transaction processing services to the healthcare industry.

Ms. Guthrie is the Founder and CEO of Capitol Health, a venture capital firm specializing in early stage health services investing. Ms. Guthrie has had a highly focused 29-year career in private and public investing and financing of health care companies. She has 19 years of experience as a venture capitalist and spent 10 earlier years as an investment banker, all in the health care industry. Since 1996, Ms. Guthrie has served as a Director of AmSurg [NASDAQ: AMSG], the leading publicly traded outpatient surgery center company. She also serves on AmSurg's Audit and Compensation Committees. From 1991 until the formation of Capitol Health's first fund in 1995, Ms. Guthrie was the President of Capitol Health Consultants, Inc., a venture advisory company which she founded. From 1988 until 1990, Ms. Guthrie was a Special Limited Partner and Director of Health Care Investments at Nazem and Company, a New York City venture capital company, where she was responsible for sourcing Genesis Health Ventures, Inc. and Oxford Health Plans, Inc. at the early stages of their substantial growth. From 1978 through 1988, Ms. Guthrie held senior positions in health care investment banking at E.F. Hutton & Company; L.F. Rothschild, Unterberg & Towbin; and J.C. Bradford & Co., all major investment banking firms providing the full range of banking services to emerging growth companies. From 1998 until 2006, Ms. Guthrie served as a Director of the U.S. Chamber of Commerce's Center for International Private Enterprise, which promotes entrepreneurship in developing countries worldwide. She is a former trustee of the Association of Episcopal Colleges. She also served as a Director and Vice Chairman of the National Association of Small Business Investment Companies ("NASBIC"). Ms. Guthrie currently serves on the Board of Visitors of the Owen School of Management at Vanderbilt University. She also serves on the Boards of Directors of WIN Healthcare and OrthoNet, two market leading health care services companies in Capitol Health's portfolio. Ms. Guthrie also participated as a World Thinker in the 2007 United Arab Emirates Festival of Thinkers. Ms. Guthrie earned her B.A. in Economics from the University of the South (Sewanee) in 1977. In 1979, she received her M.B.A. from the Vanderbilt University Owen Graduate School of Management. Ms. Guthrie is a Certified Public Accountant, a Chartered Financial Analyst, and is a member of the New York Society of Security Analysts.

Mr. Herr served as Executive Vice President of Finance and Administration and Chief Financial Officer of Healthways, Inc. from February 1986 to October 2001 and has been serving as a director of Healthways since 1988. Mr. Herr is currently serving as a consultant to Healthways. Mr. Herr served as our Chief Financial Officer from April 1992 until September 1994 and as our Secretary from April 1992 until December 1997. From December 1997 to December 1999, Mr. Herr served as an advisor to us.

Mr. Lavender, 45, has served as Senior Vice President, Corporate Healthcare Lending of Fifth Third Bank since December 2005. Prior to assuming that position, Mr. Lavender served as the Commissioner of the Tennessee Department of Financial Institutions from January 2003 to December 2005. In addition to his role as Commissioner, he served as the chairman of the National Regulatory Committee for the Conference of State Bank Supervisors and was a member of the Board of Directors. Prior to being named Commissioner, Mr. Lavender was co-founder and served as Executive Vice President of Administration and Banking for MediSphere Health Partners, Inc. from May 1996 to October 2002.

Steven I. Geringer, a director of AmSurg since March 1997, has been a private investor since June 1996 when he retired as President and Chief Executive Officer of PCS Health Systems, Inc., a pharmacy benefits manager and unit of Eli Lilly & Company. Mr. Geringer became President of PCS in May 1993, when Clinical Pharmaceuticals, Inc., of which Mr. Geringer was a Founder, Chairman and Chief Executive Officer, merged with PCS. Prior to then, Mr. Geringer held senior management positions in the hospital management and managed care industry. Mr. Geringer also serves as a director of Providence Service Corporation (NASDAQ: PRSC), a provider and manager of government-sponsored community and home-based counseling and foster care; and as Chairman and a director of Qualifacts Systems, Inc., a provider of web-based management information software and services for health and human services payors, providers and managers.
