Our company was formed in 1992 for the purpose of developing, acquiring and operating ambulatory surgery centers, or ASCs, in partnership with physicians throughout the United States. An AmSurg surgery center is typically located adjacent to or in close proximity to the medical practices of our physician partners. Each of our surgery centers provides a narrow range of high volume, lower-risk surgical procedures and has been designed with a cost structure that enables us to charge fees which we believe are generally less than those charged by hospitals for similar services performed on an outpatient basis. As of December 31, 2008, we owned a majority interest in 189 surgery centers in 32 states and the District of Columbia and three centers under development. In addition, we acquired a majority interest in two surgery centers effective January 1, 2009.

Christopher A. Holden joined AmSurg in October 2007 as President, Chief Executive Officer and Director. Mr. Holden is a healthcare industry veteran of more than 21 years, engaged during most of his career directly in multi-facility and multi-market healthcare management. Prior to joining AmSurg, Mr. Holden served as Senior Vice President and a Division President of Triad Hospitals, Inc., of which Mr. Holden was a founding team member and officer in May 1999. Phillip A. Clendenin joined AmSurg in March 2009 as Senior Vice President, Corporate Services. Mr. Clendenin has served in various positions in health care for more than two decades. Ms. Guthrie is the Founder and CEO of Capitol Health, a venture capital firm specializing in early stage health services investing. Ms. Guthrie has had a highly focused 29-year career in private and public investing and financing of health care companies. She has 19 years of experience as a venture capitalist and spent 10 earlier years as an investment banker, all in the health care industry. Since 1996, Ms. Guthrie has served as a Director of AmSurg [NASDAQ: AMSG], the leading publicly traded outpatient surgery center company. She also serves on AmSurg's Audit and Compensation Committees. From 1991 until the formation of Capitol Health's first fund in 1995, Ms. Guthrie was the President of Capitol Health Consultants, Inc., a venture advisory company which she founded. From 1988 until 1990, Ms. Guthrie was a Special Limited Partner and Director of Health Care Investments at Nazem and Company, a New York City venture capital company, where she was responsible for sourcing Genesis Health Ventures, Inc. and Oxford Health Plans, Inc. at the early stages of their substantial growth. From 1978 through 1988, Ms. Guthrie held senior positions in health care investment banking at E.F. Hutton & Company; L.F. Rothschild, Unterberg & Towbin; and J.C. Bradford & Co., all major investment banking firms providing the full range of banking services to emerging growth companies. From 1998 until 2006, Ms. Guthrie served as a Director of the U.S. Chamber of Commerce's Center for International Private Enterprise, which promotes entrepreneurship in developing countries worldwide. Mr. Herr served as Executive Vice President of Finance and Administration and Chief Financial Officer of Healthways, Inc. from February 1986 to October 2001 and has been serving as a director of Healthways since 1988. Mr. Herr is currently serving as a consultant to Healthways. Mr. Lavender, 45, has served as Senior Vice President, Corporate Healthcare Lending of Fifth Third Bank since December 2005. Steven I. Geringer, a director of AmSurg since March 1997, has been a private investor since June 1996 when he retired as President and Chief Executive Officer of PCS Health Systems, Inc., a pharmacy benefits manager and unit of Eli Lilly & Company. Mr. Geringer became President of PCS in May 1993, when Clinical Pharmaceuticals, Inc., of which Mr. Geringer was a Founder, Chairman and Chief Executive Officer, merged with PCS. Prior to then, Mr. Geringer held senior management positions in the hospital management and managed care industry.
