Mr. Foletta has served as Senior Vice President, Finance and Chief Financial Officer at Amylin Pharmaceuticals Inc., a biopharmaceutical company, since March 2006. He had previously served as Vice President, Finance and Chief Financial Officer at Amylin since March 2000. He served as a Principal of Triton Group Management, Inc., a management consulting firm, from 1997 to 2000. Mr. Mihalik joined Amylin Pharmaceuticals in 2009 as Senior Vice President Sales and Marketing and Chief Commercial Officer. He has more than 20 years of commercial experience in the diabetes market, including marketing, sales and brand management. Prior to Amylin, he served as Vice President Global Brand Development and Endocrine Platform Team Leader at Eli Lilly & Company where he managed the second largest therapeutic area for the company and was responsible for product development to launch, lifecycle planning and commercialization. From 2001 to 2004, he served as Business Unit head Diabetes Care at Eli Lilly. Prior to Eli Lilly, he was the Senior Vice President and General Manager for Lab Systems and Molecular Biochemicals at F. Hoffman-La Roche. Ms. Lloyd, one of our executive officers, has served as our Senior Vice President, Government & Corporate Affairs and General Counsel since February 2007. Prior to joining us, Ms. Lloyd served as Group Senior Vice President, Chief Administrative Officer, General Counsel and Secretary of VHA Inc. from January 2005 to February 2007. Previously, she served as VHA’s General Counsel and Secretary from May 1999 to November 2004. From 1993 to April 1999, Ms. Lloyd was Vice President and Assistant General Counsel of Medtronic, Inc. and served as Medtronic’s Assistant General Counsel from 1991 to 1993. From 1978 to 1991, Ms. Lloyd held various legal positions with Medtronic. Prior to joining Medtronic, Ms. Lloyd served as counsel to Pillsbury Company and Montgomery Ward & Co. and she taught Business Law at the University of Minnesota Business School. Ms. Lloyd is immediate past Chairperson of the Executive Leadership Foundation and an associate of the Women Business Leaders of the United States Health Care Industry Foundation. Mr. Gergen has served as our Senior Vice President of Corporate Development since August 2006 having previously served as Vice President of Business Development since May 2005. Prior to joining us, Mr. Gergen was working as an independent consultant to biotech and medical technology companies focusing on strategy, financing and corporate development. From 2003 to 2005, Mr. Gergen was Executive Vice President at CardioNet, Inc. He held various positions at Advanced Tissue Sciences, Inc. from 2000 to 2003 most recently as Chief Restructuring Officer and Acting CEO having previously served as Senior Vice President, Chief Financial and Development Officer and Vice President, Corporate Development, General Counsel and Secretary. From 1999 to 2000, Mr. Gergen was at Premier, Inc. and from 1994 to 1999 he held various positions with Medtronic, Inc. He held positions at Jostens, Inc. in corporate development and legal from 1990 to 1994. From 1986 to 1990 he held positions with several private law firms. Mr. Gergen serves on the Board of Directors of Aperio Technologies, Inc. a private venture-backed company. Mr. Gergen received his B.A. in Business Administration from Minot State University and his J.D. from the University of Minnesota Law School.
Dr. Kolterman, one of our executive officers, has served as Senior Vice President, Research and Development since May 2008, having previously served as Senior Vice President, Development since March 2008, Senior Vice President, Clinical Affairs since February 1997 and as Senior Vice President, Regulatory Affairs since August 2005. Dr. Kolterman previously served as Vice President, Medical Affairs from July 1993 to February 1997 and Director, Medical Affairs from May 1992 to July 1993. From 1983 to May 1992, he was Program Director of the General Clinical Research Center and Medical Director of the Diabetes Center, at the University of California, San Diego Medical Center. Since 1989, he has been Adjunct Professor of Medicine at UCSD. From 1978 to 1983, he was Assistant Professor of Medicine in the Endocrinology and Metabolism Division at the University of Colorado School of Medicine, Denver. He was a member of the Diabetes Control and Complications Trial Study Group and presently serves as a member of the Epidemiology of Diabetes Intervention and Complications Study. Dr. Kolterman also serves as a board member for Glysens, Inc., Novocell, and the ADA Research Foundation and is a past-president of the California Affiliate of the American Diabetes Association. Dr. Kolterman earned his M.D. from Stanford University School of Medicine.

Mr. Marshall has served as our Senior Vice President, Operations since December 2006. Prior to joining Amylin, Mr. Marshall was Vice President of Corporate Manufacturing at Amgen Inc. From 2002 to 2005, Mr. Marshall served as Vice President of Manufacturing for Recombinant Proteins at the Bioscience Division of Baxter International, where he was responsible for five facilities with a VOS of over $1.3 Billion. From 1999 to 2002, he was Site Head of the Baxter International Thousand Oaks facility, where he supported increased sales through expansion of the facility into a Quad-Suite and Formulation, Fill and Finishing operation. He joined Creative BioMolecules in 1992, first as Head of Process Development and Clinical Manufacturing and then as Head of Operations, where he managed two manufacturing sites responsible for the production and commercial supply of the OP-1 implant device. From 1988 to 1992, Mr. Marshall held various Management positions with Welgen Manufacturing Partnership (now Amgen, Rhode Island), Repligen Corporation, and Damon Biotech. He serves as a board member for Medicago, Inc., and is a member of ISPE and ASCB. Mr. Marshall received his M.S. and B.S. in Biology from the University of Massachusetts at Dartmouth, and performed three years of post-graduate work at Brown University in hematology and coagulation research.

From 1999 through 2000, he served as Vice President, Human Resources for Guidant’s Vascular Intervention group, and served as Guidant’s first Corporate Controller and Chief Accounting Officer from 1994 to 1999. He joined Eli Lilly and Company’s Medical Devices and Diagnostics division in 1988. In 1992, he became Financial Manager of Lilly’s pharmaceutical manufacturing operations in Indianapolis. From 1980 to 1986, he was with the audit staff of Touche Ross & Co. (currently Deloitte). He is a Certified Public Accountant, and a graduate of LaSalle University in Philadelphia. He also received a M.B.A. from the Ross School of Business at the University of Michigan.

Powell is Associate Director Corporate Development at Amylin Pharmaceuticals, a San Diego based biotech dedicated to improving lives through the discovery, development and commercialization of innovative medicines for the treatment of diabetes, obesity and cardiovascular disease. She is responsible for pursuing licensing opportunities, assessing the economic rationale and structuring deal terms for such collaborations. She is also responsible for the financial evaluation of various internal programs. She began her career in the pharmaceutical industry at Bristol-Myers Squibb where she held a number of successive positions focusing on financial analysis and opportunity assessment. Prior to joining Amylin, she was Senior Manager Alliances and Product Evaluation at Aventis where she was responsible for financial assessment of licensing opportunities, including valuation, deal term structuring and negotiations. Ms. Powell holds both a B.B.A. and a M.B.A. from the College of William and Mary in Williamsburg, Virginia.

Mr. Adams joined Sepracor in March 2007 as President and Chief Operating Officer and, in May 2007, became President and Chief Executive Officer of the company. Most recently, Mr. Adams was with Kos Pharmaceuticals, Inc., where he served as President and Chief Operating Officer from April 2001, prior to becoming President and Chief Executive Officer in January 2002. In December 2006, Mr. Adams was instrumental in the sale of Kos to Abbott Laboratories. Having spent the majority of his career in the pharmaceutical industry, Mr. Adams has extensive senior and general management experience with a broad background encompassing research and development, sales, marketing, international and national product management and business development. Mr. Adams served as President and Chief Executive Officer of Novartis-UK from 1999 until his tenure began at Kos. For the previous seven years, Mr. Adams was with SmithKline Beecham Pharmaceuticals, last serving as President and CEO of the company's Canadian subsidiaries. Previous assignments at SmithKline Beecham included Vice President and Director of Worldwide Marketing in the U.S., and Director and Vice President of Sales and Marketing in the United Kingdom.
Mr. Adams began his career at ICI Pharmaceuticals, where he rose from research laboratory assistant to Director of Sales and Marketing. During his career, he has worked in most countries of the world and has experience in most primary care, specialist and biological therapeutic areas. In addition, he has been instrumental in a number of major global and national product launches including Paxil®, Famvir®, Coreg®, Diovan®, Tenormin® and Zestril®. He is a graduate of Manchester University in the United Kingdom with a Bachelor of Science degree.

In late January 2009, Dr. Denner was interviewed by Messrs. LeBuhn, Micati and Salisbury, and Professor Mulligan was interviewed by Drs. Ando and Geltosky and, at their invitation, Dr. Ivan Horak, the Company s Executive Vice President, Research and Development and Chief Scientific Officer. At a meeting of the Governance and Nominating Committee held on January 28, 2009, the Committee determined to recommend to the Board the nominations of Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At a meeting of the Board held later that day, the Board determined to accept the recommendation of the Governance and Nominating Committee and nominated Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At the request of the Icahn Group, the Board committed to the Icahn Group that if, for any reason, the Board subsequently determined not to nominate both Dr. Denner and Professor Mulligan, or to nominate any persons in addition to Dr. Denner and Professor Mulligan, for election as Class I Directors at the Annual Meeting, the Company would give the Icahn Group prompt written notice thereof and the Company would take all necessary action to permit the Icahn Group to nominate persons named in a notice of nomination for election to the Board which the Icahn Group would deliver to the Company on or before the close of business on the tenth day following the date on which the Icahn Group received such written notice from the Company.

James R. Gavin III, MD, Ph.D. is a clinical professor of medicine at Emory University School of Medicine. He is also executive vice president for clinical affairs at Healing Our Village, LLC. He serves as interim president and CEO for Microislet, Inc. of San Diego, CA, maintaining an office base in Atlanta, GA. From 2002 to 2004, Dr. Gavin was president of the Morehouse School of Medicine in Atlanta, GA. He served as senior scientific officer at the Howard Hughes Medical Institute (HHMI) from 1991 to 2002 and director of the HHMI-National Institutes of Health Research Scholars Program from 2000 to 2002. Before joining the senior staff of HHMI, Dr. Gavin was on the faculty at the University of Oklahoma Health Sciences Center as a professor and as chief of the Diabetes Section, acting chief of the Section on Endocrinology, Metabolism and Hypertension, and William K. Warren Professor for Diabetes Studies. He previously served as an associate professor of medicine at Washington University School of Medicine in St. Louis. He was a lieutenant commander in the US Public Health Service from 1971 to 1973 and continues to serve as a reserve officer. Dr. Gavin belongs to a number of organizations, including the Institute of Medicine of the National Academy of Sciences, the American Diabetes Association, the American Society of Clinical Investigation, the American Association of Physicians, the Alpha Omega Alpha Medical Honor Society, the Association of Black Cardiologists, and the Sigma Pi Phi Leadership Fraternity. He is a past president of the American Diabetes Association and was voted Clinician of the Year in Diabetes by ADA in 1991. He has served on many advisory boards and on the editorial boards of the American Journal of Physiology and the American Journal of Medical Sciences. He is on the board of trustees for Duke University, Emory University, Livingstone College and the Robert Wood Johnson Foundation. In addition, he is national program director of the Harold Amos Faculty Development Program of the Robert Wood Johnson Foundation. Dr. Gavin is immediate past chairman of the National Diabetes Education Program and a member of the Board of Scientific Councilors for the Intramural Research Program of NIDDK. He also serves as chairman of the Data Safety Monitoring Board for the VA Cooperative Diabetes Study. Dr. Gavin has published more than 190 articles and abstracts in such publications as Science, the Journal of Applied Physiology, Diabetes, and the American Journal of Physiology. He is author of two books, Healing Our Village: A Self-Care Guide for Diabetes Control (with L. Coleman) and Dr. Gavin's Health Guide for African Americans (with S. Landrum). He also hosts the "Powerpoint" health talk radio show for public radio station WCLK, 91.9 FM, Atlanta. Among the many honors Dr. Gavin has received are the Daniel Hale Williams Award, the E.E. Just Award, the Herbert Nickens Award, the Daniel Savage Memorial Award, the Emory University Medal for Distinguished Achievement, and the Banting Medal for Distinguished Service from the American Diabetes Association, the Distinguished Alumni Award from the Duke University School of Medicine, and the Internist of the Year from the National Medical Association. Dr. Gavin graduated from Livingstone College in Salisbury, NC with a degree in chemistry. He earned his PhD in biochemistry from Emory University and his MD degree from Duke University School of Medicine. He is married to Dr. Annie J. Gavin and they are the parents of three adult sons.

M. Kathleen Behrens, Ph.D. , has served as a director of AVI since March 31, 2009. Dr. Behrens' career spans the financial services and biotechnology sectors, as well as healthcare policy. Dr. Behrens served as a member of the President's Council of Advisors on Science and Technology (PCAST) from 2001 to early 2009 and she was Chair of PCAST's Subcommittee on Personalized Medicine. She has served as a public-market biotechnology securities analyst as well as venture capitalist focusing on healthcare, technology and related investments. She was instrumental in the founding of several biotechnology companies including Protein Design Labs, Inc. and COR Therapeutics, Inc., and more recently was a Director of Abgenix, Inc., which was acquired by Amgen in 2006. She worked for Robertson Stephens & Co. from 1983 through 1996, serving as a general partner and managing director. Dr. Behrens continued in her capacity as a General Partner for selected venture funds for RS Investments from 1996 through today. From 1997 to 2005, she was a director of the Board on Science, Technology and Economic Policy (STEP) for the National Research Council, and from 1993 to 2000 she was a director, President, Chair and Past Chair of the National Venture Capital Association. Dr. Behrens holds a Ph.D. in Microbiology from the University of California, Davis.
Paul Clark has been a director since August 2007. Mr. Clark served as Chief Executive Officer and President from June 1999 and Chairman of the Board from February 2000 until February 2007 of ICOS Corporation, a biotechnology company. Prior to ICOS, Mr. Clark was with Abbott Laboratories from 1984-1998, where he had responsibility for pharmaceuticals and other businesses, retiring from Abbott as Executive Vice President and a Board Member. Mr. Clark is also an Operating Partner and Strategic Advisory Board member of Genstar Capital LLC, and a Director of Agilent Technologies, Talecris Biotherapeutics, and Harlan Sprague Dawley. Mr. Clark received his B.S. in finance from University of Alabama and his MBA from Dartmouth College, Amos Tuck School. Steven R. Altman is president of Qualcomm Incorporated. Most recently, Altman has been executive vice president of Qualcomm and president of Qualcomm Technology Licensing (QTL). QTL, under Altman, has grown to $1.33 billion in revenues in Qualcomm's Fiscal 2004. He has been a member of Qualcomm's executive committee since 1992.
Altman joined Qualcomm in 1989 and is the chief architect of the Company's strategy for leveraging its broad intellectual property portfolio into a value chain, which has accelerated the growth of CDMA technology. In this role, he has been responsible for structuring and negotiating Qualcomm's license agreements, joint ventures and strategic relationships. Under Altman's leadership, the Company has entered into more than 130 domestic and international licensing agreements with many of the world's largest telecommunications and electronics companies, including Alcatel, Ericsson, Huawei, Hyundai, LG, Lucent, Matsushita, Mitsubishi, Motorola, NEC, Nokia, Nortel, Samsung, Siemens and Sony.
Altman has played a pivotal role in driving Qualcomm's business strategies as a member of the Company's executive committee. He negotiated Qualcomm's agreement with South Korea's Electronics and Telecommunications Research Institute (ETRI) in 1993 that established CDMA as the basis for South Korea's single nationwide wireless technology standard, which in turn enabled South Korea to build a major wireless products export economy based on CDMA devices and infrastructure. In 1994, he drove the joint venture and marketing agreement between Sony and Qualcomm, resulting in the creation of Qualcomm Consumer Products, and subsequently the introduction of the first CDMA digital handsets. In 1999, he negotiated the agreement with Ericsson, which ended litigation between the two companies and resulted in Ericsson's licensing of essential CDMA patents from Qualcomm and its purchase of Qualcomm's infrastructure business. Also in 1999, he oversaw the negotiation of the sale of Qualcomm's handset business to Kyocera Wireless as well as the Framework Agreement with China Unicom in 2000, which established the basis for licensing Qualcomm intellectual property to Chinese manufacturers. Also in 2000, he led Qualcomm's $1 billion acquisition of SnapTrackâ„¢, which resulted in accelerated commercialization of advanced GPS services in wireless handsets, and was a cornerstone in Qualcomm's Launchpadâ„¢ strategy.
