We are currently researching and/or developing technologies and product candidates to treat cancers and infectious diseases. Since our inception in March 1994, our activities have primarily been associated with the development of our heat shock protein technology and our product, Oncophage ® (vitespen), a patient-specific therapeutic cancer vaccine registered for use in Russia for the treatment of kidney cancer patients at intermediate risk for disease recurrence. Oncophage has been tested in Phase 3 clinical trials for the treatment of renal cell carcinoma, the most common type of kidney cancer, and for metastatic melanoma, and it has also been tested in Phase 2 and Phase 1 clinical trials in a range of indications and is currently in a Phase 2 clinical trial in recurrent glioma, a type of brain cancer. Our business activities have included product research and development, intellectual property prosecution, manufacturing therapeutic vaccines for clinical trials, regulatory and clinical affairs, corporate finance and development activities, marketing, and integration of our acquisitions. We have incurred significant losses since our inception. As of September 30, 2008, we had an accumulated deficit of $532.6 million. John Cerio has more than 15 years of experience as a human resources executive in the pharmaceutical and biotechnology industry. Karen Higgins Valentine is Vice President and General Counsel of Antigenics, Inc. Since joining Antigenics as a Scientist in 2001, Steve has held several positions of increasing responsibility. Dr. Pramod Srivastava is Professor of Immunology at the University of Connecticut School of Medicine, where he is also Director of the Center for Immunotherapy of Cancer and Infectious Diseases. He holds the Physicians Health Services Chair in Cancer Immunology at the University. Professor Srivastava is the Scientific Founder of Antigenics. He serves on the Scientific Advisory Council of the Cancer Research Institute, New York, and was a member of the Experimental Immunology Study Section of the National Institutes of Health of the U.S. Government (1994-1999). He serves presently on the Board of Directors of two privately held companies: Ikonisys (New Haven, Conn.) and CambriaTech (Lugano, Switzerland). He is among the 20 founding members of the Academy of Cancer Immunology, New York. Dr. Pramod Srivastava obtained his bachelor's degree in biology and chemistry and a masteri s degree in botany (paleontology) from the University of Allahabad, India. He then studied yeast genetics at Osaka University, Japan. He completed his Ph.D. in biochemistry at the Center for Cellular and Molecular Biology, Hyderabad, India, where he began his work on tumor immunity, including identification of the first proteins that can mediate tumor rejection. He trained at Yale University and Sloan-Kettering Institute for Cancer Research. Dr. Srivastava has held faculty positions at the Mount Sinai School of Medicine and Fordham University in New York City.

Dr. Larry W. Kwak received his MD and PhD in tumor cell biology from Northwestern University Medical School. After completing clinical training in internal medicine and medical oncology at Stanford University, he was recruited to the Biological Response Modifiers Program of the National Cancer Institute in 1992. In 1996, he was appointed head of the vaccine biology section at the National Institutes of Health (NIH), then was recruited to M. D. Anderson Cancer Center in 2004, where is he currently the Chairman of the department of lymphoma and myeloma, as well as the Associate Director of the Center for Cancer Immunology Research. Dr. Kwak is also the incumbent of the Moshe Talpaz Endowed Chair in Immunology at M. D. Anderson Cancer Center. Dr. Kwak has served on the program committees for the American Society of Hematology, the American Society of Clinical Oncology (ASCO), and the NIH Experimental Immunology Study Section. He is also a past recipient of the ASCO Young Investigator Award. He has served on the editorial board of the scientific journal Blood and on the scientific advisory board of the Multiple Myeloma Research Foundation. Dr. Kwak's translational scientific and clinical interests span tumor immunology, cancer vaccines, adoptive T-cell immunotherapy, and clinical management of lymphomas and myelomas. He has pioneered use of patient-specific vaccines as treatment against human lymphomas and has served as principal investigator of a multicenter Phase 3 randomized clinical trial of lymphoma vaccination. He is frequently invited to speak at national and international scientific meetings. He has published in journals such as Science, Nature Medicine, New England Journal of Medicine and The Lancet.

Highly regarded as an international expert in cancer immunotherapy and research, Dr. Kirkwood founded the University of Pittsburgh Cancer Institute’s (UPCI) Medical Oncology Division and the institute’s Clinical Investigation Program. He is currently director of the Melanoma Center at UPCI and also professor and vice chairman for clinical research in the university’s department of medicine. Dr. Kirkwood’s research concentrates on regional, national and international investigations of new biological and cytotoxic therapy for melanoma and other refractory tumors. He is largely responsible for making the UPCI Melanoma Center a national reference for studies of new drug and biological interventions in that cancer. Dr. Rothenberg is Ingram Professor of Cancer Research at the Vanderbilt-Ingram Cancer Center and Professor of Medicine at Vanderbilt University Medical Center, in Nashville, Tennessee. He is also a medical oncologist with appointments at the Vanderbilt University Medical Center and the Department of Veterans Affairs Medical Center. Dr. Rothenberg is the Director of the Phase I Drug Development Program at Vanderbilt-Ingram Cancer Center and he serves on a number of committees including the Vanderbilt-Ingram Cancer Center Gastrointestinal Cancer SPORE Executive Committee and Lung Cancer SPORE Steering Committee, the Clinical Cancer Research Committee for the American Association for Cancer Research, and the Medical Oncology Committee for the American College of Surgeons. Brian Corvese is President and Founder of Vencor Capital, a private equity firm with telecommunications and technology investments in the Middle East and Mediterranean regions. Prior to Vencor, Mr. Corvese worked on investments in the U.S. and global equity markets as a Managing Director and partner at Soros Fund Management, the largest hedge fund in the world at the time. From 1988 to 1996, Mr. Corvese was a partner at Chancellor Capital Management, a $25 billion money management firm. While at Chancellor, Mr. Corvese was a Portfolio Manager with responsibility for investments made in basic industries, restructurings, and special situations, corporate governance investments, as well as founded and managed his own hedge fund. From 1981 to 1988, Mr. Corvese was with Drexel Burnham Lambert as an equity analyst following the chemical and specialty chemical industries and participated in a significant number of merger and acquisition activities. While at Drexel, Mr. Corvese was a member of the top chemical and specialty chemical research team, as ranked by Institutional Investor. Mr. Corvese currently serves on the board of directors of the National Telecommunications Corporation, based in Cairo, Egypt. Mr. Corvese earned degrees in finance and political science from The University of Rhode Island and attended New York University Graduate School.

Alastair J. J. Wood has been a director since 2004. Dr. Wood is an associate dean, attending physician and tenured professor of medicine and pharmacology at Vanderbilt Medical School in Nashville, Tenn., where he has been a faculty member for more than 20 years. A 2002 suggested nominee for commissioner of the US Food and Drug Administration (FDA), Dr. Wood served as a member of the FDA’s cardiovascular and renal advisory committee and serves on the agency’s nonprescription drug advisory committee, which he currently chairs. He is currently chair of the nonprescription drug advisory committee. He has also been a member and chairman of the National Institutes of Health study sections, and served in a similar capacity for various philanthropic grant-giving bodies, having acted as consultant to several pharmaceutical companies, investors, venture capital funds and major academic institutions. Dr. Wood was most recently the drug therapy editor of The New England Journal of Medicine from 1992 through 2004, and is on the editorial boards of The New England Journal of Medicine and Clinical Pharmacology and Therapeutics. He is a member of many societies and has received numerous honors, including election to membership of The American Association of Physicians, The American Society for Clinical Investigation, honorary fellowship of the American Gynecological and Obstetrical Society, and fellowships of The American College of Physicians, The Royal College of Physicians of London and The Royal College of Physicians of Edinburgh. Dr. Wood received his medical degree from St. Andrew’s University and Dundee Medical School in Scotland.

John N. Hatsopoulos is chief executive officer of American DG Energy Inc. Headquartered in Waltham, Massachusetts, American DG Energy is the leading on-site utility offering electricity, heat, hot water and cooling to commercial, institutional and industrial facilities. John Hatsopoulos is one of the founders of Thermo Electron Corp. (currently Thermo Fisher Scientific) and the retired president and vice chairman of the board of directors. Thermo Fisher Scientific is a leading provider of analytical and monitoring instruments used in a broad range of applications, from life sciences research to telecommunications, food, drug and beverage production. Mr. Hatsopoulos joined Thermo Electron as purchasing agent in 1956; in 1963 he became president of the company’s metals division, and was named vice president in 1970. Seven years later, he was appointed vice president of corporate strategy, handling acquisitions, financial and investor relations, and corporate investments. Mr. Hatsopoulos became senior vice president of Thermo Electron in 1984, and executive vice president of the company in 1986. In 1988, he was appointed chief financial officer and executive vice president of Thermo Electron, and was named president in 1997. Also in 1997, he was elected to the board of directors of Thermo Electron. He served as vice president and chief financial officer for Thermo Electron and all of its public subsidiaries from 1988 until 1998. John Hatsopoulos innovated and implemented numerous financial strategies that became the focus of worldwide interest. His spinout strategy resulted in 24 public companies and Thermo Electron and its subsidiaries were able to raise close to $5 billion of capital. Mr. Hatsopoulos graduated from Athens College in Athens, Greece, in 1953. Margaret M. (Peggy) Eisen has been a board member since 2003. Ms. Eisen is managing director of marketing and communications for CFA Institute. Ms. Eisen directs CFA Institute efforts to protect and build the CFA brand and to ensure that CFA Institute is recognized as the global leader for education and ethics in the profession, supporting the well respected CFA charter as well as the CFA Centre for Financial Market Integrity.
