Edward E. Cohen has been our Chairman of the Board and Chief Executive Officer since our formation in 2006. He has been the Chief Executive Officer and President of Atlas America since its formation in September 2000. He has been Chairman of the Board of Resource America, Inc. (a publicly-traded specialized asset management company) since 1990 and was its Chief Executive Officer from 1988 until 2004, and President from 2000 until 2003. In addition, Mr. Cohen has been Chairman of the Managing Board of Atlas Pipeline Partners GP, LLC, the general partner of Atlas Pipeline Partners, L.P., since its formation in 1999, Chairman of the Board and Chief Executive Officer of Atlas Pipeline Holdings GP, LLC, the general partner of Atlas Pipeline Holdings, L.P., since its formation in January 2006. He is also Chairman of the Board of Resource Capital Corp. (a publicly-traded real estate investment trust) since its formation in September 2005, a Director of TRM Corporation (a publicly-traded consumer services company) since 1998 and Chairman of the Board of Brandywine Construction & Management, Inc. (a property management company) since 1994.

Eugene N. Dubay has been President and Chief Executive Officer of our general partner since January 2009. Mr. Dubay has served as a member of the managing board of our general partner since October 2008, where he served as an independent member until his appointment as President and Chief Executive Officer. Mr. Dubay has been the President and Chief Executive Officer of Atlas Pipeline Mid-Continent, LLC since January 2009. Mr. Dubay was the Chief Operating Officer of Continental Energy Systems LLC (a successor to SEMCO Energy) since 2003. Mr. Dubay has also held positions with ONEOK, Inc. and Southern Union Company and has over 20 years experience in midstream assets and utilities operations, strategic acquisitions, regulatory affairs and finance. Mr. Dubay is a certified public accountant and a graduate of the U.S. Naval Academy.

David D. Hall , 49, has been the Executive Vice President and Chief Financial Officer of Atlas Pipeline Mid-Continent LLC since July 2004. Before that, he had been the Executive Vice President and Chief Financial Officer of Spectrum Since 2002. From 2000 to 2002, Mr. Hall served as a senior business analyst at ScissorTail Energy. Mr. Hall has more than 25 years experience as a financial executive in the energy industry. Mr. Hall is a Certified Public Accountant.

Lisa Washington , 41, has been the Chief Legal Officer and Secretary of our general partner since November 2005 and a Senior Vice President since October 2008. Ms. Washington has been the Chief Legal Officer and Secretary of Atlas Holdings GP since January 2006 and a Senior Vice President since October 2008. Ms. Washington was a Vice President of Atlas Holdings GP from January 2006 until October 2008. Ms. Washington also has been the Chief Legal Officer and Secretary of Atlas America since November 2005 and a Senior Vice President since July 2008. Ms. Washington was a Vice President of Atlas America from November 2005 until July 2008. She is also the Chief Legal Officer and Secretary of Atlas Energy and Atlas Energy Management, positions she has held since their formation in 2006. Ms. Washington was Vice President of Atlas Energy from 2006 until July 2008, when she became a Senior Vice President. From 1999 to 2005, Ms. Washington was an attorney in the business department of the law firm of Blank Rome LLP.

Matthew A. Jones has been our Chief Financial Officer and a Director since our formation. He has been the Chief Financial Officer of Atlas America and of Atlas Pipeline Partners GP since 2005. He has been the Chief Financial Officer of Atlas Pipeline Holdings GP since January, 2006 and a Director since February, 2006. From 1996 to 2005, Mr. Jones worked in the Investment Banking Group at Friedman Billings Ramsey, (FBR), concluding as Managing Director. Mr. Jones worked in FBR's Energy Investment Banking Group from 1999 to 2005 and in FBR's Specialty Finance and Real Estate Group from 1996 to 1999. Mr. Jones is a Chartered Financial Analyst.

Sean P. McGrath has been the Chief Accounting Officer of our general partner since May 2005. Before that, Mr. McGrath had been the Controller of Sunoco Logistics Partners L.P., a publicly-traded partnership that transports, terminals and stores refined products and crude oil, since 2002. From 1998 to 2002, Mr. McGrath was Assistant Controller of Asplundh Tree Expert Co., a utility services and vegetation management company.

Daniel Herz has been our Senior Vice President of Corporate Development since August 2007. He has also been the Senior Vice President of Corporate Development of Atlas Energy Resources LLC, Atlas Pipeline Partners GP and Atlas Pipeline Holdings GP since August 2007. Before that, Mr. Herz was Vice President of Corporate Development of Atlas America and Atlas Pipeline Partners GP from December 2004 and of Atlas Pipeline Holdings GP from its formation in January 2006. Mr. Herz joined Atlas America and Atlas Pipeline Partners GP in January 2004. Prior to joining Atlas America and Atlas Pipeline Partners GP, Mr. Herz was an Associate Investment Banker with Banc of America Securities from 2002 to 2003 and an Analyst from 1999 to 2002.

Frank P. Carolas has been an Executive Vice President since January 2001 and served as a director from January 2002 until February 2004. Mr. Carolas has been a Senior Vice President of Atlas Energy management since its formation in June 2006 and has been a Senior Vice President of Atlas Energy Resources since April 2007. Mr. Carolas was a Vice President of Resource America from April 2001 until May 2004, and has been Executive Vice President of Land and Geology and a director of Atlas Resources, LLC (Atlas Energy Resources' wholly-owned subsidiary which acts as the managing partner of its drilling partnerships) since January 2001. Mr. Carolas is a certified petroleum geologist and has been employed by Atlas Resources and its affiliates since 1981.

Jeffrey C. Simmons has been an Executive Vice President since January 2001 and was a director from January 2002 until February 2004. Mr. Simmons has been a Senior Vice President of Atlas Energy Management since its formation in June 2006 and Executive Vice President of Operations and a director of Atlas Resources since January 2001. Mr. Simmons has been a Senior Vice President of Atlas Energy Resources since April 2007. Mr. Simmons was a Vice President of Resource America from April 2001 until May 2004. Mr. Simmons joined Resource America in 1986 as a senior petroleum engineer and has served in various executive positions with its and our energy subsidiaries since then.

Gayle P.W. Jackson is President of Energy Global, Inc., a consulting firm which specializes in corporate development, diversification and government relations strategies for energy companies. From 2002 to 2004, Dr. Jackson served as Managing Director of FE Clean Energy Group, a global private equity management firm that invests in energy companies and projects in Central and East Europe, Latin America and Asia. Dr. Jackson is Deputy Chairman of the Federal Reserve Bank of St. Louis, Mo., and serves on the Board of Ameren Corporation.

Jonathan Z. Cohen is Chief Executive Officer and a Director of Resource America, Inc. Jonathan has been Chief Executive Officer since 2004, President since 2003, and a Director since 2002. Previous roles include Chief Operating Officer from 2002 to 2004, Executive Vice President from 2001 to 2003 and Senior Vice President from 1999 to 2001. In addition, he has been Vice Chairman of the Managing Board of Atlas Pipeline Partners GP, LLC since its formation in 1999 and Vice Chairman and a Director of Atlas America, Inc. since its formation in 2000. Since 2003 he has been the general partner of Castine Partners, L.P., a financial services hedge fund. Mr. Cohen received a Bachelor of Arts degree from the University of Pennsylvania, and a Juris Doctor degree from American University's Washington College of Law. Mr. Cohen is a son of Edward E. Cohen.
