Edward J. Bramson, 56, Chairman, joined our Board of Directors in December 2007 and was named CEO in March, 2008. Mr. Bramson's principal occupation is serving as the managing member of Sherborne Investors GP and Sherborne Management GP and, as such, managing the investment activities of the Funds and certain other funds controlled by Sherborne Investors GP and Sherborne Management GP. Mr. Bramson has held these positions since May of 2006. Since December 2006, Mr. Bramson has served as Executive Chairman of Spirent Communications plc, a global communications technology company listed on the London Stock Exchange. Investment vehicles managed by affiliates of Mr. Bramson own approximately 15 percent of the outstanding ordinary shares of Spirent. Previously, Mr. Bramson served as Chairman and a director of Ampex Corporation from 1992-2007, Elementis plc from 2005-2006 and 4imprint Group PLC from 2003-2004. Investment vehicles managed by affiliates of Mr. Bramson effected operational turnarounds with respect to, and invested in, Elementis and 4imprint.
Prior to joining Nautilus in January 2004, he served in a variety of executive marketing and strategic planning positions with Levi Strauss and Company and positions in global sales management, sales training and planning with The Coca-Cola Company. Prior to Coca-Cola, Mr. Thomas held sales-related positions at Xerox Corporation and AT&T. Mr. Thomas received a B.B.A. from the University of North Texas and an M.B.A. from the University of Texas at Austin.

Ken Fish was appointed to the position of VP / GM Commercial, and Chief Administrative Officer, in April, 2008. He joined Nautilus in 2005 and served as Vice President, Financial Analysis; Vice President and Corporate Controller; Vice President, Global Finance; and Senior Vice President/General Manager Strength Business. He brings more than 25 years of senior level finance and operations experience, including Vice President, Finance for wind generation company Vestas Wind Systems from 2003 to 2005, and Asia-Pacific Finance Director for NACCO Materials Handling Group from 1977 to 2002. Mr. Fish has a business administration degree from Oregon State University, and was certified as a management accountant.

Phil Cubeta, CLU, ChFC, MSFS, CAP is Chief of Staff of The Nautilus Group, an intiative of New York Life Insurance Company serving approximately 220 of the Company's top representatives with estate, business, and legacy strategies for their high net worth clients. In a prior role Phil headed up the Company's Charitable Giving Network out of the Home Office in New York City. Stephen L. Eichen has been with Nautilus since September 2002, serving first as the Vice President of Information Technology for the Direct Division. Mr. Eichen was promoted to Chief Information Officer in March 2004. Prior to joining Nautilus, Mr. Eichen was a Senior Manager for Deloitte & Touche LLP, providing information systems and project management consulting services, from 1999 to 2002. From 1985 to 1999, Mr. Eichen held operations management and senior information systems management positions for The Boeing Company. Prior to The Boeing Company, Mr. Eichen served as Senior Associate for the Institute of Management Resources from 1982 to 1985, an operations and systems consulting company serving Fortune 500 manufacturing clients. He has been certified C.P.I.M. by the American Production and Inventory Control Society, and is a member of the Project Management Institute. Mr. Eichen received his B.S. in Biology and his M.S. in Management and Policy Sciences from the State University of New York at Stony Brook.

Bolio was appointed Senior Vice President, Law and General Counsel in May 2004 where his primary responsibility is protecting the intellectual property of the company. He joined Nautilus in 2003 as Senior Vice President of Human Resources. From 1997 to 2002, he served as the chief human resources officer and later added the position of assistant general counsel for Consolidated Freightways, a major transportation company. Previously, he was assistant general counsel for Southern Pacific Transportation Company where he managed labor relations, human resources, and employment law matters. William D. Meadowcroft joined Nautilus in 2000 as the Corporate Controller. Mr. Meadowcroft was appointed as Principal Accounting Officer in July 2004 and Chief Financial Officer, Secretary and Treasurer in March 2005. Mr. Meadowcroft has over 20 years of accounting and finance experience, including eight years with Deloitte & Touche LLP in Portland, Oregon and Ernst & Young LLP in Providence, Rhode Island. From 1997 to 2000, he worked as Controller for the American Automobile Association of Oregon/Idaho, which represents and protects motorists’ interests. Mr. Meadowcroft has been a Certified Public Accountant in Oregon, has a B.S. in Accounting from Pennsylvania State University, and has a M. Div. degree from Western Seminary in Portland, Oregon.

Marsh joined Nautilus in March 2007 as Senior Vice President, Human Resources, where she is responsible for talent management, human resources systems, compensation and benefits. Warner was promoted to Senior Vice President, Product Development of Nautilus in June 2004, where he oversees the company's product innovation pipeline. He joined Nautilus when the company acquired the indoor exercise lines of Schwinn from Schwinn/GT Corporation in 2001. Warner's team developed and introduced products that accounted for 30 percent of the company's 2004 sales, up from 13 percent in 2003. He joined the Schwinn/GT organization, a leader in bicycles and fitness equipment, in 1994. Warner has a degree in Engineering from Purdue University.

Seb was appointed to the position of Senior Vice President Nautilus, Inc in May 2008. Seb most recently was VP/GM Specialty Lighting and VP Global Operations with PerkinElmer Optoelectronics, a world leader in flash lamps, sensors and medical imaging devices for the past 2 years (2006-2008). Seb was also with the Flaktwoods group, a leading manufacturer of air handling, ducts, commercial and industrial fans application during 2002 till 2006 where his last position was of VP Global Operations UK. He was also with General Electric Power Systems from 1997 to 2002 where he held various positions in Manufacturing, Quality, Sourcing, and Six Sigma in Schenectady NY, Greenville SC, Monterrey Mexico, and Belfort France. Joyce most recently was President and Chief Operating Officer of HO Sports, the leading company in water sports based in Redmond, Wash. Joyce was with Nike, Inc. for 19 years from 1980 to 1999, where he progressed to serve as director of European sales, and as vice president of global sales. He was president of Internet sporting goods retailer fogdog.com from 1999 to 2000, and served as executive vice president of retail and wholesale sales for adidas America from 2001 to 2004. Joyce has completed his master's coursework in sports administration at Ohio University (1979) where he played collegiate basketball and was honored as a distinguished alumnus. He was drafted by the Cleveland Cavaliers and played professional World Cup basketball in Greece.

Marvin G. Siegert, 58, joined our Board of Directors in August 2005. Mr. Siegert recently retired as President and Chief Operating Officer of The Pyle Group LLC, a private equity investment group. Prior to joining The Pyle Group in 1996, Mr. Siegert spent 26 years with Rayovac Corporation, a manufacturer of batteries and lighting products, where he held various positions, with his most recent position as Senior Vice President and Chief Financial Officer. Mr. Siegert was recently named non-executive Chairman of Greenwood's Financial Group, Inc., a community bank. Mr. Siegert is also an officer of a Nike distributor Impact Sports, Inc. Mr. Siegert graduated from the University of Wisconsin, Whitewater and has a master's degree in management from the University of Wisconsin, Madison.

Gerard L. Eastman , 50, was elected to the Board of Directors in December 2007. Mr. Eastman is a managing director of Sherborne Investors GP and Sherborne Management GP, positions he has held with Sherborne or its affiliates since March 2006. Since December 2006, Mr. Eastman has also served as a non-executive director of Spirent. From 1997 to February 2006, Mr. Eastman served as a managing director and in other senior executive positions at Citigroup Global Markets Inc., focusing on corporate finance and mergers and acquisitions. Richard A. Horn , 60, was elected to our Board in December 2007. Mr. Horn has been a private investor since February 2002. Mr. Horn was General Manager of the PetsHotel Division of PETsMART, Inc. from April 2001 through February 2002. From January 1999 through March 2001, he was Senior Vice President and General Merchandise Manager of PETsMART.com, Inc. and from July 1994 through December 1998, he was Vice President and General Merchandise Manager of PETsMART, Inc. From 1992 to 1994, Mr. Horn was the chief financial officer of Weisheimer Companies, Inc., and, from 1980 to 1992, Mr. Horn was a partner at Coopers & Lybrand. Mr. Horn currently serves on the Board of Directors of Lucky Litter L.L.C., a privately financed manufacturer and marketer of pet products as well as the Treasurer of the Board of Trustees of The Saint Joseph s Hospital Foundation.

Ronald P. Badie, 65, joined our Board of Directors in August 2005. Mr. Badie spent over 35 years with Deutsche Bank and its predecessor, Bankers Trust Company, retiring in 2002 as Vice Chairman of Deutsche Bank Alex Brown (now Deutsche Bank Securities), the firm s investment banking subsidiary. Over the years, Mr. Badie held a variety of senior level positions with the firm and its predecessor, Bankers Trust Company, in both New York and Los Angeles. Mr. Badie currently serves as a director and audit committee member of Obagi Medical Products, Inc., Amphenol Corporation, and Merisel Inc. In addition, Mr. Badie serves on the compensation committee and is the chairman of the compensation committee for Obagi Medical Products. Mr. Badie is a graduate of Bucknell University and received an MBA from New York University s Stern School of Business.
Michael established Flynn Financial and Insurance Services in 1988. He is an Investment Advisor Representative with Eagle Strategies Group and a Registered Investment and Member of The Nautilus Group, an advanced planning resource center. He has lived in Watsonville for over 24 years. Michael is a member and former President of the Santa Cruz Chapter of Christians in Commerce, served as a founding member of the new St. Francis High School where he helped raise funds to establish the school, and is a member of the Santa Cruz Sunrise Rotary. Michael brings to the Board financial and investment expertise, and a strong commitment to give back to the community.
