Mr. Heppelmann has been Executive Vice President, Software Products and Chief Product Officer since June 2001. Prior to that he was Executive Vice President, General Manager Windchill Solutions From November 2000 to June 2001. He had served as Executive Vice President and General Manager of Windchill Netmarkets from July 2000 to November 2000 and Senior Vice President of Windchill from January 1998 to July 2000. Prior to joining PTC, Mr. Heppelmann was Vice President of Marketing and Chief Technology Officer of Windchill Technology, Inc. from October 1996 to January 1998.

Mr. DiBona has been Executive Vice President, Maintenance since April 2003. From April 2000 to April 2003, he led the PTC Global Business Partner Group. Mr. DiBona joined PTC in August 1998 as Executive Vice President, PTC Major Account Sales. Prior to joining PTC, Mr. DiBona worked at Data General Corporation for 9 years where he held various positions including the management of the U.S. sales organization.

Mr. Cunningham has served as Executive Vice President, Worldwide Sales since October 2002. Prior to that, he served as Executive Vice President, Americas Sales from July 2000 to September 2002, and from October 1998 to June 2000 he was Executive Vice President, Primary Sales. Mr. Cunningham was Senior Vice President, European Sales from April 1997 to October 1998 and Senior Vice President, North America West Sales from October 1996 to April 1997. Prior to joining PTC, Mr. Cunningham held sales positions at Pitney Bowes and Cortex Corporation.

Mr. von Staats has been Senior Vice President and General Counsel for PTC since February 2003. Prior to this, he was PTC's Vice President, North American Counsel. Mr. von Staats joined PTC in 1997 as Senior Staff Attorney. Prior to joining PTC, Mr. von Staats was in private practice with the Boston law firm of Palmer & Dodge LLP.

Milt Schwenk is vice president of StreamServe's Alliances and Partners organization. The organization aligns corporate and field alliance activities, implements a consistent global channel strategy, and develops a uniformed set of certification, training, and business development programs for all channel partners. Mr. Schwenk has over 20 years of sales experience at a variety of pre-IPO and public technology companies, including assignments as the vice president of sales at Arbortext and SolidWorks, where he was instrumental in driving the company's exceptional early growth. Prior to that, he held a number of senior sales management positions at Cadence Design Systems and Prime Computer. Mr. Schwenk holds a BS with honors in mathematics from Kent State University.

Professor Porter has been a Bishop William Lawrence University Professor based at Harvard Business School since 1973. He is also a Director of Thermo Electron Corporation and Inforte Corporation.

Mr. Posternak has been the Chairman of the Board of Directors of PTC since June 2000. He serves as Chairman of the Board's Nominating and Corporate Governance Committee, and he is also a member of the Audit Committee. He has been a Senior Partner in the law firm of Posternak, Blankstein & Lund, L.L.P. since 1980, practicing in the area of business law and mergers and acquisitions.

Mr. Marx is the Chairman of the Board's Audit Committee. Mr. Marx has been the Chief Executive Officer and Chairman of the Board of Amerigon Incorporated, a high technology automotive component supplier, since November 2001. He was Chief Executive Officer and President of TMW Enterprises, a private automotive investment firm, from July 1995 to February 2002, and since that date he has been Vice President, Automotive Sector and Director. He is also a Director of SMTEK International, Inc. and Tesma International, Inc.

Mr. Goldman is the Chairman of the Board's Compensation Committee. He is also a member of the Nominating and Corporate Governance Committee and the Audit Committee. Mr. Goldman has been the Chairman of the Board of eXcelon Corporation, a software developer, since September 2001. He was the Chief Executive Officer and President of eXcelon Corporation from November 1995 to September 2001.
