Board of Directors
Michael E. Campbell is Chairman, President and Chief Executive Officer of Arch Chemicals, Inc. (NYSE: ARJ), a global specialty chemicals company, concentrated in Biocides, with approximately $1.5 billion in annual sales. He has led the company since its inception in February 1999, guiding it through a period of significant change that has strengthened the company’s market leadership positions, increased its operational efficiency and enhanced its reputation as an innovative supplier.
Arch and its subsidiaries have leadership positions in Biocides, Water Products, Wood Protection, Personal Care Ingredients, and Coatings. Prior to the creation of Arch Chemicals, Mr. Campbell served as Olin Corporation’s Executive Vice President overseeing all businesses. Mr. Campbell served during the mid-1990s as President of Olin Microelectronic Materials. During his tenure as president, the division posted record sales and earnings as it satisfied strong demand from global semiconductor manufacturers.
A native of Portsmouth, New Hampshire, Mr. Campbell received his bachelor’s degree from the University of New Hampshire in 1968. Following service as a U.S. Naval officer, he earned a Juris Doctor degree from George Washington University. At law school, he was elected to the Law Review and earned membership in the Order of the Coif, a legal honor society. He has also attended the Yale Executive Management Program.
Mr. Campbell serves as Lead Director on the MeadWestvaco Corporation Board of Directors, where he is a member of the Finance and Nominating and Governance Committees. He also serves on the Milliken & Company Board of Directors, and is a member of its Audit Committee. Mr. Campbell is Chairman of the National Association of Manufacturers, and Chairman of the US-China Business Relations Task force. He is Chairman and a member of the Society of Chemical Industry's Executive Committee. Mr. Campbell serves on the American Chemistry Council Board and is a former Board Chairman. Previously, Mr. Campbell served as Co-Chair of the Capital Campaign Committee and Chairman of the Corporate Relations Committee at the Maritime Aquarium in Norwalk. He also served as a member of the Board of Directors of the Business Council of Fairfield County.
He is active with the Committee to Encourage Corporate Philanthropy. In May 2004, Mr. Campbell was named Responsible Care Leader of the Year by the American Chemistry Council Responsible Care Team. Mr. Campbell is also the recipient of the 2004 Vanguard Award, presented by the Chemical Educational Foundation to individuals who foster a greater understanding of chemistry and the industry through community outreach, product stewardship, leadership and support for educational activities.
In July 2005, Mr. Campbell was appointed to the Advisory Committee for Trade Policy and Negotiations (ACTPN). The ACTPN is the principal trade advisory committee providing overall policy advice on trade matters to the Office of the U.S. Trade Representative (USTR). Mr. Campbell is also a member of the ACTPN China Task Force.

Steven C. Giuliano is Vice President and Chief Financial Officer (CFO) of Arch Chemicals, Inc., (NYSE: ARJ), a global Biocides company with $1.5 billion in annual sales. In this role, Mr. Giuliano has responsibility for Arch’s corporate finance, investor relations and corporate communications departments.
Prior to his promotion to CFO in 2007, Mr. Giuliano had served as Controller since Arch’s founding in 1999. During his tenure, he assumed increasing levels of responsibility in the areas of corporate finance and accounting, including SEC reporting and compliance. He also played key roles in strategic acquisitions, dispositions of several Arch businesses and in the Company’s debt financings.
Prior to joining Arch Chemicals, he served as an Audit Senior Manager for KPMG LLP, where he had overall responsibility for audits, SEC filings, private offerings and other services for domestic and multinational clients. Mr. Giuliano is a 1991 graduate of Villanova University with a Bachelor of Science degree in Accounting. Mr. Giuliano also completed Duke University’s Advanced Management Program in 2007. He is a Certified Public Accountant and a member of both the American Institute of Certified Public Accountants and the New York Society of Certified Public Accountants.
Mr. Giuliano is located at Arch Chemicals’ headquarters in Norwalk, Connecticut.
Hayes Anderson is Vice President, Human Resources and Responsible Care® of Arch Chemicals, Inc. (NYSE: ARJ), a global specialty chemicals company, concentrated in biocides, with approximately $1.5 billion in annual sales. Mr. Anderson is a member of the Company’s Executive Management Team and is responsible for human resource management for all units within the company. He oversees organizational development and effectiveness, compensation and benefits, stakeholder relations and facilities services.
Mr. Anderson also serves as the Ethics Officer for the corporation, where he provides guidance and oversight regarding Arch’s commitment to maintain a culture of the highest principles and values.
Prior to assuming his current role in December 2000, Mr. Anderson was Vice President and General Manager of Arch Chemicals’ Semiconductor Chemicals and Services. He had global responsibility for Arch’s Process Chemicals, Thin Film Systems, and Chemical Management Services businesses.
Mr. Anderson has been with Arch since its 1999 spin-off from Olin Corporation. He was with Olin Corporation since 1982, where he served in positions of increasing responsibility, including information systems, strategic planning, business evaluation, customer services, sales and marketing.
Mr. Anderson is a member of the Board of Directors of the United Way of Coastal Fairfield County. He also serves on the Board of Liberation Programs, Inc., Connecticut’s largest substance abuse prevention and treatment agency.
He earned a B.S. in computer science from Southern University and an M.B.A. from the University of Missouri.

Sarah A. O’Connor is serving as Vice President, General Counsel and Corporate Secretary of Arch Chemicals, Inc., (NYSE: ARJ), a global specialty chemicals company, concentrated on biocides, with approximately $1.5 billion in annual sales. A member of the Executive Management Team, she is responsible for all legal matters involving Arch Chemicals and its foreign and domestic subsidiaries. Her responsibilities also include the corporate secretarial function as well as oversight of regulatory affairs and toxicology.
Ms. O’Connor joined Olin Corporation in 1989 as an associate counsel in the Law Department, having primary responsibility for legal matters in the water chemicals business. As a member of the Law Department, Ms. O’Connor assumed increasing levels of responsibility for legal matters associated with the specialty chemicals businesses including transactions, day-to-day commercial matters, litigation support and antitrust counseling. She was promoted to counsel in 1992 and to senior counsel in January 1995.
In March 1995, Ms. O’Connor became Director, Planning and Development, a role in which she supported all of the business units by assisting with the identification and implementation of profitable growth opportunities and the structure and negotiation of acquisitions, divestitures and joint ventures. As a member of the Planning and Development Department, Ms. O’Connor was instrumental in structuring and negotiating a number of divestitures. She played a key role in Olin’s spin-off in early 1999 of its specialty chemicals businesses as Arch Chemicals. At Arch, she was instrumental in Arch’s acquisition of Hickson International, PLC and subsequent integration and divestiture activities.
Earlier in her career, Ms. O’Connor was employed by the Reader’s Digest Association, Inc. as a senior attorney. Her primary responsibilities included providing legal support for the Human Resources function, handling commercial and real estate matters and managing litigation. She also worked in the Law Department of American Home Products Corporation from 1983 through 1987, focusing on corporate and securities law matters.
Ms. O’Connor attended Mercy College on a full academic scholarship and graduated cum laude in three years, with a bachelor of science degree in business administration. After working for a year as a paralegal at a New York law firm, Ms. O’Connor attended Fordham University School of Law and received her Juris Doctor degree in 1984. She received her Masters in Business Administration from Columbia University in 1997. Ms. O’Connor is a member of the American Bar Association, the Westchester / Southern Connecticut American Chapter of the Corporate Counsel Association (WESFACCA) and the American Society of Corporate Secretaries. She is also a member of the Conference Board Council of Chief Legal Officers. Ms. O’Connor is a former officer and director of the New York Women’s Bar Association.

Prior to February 1998, and since March 1994, he was Vice President, Treasurer and then Vice President, Investments of Johnson & Higgins, an insurance brokerage and benefits consulting firm. Prior to 1994, he held various managerial positions, including Vice President and Treasurer and Vice President, Financial Planning and Analysis for Squibb Corporation.

DANIEL S. SANDERS served from 1999 and until his retirement in 2004 as President of ExxonMobil Chemical Company, a subsidiary of Exxon Mobil Corporation, which is a publicly held, major manufacturer and marketer of basic petrochemicals and specialty products. He was elected to that position in late 1999 when Exxon Corporation and Mobil Corporation merged. In January 1999, he had been appointed President of Exxon Chemical Company and previously served as its Executive Vice President. Prior to those positions, he held various jobs over a 43-year period with Exxon Corporation and its subsidiaries. Mr. Sanders is past Chairman of the Board of the American Chemistry Council and past Chairman of the Society of Chemical Industry, American Section. He serves on the Board of Directors of Milliken & Company, Celanese Chemicals and Nalco Holding Company. He is a member of the Council of Overseers of the Jesse H. Jones Graduate School of Management at Rice University. He also serves on the Advisory Board of the University of South Carolina and Furman University. He holds a BS in Mechanical Engineering from the University of South Carolina. Director since 2004.
Chairman and Chief Executive Officer of Cytec Industries Inc. Mr. Lilley has been a director of our company since December 2008. He is a member of the Audit Committe and the Board Nominating and Governance Committee. He has been Chairman of Cytec Industries Inc. (specialty chemicals and materials) since January 1999 and Chief Executive Officer of Cytec Industries since May 1998. He was President of Cytec Industries from January 1997 through June 2008. From 1994 until January 1997, he was a vice president of American Home Products Corporation, responsible for its Global Medical Device business. Prior to that he was a vice president and a member of the Executive Committee of American Cyanamid Company. Mr. Lilley is also a director of Arch Chemicals, Inc.
DOUGLAS J. WETMORE is Former Senior Vice President and Chief Financial Officer of International Flavors and Fragrances Inc. (“IFF”), a leading creator and manufacturer of flavors and fragrances used in a variety of consumer products. Mr. Wetmore joined International Flavors and Fragrances Inc. as Corporate Controller in 1991 and became Senior Vice President and Chief Financial Officer in 1998. Prior to joining IFF, he held various positions at Price Waterhouse in Chicago, The Netherlands and New York from 1979, leaving his Senior Manager position there in 1991. Mr. Wetmore is a certified public accountant and is a member of the American Institute of Certified Public Accountants and the Financial Executive Institute. He holds a BBA degree in Accounting from the University of Notre Dame. Director since 2006.
