Douglas K. Howell joined Gallagher as Corporate Vice President and Chief Financial Officer in 2003. As CFO, Mr. Howell's responsibilities include accounting, finance, internal audit, investments, tax, treasury, administration, corporate development, procurement and information technology. He also participates as a company representative in dealings with Wall Street analysts, institutional shareholders and prospective investors. Since joining Gallagher, Mr. Howell has helped spearhead our E&O efforts, Sarbanes-Oxley compliance, global sourcing initiatives and developing Gallagher’s Offshore Center of Excellence. Prior to joining Gallagher, Mr. Howell had 20 years of financial experience, most recently as Senior Vice President & CFO of 21st Century Insurance Group. He previously held CFO and other management positions with several insurance and financial services firms, as well as the public accounting and consulting firms now known as PricewaterhouseCoopers and KPMG. Mr. Howell holds a Master’s degree from the University of Chicago, a Bachelor’s degree from Iowa State University, and is a CPA.

Susan E. McGrath is the Chief Human Resources Officer for Arthur J. Gallagher & Co. In this role, Ms. McGrath provides global strategic HR leadership to the company’s insurance brokerage and risk management businesses. Ms. McGrath is responsible for developing a comprehensive human resources and organizational strategy to address key margin improvement initiatives and drive the development of a robust performance based culture at Gallagher. Ms. McGrath has more than 17 years of experience in human resources and joined Gallagher from General Electric where she previously served as the Vice President of Human Resources for GE’s Commercial Distribution Finance (CDF) business in Hoffman Estates, Ill. In this role, Ms. McGrath provided HR leadership for GE’s inventory financing business globally and managed the human resources aspects of major acquisitions including the Trans America Distribution Finance portfolio and Bombardier Capital Inc. Prior to GE’s CDF business, Ms. McGrath was the Vice President of Human Resources for the Financial Guaranty Insurance Company (FGIC), a bond insurance company in New York, where she played a key role in the complex and successful disposition of the business by GE. Before FGIC, Ms. McGrath was the Vice President of Human Resources for GE Capital Auto Financial Services in Barrington, Ill. In this role, Ms. McGrath served as a strategic business partner and drove organizational excellence during a difficult liquidation of the business. Additionally, Ms. McGrath has held several human resources roles of increasing responsibility including Director and Associate Director of Human Resources at Ernst & Young in Chicago. Ms. McGrath holds a Bachelor of Science in Human Resources and a Master of Business Administration from the Kellogg School of Business at Northwestern University. Ms. McGrath is also a graduate of GE’s Management Development Program.

David E. McGurn, Jr. is President of Gallagher’s Specialty Marketing & International Division. He began this division in 1996, and this operation has been building tremendous momentum ever since. Mr. McGurn joined the Gallagher team more than 30 years ago as an Account Executive. He has subsequently served in various leadership roles, beginning with Unit Sales Manager, then Executive Vice President of the Risk Management Sales Division. In 1988, Mr. McGurn was appointed President of International Special Risk Services, Inc. He was named a Corporate Vice President of Arthur J. Gallagher & Co. in 1994. As President of SMI, Mr. McGurn is responsible for all of Gallagher’s wholesale and international operations. He also serves as Chairman of AJG (UK) Limited and Risk Placement Services, Inc. In addition, Mr. McGurn served on the Board of Directors of the Council of Insurance Agents and Brokers (CIAB) from 1996 through 2006 and was reelected in October 2007.

Richard J. McKenna is President and CEO of Gallagher Bassett Services, Inc., which provides a broad range of risk management services—including claims and information management, risk control consulting and appraisal services—to help corporations and institutions reduce their cost of risk. Mr. McKenna came to Gallagher Bassett in 1976, holding several key roles throughout the last 30 years, including Vice President, Product Support Division; Vice President, Field Operations Division; and Executive Vice President, Operations Division before becoming Corporate Vice President in 1994. Before coming to Gallagher, Mr. McKenna worked as a Senior Claim Representative for Aetna Casualty Insurance after serving in the U.S. Army. Mr. McKenna holds a Bachelor of Business Administration and a Masters of Business Administration from Iona College in New Rochelle, N.Y. He also holds a Juris Doctorate from Pace University in White Plains, N.Y. Mr. McKenna has been admitted to the New York Bar and the Illinois Bar. He is a member of New York and American and Illinois Bar Associations, the American Trial Lawyers Association, the Association of MBA Executives, and the International Association of Insurance Counsel.

Walter D. Bay was named Vice President, General Counsel and Secretary of Arthur J. Gallagher & Co. in 2007. As General Counsel, Mr. Bay manages the global legal organization and advises senior management and the Company’s Board of Directors on a wide range of issues including regulatory and legal compliance, securities law, corporate governance, litigation and mergers and acquisitions. Mr. Bay has more than 20 years of legal and business experience. He started his career at Chase Manhattan Bank. After attending law school, he joined the firm of Harter, Secrest & Emery LLP where he became a partner in the Corporate department. In 2000, he joined GE Capital Services first as Mergers & Acquisitions Counsel and then as General Counsel for GE Commercial Distribution Finance. Mr. Bay received his B.A., cum laude, from the College of Wooster in 1985 and his Juris Doctorate, with honors, from the George Washington University National Law Center in 1991.

Jon Kurz is a software architect for Arthur J. Gallagher & Co. in Chicago. Jon has experience with .Net, Java, Oracle, and SQL, among other technologies, and has also done research on artificial intelligence. In addition to computer languages, Jon is also fluent in Mandarin Chinese.

Elbert O. Hand has been a director of the Company since 1984. Mr. Hand served as chairman of Hartmarx Corporation from 1992 until his retirement in June 2004. From 1992 until 2002, he served as chairman and chief executive officer. He served as a director of Austin Reed PLC, London, England, from 1995 until 2002, and continues to serve as an advisor to the Board of Austin Reed PLC. Since 2002, he has served as a director of Arthur J. Gallagher & Co., an international insurance brokerage and risk management services firm.
