We are one of the largest automotive retailers in the United States, operating 132 franchises at 96 dealership locations as of December 31, 2004. We offer our customers an extensive range of automotive products and services including new and used vehicles and related financing, vehicle maintenance and repair services, replacement parts and warranty, insurance and extended service contracts. For the year ended December 31, 2004, our revenues were approximately $5.3 billion and our net income was approximately $50.1 million. We compete in a large and highly fragmented industry comprised of approximately 21,700 franchised dealerships. The U.S. automotive retailing industry is estimated to have annual sales of approximately $1 trillion, with the 100 largest dealer groups generating less than 10% of total revenues and controlling less than 10% of all franchised dealerships.

Mr. Bobby Gray is President and Chief Executive Officer of Asbury Mississippi dealerships, dba Gray-Daniels Auto Group. Mr. Gray began his career as a salesman for Jackson Lincoln-Mercury in 1972 at the age of 19. After holding management and ownership-level positions at several car dealerships in the Jackson area, in 1991 Mr. Gray bought Boyce Ford in Brandon, renaming it Gray-Daniels Ford. In his tenure at Gray-Daniels Ford, the Gray-Daniels dealership has earned Ford Motor Company’s “Chairman and President’s Awards,” and has captured the annual title as the Number One Ford Retail Truck Dealership in the Memphis region in 1999 and 2000. Charles R. Oglesby serves as President and Chief Executive Officer. Mr. Oglesby joined Asbury in 2002 as President of the North Point Automotive Group of Little Rock and in 2004 assumed the additional responsibility of the Nalley Automotive Group in Atlanta. Mr. Henry Day is President and Chief Executive Officer of Asbury’s Southern Region which includes Georgia and Arkansas. He has served in this capacity since March, 2007. Mr. Day’s career in the automotive industry spans some 40 years. Mr. Day has been Vice President of fixed operations for Asbury’s Southern Region for the past two years and for the Nalley Automotive Group for the 25 years prior to that. Mr. Day began his career in the parts department at Bingham GMC in his hometown of Richmond, Virginia. Mr. Day rose rapidly through the ranks at Bingham, assuming the roles of parts manager, then service manager and subsequently parts and service director. He was recruited in 1975 by Jim Nalley to head his fledgling service department at Nalley Motor Trucks in Atlanta. J. Gordon Smith was named SIRVA's chief financial officer in November 2008, bringing more than 31 years of financial leadership experience to the Company. He began his career with General Electric and throughout his 26 year career with GE held numerous financial positions, with the last 12 years as chief financial officer of three of GE's largest commercial finance businesses: Corporate Financial Services, Commercial Equipment Finance and Capital Markets. Under his leadership, these businesses developed into global leaders in their field, experiencing solid double-digit profit increases both through organic and acquisition growth. JEFFREY I. WOOLEY has served as a member of our Board of Directors since March 10, 2003, and as the Non-executive Chairman of Asbury Automotive Tampa since March 2005. From September 1998 until February 2005, Mr.Wooley served as President and Chief Executive Officer of Asbury Automotive Tampa. Mr. Wooley has been in the automobile business for 39 years. He began his automotive career in 1965 and opened his first dealership in 1975. Prior to selling his dealerships to us in 1998, Mr. Wooley owned and operated nine franchises. He is a past president of the Pontiac National Dealer Council. Mr. Wooley currently serves on the Board of Directors of the Gulf Ridge Council-Boy Scouts of America and actively supports the Berkeley Preparatory School and The Children's Hospital at St. Joseph's.

Mr. Roth joined Microsat Systems, Inc. (MSI) on January 1, 2002 as Senior Vice President of Business Operations. He was named President and Chief Operating Officer in September of 2002. Mr. Roth has more than 25 years experience in the aerospace industry and has demonstrated success in business acquisition and organizational leadership. Prior to joining MSI, Mr. Roth was Vice President of the Electronic Combat Business Unit for Litton Advanced Systems, a $200M division of Litton Industries, a Fortune 500 company. At Litton, Mr. Roth had profit and loss responsibility for the business unit and overall management responsibility for the engineering, program management and business development directorates of the company. Programs under his leadership included major defense systems such as the Joint Strike Fighter Electronic Warfare suite, ICAP III electronic warfare suite for the Navy E-2C carrier aircraft, the Advanced Integrated Electronic Warfare System (AIEWS) for Navy surface ships, as well as classified satellite payloads for U.S. military satellite prime contractors. Prior to his position as Vice President, Mr. Roth was the Director of Engineering for Litton Advanced Systems with responsibility over all engineering personnel and laboratories. Prior to joining Litton, Mr. Roth worked for Lockheed Martin as Director of Colorado Springs Operations for Lockheed Martin Electronic Defense Systems which provided direct support to the Air Force Space Command's Space Warfare Center at Schriever AFB. Mr. Roth has also held positions at Litton Amecom as Director of Advanced Programs, at HRB-Singer as Electronic Warfare Programs Manager, and at Hughes Aircraft as Manager of their Processor Architecture group. Mr. Roth holds an M.S. degree in Electrical Engineering from the University of Southern California, and a B.S. degree in Computer Engineering from the University of Illinois, and has attended the Harvard Business School Executive Education program in Management and Leadership and the Wharton Business School Executive Education Program in Finance. Philip F. Maritz PHILIP F. MARITZ has served as a member of our Board of Directors since April 19, 2002, and as Chairman of our Audit Committee since May 7, 2002. He is the co-founder of Maritz, Wolff & Co., which manages the Hotel Equity Fund, a private equity investment fund that owns luxury hotels and resorts. In 1990, he founded Maritz Properties, a commercial real estate development and investment firm where he serves as president. He serves on several not-for-profit boards, and he is also a corporate director of Wolff DiNapoli, a Los Angeles based investment and development firm. Mr. Maritz received a bachelor's degree from Princeton University and a master's in business administration from the Stanford Graduate School of Business.

Thomas C. DeLoach, Jr. received his bachelor's degree with honor in chemical engineering in 1969 from Georgia Tech and joined Mobil Oil Corporation at its Beaumont, Texas Refinery. Tom progressed through a number of various positions in manufacturing, planning and supply to become Manager Crude Oil Supply for U.S. Marketing and Refining in 1980. In 1981 he was the liaison with Mobil's diversified businesses: Montgomery Ward, Container Corporation and W. F. Hall Printing Company. He was named Vice President, U.S. Supply in 1984; and in 1986, he was appointed Vice President and General Manager, U. S. Marketing. He was elected VP, Corporate Planning and Economics for Mobil Corporation in 1990. He was elected to the Mobil Oil Board of Directors and named VP, Worldwide Supply and Trading in 1991. In 1993, Tom was named Executive VP in charge of International Marketing and Refining and in 1994 was named Chief Financial Officer for Mobil Corporation. In 1998, he became President of Global Midstream, which included global hydrocarbon supply and trading, marine operations, Middle East relationships and worldwide natural gas sales and marketing. From 1993 until his retirement, he was also the worldwide coordinator of Mobil's Motorsports programs. He retired in 2000 from Mobil Corporation.

Mr. McLarty is president of Kissinger McLarty Associates, an international advisory firm formed in partnership with former Secretary of State Henry Kissinger, and chairman of the board of the McLarty Companies, a family?owned transportation business. He serves on the board of Union Pacific Corporation and IdleAire Technologies Corporation, both publicly held companies. He is also senior advisor to The Carlyle Group private equity firm and a senior advisor to the law firm of Covington & Burling. Mr. McLarty served in the White House under President Clinton in several key positions including chief of staff, counselor to the president and special envoy for the Americas, with over five years of service in the President's Cabinet and on the National Economic Council. He worked with President Carter as a member of the Democratic National Committee, was appointed to the National Petroleum Council and the National Council on Environmental Quality by President Bush, and served on the St. Louis Federal Reserve Board from 1989 until joining the Clinton administration in 1992. Prior to his tenure in the White House, Mr. McLarty served as chairman of the board of Arkla, a Fortune 500 natural gas company. He began his business career with the McLarty Companies, where he helped build the business into one of the nation's largest transportation companies. Mr. McLarty is a senior international fellow at the U.S. Chamber of Commerce and a member of the Council on Foreign Relations. He holds a degree in business administration from the University of Arkansas.
