Ms. Elsenhans was elected to the Board of Directors in August 2008 and was elected Chairman of the Board in October 2008. Ms. Elsenhans has been President and Chief Executive Officer of Sunoco, Inc. since August 2008. Prior to that, she was Executive Vice President of Global Manufacturing for Shell Downstream, Inc. from 2005 to 2008. From 2003 to 2005, Ms. Elsenhans served concurrently as President of Shell Oil Company and President and CEO at Shell Oil Products US.

John W. Rowe, 63, is the chairman and chief executive officer of Exelon Corporation, a utility holding company headquartered in Chicago. Exelon has the largest market capitalization in the electric utility industry. Its retail affiliates serve 5.4 million customers in Illinois and Pennsylvania, and its generation affiliate operates the largest fleet of nuclear power plants in the nation. Rowe is the senior chief executive in the utility industry, having served in such positions since 1984. Rowe has led Exelon since its formation in 2000 through the merger of PECO Energy and the parent of Commonwealth Edison. Rowe previously held chief executive officer positions at the New England Electric System and Central Maine Power Company, served as general counsel of Consolidated Rail Corporation, and was a partner in the law firm of Isham, Lincoln and Beale. Rowe serves as chairman of the Nuclear Energy Institute, is a past chairman of the Edison Electric Institute, and is a co-chairman of the National Commission on Energy Policy, an industry and environmental organization dealing with climate change. He is a member of the boards of directors of Sunoco and the Northern Trust Company. In January 2008, Institutional Investor named Rowe the best electric utilities CEO in America. Rowe is committed to a wide variety of civic and charitable activities, with a focus on education, science, history and diversity. He serves as chairman of Chicago’s Commercial Club, the Illinois Institute of Technology and the Chicago History Museum, and is a member of the boards of the Field Museum, the Civil War Museum of Philadelphia, the Wisconsin Alumni Research Foundation and the Morgridge Institute for Research. Along with his wife, Jeanne, and son, William, he established the Rowe Family Charitable Trust. The Rowes and the Family Trust have founded the Rowe Professorship of Architecture and the Rowe Family Endowed Chair in Sustainable Energy at IIT, the Rowe Professorship of Byzantine History and the Rowe Family Professorship in Greek History at the University of Wisconsin, and the Curator of Reptile Fossils at the Field Museum. The Trust also co-founded the Rowe-Clark Math and Science Academy in Chicago’s West Humboldt Park neighborhood. The Rowes serve as patrons of the Pope John Paul II parochial school on Chicago’s southwest side. Rowe has been widely recognized for his civic and professional leadership. Recent awards include the Edison Electric Institute Distinguished Leadership Award (2009), the Chicagoland Chamber of Commerce’s Daniel H. Burnham Award for Business and Civic Leadership (2008), induction into the Junior Achievement’s Chicago Business Hall of Fame (2008), Illinois Holocaust Museum’s Humanitarian award (2008), Civic Federation of Chicago’s Lyman Gage Award for Outstanding Civic Leadership (2008), the National Latino Education Institute Corporate Leadership Award (2008), University of Arizona’s Executive of the Year Award (2007), the Union League of Philadelphia’s Founder’s Award for Business Leadership (2005), the American Jewish Committee’s Civic Leadership Award (2004), El Valor’s Corporate Visionary Award (2003), the City Club of Chicago’s Citizen of the Year Award (2002), and the Anti-Defamation League's World of Difference Award (2000). Rowe holds undergraduate and law degrees from the University of Wisconsin, where he was elected to Phi Beta Kappa and the Order of the Coif. He has also received that university’s Distinguished Alumni Award. Rowe holds honorary doctorates from the University of Wisconsin, DePaul University, Illinois Institute of Technology, Drexel University, University of Massachusetts-Dartmouth, Bryant College and Thomas College. Rowe and his wife, Jeanne, reside in Chicago, as does their son, William, an associate with the law firm of Skadden, Arps, Slate, Meagher and Flom.

Deborah M. Fretz was named President and Chief Executive Officer of Sunoco Logistics Partners, L.P., an owner and operator of refined product and crude oil pipelines and terminal facilities, in October 2001. Ms. Fretz previously served as Senior Vice President, Mid-Continent Refining, Marketing & Logistics, of Sunoco, Inc., an energy company, from December 2000 to October 2001 and Senior Vice President, Lubricants and Logistics, from January 1997 to December 2000.

As chief estimator for Sunoco, Inc., Barney managed and prepared cost estimates, bid analyses, planning with cost by activity loadings for a least cost-least time project management control system, with ongoing productivity and cost analysis projections. His expertise has effectively controlled engineering, materials expediting, and field construction activities for projects of $5000 to $150MM in size. In addition to petroleum industry expertise, Barney's background includes coal handling facilities, pilot plant estimating, engineering controls, "large ticket" leasing (off balance sheet financing) multi-structure and paving projects, offsites, and preparing delay and disruption claims analyses including asbestos removal. As the Base Civil Engineering Officer for the New Jersey Air National Guard unit at McGuire Air Force Base until 1988, he developed an in-depth background in Government specifications and reporting procedures and presentations. He has worked short and/or long term in eight foreign countries as a field engineer, cost engineer, and project engineer.

Mr. Murphy was elected Vice President and Chief Financial Officer in April 2007. From 2004 to April 2007, Mr. Murphy was Vice President and Chief Financial Officer for Quaker Chemical Corporation. From January 2002 to July 2004, Mr. Murphy was Senior Vice President and Chief Financial Officer at International Specialty Products.

Mr. Fischer was elected to the Board of Directors in April 2002. Mr. Fischer has been Senior Vice President, Sunoco Chemicals of Sunoco, Inc. since January 2002. Prior to that, he was Vice President, Sunoco Chemicals from November 2000 to January 2002.

Mr. Davis was elected Vice President, General Counsel and Secretary in November 2003. From September 2000 to November 2003, Mr. Davis was Associate General Counsel for Mirant Corporation.

Mr. Keene was elected Vice President, Business Development in January 2005. From February 2002 to December 2004, Mr. Keene was the Director of Midstream Development for Unocal Midstream & Trade, a division of Unocal Corporation. Prior to that, he had been Director of Business Development and Vice President of Unocal Pipeline Company since April 1999.

Mr. Justin was elected Vice President, Operations in April 2007. From November 2001 to April 2007, he served as Vice President, Eastern Operations. Prior to that, Mr. Justin served as Manager, Eastern Area Operations for Sun Pipe Line Company.

Mr. Delaney was elected to the Board of Directors in September 2007. Mr. Delaney has been Vice President, Investor Relations and Planning for Sunoco, Inc. since January 2003.

Mr. Galtman was elected Controller in July 2008. Mr. Galtman joined the company in 2005 and previously served as Assistant Controller and, most recently, as Manager of Financial Planning and Analysis.

Mr. Berry was elected to the Board of Directors in March 2003. He is currently a consultant in the energy field.

Ms. Fairbairn is President and Chief Executive Officer of Fairbairn Group, LLC, specializing in human resources and executive management consulting since April 2005. She served as Executive Vice President, Human Resources and Quality, of American Express Company, from 1996 until her retirement in April 2005. She is also a director of Centex Corporation, Sunoco Inc., and VF Corporation.
