We are a Delaware corporation organized in 1993 as the unitary savings and loan association holding company of Astoria Federal Savings and Loan Association and its consolidated subsidiaries, or Astoria Federal. We are headquartered in Lake Success, New York and our principal business is the operation of our wholly-owned subsidiary, Astoria Federal. Astoria Federal's primary business is attracting retail deposits from the general public and investing those deposits, together with funds generated from operations, principal repayments on loans and securities and borrowings, primarily in one-to-four family mortgage loans, multi-family mortgage loans, commercial real estate loans and mortgage-backed securities. To a lesser degree, Astoria Federal also invests in construction loans and consumer and other loans, U.S. government, government agency and government-sponsored enterprise, or GSE, securities and other investments permitted by federal banking laws and regulations. Our results of operations are dependent primarily on our net interest income, which is the difference between the interest earned on our assets, primarily our loan and securities portfolios, and the interest paid on our deposits and borrowings. Our net income is also affected by our provision for loan losses, non-interest income, general and administrative expense and income tax expense. ...

George L. Engelke, Jr., is Chairman and Chief Executive Officer of Astoria Financial Corporation (NYSE:AF), and its subsidiary Astoria Federal Savings and Loan Association. A certified public accountant, Mr. Engelke joined Astoria in 1971, after specializing in audit and tax work for savings and loan associations for Peat, Marwick, Mitchell & Co., predecessor to KPMG, LLP. At Astoria, Mr. Engelke initially served as Vice President and Treasurer, was named Executive Vice President in 1974, a member of the Board of Directors in 1983, Chief Operating Officer in 1986, and President and Chief Executive Officer in 1989. Mr. Engelke was elected Chairman of the Board in 1997. As part of his personal commitment to the communities Astoria serves, particularly on the issues of affordable housing, homeownership and community revitalization, Mr. Engelke served as a member of the Board of Directors of the Federal Home Loan Bank of New York for fifteen years, the last two years as Chairman, and is currently a member of the Board of Directors of the Community Preservation Corporation, where he also previously served as Chairman. Mr. Engelke is also an active member of the Board of Trustees of Long Island University and the Advisory Board of Directors of Neighborhood Housing Services of New York City, Inc. Mr. Engelke is a member of the Board of Directors of the New York Bankers Association. In addition to holding member positions on various committees of America’s Community Bankers (now American Bankers Association), Mr. Engelke previously served as a member of the Financial Accounting Standards Advisory Council. A graduate of Lehigh University, Mr. Engelke holds a Bachelor of Science Degree in Business Administration.

Ralph F. Palleschi , a certified public accountant, has been a director of AFC and the Association since 1996. Arnold K. Greenberg has served as Executive Vice President of AFC since December 1997 and as Senior Vice President from its formation in 1993 to 1997. He is responsible for banking operations, human resources and the general services and facilities areas of the Association. He joined the Association in 1975 as Vice President and was appointed Senior Vice President in 1979 and Executive Vice President in 1997. John J. He served as Chairman of the Board of Directors of LIB and of LISB from 1994. Prior to joining LISB in 1993, Mr. Conefry was employed by Merrill Lynch, Pierce, Fenner & Smith, Inc., as a Senior Vice President from 1981 to 1993.
