In his role as Chief Financial Officer, Gerald has broad responsibility for all aspects of Asurion's financial strategy and operations. Gerald is also involved in the Company's international growth strategy and the Company's corporate development efforts. Prior to joining Asurion in 1999, Gerald advised companies in a number of industries on a wide variety of financial and strategic matters as an investment banker with Goldman, Sachs & Co. in San Francisco, Hong Kong and New York. Gerald has also worked for Hambrecht and Quist, LLC, and Toronto Dominion Capital. He holds an MBA from the Graduate School of Business at Stanford University, where he was an Arjay Miller Scholar, and a bachelor's degree in commerce with honors from Queen's University.

Ben is responsible for subscriber and revenue growth, maintenance and daily activities of Asurion's wireless carrier client base and leadership of the company's entire client services team. He brings over eighteen years of experience in the wireless industry to Asurion. Most of Ben's career has been with Verizon Wireless/GTE, where he served in several senior management positions including Area President for South Central Area of Verizon Wireless, Vice President of Sales at GTE Wireless, and VP/GM for GTE Wireless California. Ben also served as President for AT&T Wireless in their fixed wireless business. Ben lives in the Dallas area with his wife and two daughters and is a graduate of Michigan State University.

Gregg Wm. Givens, age 48, joined the Company in 1996 as an officer and has served as Vice President and Chief Accounting Officer since 1999.

As the Chairman of Asurion, a wireless services provider of insurance, warranties and road-side assistance, Mr. Taweel guides the company's growth and success in close cooperation with executive management and the board of directors. He co-founded Asurion in 1994. Prior to launching the company, he was the president of Mill River Corporation, an investment company. He also has experience in Mergers & Acquisitions investment banking with Salomon Brothers. He earned an M.B.A. from Stanford University's Graduate School of Business and holds a bachelor's degree in mechanical engineering from McGill University. Mr. Taweel is a recent recipient of the prestigious Ernst & Young Entrepreneur of the Year award.

Mr. Grousbeck is a Consulting Professor of Management at Stanford Business School, where he began teaching in 1985. From 1981 to 1985, Mr. Grousbeck was a Lecturer at Harvard University, Graduate School of Business Administration. Mr. Grousbeck was a co-founder of Continental Cablevision, Inc. where he served as President from 1964 to 1980 and Chairman of the Board of Directors from 1980 to 1985. Continental Cablevision was sold to U.S. West Media Group in November 1996 for over $11 billion. Mr. Grousbeck is a graduate of Amherst College and the Harvard Business School. He is currently on the Board of Directors of Alta Colleges, Inc.; Asurion Corporation; Carillon Assisted Living, LLC; Braden Partners, LP; and the Hewlett Foundation.

Mr. Peterson has been a Director of the company since its founding. Mr. Peterson is currently on the Board of well-known companies such as JetBlue and Franklin Covey. He is Managing Partner of Peterson Ventures, Inc. and a lecturer at the Graduate School of Business at Stanford University. He is the former National Managing Partner of Trammell Crow Company, a position he held from 1988 to 1991. Between 1973 and 1988, he held a variety of other management positions with Trammell Crow. Mr. Peterson serves on the boards of numerous companies, foundations, organizations and schools. He holds an MBA from the Harvard Graduate School of Business Administration and a Bachelor of Science (summa cum laude) from Brigham Young University.

Peter Wilde is a Managing Director of Providence. Mr. Wilde is currently a director of Education Management Corp., Kerasotes Theatres, Inc., Medical Media Holdings, Pluris Inc. and Survey Sampling International and is chairman of Colorado Cinema Group, Study Island LLC and The Vendome Group. Prior to joining Providence in 2002, Mr. Wilde had most recently been a General Partner at BCI Partners, where he began his career in private equity investing in 1992. While at BCI, he was involved in many of BCI's investment activities in traditional media (broadcasting, cable and content), education and marketing services (data services, direct marketing and teleservices). Prior to BCI, Mr. Wilde had been at LaSalle Partners in the acquisitions group. Mr. Wilde received a Master of Business Administration from Harvard Business School and a Bachelor of Arts from Colorado College.

Thomas A. McDonnell, age 63, has served as director of the Company since 1971. He has served as Chief Executive Officer of the Company since October 1984 and as President of the Company since January 1973 (except for a 30 month period from October 1984 to April 1987). He served as Treasurer of the Company from February 1973 to September 1995 and as Vice Chairman of the Board from June 1984 to September 1995. He is a director of Blue Valley Ban Corp, Commerce Bancshares, Inc., Euronet Worldwide, Inc., Garmin Ltd., and Kansas City Southern Industries, Inc.
