George F. Raymond became a director of the Company in July 1997. He is a private investor and software industry consultant. He is a director of BMC Software Inc., a Houston-based, publicly held software firm. He is also a director of Atlantic Data Services, Balance Bar Co. as well as several privately held software companies. Raymond founded Automatic Business Centers, Inc. (ABC), a payroll processing company, in 1972 and sold the company to CIGNA in 1983. Raymond and other members of ABC's management repurchased ABC in 1986 from CIGNA and sold ABC to Automatic Data Processing (ADP) in 1989. In 1986, he was chairman of ITAA, the computer software and services trade association.

As co-founder, President and Chief Executive Officer, Mr. Gallagher is responsible for the strategic management of Business Development, Professional Services, Finance, Human Resources, Recruiting, and MIS at ADS. Mr. Gallagher is a frequent speaker at ABA conferences and other related financial services forums.

Paul K. McGrath has been senior vice president, Finance and Administration, and chief financial officer of ADS since January 1998 and treasurer and clerk since October 1998. As chief financial officer, Mr. McGrath played a key role in preparing ADS to become a public company on May 22, 1998. He also has the primary responsibility for the investor relation function of the Company.

As executive vice president, corporate development with the firm, Mr. Cahill is responsible for three aspects of ADS' strategy - working with the executive management team to assess and refine ADS' corporate directions, developing alliance partnerships, and working with the Business Development Managers to develop account strategies consistent with the company's direction and overall capabilities.

As co-founder and Chairman, Mr. Howe is responsible for the overall management, strategic planning and financial forecasting for ADS. Assisting financial institutions manage change through industry insight and project management discipline, ADS has helped more than 300 leading North American institutions in the execution of their growth strategies and operational investments. Mr. Howe is currently a member of the Board of Director's of the Darling Consulting Group, Cognizant Technology Solutions, and the Lee Kennedy Company. He is former Chairman of the Board of Trustees of Boston College High School and is a member of the Finance Advisory Board of Boston College. Mr. Howe holds a bachelor's degree in business administration from Boston College and a banking degree from the Graduate School of Savings Banking at Brown University. He currently resides in Scituate, Mass.
