Spencer Schwartz is one of the newest members of the team, responsible for the oversight of accounting functions for Atlas Air Worldwide Holdings, Inc. and its subsidiaries, including corporate accounting and financial reporting, tax, accounts payable, payroll, international accounting, and the continued development and improvement of internal controls and procedures.
He comes to AAWW from MasterCard, bringing broad experience in financial management, risk analysis, strategic planning, accounting, budgeting, forecasting, financial analysis, auditing, tax and other disciplines.
In his most recent role at MasterCard, Mr. Schwartz served as Senior Vice President, Business Financial Officer for Global Product Development, responsible for all financial, strategic and planning activities for the product development and risk operations of one of the world's largest payment companies.
Mr. Schwartz began his career at the accounting firm PricewaterhouseCoopers. He is a certified public accountant with an MBA from New York University's Stern School of Business. He has a bachelor's degree in accounting from Penn State
With nearly 30 years of aviation experience, Bob Kiss is responsible for ensuring the company's worldwide stations operate safely and are compliant with industry and local regulations. Prior to his recent promotion, Mr. Kiss was the company's Senior Director of Ground Operations Standards and Training, based at AAWW's training center in Miami. In that role he was responsible for ground operations training, dangerous goods management, and procedures standardization. Charles (Chuck) Windeknecht is responsible for leading the Internal Audit function: a key component of the Company's risk management process. Internal Audit is responsible for the delivery of financial, operational, information technology and legal/regulatory audits, including the annual testing for Sarbanes-Oxley compliance. Chuck is a seasoned audit and risk executive with 25 years of diverse corporate and industry experience. Ed McGarvey is an experienced finance executive with a deep background in aviation finance, structured finance, and banking. Mr. McGarvey joined the company in March 2009 from HSH Nordbank, where he was Senior Vice President, Head of Aviation Americas, responsible for finance and business development for the bank's aviation finance unit.
Prior to HSH Nordbank, Mr. McGarvey was a Vice President in the Capital Markets group at GE Commercial Aviation Services (GECAS) from 1996 to 2006. He played an active role in portfolio and securitization initiatives.
As the company's Treasurer, Mr. McGarvey is responsible for capital markets and corporate finance efforts as well as banking, cash management, insurance, hedging and investor relations activities.
Mr. McGarvey is a certified public accountant with a B.S. in accounting from Manhattan College.
Gary Wade is responsible for Global Security at AAWW. He joined the Company in 2002 with more than 32 years of experience in Federal Law Enforcement.
Prior to coming to Atlas Mr. Wade served as the Special Agent in Charge of the Federal Air Marshal Service at Atlanta's Hartsfield International Airport. Previously, he was a Special Agent for the Drug Enforcement Administration for over 30 years, assigned to offices in Detroit, Miami, Washington, D.C. and Quantico VA
Among his assignments with DEA, was manager of DEA's Undercover Training Programs for four years and Chief of the Agency's Office of Congressional Affairs. He was subsequently selected to participate in the Department of Justice's Executive Exchange Program and was assigned for one year to FBI Headquarters as the Senior Drug Policy Advisor. Mr. Wade retired from DEA in 2002 as the Special Agent in Charge of the DEA Training Academy in Quantico VA.
Mr. Wade received his Bachelor's Degree in Industrial Management and Marketing from West Virginia University and attended Graduate School at the University of Virginia.
Adjunct to his duties at Atlas, Air Mr. Wade serves on the International Association of Chiefs of Police Homeland Security Committee and the Air Mobility Command's Phoenix Mentor Program for Security Forces
Greg Guillaume is responsible for all aspects of financial planning and analysis at Atlas Air Worldwide Holdings including the annual operating budget, capital budget, long-term financial forecasts, fleet planning and analysis, project-specific analysis and support for financial and strategic decision-making at the company. Greg is a seasoned financial executive with diverse corporate leadership. Prior to joining AAWW in 2007, he served as Vice President of Finance and Controller of ASTAR Air Cargo, Inc. and earlier served in a series of financial management positions with increasing responsibilities at US Airways Group, Inc., culminating in his role as Managing Director, Finance. Jeffrey Carlson was named Vice President of Flight Operations in September 2008. A veteran captain, Mr. Carlson joined AAWW from Spirit Airlines, where he served as vice president of flight operations. He is responsible for all of flight operations, including hiring, training, operations control, flight dispatch and crew scheduling at both Atlas Air and Polar Air Cargo Worldwide. Mr. Carlson, a former chief pilot and vice president of flight operations at Northwest Airlines, has more than 15,000 hours of flying time on numerous aircraft, including the Boeing 747-400, a type operated by both Atlas and Polar. Among his achievements at Northwest, he partnered with Boeing to launch the Boeing 747-400 training program, which remains the industry standard today. As Vice President of System Operations, Kevin Sarubbe helps to ensure the fleet plan reflects the needs of customers, from planning through the completion of every flight. He is responsible for coordinating among departments, including Sales and Marketing, Maintenance, Crew Resources, Flight Operations and Ground Operations for the best possible customer experience. Mr. Sarubbe joined Atlas Air in 1999 and has held several key management positions in areas such as Permitting and Government Affairs, where he supervised international regulatory compliance for over-flight and landing permits under Atlas Air and Polar Air Cargo route authority, and System Control, where is was responsible for managing every flight from planning to landing in the company's Global Control Center.
Mark S. Swearingin is responsible for all aspects of the Company's global maintenance and engineering activities and strategy, including the most efficient means of maintaining AAWW's aircraft fleet and the most effective ways to improve maintenance costs.
Mr. Swearingin, who joined AAWW in July 2007, has a broad range of experience in aircraft maintenance and engineering. Prior to joining the Company, Mr. Swearingin served as Vice President, Technical Operations for SH&E Air Transport Consultancy, the world's largest air transport consulting firm, where he was responsible for growing the airline-managed services practice. He also has held key positions at Air Canada Technical Services, Midwest Airlines, USAirways and UPS Airlines.
Mr. Swearingin is a graduate of Purdue University with a bachelor's degree in aviation technology. He holds airframe and powerplant licenses and a private pilot rating from the Federal Aviation Administration.
Richard Barnes is responsible for delivering information services throughout the company as part of the enterprise IT strategy to meet business objectives. Prior to joining AAWW in 2003, Mr. Barnes consulted to Atlas Air, Inc. and several Fortune 500 companies in the areas of Enterprise Resource Planning (ERP) and e-business implementations in his role as a manager for Modus Solutions, Inc. He previously was global Director of Information Strategy for the Polaroid Corporation's manufacturing operations. Mr. Barnes has more than 20 years of experience delivering information services to a wide variety of industries. James S. Gilmore III is a former Governor of Virginia and a partner at the law firm of Kelley Drye and Warren, where he practices corporate and technology law. Mr. Gilmore is also president of USA Secure, a homeland-security public policy think tank based in Washington, DC. Mr. Gilmore was elected Commonwealth's Attorney in his home county of Henrico in 1987 and 1991, and was elected Virginia Attorney General in 1993 and Governor in 1997. Former Governor Gilmore created the nation's first secretariat of technology, established a statewide technology commission, and signed into law the nation's first comprehensive state Internet policy.

Robert F. Agnew is President and Chief Executive Officer of Morten Beyer & Agnew, an international aviation consulting firm experienced in the financial modeling and technical due diligence of airlines and aircraft funding. Mr. Agnew has over 30 years experience in aviation and marketing consulting and has been a leading provider of aircraft valuations to banks, airlines and other financial institutions worldwide. Previously, he served as Senior Vice President of Marketing and Sales at World Airways.
Mr. Agnew began his commercial aviation career at Northwest Airlines, where he concentrated on government and contract sales, schedule planning and corporate operations research. Earlier, he served in the U.S. Air Force as an officer and instructor navigator with the Strategic Air Command. Mr. Agnew is a graduate of Roanoke College and holds a master's degree in business administration from the University of North Dakota.
In addition, Mr. Agnew serves on the board of The National Defense Transportation Association and chairs the Military Airlift Committee for the Commander of the USAF Air Mobility Command.

Mr. Cocroft is a private investor who retired in March 2004 from Cendant Corporation, a provider of consumer and business services primarily in the travel and real estate services industries. Mr. Cocroft was Executive Vice President Finance and Treasurer of Cendant and Executive Vice President and Chief Financial Officer of PHH Corporation, Cendant's wholly-owned finance subsidiary. Keith E. Butler is the sole owner of BCS Placements, LLC, a broker dealer registered with the National Association of Securities Dealers, Inc. Mr. Butler joined Paine Webber in 1997, which later merged with UBS Warburg, a global securities and investment banking firm. He is currently a financial advisor and was an investment banker with UBS Warburg until 2003.
Mr. Butler's focus was on the transportation sector (air, shipping and rail), including the financing of freighter aircraft. Before Paine Webber merged with UBS, Mr. Butler was a Managing Director at Paine Webber, where he launched and built the first structured finance product group for transportation assets, and at Alex Brown, where he initiated the transportation debt practice.

He is the founder and managing member of TJB Management Consulting, LLC, which specializes in providing project-specific consulting services to businesses in transformation. Mr. Bernlohr was formerly president and CEO of RBX Industries, Inc., a designer, manufacturer and marketer of closed-cell rubber and plastic materials for the automotive, construction and industrial markets.
