Atlas America Inc.

Edward E. Cohen has been our Chairman of the Board and Chief Executive Officer since our formation in 2006. He has been the Chief Executive Officer and President of Atlas America since its formation in September 2000. He has been Chairman of the Board of Resource America, Inc. (a publicly-traded specialized asset management company) since 1990 and was its Chief Executive Officer from 1988 until 2004, and President from 2000 until 2003. In addition, Mr. Cohen has been Chairman of the Managing Board of Atlas Pipeline Partners GP, LLC, the general partner of Atlas Pipeline Partners, L.P., since its formation in 1999, Chairman of the Board and Chief Executive Officer of Atlas Pipeline Holdings GP, LLC, the general partner of Atlas Pipeline Holdings, L.P., since its formation in January 2006. He is also Chairman of the Board of Resource Capital Corp. (a publicly-traded real estate investment trust) since its formation in September 2005, a Director of TRM Corporation (a publicly-traded consumer services company) since 1998 and Chairman of the Board of Brandywine Construction & Management, Inc. (a property management company) since 1994.

Freddie M. Kotek. President and Chief Executive Officer since January 2002 and Chairman of the Board of Directors since September 2001. Mr. Kotek has been Executive Vice President of Atlas America since February 2004, and served as a director from September 2001 until February 2004 and served as Chief Financial Officer from February 2004 until March 2005. Mr. Kotek was a Senior Vice President of Resource America, and President of Resource Leasing, Inc. (a wholly-owned subsidiary of Resource America) from 1995 until May 2004 when he resigned from Resource America and all of its subsidiaries which are not subsidiaries of Atlas America. Mr. Kotek was President of Resource Properties from September 2000 to October 2001 and its Executive Vice President from 1993 to August 1999. Mr. Kotek received a Bachelor of Arts degree from Rutgers College in 1977 with high honors in Economics. He also received a Master in Business Administration degree from the Harvard Graduate School of Business Administration in 1981. Mr. Kotek will devote approximately 95% of his professional time to the business and affairs of the MGP and Atlas America, Atlas Energy Resources, LLC and Atlas Energy Management, Inc., and the remainder of his professional time to the business and affairs of the MGP's other affiliates.

Lisa Washington , 41, has been the Chief Legal Officer and Secretary of our general partner since November 2005 and a Senior Vice President since October 2008. Ms. Washington has been the Chief Legal Officer and Secretary of Atlas Holdings GP since January 2006 and a Senior Vice President since October 2008. Ms. Washington was a Vice President of Atlas Holdings GP from January 2006 until October 2008. Ms. Washington also has been the Chief Legal Officer and Secretary of Atlas America since November 2005 and a Senior Vice President since July 2008. Ms. Washington was a Vice President of Atlas America from November 2005 until July 2008. She is also the Chief Legal Officer and Secretary of Atlas Energy and Atlas Energy Management, positions she has held since their formation in 2006. Ms. Washington was Vice President of Atlas Energy from 2006 until July 2008, when she became a Senior Vice President. From 1999 to 2005, Ms. Washington was an attorney in the business department of the law firm of Blank Rome LLP.

Matthew A. Jones has been our Chief Financial Officer and a Director since our formation. He has been the Chief Financial Officer of Atlas America and of Atlas Pipeline Partners GP since 2005. He has been the Chief Financial Officer of Atlas Pipeline Holdings GP since January, 2006 and a Director since February, 2006. From 1996 to 2005, Mr. Jones worked in the Investment Banking Group at Friedman Billings Ramsey, (FBR), concluding as Managing Director. Mr. Jones worked in FBR's Energy Investment Banking Group from 1999 to 2005 and in FBR's Specialty Finance and Real Estate Group from 1996 to 1999. Mr. Jones is a Chartered Financial Analyst.

Daniel Herz has been our Senior Vice President of Corporate Development since August 2007. He has also been the Senior Vice President of Corporate Development of Atlas Energy Resources LLC, Atlas Pipeline Partners GP and Atlas Pipeline Holdings GP since August 2007. Before that, Mr. Herz was Vice President of Corporate Development of Atlas America and Atlas Pipeline Partners GP from December 2004 and of Atlas Pipeline Holdings GP from its formation in January 2006. Mr. Herz joined Atlas America and Atlas Pipeline Partners GP in January 2004. Prior to joining Atlas America and Atlas Pipeline Partners GP, Mr. Herz was an Associate Investment Banker with Banc of America Securities from 2002 to 2003 and an Analyst from 1999 to 2002.

Eugene N. Dubay has been President and Chief Executive Officer of our general partner since January 2009. Mr. Dubay has served as a member of the managing board of our general partner since October 2008, where he served as an independent member until his appointment as President and Chief Executive Officer. Mr. Dubay has been the President and Chief Executive Officer of Atlas Pipeline Mid-Continent, LLC since January 2009. Mr. Dubay was the Chief Operating Officer of Continental Energy Systems LLC (a successor to SEMCO Energy) since 2003. Mr. Dubay has also held positions with ONEOK, Inc. and Southern Union Company and has over 20 years experience in midstream assets and utilities operations, strategic acquisitions, regulatory affairs and finance. Mr. Dubay is a certified public accountant and a graduate of the U.S. Naval Academy.

Jack L. Hollander has been Senior Vice President of Direct Participation Programs since January 2002 and before that he served as Vice President of Direct Participation Programs from January 2001 until December 2001. Mr. Hollander also serves as Senior Vice President of Direct Participation Programs of Atlas America since January 2002. Mr. Hollander practiced law with Rattet, Hollander & Pasternak, concentrating in tax matters and real estate transactions, from 1990 to January 2001, and served as in-house counsel for Integrated Resources, Inc. (a diversified financial services company) from 1982 to 1990. Mr. Hollander earned a Bachelor of Science degree from the University of Rhode Island in 1978, his law degree from Brooklyn Law School in 1981, and a Master of Law degree in Taxation from New York University School of Law Graduate Division in 1982. Mr. Hollander is a member of the New York State bar and the Chairman of the Investment Program Association, which is an industry association, as of March 2005. Mr. Hollander has been a registered representative of Anthem Securities since November 2004. Mr. Hollander devotes approximately 100% of his professional time to the business and affairs of the managing general partner, Atlas America, ATN and Atlas Management.

Marci F. Bleichmar has been our Senior Vice President of Marketing since May 2008 and before that, Vice President of Marketing from February 2001 through May 2008. Ms. Bleichmar also serves as Senior Vice President of Marketing for Atlas Energy Resources since May 2008 and was Vice President of Marketing from February 2001 through May 2008. She was with Resource America from February 2001 until May 2004 when she resigned from Resource America. From March 2000 until February 2001, Ms. Bleichmar served as Director of Marketing for Jacob Asset Management (a mutual fund manager), and from March 1998 until March 2000, she was an account executive at Bloomberg Financial Services LP. From November 1994 until 1998, Ms. Bleichmar was an Associate on the Derivatives Trading Desk of JP Morgan. Ms. Bleichmar has been a registered representative of Anthem Securities since October 2001. Ms. Bleichmar received a Bachelor of Arts degree from the University of Wisconsin in 1992. Ms. Bleichmar devotes approximately 100% of her professional time to the business and affairs of Atlas Resources, Atlas America, ATN and Atlas Management.

Donald R. Laughlin has been our Vice President of Drilling and Production for Atlas America since January 2002, and before that served as Senior Drilling Engineer since May 2001 when he joined Atlas America. He has also been Vice President of Drilling and Production since September 2001 for the managing general partner of the partnership programs. Mr. Laughlin also serves as Mr. Laughlin has been Vice President of Drilling and Production of Atlas Energy Management, Inc. since 2006. Mr. Laughlin has over thirty years of experience as a petroleum engineer in the Appalachian Basin, having been employed by Columbia Gas Transmission Corporation from October 1995 to May 2001 as a senior gas storage engineer and team leader, Cabot Oil & Gas Corporation from 1989 to 1995 as Manager of Drilling Operations and Technical Services, Doran & Associates, Inc. from 1977 until 1989 as Vice President of Operations, and Columbia Gas from 1970 to 1977 as Drilling Engineer and Gas Storage Engineer. Mr. Laughlin received his Petroleum Engineering degree from the University of Pittsburgh in 1970. He is a member of the Society of Petroleum Engineers. Mr. Laughlin devotes approximately 100% of his professional time to the business and affairs of the managing general partner, Atlas America, ATN and Atlas Management.

Michael G. Hartzell has been our Vice President of Land Administration of since January 2002, and before that served as Senior Land Coordinator from January 1999 to January 2002. He has also been Vice President of Land Administration since September 2001 for the managing general partner of the partnership programs. Mr. Hartzell has been Vice President of Land Administration of Atlas Energy Management, Inc. since 2006. Mr. Hartzell has been with the managing general partner and its affiliates since 1980 when he began his career as a land department representative. Mr. Hartzell manages all Land Department functions. Mr. Hartzell serves on the Environmental Committee of the Independent Oil and Gas Association of Pennsylvania and is a past Chairman of the Committee. Mr. Hartzell received his Bachelor of Science degree in Business Management from the University of Phoenix in 2004. Mr. Hartzell devotes approximately 100% of his professional time to the business and affairs of the managing general partner, Atlas America, ATN and Atlas Management.

Frank P. Carolas has been an Executive Vice President since January 2001 and served as a director from January 2002 until February 2004. Mr. Carolas has been a Senior Vice President of Atlas Energy management since its formation in June 2006 and has been a Senior Vice President of Atlas Energy Resources since April 2007. Mr. Carolas was a Vice President of Resource America from April 2001 until May 2004, and has been Executive Vice President of Land and Geology and a director of Atlas Resources, LLC (Atlas Energy Resources' wholly-owned subsidiary which acts as the managing partner of its drilling partnerships) since January 2001. Mr. Carolas is a certified petroleum geologist and has been employed by Atlas Resources and its affiliates since 1981.

Jeffrey C. Simmons has been an Executive Vice President since January 2001 and was a director from January 2002 until February 2004. Mr. Simmons has been a Senior Vice President of Atlas Energy Management since its formation in June 2006 and Executive Vice President of Operations and a director of Atlas Resources since January 2001. Mr. Simmons has been a Senior Vice President of Atlas Energy Resources since April 2007. Mr. Simmons was a Vice President of Resource America from April 2001 until May 2004. Mr. Simmons joined Resource America in 1986 as a senior petroleum engineer and has served in various executive positions with its and our energy subsidiaries since then.

Dennis A. Holtz has been a director since February 2004. Mr. Holtz maintained a corporate law practice with D.A. Holtz, Esquire & Associates in Philadelphia and New Jersey from 1988 until his retirement in January 2008.

Gayle P.W. Jackson has been President of Energy Global, Inc., a consulting firm which specializes in corporate development, diversification and government relations strategies for energy companies, since 2004. From 2001 to 2004, Ms. Jackson served as Managing Director of FE Clean Energy Group, a global private equity management firm that invests in energy companies and projects in Asia, Central and Eastern Europe and Latin America. From 1985 to 2001, Ms. Jackson was President of Gayle P.W. Jackson, Inc., a consulting firm that advised energy companies on corporate development and diversification strategies and also advised national and international governmental institutions on energy policy. Ms. Jackson served as Deputy Chairman of the Federal Reserve Bank of St. Louis in 2004-2005 and was a member of the Federal Reserve Bank Board from 2000 to 2005. She is a member of the Board of Directors of Ameren Corporation, a publicly-traded public utility holding company, and of the Advisory Panel of Cleantech Private Equity, a London-based private equity buyout fund manager that invests in clean technology companies.

Harmon S. Spolan was elected a director in June 2002. He is a senior partner in the law firm of Cozen O'Connor, P.C., Philadelphia, Pennsylvania, which he joined in 1999, where he chairs the Financial Services practice group. Prior thereto, he was President, COO, and a director of JeffBanks, Inc., a commercial bank headquartered in Philadelphia, Pennsylvania, from 1977 to 1999, when he retired from the bank. He is a member of the Philadelphia, Pennsylvania, and American Bar Associations.

Jonathan Z. Cohen is Chief Executive Officer and a Director of Resource America, Inc. Jonathan has been Chief Executive Officer since 2004, President since 2003, and a Director since 2002. Previous roles include Chief Operating Officer from 2002 to 2004, Executive Vice President from 2001 to 2003 and Senior Vice President from 1999 to 2001. In addition, he has been Vice Chairman of the Managing Board of Atlas Pipeline Partners GP, LLC since its formation in 1999 and Vice Chairman and a Director of Atlas America, Inc. since its formation in 2000. Since 2003 he has been the general partner of Castine Partners, L.P., a financial services hedge fund. Mr. Cohen received a Bachelor of Arts degree from the University of Pennsylvania, and a Juris Doctor degree from American University's Washington College of Law. Mr. Cohen is a son of Edward E. Cohen.

Nicholas A. DiNubile has been a director since February 2004. Dr. DiNubile has been an orthopedic surgeon specializing in sports medicine since 1982. Dr. DiNubile has served as special advisor and medical consultant to the President’s Council on Physical Fitness and as Orthopedic Consultant to the Philadelphia 76ers basketball team. Dr. DiNubile is also Clinical Assistant Professor of the Department of Orthopedic Surgery at the Hospital of the University of Pennsylvania.
