Autoliv Inc. was started in 1997 as a merger of Europe's leading automotive safety company, Autoliv AB of Sweden, and Morton ASP (Automotive Safety Products), the leading airbag manufacturer in North America and Asia. Autoliv AB pioneered seatbelt technology in 1956, while Morton ASP had been a leader in airbag development and was involved in the launch in 1980 of the first airbag system that became a commercial success. In 1992, Autoliv began manufacturing textile cushions for driver airbags using its new one-piece-weaving (OPW) technology. This patented technology turned out to be instrumental for the Inflatable Curtain, which was introduced in 1998. Autoliv AB was acquired in 1974 by Granges Weda AB, which had manufactured seatbelt retractors since the 1960's. In 1980, the Granges Group (later re-named SAPA) was acquired by Electrolux. In 1984, the name of Granges Weda was changed to Electrolux Autoliv.

Marika Fredriksson was appointed Senior Vice President Finance & CFO of Volvo Construction Equipment in September 2004. She is responsible for the overall financial management of the company globally, and is based in the Volvo Construction Equipment Headquarters office in Brussels, Belgium. Prior to this appointment, she was Senior Vice President and CFO of Volvo CE International AB, in Eskilstuna, Sweden where she started eight years earlier as Area Manager in the Finance department. She later became Finance Director and as such placed high focus on Sales Finance. Prior to joining Volvo CE International, Marika worked as a Management Consultant in Lithuania. She also held the MD position for Cafir Trade AB, a trading company, and worked with International Banking at Svenska Handelsbanken in Stockholm, Sweden. Marika Fredriksson holds a Masters in Business Administration from the Swedish School of Economics and Business Administration in Helsinki, Finland where she graduated in 1987. Mr. Wallin performed the functions of the CFO between May 15 and September 1, 2008, when Ms. Fredriksson started with the Company. Over time, the Company has developed a compensation philosophy which integrates elements of Swedish and international compensation practices. Swedish executive compensation levels have historically been modest compared to European markets, and even more so compared to the market in the United States. Swedish compensation practices traditionally focus on the base salary levels necessary to recruit and retain executive talent to the company. As a consequence, base salary generally constitutes half of the total compensation of our named executive officers (excluding the executive s pension), reflecting a compromise between, on the one hand, the Swedish practice of lower total compensation but a relatively higher base salary, and on the other hand, the U.S. practice of higher total compensation but with a relatively higher at-risk component. The Company has also developed a practice of structuring and targeting incentives such that the value of long-term incentives normally is greater than that of short-term incentives. The Company has, by using variable incentive compensation, sought a balanced distribution of fixed and variable incentive compensation elements over time.
