Mr. Marucci was a founder of Celldex and Vice President, Chief Financial Officer, Treasurer and Secretary since May 2003 prior to his appointments to Executive Vice President in March 2008, President and Chief Executive Officer in October 2008, and the Board of Directors in December 2008. He was responsible for the asset acquisition of CDX-110 from Alteris Therapeutics, Inc. and the acquisition of Lorantis Limited (Cambridge, UK), as well as the AVANT Immunotherapeutics, Inc. and Celldex Therapeutics, Inc. merger completed during the first quarter of 2008. In addition, he was Treasurer of Medarex from December 1998 to March 2004, where he held a series of senior financial positions since December 1998. He is a member of the Board of Trustees of BioNJ and also serves as its Treasurer. Mr. Marucci received his M.B.A. from Columbia University.

Dr. Davis joined Celldex in 2006 as Vice President of Clinical Development and Chief Medical Officer and was appointed to Senior Vice President in March 2008. He was formerly Chief Medical Officer at GenVec and Senior Director of Clinical Science at Medarex. He has supervised clinical efforts in adult hematologic malignancies and marrow transplantation and therapeutic antibodies and vaccines at the Cancer Therapy Evaluation Program (CTEP) of the National Cancer Institute (NCI) and worked with Dr. Ron Levy on the development of rituximab and idiotype vaccines at Stanford University. Dr. Davis received his M.D. from Georgetown University and Oncology training at Stanford University.

Dr. Keler was a founder of Celldex and served as Vice President of Research and Discovery since May 2003 prior to his appointment to Senior Vice President and Chief Scientific Officer in March 2008. Previously, he was Senior Director of Preclinical Development and Principal Scientist at Medarex from September 1993 to March 2004. While at Medarex, he was responsible for the preclinical development of a number of Medarex clinical product candidates. In addition, Dr. Keler was responsible for the development of Celldex's core technology and related products. Dr. Keler received his Ph.D. in Microbiology from the University of Pennsylvania.

Mr. Schaller is the Chairman of the Board of Directors of Celldex and became a Director of Celldex in November 2006. Mr. Schaller has been a Director of Medarex, Inc. since its inception in 1987 and served as Chairman of the Medarex Board of Directors from 1987 - 1997. Since 1989, Mr. Schaller has been a chemical industry development consultant and, until June 2002, he served as a director of AstroPower, Inc., a major U.S. manufacturer of photovoltaic (PV) products, now part of General Electric. Mr. Schaller is a chemical engineering graduate of Yale University and is a graduate of the Harvard Business School Program for Management Development.

Mr. Elston became a Director of Celldex in March 2004 and is the Chief Financial Officer of Optherion, Inc., a privately held biopharmaceutical company located in New Haven, Connecticut. Mr. Elston has more than 20 years of financial and business expertise in the biotechnology and medical device industries. Before joining Optherion, Mr. Elston was with Elusys Therapeutics where he raised significant funding from government and private sources, completed multiple strategic collaborations with large pharmaceutical and biotechnology firms, and oversaw collaborations with the U.S. Department of Defense and the National Institutes of Health. Before joining Elusys, Mr. Elston was Chief Financial Officer of Trillium USA, Inc., where he established the financial and administrative functions for the Company’s multi-national operations. Previously, Mr. Elston was with C.R. Bard, Inc., an international manufacturer and distributor of medical devices, where he directed financial operations for multiple manufacturing facilities and successfully integrated strategic acquisitions; and with Price Waterhouse. Mr. Elston received his B.B.A. in Public Accounting from Pace University and is a Certified Public Accountant.

Mr. Conrad became a Director of Celldex in March 2004. Mr. Conrad was the former president of Roche Pharmaceuticals in the United States from 1982 until his retirement in 1993. Since then he has served on the boards of Dura, UroCor, Sicor, GenVec (chairman), Bone Care International (chairman) and was a co-founder of Reliant Pharmaceuticals. Mr. Conrad is currently chairman of Sapphire Therapeutics and is on the boards of Savient Pharmaceuticals, Pharmasset Inc., and Symphony Evolution. He received B.S. and M.S. degrees from Brooklyn College of Pharmacy and an honorary Doctorate in Humane Letters from Long Island University.

Ms. Lipton became a Director of Celldex in May 2001. She was appointed Chief Executive Officer of AABB in October 1994. Prior to AABB, she held senior positions for 10 years at the American Red Cross including Acting Senior Vice President, Biomedical Services (1993-1994) and General Counsel and Secretary (1990-1993). Prior to the American Red Cross, Ms. Lipton was a lawyer in private practice. She received her BA from Yale University and J.D. from Case Western Reserve University School of Law.

Mr. Ellberger became a Director of Celldex in August 2003. In October 2005, Mr. Ellberger was appointed interim Chief Executive Officer of PDI, Inc., where he had been serving as a Director and Chairman of the Audit Committee. Mr. Ellberger was a Board member and Senior VP of Powderject PLC from 1999-2003. Prior to joining Powderject, Mr. Ellberger was an officer of W.R. Grace & Co. from 1995 to 1999, serving as Interim Chief Executive Officer in 1997-1998, Chief Financial Officer from 1996 and Senior Vice President, Strategic Planning and Development from 1995. From 1975 to 1995, Mr. Ellberger held numerous senior executive positions at American Cyanamid Company, serving the last four years as Vice President, Corporate Development. In addition to his position at HVA, a healthcare transaction advisory firm, Mr. Ellberger is currently Chairman of the Board of Omrix Biopharmaceuticals, Inc. and is a Director of TransPharma Medical Ltd. and the Jewish Children’s Museum.

Dr. Parekh became a Director of Celldex in March 2004. He is a General Partner at Advent Venture Partners (UK) whom he joined in 2005. He was a co-founder and served as Chief Scientific Officer and Senior Vice President of Research and Development of Oxford GlycoSciences, plc (UK) from 1988 to 2003. Dr. Parekh is Chairman of Galapagos nv (Belgium) and currently serves on the Board of Directors of seven companies in the United States and Europe. He received his B.A. and D.Phil. degrees in Biochemistry and Molecular Medicine from the University of Oxford where he has also been a Visiting Professor.
