Board of Directors
Scott Morris is chairman of the board, president and chief executive
officer of Avista Corp. He was elected president in May 2006. In February
2007, the board of directors named Morris chairman and chief executive
officer of Avista Corp., effective Jan. 1, 2008. Avista Utilities is the company’s
regulated operating division, It serves over 348,000 electric customers in
eastern Washington and northern Idaho and provides natural gas service to
305,000 customers in eastern Washington, northern Idaho and parts of
Oregon. The company’s primary unregulated subsidiary is Advantage IQ.
Morris is an experienced utility executive who has served in a variety of
leadership positions in his 26 years with the company. He began his career
with Avista in 1981 in the company’s utility marketing division. In 1982, he
was promoted to customer service supervisor, and in 1984 he became
construction/customer service superintendent. In 1988 Morris was promoted
to customer service manager, and in 1991 he was promoted to general
manager for Avista’s Oregon and California utility business, serving in that
position until being named president of Avista Utilities in 2000. Additionally,
Morris was elected a corporate vice president in November 2000, and in
February 2002 he was elected a senior vice president for Avista Corp.
Morris is a graduate of Gonzaga University and received his master’s
degree from Gonzaga in organizational leadership. He also attended the
Stanford Business School Financial Management Program and the Kidder
Peabody School of Financial Management.
Morris is an active and involved member of the community. He serves on
the boards of the Washington Roundtable and Greater Spokane Incorporated.
He is on the board of trustees for Gonzaga University and is a board member
of the Western Energy Institute. In addition, he is a member of the board of
directors for ReliOn.
Morris completed a one-year term as board chairman of the Spokane
Regional Chamber of Commerce in 2004. He also chaired the Washington
Economic Development Commission for four years, a position he was
appointed to by former Gov. Gary Locke in 2002. Morris is a past board
member for Providence Health Services.
Morris and his wife, Liz, are the parents of four children.

James M. Kensok is vice president and chief information officer for
Avista Corp. He is responsible for the leadership and strategic advancement
of enterprise information technology strategies.
Kensok started his career with Avista in 1996 as an internal information
systems auditor. He has held positions as manager and director of
information systems for Avista Utilities, chief security officer for Avista Corp.
and has been the chief information officer for Avista Corp. over the past
several years. He is also a member of Avista’s Operations, and Economic
Development, and Strategic Councils.
Prior to joining Avista, he was the director of an information technology
professional services practice, and was the manager of technology support
services at a large international financial services software and computer
hardware development company.
Kensok has more than 25 years of national and international experience
in developing and managing information systems, network communications,
strategic sourcing, and executive leadership of advanced enterprise
technology environments.
Kensok is a vice chairman of the University of Idaho’s Utility Executive
Course advisory board, and an advisory board member of Eastern Washington
University (EWU) College of Science, Health and Engineering and Foundation
Board. He is also a member of the Western Energy Institute’s Corporate
Services program development team and the Edison Electric Institutes
Technology Advisory Board.
A graduate of EWU, Kensok and his wife, Wendy, live in Spokane with
their three children.

Malyn K. Malquist is executive vice president and chief financial officer
for Avista Corp., having joined the company in September 2002.
Malquist is a long-time industry executive and respected professional
with more than 24 years of experience in the utility sector in the western
United States. Malquist spent 16 years at San Diego Gas and Electric in a
variety of financial and management positions, including vice president of
finance and treasurer, director of information technology and manager of
financial services.
In 1994, Malquist joined Sierra Pacific Resources as chief financial
officer. He later went on to serve as chief executive officer and chairman of
the board of directors for Sierra Pacific.
Malquist comes to Avista from Truckee Meadows Water Authority in
Reno where he served as general manager for two years.
He is a graduate of Brigham Young University where he also earned his
master’s degree in business administration.
Throughout his career, Malquist has held leadership positions in a
variety of civic and industry organizations. He served as a member of the
board of directors for both the Edison Electric Institute and the Pacific Coast
Gas Association, and was a member of the board of Western Industrial
Nevada. His civic involvement has included board memberships for United
Way, the Boy Scouts of America, the Rotary Club of Reno, the Economic
Development Authority of Western Nevada, and the University of Nevada,
Reno Foundation. He has also been involved as a youth basketball coach for
20 years. Malquist currently serves on the boards of Headwaters
Incorporated, Daybreak Youth Services and Business Development
Corporation of Eastern Washington.
Malquist and his wife, Georgia, are the parents of five children, one of
whom is still living at home.

Marian Durkin is senior vice president, general counsel and chief compliance
officer for Avista Corp. As the chief legal officer, she provides counsel and
guidance to the Avista Corp. board of directors and officers on legal matters
relevant to the company and its subsidiaries. As chief compliance officer,
Durkin is responsible for coordinating and overseeing Avista’s ethics and
compliance programs.
Prior to joining Avista in 2005, Durkin was vice president deputy general
counsel and assistant secretary for United Airlines in Chicago. Her experience
also includes 18 years with the Minneapolis law firm of Briggs and Morgan,
P.A.
Durkin is a native of Narberth, Penn., and graduated from Manhattanville
College in Purchase, N.Y., with a degree in political science. She received her
law degree and LLM in taxation from William Mitchell College of Law in St.
Paul, Minn.
A frequent lecturer at legal conferences, Durkin has also served as an adjunct
professor at William Mitchell College of Law. She is currently on the board of
directors for Vanessa Behan Crisis Nursery and the board of trustees for the
Northwest Museum of Arts and Culture, both in Spokane. Durkin and her
husband, Terry, are the parents of two children.

Don Kopczynski is vice president for Avista Corp., and vice president of
transmission and distribution operations for Avista Utilities. Previously, he
was general manager of energy delivery for Avista Utilities. Kopczynski has
gained broad insights in the utility business, having worked for Avista for over
two decades.
Kopczynski began his career with Avista in 1979 as an electrical engineer.
Since then he has been promoted to various positions, including: district
manager, customer service manager, resource optimization manager, director
of generation and resources, director of engineering at Avista Labs, and
president of Avista Fiber. He also took the lead for the company on a number
of mergers and acquisitions.
A graduate of the University of Idaho, Kopczynski earned a bachelor of
science degree in Electrical Engineering in 1978. He later attended
Washington State University to attain a master’s degree in business and
Gonzaga University where he attained a master’s degree in organizational
leadership.
Kopczynski is a board member for various outside organizations including
the Eastern Washington University Foundation board, the Washington State
University engineering executive advisory board and the University of Idaho
Northern Idaho advisory board.

Woodworth received his Bachelor of Science degree in
wildlife biology from Washington State University in 1978. He is
also an alumnus of Columbia University’s Senior Executive

Woodworth began his career at Avista Corp. as a fish and
wildlife biologist in 1979. He was later promoted to hydro license
coordinator and then served as the administrator for all facility
licensing and related regulatory and resource management
agency relations. In 1990, he was tapped to help facilitate
corporate business planning and subsequently appointed as
strategic counsel to the company’s executive officer team. He
remained in this role while managing the company’s corporate
communications department, starting in 1992. He was appointed
as director of corporate development in May 1998 and vice
president of corporate development that same year.
Woodworth chairs the President’s Advisory Council for
Washington State University-Spokane. He is a director on the
board and past chair of Foundation Northwest, a non-profit
community foundation. He serves on the Electric Power Research
Institute’s executive steering committee for energy efficiency
initiatives, chairs Edison Electric Institute’s customer service
executive advisory committee, and he is vice chair of the board of
the Northwest Energy Efficiency Alliance. In addition, Woodworth
chairs the Mayor’s Task Force on Sustainability in Spokane,
Wash.

Ms. Blake , age 55, is a certified public accountant and has been President of the accounting firm of Kristianne Gates Blake, P.S., since 1987. Ms. Blake is currently serving as Board Chairman for the Russell Investment Company and the Russell Investment Funds. She also serves on the boards of the Principal Funds, Inc., the Principal Variable Contracts Funds, Inc., and Laird Norton Wealth Management. Mr. Taylor , age 59, has been the Chairman and Chief Executive Officer of CropUSA Insurance Agency, Inc. since 1999. He also served as Chairman and Chief Executive Officer of AIA Services Corporation from 1995 to 2008. Both companies are insurance agencies with operations throughout the United States, which place various forms of health, life, crop, and multi-peril insurance for members of sponsoring farm commodity associations. Previously, Mr. Taylor served as President of AIA Services and was its Chief Operating Officer. Mr. Eiguren, age 57, is the President of Eiguren Public Law and Policy PLLC, a Boise, Idaho law and lobbying firm which he founded in 2007. He is also President of Inland Public Properties Development Company of Idaho, which leases real estate facilities to state and local governments. Prior to April 2007, Mr. Eiguren was a Senior Partner at Givens Pursley LLP, one of Idaho’s largest law firms. He is a Director of Idaho Independent Bank and is Chairman of the Nominating and Compensation Committees of the Bank’s Board of Directors. He is the President of the Cenarrusa Center for Basque Culture and is a past Chairman of the Boise Metro Chamber of Commerce and the Idaho State Capitol Commission. Mr. Eiguren served as the Special Assistant to the Administrator and CEO of the Bonneville Power Administration, as Deputy Attorney General and as Deputy Secretary of the State of Idaho. He is a graduate of the Executive Program of the Graduate School of Business Administration at Dartmouth College and attended Georgetown University College of Law and the University of Idaho College of Law, where he received his Juris Doctorate. Mr. Eiguren holds the Certificate of Director Education from the National Association of Corporate Directors.
