Axcan Pharma Inc.

Mr. Pelchat began his career at Roussel Canada as medical research associate. He held various positions of increasing responsibility in clinical research, sales and marketing as well as portfolio and project management with the Canadian subsidiaries of Jouveinal Canada Inc., Rhône Poulenc Rorer Inc., Sandoz Canada Inc. as well as Hoechst Marion Roussel Canada Inc., now known as Aventis. Most recently, in 1999, Mr. Pelchat was the Director of Business Development at the Société Générale de Financement du Québec, a diversified investment fund, prior to joining Axcan in 2000.

Mr. Booth is a licensed Registered Pharmacist (R. Ph.) in the states of Alabama, Mississippi and North Carolina and a member of the Alabama and Mississippi Pharmacy Associations. Prior to joining Scandipharm, he was Vice President of Sales and Marketing for the United States at Medicopharma N.V. and Director of Marketing at D.M. Graham Laboratories. He joined Axcan Scandipharm, Axcan's U.S. subsidiary, in 1992 as Director of Product Development and Quality Control.

Mr. McLean has more than 20 years of marketing experience, most recently with the Health Group of Cossette Communications Marketing Inc. as Managing Director. He has designed and implemented innovative strategies for numerous pharmaceutical products on behalf of clients such as Roche Diagnostics, Schering Canada Inc. and Janssen-Ortho Inc., a company with gastrointestinal drug products. Mr. McLean joined Axcan in 1999.

Ms. Theresa Stevens joined the Company in 2009 as Senior Vice President, Business Development. She cumulates over 22 years of extensive pharmaceutical and biotechnology experience, particularly in managing business development, licensing, legal and operational programs. Before joining Axcan, Ms. Stevens held a number of senior business roles at Novartis Pharmaceuticals as Executive Committee member and Vice President, U.S. Business Development and Licensing, Life Cycle Management and Generics-Brands Strategies in East Hanover, NJ. Ms. Stevens holds a Bachelor of Science, Animal Science, and Master of Science, Molecular and Cell Biology from the University of Maryland in College Park, Maryland, and a Juris Doctorate from Widener University of Law in Wilmington, Delaware.

Mr. Jean Vézina joined the Axcan organization in 1992 and currently serves as vice president, finance. He began his professional career as an auditor at Raymond, Chabot, Martin, Paré, then held various financial positions with both private and public companies. In 2004, Mr. Vézina completed the Executive Development Course at the McGill International Executive Institute in Montreal. Mr. Vézina is a member of the Quebec Order of Certified General Accountants and holds a bachelor's degree in accounting from the University of Sherbrooke (1977).

Dr. Patrick Colin joined Axcan Pharma in 1994 as director of clinical research and was subsequently appointed vice president of clinical research in 2000, and vice president of research and development in 2003. He is currently responsible for all aspects of drug development, including pre-clinical toxicology, pharmaceutical development, and Phase I to III clinical research. He began his career at Bristol Myers Squibb in 1987 where he worked in various clinical research positions. Dr. Colin is extensively published in several areas of drug development and is a guest professor at both the University of Montreal and Laval University in Quebec City. He holds a Doctorate of Philosophy (Ph.D.) degree in pharmaceutical sciences from the University of Montreal (1987) and a bachelor’s degree in pharmacy from the University of Montreal (1980). He is an active member of the Quebec Order of Pharmacists and various other scientific organizations.

Before joining Axcan in 2001 as general counsel, Mr. Richard Tarte served as in-house counsel at the Societe generale de financement du Quebec, a diversified investment fund. He was also a partner with Coudert Freres, an international law firm where he practiced business law for 10 years. Mr. Tarte was admitted to the Quebec Bar in 1988. He holds a Master of Business Administration (MBA) degree from l'Institut Europeen d'Administration des Affaires (INSEAD) in France and a Bachelor of Law degree from the University of Montreal (1986).

When he joined Axcan in 1997 Dr. Martin had been teaching Medicine at the University of Montreal, and practicing gastroenterology at St-Luc Hospital in Montreal, since 1970. He has published more than 50 research articles and received the Academic and Scientific Excellence Award from the Québec Association of Gastroenterologists in 1995. While working at Axcan, he has continued to hold the position of Honorary Professor of Medicine at the University of Montreal, and he practices gastroenterology one day per week at the Downtown Gastroenterology Clinic.

Mr. François Painchaud of St-Lambert, Quebec, Canada, has served as secretary and director of the board of directors of Axcan Pharma Inc. since December 1995. He is a partner at Léger Robic Richard L.L.P., a multidisciplinary firm comprised of lawyers and patent and trademark agents, which specializes in business law and intellectual property, including patent law. Mr. Painchaud has oriented his practice toward the field of commercial law, with particular emphasis on licensing of intellectual property and technology transfers. Mr. Painchaud has also been a seasonal lecturer at McGill University in charge of the course entitled "Complex Legal Transactions - Trade Secrets Law and Technology Transfers" and a lecturer on business law in Concordia’s MBA program. He serves on the board of several subsidiaries of the Corporation. He is vice president regional for Canada and a trustee of the Licensing Executives Society Inc (USA and Canada).

Jacques Gauthier, 76, of Town Mount-Royal, Quebec, has served on the Board of Directors of Axcan Pharma Inc. since December 1995. He has held various senior management positions, both in Canada and abroad, with Upjohn Laboratories Inc. and Upjohn International Inc., predecessor corporations to Pharmacia Corporation. In 1984, Mr. Gauthier joined Bio-Méga/Boehringer Ingelheim Research Inc. and served as President and General Manager until 1996. Mr. Gauthier is currently an advisor to management of the Montreal Clinical Research Institute and serves on the Board of Directors of a variety of medical and pharmaceutical companies and associations. Louis P. Lacasse, of Montreal, Quebec, has served on the Board since December 1995. He is President of GeneChem Management Inc., an organization that manages biotechnology venture capital funds. Prior to joining GeneChem in April 1997, Mr. Lacasse was Vice-President of Healthcare and Biotechnology at SOFINOV, the venture capital subsidiary of the Caisse de depot et placement du Quebec. During his ten years with SOFINOV and the Caisse de depot et placement du Quebec, Mr. Lacasse was involved in numerous investments in small and medium-sized businesses in high technology industries such as biotechnology, software and telecommunications. He was also responsible for setting up a network of regional venture capital funds throughout Quebec and for investments in funds both in Canada and the United States. Mr. Lacasse is presently a director of Methylgene Inc., Warnex Inc. and Chromos Molecular Systems Inc., three publicly traded companies and of merillon Therapeutique Inc., a privately held company. He is also Chairman of the Audit Committee of the three publicly traded companies enumerated above.

Dr. Claude Sauriol, 62, of Laval, Quebec, has served on the Board of Directors of Axcan Pharma Inc. since 1993. He is a founder of Biopharm Laboratory where he was President and Chief Executive Officer for more than 25 years. He also served Axcan Pharma as Vice President of Research and Development where, for three years, he was responsible for regulatory affairs and clinical research. He is currently a Director of Angiogene Inc. and Algorithme Pharma Inc. and is a member of the audit and compensation committees of these companies. Member of Audit Committee

Dr. E. Rolland Dickson, of Mantorville, Minnesota, USA has served on Axcan’s Board since February 2004. Dr. Dickson was appointed Mary Lowell Leary Professor of Medicine, Emeritus (Honorary Endowed Professorship). He has served in a number of senior leadership positions at the Mayo Clinic. He served on the Executive Committee of the Mayo’s Institutional Research Committee and was Chair of the Fiscal Committee. He has served as a member of the Executive Committee of the Mayo Comprehensive Cancer Center. Earlier in his career, he served as Head of Section in the Division of Gastroenterology and was Director of the Clinical Practice Training Committee. Between 1993 and 2003, he was Director of Development for Medical Education and Research for the Mayo Foundation. He was the first Director of the Mayo Clinic Liver Transplantation Program and served on national committees related to liver transplantation. He served as a member of the Board of Trustees of the Mayo Foundation between 1999 and 2003 and also as a member of the NIH Digestive Disease Advisory Board between 1991 and 1994. Dr. Dickson currently serves on the Board of Directors of NeoRx Corporation and of Pathway Diagnostics Corporation, and is a member of the Scientific Advisory Board of Baxter International. Dr. Dickson also serves on the Scientific Advisory Board of Bay City Capital. He is President of Mayo Clinic Stiftung in Frankfurt, Germany and Chairman of the Board of Directors of the A.J. and Sigismunda Charitable Foundation. In May 2006, he received the honorary degree of Master from the American College of Physicians.
