Mr. Ennis (38) was elected as the Company’s and Products Corporation’s President, Revlon International, and as a Director of the Company and Products Corporation, effective March 2009. Mr. Ennis also has served as the Company’s and Products Corporation’s Executive Vice President and Chief Financial Officer since November 2006 and as Treasurer since June 2008. From September 2006 to March 2007, Mr. Ennis served as Corporate Controller and Chief Accounting Officer of the Company and Products Corporation. From March 2005 to September 2006, Mr. Ennis served as the Company’s Senior Vice President, Internal Audit. From 1997 through 2005, Mr. Ennis held several senior financial positions with Ingersoll-Rand Company Limited, a NYSE-listed company, where his duties included regional responsibility for Internal Audit in Europe and global responsibility for financial planning and analysis. Mr. Ennis began his career in 1991 with Arthur Andersen in Ireland. Mr. Ennis is a Chartered Accountant and member of the Institute of Chartered Accountants in Ireland. Mr. Ennis has a Bachelor of Commerce Degree from University College, Dublin, Ireland, and a Master of Business Administration Degree from New York University, New York, NY.

Bill spent the majority of his career as a cost accountant, including being a Cost Accounting Manager for Revlon for six years. The last 18 years of his career he spent as a Budget Analyst for the State of Arizona. He has been involved with Christian Financial Concepts (Crown) as Director from 1991 to 1999 at Bethany Community Church in Tempe, was a small group coordinator and led numerous small groups there. He helped establish Crown Ministries at FBC, and has been co-leader on several studies. He served as Home Ministries Director from December 2002 until June 2004. Presently Bill and his wife work with the Senior's Ministry (OASIS). He serves on the Finance Committee, and helps with monthly communion service at Pioneer Home. He has been the Church Accountant for FBC since May 2003.

Carl J. Wheeler joined Ascenta in May of 2006 as Vice President of Intellectual Property. He was formerly Director of Intellectual Property at Vical Incorporated and is a registered US patent agent. Dr. Wheeler is a member of the BIO Intellectual Property Counsel Committee (IPCC), the American Intellectual Property Law Association (AIPLA), and its local chapter in San Diego (SDIPLA). He graduated from Revelle College at UC San Diego with a BA in chemistry, obtained a MS in organic chemistry from UC Berkeley, and holds a PhD in organic chemistry from Washington State University where he was also a post-doctoral associate at the Institute for Biological Chemistry. Dr. Wheeler brings several years' experience as a synthetic & medicinal chemist in biopharma, at Syntex, Pharm-Eco, Revlon and finally Vical, where he was Director of Chemistry prior to transitioning to Intellectual Property management. He has acquired extensive experience in Intellectual Property matters relating to pharmaceuticals, both directing ex-parte prosecution and various inter-parte actions for patents and trademarks in the US and internationally, and as the sole inventor for issued US and international patents for several patent families. Dr. Wheeler also has substantial experience at the IP-business interface and has been involved in contract drafting and review for business-to-business and academic collaborations, as well as in formal due diligence for both in- and out-licensing pharmaceuticals and their components.

Desiree is the chief media strategist overseeing all aspects of the planning, buying, measuring and refining process. With over 20 years in the direct marketing industry, her successes across the media spectrum are vast and legendary, for such clients as Glaxo Smith Kline, Roche, Schering Plough, Wyeth, Unilver, Revlon, Ralston Purina and Johnson & Johnson. Prior to starting Integrated Media Solutions, Desiree along with Robert Ingram and Ron Corvino founded Media Incorporated and Media Direct Partners and was instrumental in growing the companies combined billings in excess of 650 million dollars with such clients as: Club Med, Novartis, Meineke, and Ralston Purina. In 1996 the companies were acquired by Interpublic Group (IPG). While at IPG she served as President and COO of Initiative Media one of the IPG companies.

Laura Levitan is a dynamic integrated marketing executive with more than 25 years of demonstrated leadership and business building skills among world class, high profile marketing organizations across a wide variety of categories. Laura is accomplished in developing and managing multi-functional business teams in the application of integrated marketing tools and skills to develop brand position, enhancing brand image, and maximizing return on marketing investment to improve bottom-line profitability. Laura has held exe cutive posts on both the agency and corporate sides with Ogilvy & Mather, Clarion Marketing & Communications, Omnicom, Iceland Spring, Revlon and the Zyman Group. From 1997-2003, Laura established The Levitan Group, an integrated marketing consulting and services company providing agency/account management services, innovative business building ideas, integrated marketing plans, and flawless program execution. A graduate of Ohio University's School of Communications, Laura resides in Atlanta, GA.

Stanley G. Rosenbaum, 60, Executive Vice President, Chief Financial Officer and Treasurer . Mr. Rosenbaum joined the Company as its Executive Vice President, Chief Financial Officer and Treasurer in June 2006. From October 2003 to June 2005 he was a consultant for the Kerr Group, Inc. From October 2000 to April, 2003 he was Chief Financial Officer of Petropac Solutions, Inc., a private company servicing the petroleum industry.

Alan S. Bernikow has served as a member of the Board of Directors and as chairman of the Audit Committee of the Board of Directors since 2004. Mr. Bernikow was the deputy chief executive officer at Deloitte & Touche LLP, from 1998 to 2003, where he was responsible for assisting the firm on special projects such as firm mergers and acquisitions, partner affairs, and litigation matters. He joined Touche Ross, the predecessor firm of Deloitte & Touche LLP, in 1977, prior to which he was the national administrative partner in charge for the accounting firm of J.K. Lasser & Company. Mr. Bernikow is currently a member of the board of directors of Revlon, Inc., and Revlon Consumer Products Corporation, and is chairman of the audit committee and compensation and stock plan committee of Revlon, Inc. Mr. Bernikow also currently serves as a member of the Board of Directors and the audit and nominating and corporate governance committees of the Casual Male Retail Group Inc. Mr. Bernikow is also a member of the Board of Directors of UBS Global Asset Management (US) Inc. ("UBS"), and currently serves as chairman of its audit committee. He has also served as a member of the boards of directors of investment funds managed by UBS, including Global High Income Dollar Fund Inc., Insured Municipal Income Fund Inc., Investment Grade Municipal Income Fund Inc., Managed High Yield Plus Fund Inc., and Strategic Global Income Fund, Inc. These companies are the only public companies for which Mr. Bernikow serves on the board of directors or any committee of the board of directors. Mr. Bernikow is also a member of the Board of Directors and chairman of the audit committee of the FOJP Service Corporation; a member of the Board of Directors of the United Jewish Appeal-Federation of Jewish Philanthropies of New York, Inc.; the former treasurer, a past member of the Board of Directors and former chairman of the audit committee of the Jewish Communal Fund; a member of the Board of Directors of Saint Vincent Catholic Medical Centers, where he also serves as a member of the governance and executive committees and as chairman of the audit committee; past chairman and current member of the Board of Directors of the Heart Institute of Staten Island. Mr. Bernikow is also a past president of the Richmond County Country Club. He has a B.B.A. degree from Baruch College, and is a member of the American Institute of Certified Public Accountants (AICPA) and the New York State Society of Certified Public Accountants (NYSSCPA).

Frank S. Johnson, Jr., corporate secretary of The Fund. He has served as chief public relations executive to some of the nation's best-known corporate, government, and not-for-profit organizations, including NASA, the U.S. Postal Service, USIA, the Chicago Board of Trade, General Dynamics, Revlon and others. He is also a former President of the Revlon Foundation and served as assistant to the President of the Solomon R. and the Daniel and Florence Guggenheim Foundations. He was also a member of the Board of Directors of the Acting Company and The Virginia Opera.

Mr. Gittis has been Vice Chairman and Chief Administrative Officer and a Director of MacAndrews & Forbes Holdings Inc., a diversified holding company, and various of its affiliates, since July 1985. In addition, Mr. Gittis is a Director of M & F Worldwide Corp., Revlon, Inc., and Scientific Games Corporation.

Mr. Wolfe (69) has been a Director of the Company since March 2004. Mr. Wolfe served on the Board of Directors of The Hershey Company (“Hershey”) from November 2007 to February 2009 and as non-executive Chairman of the Board of Hershey from January 2008 to February 2009. Prior to re-joining Hershey in 2007, Mr. Wolfe served as Chairman and Chief Executive Officer of Hershey from 1994 until his retirement in December 2001. Mr. Wolfe initially joined Hershey in 1967 and held various executive positions, including President and Chief Operating Officer, before being appointed its Chairman and Chief Executive Officer in 1994. Since 2005, Mr. Wolfe has served as a member of the Boards of Trustees of various mutual funds managed by Fidelity Management & Research Company. Mr. Wolfe serves as a member of the Company’s Compensation Committee and its Governance Committee.

Linda Gosden Robinson is a Partner and Chairman of Robinson Lerer & Montgomery. Ms. Robinson provides strategic counsel to CEOs and senior management of major corporations on a broad range of business challenges, including corporate positioning, crisis management, public policy, media outreach, and more. Ms. Robinson's clients include leaders in a wide spectrum of industries, such as healthcare, energy, Internet commerce, telecommunications, consumer products, fashion, and financial services. From 1983 to 1986, Ms. Robinson served as senior vice president of corporate affairs at Warner Cable Communications, Inc. She joined the company as part of a management turnaround team that brought the company to a position of profitability and growth. As a key advisor to the chief executive officer and a member of the operations committee, the senior policy-making body of the company, Ms. Robinson played a leading role in creating and executing communications and government affairs strategies for the company and its operating divisions. From 1981 to 1983, Ms. Robinson was director of public affairs for the U.S. Department of Transportation under Secretary Drew Lewis. As chief public spokesperson for the Department and principal staff advisor to the Secretary, her major public affairs responsibilities included the 1981 air traffic controllers' strike, Congressional passage of a gas tax, and negotiation of the agreement for Japanese voluntary import quotas on automobiles. Previously, Ms. Robinson was deputy press secretary on the 1980 Reagan-Bush campaign, and subsequently the director of public relations for the Republican National Committee, and press secretary to Committee Chairman William E. Brock. Ms. Robinson is a member of the board of directors of Revlon, Inc., and BlackRock, Inc., and trustee and Vice Chair of New York University School of Medicine Foundation Board, and trustee of NYU Hospitals Center. Ms. Robinson received a B.A. from the University of Southern California, where she graduated summa cum laude and Phi Beta Kappa.

Mr. Bohan (63) has been a Director of the Company since March 2004 and a Director of Products Corporation since June 2008. Prior to his retirement in February 2001, Mr. Bohan was a Managing Director of the high-yield bond sales group of Salomon Smith Barney, having joined Salomon Smith Barney in 1980. Mr. Bohan is a director of Haynes International, Inc., which files reports pursuant to the Exchange Act. Mr. Bohan also serves as a member of the Board of Directors of Arena Brands, Inc., which is a privately-held company, and as a member of the Board of Directors and audit committee of The New York Police & Fire Widows’ & Children’s Benefit Fund. Mr. Bohan serves as a member of the Company’s Audit Committee and Nominating and Corporate Governance Committee.
