Richard Brueckner is Chairman and Chief Executive Officer of Pershing LLC, a subsidiary of The Bank of New York Mellon, and a member of the Company's Executive Committee, the organization's most senior management body, which oversees day-to-day operations. Mr. Brueckner joined The Bank of New York in May 2003 when that company acquired Pershing from Credit Suisse First Boston (CSFB). He served as CEO of Pershing and as a member of the CSFB Executive Board after CSFB's acquisition of Donaldson, Lufkin and Jenrette (DLJ) and Pershing in November 2000. Mr. Brueckner joined DLJ in 1978 and served as Treasurer of DLJ Securities Corporation and Chief Financial Officer of Pershing, where he has held a variety of senior management positions in administration, finance, marketing, and operations. As Chief Information Officer for The Bank of New York Mellon, Kurt Woetzel is responsible for the Company's Information Technology (IT) organization worldwide. In this role, he oversees the technical infrastructure, software development and business processes of an IT organization that is supported by over 5,000 technology professionals. Mr. Woetzel is also responsible for the Company's Office of Innovation, where he directs Company resources and establishes processes in support of accelerating new product development and innovation across global markets. He held the same position at The Bank of New York Company, Inc. prior to its merger with Mellon Financial Corporation in July 2007. Before that, Mr. Woetzel headed up the software development process at that company. In this capacity, he was responsible for developing the technical architecture governing the integration of numerous and complex, large-scale acquisitions involving extensive client portfolios. Mr. Woetzel joined The Bank of New York in 1985 in the Broker Dealer Services business line and became division head in 1990. He began his career in 1978 at the Adolph Coors Company, where he became head of data processing operations, responsible for one of the largest corporate data processing centers in the mountain states region. In 1984 he left Adolph Coors to form a software start-up company that provided manufacturing software to small- to medium-sized firms nationally. In 1985 he sold the company to Control Data and started his career at The Bank of New York. Mr. Woetzel is a member of the Company's Executive Committee, the organization's most senior management body, which oversees day-to-day operations. He is also a former director of the boards of the Society of Worldwide Interbank Financial Telecommunications (SWIFT) and the Government Securities Clearing Corp, and is a current member of the advisory board of Pace University School of Computer Science. Lisa Peters is Chief Human Resources Officer for The Bank of New York Mellon. She is a member of the Company's Executive Committee, the organization's most senior management body, which oversees day-to-day operations. Human Resources delivers products and services through its network of human resources professionals located in more than 10 countries to the Company's 40,000 employees worldwide. The department is responsible for delivering to managers and employees compensation and benefits; talent management, including talent acquisition and development; and employee relations, including work life and wellness programs. Human Resources also supports managers through strategic consulting, management of HR issues, products and service delivery, management of organizational performance and execution of HR processes. She held the same position at Mellon Financial Corporation prior to its July 2007 merger with The Bank of New York Company, Inc. Ms. Peters joined Mellon in 1982, and advanced through a variety of management positions in several functional areas, including human resources, legal and corporate affairs, special banking services, and retail risk management and compliance. In 1999, Ms. Peters was appointed special assistant to the chairman, whom she directly supported on complex and diverse issues affecting the Corporation and its businesses. Her scope of activity included comprehensive business planning and analysis, assessment of the business environment and potential risks, evaluation of internal control processes and strategic issue identification. Ms. Peters began her career as a consultant and account representative with Comshare, Inc. (now Extensity), where she consulted with Human Resource directors of Fortune 500 companies on the design of statistical models and database systems for salary administration, human resources planning, Equal Employment Opportunity and general administration. A summa cum laude graduate of the State University of New York at Buffalo, Ms. Peters holds bachelor's degrees in business management and psychology. She is a member of The Conference Board's advisory council on human resources management, the Alpha Group of Human Resources Executives and the Executive Women's Group of Pittsburgh. As the executive chair, she led the Bank of New York Mellon's participation in the most recent Making Strides Against Breast Cancer Walk in New York City. In 2008, Ms. Peters was honored by the Society for Human Resource Management (SHRM) as its Human Capital Business Leader of the Year, and was named a 2009 Women of Excellence and Achievement honoree by the United Way of New York City Women United in Philanthropy.

As Chief Client Management Officer, Torry Berntsen oversees The Bank of New York Mellon relationships with key financial institutions, corporates, governments, not-for-profits and real estate clients worldwide. Prior to the merger of The Bank of New York Company, Inc. and Mellon Financial Corporation in July 2007, Mr. Berntsen was head of global client management at The Bank of New York. He previously served as President of BNY Capital Markets, Inc. ("BNYCMI"), a wholly owned subsidiary of The Bank of New York, and was responsible for that company's efforts in syndicated finance, debt capital markets, sponsor leveraged lending, fixed income sales and trading, public finance and merchant banking, as well as overseeing the Hamilton Floating Rate Fund. Mr. Berntsen joined The Bank of New York in 1984 from J.P. Morgan & Co. After completing the management training program and serving as a relationship officer in the Financial Institutions Division, he joined the Capital Markets Division (the predecessor to BNYCMI) in 1989, becoming Co-Head of Syndicated Finance in 1998, Co-Head of Syndicated Finance and Debt Capital Markets in 2001, and President of BNYCMI in 2002. Mr. Berntsen was appointed Head of North American Client Management in 2004, and Head of Global Client Management in 2006. Mr. Berntsen holds a BA and an MBA, both from New York University. He serves as a Director of Pershing LLC and is a member of the Company's Executive Committee. Carl Krasik is general counsel for The Bank of New York Mellon. He is a member of the Company's Executive Committee, the organization's most senior management body, which oversees day-to-day operations. John P. Surma was born in Pittsburgh, Pa., in 1954. He graduated from Pennsylvania State University in 1976 with a Bachelor of Science degree in accounting. Mr. Surma joined Price Waterhouse LLP in 1976, and in 1981 he served in the Manchester, England, office of the Price Waterhouse United Kingdom firm. In 1987, he was admitted to the partnership. In 1983, Mr. Surma participated in the President’s Executive Exchange Program in Washington, D.C., where he served as executive staff assistant to the vice chairman of the Federal Reserve Board. In 1997, Mr. Surma joined Marathon Oil Company as senior vice president, finance & accounting. He was appointed president, Speedway SuperAmerica LLC in 1998, and senior vice president, supply & transportation for Marathon Ashland Petroleum LLC (MAP) in 2000. He was named president of MAP on January 1, 2001. Effective with the separation from USX Corporation, he became vice chairman and chief financial officer of United States Steel Corporation on January 1, 2002. He was named president in March 2003, and president and chief operating officer in June 2003. He was elected president and chief executive officer in 2004, and chairman of the board of directors and chief executive officer in February 2006. Mr. Surma is a member of the board of directors of The Bank of New York Mellon Corporation. He serves as vice chairman of the board of directors of the World Steel Association and held the title of chairman from 2006 through 2007. He is also a member of the board of directors of the American Iron and Steel Institute and previously served as chairman and vice chairman of the organization. Mr. Surma is also a current member of both the National Petroleum Council and The Business Council. Additionally, he is a member of the board of directors and executive committee of the Allegheny Conference on Community Development and serves as the organization’s current chairman; is a member of Penn State University’s Board of Trustees and its Smeal College of Business’ Board of Visitors; and is chairman of the board of directors for the Allegheny County (Pa.) In November 1999, Mehrabian became president and chief executive officer of Teledyne Technologies, after its spin-off from Allegheny Technologies, and became chairman of the board in December 2000. Mehrabian began his corporate executive career in July 1997, approximately one year after the merger of Allegheny Ludlum and Teledyne, as senior vice president in charge of the Aerospace and Electronics segment of Allegheny Teledyne. He was promoted to executive vice president with additional responsibilities for the Industrial and Consumer companies in May 1998. Previously he was president of Carnegie Mellon University, a post he assumed in July 1990. He serves on the board of directors of The Bank of New York Mellon Corporation and PPG Industries, Inc. Mehrabian holds bachelor and doctor of science degrees from the Massachusetts Institute of Technology (MIT). His academic career spanned almost thirty years starting at MIT in 1968 and concluding as president of Carnegie Mellon University in 1997. He left MIT in 1975 where he was an associate professor. From 1975 to 1979, he was professor of metallurgy and professor of mechanical engineering at the University of Illinois in Champaign-Urbana. From 1983 to 1990, he served as Dean of Engineering at the University of California, Santa Barbara. Mehrabian also spent four years in the Senior Executive Service of the U.S. Government. As director of the Center for Materials Science of the Department of Commerce's National Institute of Standards and Technology he initiated numerous government/industry programs that became models for such cooperative efforts. During his U.C. Santa Barbara and Carnegie Mellon University tenures, he spun-off a number of high technology companies. An internationally recognized authority on advanced technologies, Mehrabian also served as senior advisor in manufacturing and high technology processes to many Fortune 500 companies. Mehrabian holds eight U.S. and more than 40 foreign patents. He has authored 139 technical papers and edited six books in the field of materials science and engineering. His awards include election to the National Academy of Engineering (NAE), a Fellow and distinguished Life Member of the American Society of Metals International (ASM), the Henry Marion Howe Medal of the ASM, and a Fellow and Leadership Award recipient of the Minerals, Metals and Materials Society (TMS). His honorary degrees include Sc.D. from Carnegie Mellon and L.H.D. from Chatham College.

William C.
