R. Michael Welborn has served as a director of the Company since August 1996 and as Executive Vice President and Chief Administrative Officer since May 2005. Mr. Welborn has over 25 years of experience in financial services, most recently as Executive Vice President for Bank One Corporation, a national bank, from January 1996 through July 2004. From September 1993 to December 1995, he served as Managing Director of The Venture West Group, a merchant bank. From May 1988 to September 1993, Mr. Welborn served as Chairman of Citibank of Arizona. Mr. Welborn also serves on the board of directors of a private company.

Dean A. Heinzmann is senior vice president of Bank One, Peoria, where he is senior lender and manager of the Commercial Banking Division. Prior to relocating to Peoria five years ago, he was senior vie president of Mercantile Bank of Centralia, Illinois, where he served as president of the Centralia Chamber of Commerce and Economic Development Commission. Heinzmann is a graduate of the Peoria Area Chamber of Commerce Community Leadership School. He is currently president of the Heartland Community Development Corporation, vice chair of PARC, and a board member of the PARC Foundation. He has been active in numerous fundraising efforts for local organizations, including the Heart of Illinois United Way, PARC, Junior Achievement, and the Peoria Symphony Orchestra.

Wayne Burton, MD, has been senior vice president and corporate medical director for Bank One since 1982. Bank One resulted from the merger of First Chicago NBD and Banc One in 1998 and is the largest U. S. bank holding company with approximately 70,000 employees worldwide. Dr. Burton is responsible for the bank s workplace health and fitness facilities, integrated disability management (STD, LTD, FMLA), employee assistance program and wellness programs. Bank One has worksite medical departments in Illinois, Ohio, Michigan, and Delaware. The medical and benefit units of Bank One have worked together since 1982 to strategically design health and wellness benefit programs and cost management strategies. Bank One has received several awards including the C. Everett Koop National Health Award in 1993 for its Wellness Program. In 1996, Bank One was named one of the Ten Healthiest Companies for Women by Working Women Magazine and in 1998 received the Corporate Occupational Health Achievement Award from the American College of Occupational and Environmental Medicine. In 2000, Bank One was the recipient of the Inaugural Health and Productivity Award from the Institute for Health and Productivity Management. Dr. Burton is a graduate of the University of California and the University of Oregon Medical School. He completed his internal medicine residency at Northwestern University Medical Center in Chicago, Illinois. He is a Fellow of the American College of Physicians, the Institute of Medicine of Chicago and the American College of Occupational and Environmental Medicine. Dr. Burton is presently an associate professor of clinical medicine and psychiatry at Northwestern University Medical School. He is a member of several advisory and editorial boards.

As Chief Information Officer of IMH, Mr. Fletcher is responsible for the management and direction of the Information Technology Department, providing strategic vision and leadership for enterprise-level initiatives, strategic IT investment oversight, and identification and mitigation of IT risks. Mr. Fletcher has over 20 years of information technology experience and over 12 years of financial services experience including serving as a Vice President for MFS Investment Management and for Bank One. He has managed complex IT environments, which included 34,000 desktops, 4,000 servers, and 80,000 e-mail accounts spread across the US. Mr. Fletcher received his Bachelor of Science degree in Computer Information Systems from DeVry Institute of Technology and holds numerous industry certifications.

Bruce Clapp is a leading executive marketer with over 20 years of marketing expertise. During the past 17 years Mr. Clapp has served in various executive bank marketing leadership positions. Leading banks and credit unions with a local, regional and national scope into new product development, brand building and strategic planning success have been the career hallmarks of Bruce Clapp. Bruce's career includes successful growth at Bank One, Midfirst Credit Union, and Liberty Savings Bank in executive marketing and sales management roles Prior to founding MarketMatch, Bruce championed a new financial institution consulting practice that focused on customer retention, acquisition, and loyalty marketing for the nation's largest provider of value-added marketing. Bruce has achieved numerous awards for his work including: youngest recipient of the Bank One President's Sales Award, The OCUL Marketing Brilliance Award, Dayton Business News 40 Under 40 Award, and the 2005 Gold Distinguished Alumni Award from Wright State University. Bruce is a regular featured speaker with the American Bankers Association (ABA) and numerous ABA state chapters. Bruce's work has been published through the ABA 's Marketing Network Library and the ABA Bank Marketing magazine and currently has a recurring series on Retention and Attrition. Bruce's creative approach to bank marketing has been highlighted in ABA Bank Marketing, ABA Banker's News , US Banker, Credit Union Times, Financial Services Marketing, Advertising Review, Dayton Daily News, Cincinnati Business Journal, and the Dayton Business Journal.

Trustee Dennis Veselsky, is serving his second term as Village Trustee. Dennis was first elected in 1996. He is a 1978 graduate of Romeoville High School and has 2 children. He has a Bachelor's Degree in Economics from Illinois State University. He has been working in the banking industry for the past 15 years and is currently working for Bank One in Romeoville as a Relationship Banker.

Mr. Langeland has been with Bank One for nine years and manages a lending division with over 250 customers. He deals exclusively in the middle market and his customer base covers a wide array of industries including lumber and millwork, commercial printers, manufacturers, advertising companies and information technology companies. He received a Bachelor of Business Administration from the University of Iowa with a major in Finance and a minor in Accounting. He has been a member of The Entrepreneurship Institute's Advisory Board since 1996.

Mr. Brun brings over twenty seven years of extensive experience, on a senior executive level, in a broad scope of operations and administration from the banking, mailing and private business sectors. Mr. Brun's career experience includes over fourteen years at Bank One, Dayton, N.A., attaining the level of Executive Officer and Division Head/Vice President of the Transaction Operations Division, responsible for all regional check processing and operations / administrative departments.

Joan is a dynamic professional with in-depth understanding of online payment systems and experience with three of the leading payment services companies: Wells Fargo, Visa and Bank One. Her diverse background includes extensive knowledge of the Internet and its infrastructure, e-business startup and expansion, and seamless integration of emerging technology. Well- skilled at developing successful payment systems strategies and leading operations and administrative teams through all phases of large-scale rollout including cost-analysis, planning, vendor selection and acquisition. An expansive thinker with an outstanding record of achievement implementing new business concepts, delivering innovative payment system solutions and facilitating transition of operations with a high level of ethics and risk-management alternatives.

Karen has worked in the corporate communications field for more than 20 years and has extensive experience planning and executing strategic communications programs for the media, employees, customers and executives. She has a background in the telecommunications, energy and financial fields and has worked with companies such as Nortel Networks, Sprint, Bank One, Comerica Bank and Devon Energy. Karen received her Bachelor's Degree in Communications from the University of Texas at Arlington and her Master's Degree in Interdisciplinary Studies from the University of North Texas.

Kevin Cummins is a co-founder of Horizon Ventures and is responsible for visioning, building and supporting the overall execution strategy. Kevin is currently the Director of IT for Sevin Rosen Funds, and brings Venture Capital experience and relationships to Hoizon. Kevin has held various technology management positions since 1991, including over five years of leadership experience in corporate banking at Citibank and BankOne. He is also an officer and Director of Capital Development Corp, a company he co-founded in 1997 to invest in real estate and other local investment opportunities. He has successfully renovated several commercial and residential properties, all with significant capital appreciation. Kevin holds a Bachelor of Science degree in Computer Sciences from the University of Texas at Austin and an MBA from Baylor.

In her position as director of consumer experience, Kim focuses on optimizing the consumer's online experience at www.GetSmart.com by making the site quick and easy to use. Kim has 13 years of financial marketing experience, including eight years in direct marketing with First Chicago Bank/Bank One (now JP Morgan Chase). Prior to working with Bank One, Kim was employed by WildCard Systems, where she helped launch Visa Buxx , a pre-paid credit card for teens. She has a master's degree in information systems management from Keller Graduate School of Management, and a bachelor's degree from the University of Central Florida.

Mary Morrisette is bringing years of trust experience to the Wealth Management Group. A Kentucky native, Mary has lived and worked in Bloomington for the past 35 years. Her experience includes First National Bank of Bloomington, Bank One, and Community Trust & Investment Company. Mary is well known for her commitment to her customers.

Phillip J. Sbrochi, Senior Advisor Mr. Sbrochi is a 29 year veteran of Bank One where he was Head of National Retail Lending, which included the Student Loan Business for Bank One Ohio Corp. Bank One Corp. was the second largest Federal student Loan player after Sallie Mae and one of the leading private student loan originators. Mr. Sbrochi is presently working as a consultant for a Midwestern regional bank, guiding the development of a liquidation model for delinquent and charged-off loans. Prior to consulting, Mr. Sbrochi founded Break-Thru Financial Company, LLC, and raised $1.7 million in capital from individual investors. The company was formed to purchase non-performing and non-conforming consumer loans. Mr. Sbrochi worked his way up the corporation at Bank One starting in Branch Management; he was promoted as the youngest Branch Manager in history of the corporation at that time. He went on to become a Manager in Installment Loans and Vice President of the Retail Loan Division, managing the origination and servicing of all retail loan products, such as Student Loans. Mr. Sbrochi became Executive Vice President and Manager of the National Retail Lending Division and was responsible for consumer lending products that were originated through third parties. He moved to Banc One Capital Corporation as Managing Director of the Specialty Finance Mezzanine Fund, which was mainly focused on companies involved in the Specialty Finance sector. Mr. Sbrochi holds an MBA from Capital University in Columbus Ohio and a BS in Business Administration from The Ohio State University.

Scott's experience includes directing development for Griffin Properties, Inc., managing and marketing diverse RTC, FDIC, bank-owned and investment properties in a $2 billion national portfolio for Bank One, First Gibraltar and Prentiss Properties, Inc., and directing regional, national and then global real estate service operations for United Systems Integrators (USI) and Mohr Partners.

Steve was born June 13, 1969 in Richmond, Indiana and was raised on a farm north of Fountain City, Indiana. He attended Culver Military Academy his junior year of high school, traveled to the Soviet Union in 1986, and earned the rank of Eagle Scout in 1987. After graduating from Northeastern High School (Fountain City) in 1987, he attended Miami University in Oxford, Ohio. While at Miami, he earned a Bachelor of Arts in Political Science and Public Administration with a minor in Spanish. He also completed coursework at Universidad de las Americas in Cholula, Puebla, Mexico and at Earlham College and Indiana University East, both in Richmond, Indiana. After graduating from Miami, he attended Indiana University School of Law and Indiana University Graduate School of Business in Bloomington, Indiana. He graduated in May 1995 with a law degree and an MBA, and moved to Richmond, Indiana in August 1995, where he was employed as the Bank One Trust Officer for East Central Indiana. In July, 1996, Steve left Bank One to become Assistant City Attorney for the City of Richmond, Indiana, a position he held until 2002, when he left to pursue other business interests, including managing the growth of his private law practice he had operated since 1995. Mr. Rabe serves as adjunct faculty at both Indiana University East and Ivy Tech State College, teaching courses in business, paralegal studies, and law. Steve is very active in the Wayne County community, participating in many community activities and organizations and having served on several boards of community organizations including Main Street Richmond-Wayne County, Habitat for Humanity of Greater Richmond, Inc., Amigos, Whitewater Community Television (WCTV) and the Richmond City Employees Federal Credit Union. Mr. Rabe is the owner or co-owner of several small businesses including Rabe Residential Properties, LLC, Residential Renovation, Inc., Rabe Commercial Properties, LLC, and Richmond Executive Transportation, LLC. He is active in local politics, serving on the Wayne Township Board from 2000-2003, on the Richmond City Council in 2003, as a Republican precinct committeeman since 1996, as the Wayne County Republican Party Treasurer in 1996, as the Wayne County Republican vice-Chairman from 1997 2001, and as the Chairman of the Wayne County Republican Committee from 2001 to 2005.

Mr. Kennedy is currently Senior Vice President and Manager of Energy Lending at Amegy Bank of Texas. He has 19 years of energy banking experience, beginning with MBank (Dallas) in 1986 and continuing with Bank One (Dallas) and Wells Fargo (Dallas). In January of 1997, he joined Amegy Bank of Texas (formerly Southwest Bank of Texas) to form its Energy Lending Group. Since that time, the Energy Lending Group has closed and currently maintains over $1.1 billion in loan commitments to approximately 160 mid-stream and upstream oil and gas companies. Prior to beginning his career in energy banking, Mr. Kennedy worked in the field operations of an energy service company and was Managing Partner of Kennedy & Bachelor Oil Company, a third-generation family business. Mr. Kennedy is a graduate of Texas A & M University with a Bachelor Science degree in petroleum engineering and earned a Masters in Business Administration from Baylor University.
