Scott Perry joined Bankers as a field vice president in July 2001, was named senior vice president of distribution in February 2002, and was appointed Chief Operating Officer in October of 2004. He was named President of Bankers Life and Casualty in December of 2006. At Bankers, Perry has been responsible for guiding a career sales force consisting of 150 branch locations, 650 field employees, over 3,500 agents and 75 home office sales support employees. He has helped to transform marketing culture, driving improved performance through information-based market and branch-specific plans utilizing an automated process for lead distribution and management. With the board's endorsement, Perry has also spearheaded a 7-year strategy that involves expansion into 85 new markets and top-line annual revenue growth of 11%. Steven M. Stecher joined Conseco as executive vice president of operations and information technology for the Conseco Insurance Group in September 2004. He became chief operating officer for the company's Carmel-based insurance companies in February 2005, executive vice president of operations for Conseco, Inc. in December 2006, and president of Conseco Insurance Group in August 2008.
Prior to joining Conseco, he served for two years as senior vice president and chief information officer for ORIX Financial Services.
From 1997 to 2002, Stecher served in various management positions, including Chief Information Officer, with ING Americas, the U.S./Canada/Latin America unit of international financial services/insurance company ING Groep. His ING career culminated with his service as head of shared services, which included responsibility for human resources, information technology infrastructure, corporate systems, enterprise program management, real estate management and procurement.
Before ING, Stecher worked with Equitable/AXA, where he held management positions in marketing, agency operations and brokerage sales management. He also served as an associate in the insurance group at Perot Systems, program director of insurance services at IDC, and director of strategic planning and research in the insurance and healthcare units at EDS.
Stecher earned a B.A. degree in economics and finance from the University of Texas (Dallas), and a master's degree in management from National University (San Diego).

John Kline was appointed chief accounting officer of Conseco, Inc. in 2003. Since joining Conseco in 1990, he has served in various positions within the company's corporate finance department, most recently as senior vice president, accounting operations, since April 2000.
Before joining Conseco, Kline served for two years as controller of M Plan, a health maintenance organization based in Indianapolis. From 1980 to 1988, he worked with Coopers & Lybrand (now PricewaterhouseCoopers) in the firm's audit services division, primarily servicing insurance clients.

Russ Bostick joined Conseco in February 2005 as executive vice president and chief information officer (CIO) of the company. In August 2008, he was promoted to executive vice president, technology and operations. Bostick is responsible for all enterprise technology and operations shared services. This includes IT, policyholder service, non-LTC claims, and records and print management services for the Conseco Insurance companies and Bankers Life and Casualty Company. Bostick is also responsible for the IT that supports Colonial Penn Life Insurance Company.
Before joining Conseco, Bostick served for seven years as chief technology officer of Chase Insurance, the insurance arm of J.P. Morgan Chase & Co. During this time, Bostick served as CIO for Zurich Life U.S., where he led an IT organization through two transformations in less than one year, as Bank One and then Chase ultimately acquired the company. In his role as CIO, he delivered substantial improvement in targeted areas and managed a team spanning several locations and serving multiple markets, products and channels.
Before Chase, Bostick was chief technology officer for Corporate Software & Technology, a licensed software reseller in Norwood, Massachusetts.
Previously, Bostick held key technology positions at CNA Insurance from 1994-1997, and at IBM from 1979-1994. While at IBM, he was introduced to the financial services industry, serving for three years as the client executive for CNA.
Bostick holds a bachelor's degree in chemistry and mathematics from Wabash College, and an MBA in marketing from the University of Chicago. He served as Chair of the Board of Governors for Lumity, a nonprofit technology resource for nonprofit organizations, and continues to chair its fund-raising committee.

Chris Nickele joined Conseco in October 2005 as executive vice president, new product development. Nickele is responsible for new product development and management on an enterprise-wide bases, overseeing activities at Conseco Insurance Group, Bankers Life and Casualty Company and Colonial Penn Life Insurance Company.
Nickele has more than 25 years of experience in the insurance industry, specializing in the area of product development. Nickele joined Conseco from Lincoln Financial Group, where he served as vice president and business line leader, general manager, and First Penn-Pacific director for Lincoln's term line of business. Previously, he held key actuarial positions at First Penn-Pacific, Zurich Kemper Life, and Conseco's Bankers Life and Casualty unit.

Matt Zimpfer was appointed executive vice president and general counsel of Conseco, Inc. in June 2008. He served previously as Conseco's interim general counsel. Since joining Conseco in 1998, Zimpfer has provided legal counsel and leadership in such diverse areas as risk management, contract review and drafting, agent management, market conduct, employment law, regulatory issues, litigation, dispute resolution and fraud investigation.

Sue Menzel joined Conseco in May 2005 as executive vice president, human resources. Menzel is responsible for human resources across all of Conseco's subsidiaries: the Conseco Insurance companies, Bankers Life and Casualty Company and Colonial Penn Life Insurance Company.
Previously Menzel had served as senior vice president, human resources for APAC Customer Services, Inc. Before APAC, Menzel served in key human resources positions for seven years with Sears, Roebuck & Company. Menzel served in HR positions for nine years with Montgomery Ward, Inc. Erin supervises the development of integrated media plans and purchasing of media to most efficiently place clients' advertising messages before the public. She also oversees the department's staff in their preparation of schedules, insertion orders, contracts and traffic instructions for all clients. Tom Proebstle is an architect and gifted designer of sports and entertainment projects with the accolades to prove it. R. Glenn Hilliard has served as chairman of Conseco's board of directors since September 2003. During the period from August 2004 until September 2005, he served as executive chairman and at all other times since September 2003 he has served as non-executive Chairman. Hilliard has been chairman and chief executive officer of Hilliard Group, LLC, an investment and consulting firm, since 2003.
Hilliard's career in the insurance industry began in 1968, when he joined Liberty Life Insurance Company as an attorney. During his 21-year tenure with the company, he served in many roles and was elected president and CEO in 1982.
After Liberty Life, Hilliard served as president and CEO of Security Life of Denver, an ING company, for four years before being appointed as president and CEO of ING America Life in 1993. One year later, he was appointed chairman and CEO of ING North America, encompassing the U.S., Mexico and Canada. He was appointed to chairman and CEO of ING Americas in 1999 and served until his retirement in 2003.
Hilliard serves as a trustee of Columbia Funds Series Trust, Columbia Funds Master Investment Trust, Columbia Funds Variable Insurance Trust I (formerly Nations Separate Account Trust) and Banc of America Funds Trust. He graduated from the Young President's Organization to the World's President's Organization, and is a member of the Society of International Business Fellows. He is a member of the American and South Carolina Bar Associations.
Hilliard has a bachelor of arts degree from Clemson University in South Carolina, and earned a law degree from George Washington University Law School in Washington, D.C. He also participated in the Executive Program at the University of Virginia.
An active supporter of civic and fine arts organizations, Hilliard is a member of the board of directors of Piedmont Healthcare, the Board of Trustees of Woodruff Arts Center and the board of the High Museum of Art in Atlanta. He is a Past President of the Clemson University Foundation.

John Turner joined Conseco's board of directors in September 2003. He is the chairman of Hillcrest Capital Partners, a private equity investment firm launched in 2002 by Turner and his son Jeff. Turner serves as a director of Hormel Foods Corporation and ING Funds.
During his extensive career in the insurance industry, Turner served as chairman and CEO of Reliastar Financial Corp., from 1991 until it was acquired by ING in 2000. Mr. Tokarz currently serves as Chairman and Portfolio Manager of the Fund and as Manager of The Tokarz Group Advisers LLC ("TTGA"), the investment adviser to the Fund (the "Adviser"). Mr. Tokarz also is Chairman of The Tokarz Group, a private merchant bank, since 2002. Prior to this, Mr. Tokarz was a senior General Partner and Administrative Partner at Kohlberg Kravis Roberts & Co., a private equity firm specializing in management buyouts. He also currently serves on the corporate boards of Conseco, Inc., Walter Industries, Inc. (Chairman of the board), Mueller Water Products, Inc., IDEX Corporation, Stonewater Control Systems, Lomonosov, Athleta, Inc. and Apertio Ltd. Mr. Tokarz is an active member of the endowment committee and Board of Trustees of YMCA in Westchester County. He is also a member of the Board of the Warwick Business School in England. He is Chairman elect and is a member of the Board of the University of Illinois Foundation, and serves on its executive committee, investment policy committee and is Chairman of the budget and finance committee; he is also a member of the Venture Capital Subcommittee and serves as a member of the Board of Managers for Illinois Ventures, LLC. Mr. Tokarz also serves as the Chairman of the Illinois Emerging Technology Fund LLC. Mr. Tokarz serves as a director for the following portfolio companies of the Fund: Baltic Motors Corporation, Dakota Growers Pasta Company, Ohio Medical Corporation, Timberland Machines & Irrigation, Inc., Harmony Pharmacy & Health Centers, Inc., and previously served on the Board of Vestal Manufacturing Enterprises, Inc. from April 2004 until July 2005.

Mr. Schneider was appointed non-executive Chairman of the Board in 2003. He was a partner in Smart and Associates, LLP, a financial, operational and technology consulting firm from July 2002 to June 2003. Between August 2000 and June 2002, Mr. Schneider was an independent consultant. He was a partner in Arthur Andersen LLP, serving clients in the insurance and financial services industries from September 1980 until his retirement in August 2000, and served for a period of time as a partner-in-charge of Arthur Andersen's worldwide insurance industry practice. He has been a director of Conseco, Inc. since September 2003.

Philip R. Roberts, 65, joined our board of directors in September 2003. Mr. Roberts is retired. From 2000 until 2007, Mr. Roberts was principal of Roberts Ventures L.L.C., consultant for merger and acquisition and product development for investment management firms. From 1996 until 2000, Mr. Roberts served as chief investment officer of trust business for Mellon Financial Corporation and headed its institutional asset management businesses from 1990 to 1996.

R. Keith Long was elected to Conseco's board in May 2009.
Mr. Long founded Otter Creek Management in 1991 and since that date has served as Otter Creek's president and chief executive officer. Otter Creek is the investment advisor for two hedge funds, Otter Creek Partners I, LP and Otter Creek International, Ltd.
He has 34 years of experience in investment analysis in both fixed income and equities. His experience prior to founding Otter Creek includes 10 years as a fixed income analyst, trader and arbitrageur, and eight years as an equity portfolio manager. His previous employers include Morgan Stanley, Kidder Peabody, Tradelink, Mesirow Financial and Lionel Eadie & Co.
Mr. Long holds BS and MBA degrees from Indiana University. He is the former chairman of the board of directors of Financial Industries, Inc., a life insurance company, and the former chairman of the board of directors of Financial Institutions, Inc., a property and casualty insurance company.

William Kirsch chairs the firm's global Private Equity practice. He has over 25 years of experience representing private equity firms in complex acquisitions, divestitures and similar transactional matters. He also advises boards and special committees in change of control transactions, restructurings, government investigations, financial, regulatory and corporate governance issues. He has acted as lead counsel in the legal representation of hundreds of large and complex private equity transactions, including acquisitions of Boise Cascade Corporation and Jefferson Smurfit Group by Madison Dearborn Partners. Mr. Kirsch also led the corporate representation of the TWA bankruptcy and the Conseco bankruptcy. He has represented private equity clients such as Audax Group, Bain Capital, Bank of America Global Equity Group, CIVC Partners, Madison Dearborn Partners, Olympus Partners, Providence Equity Partners, Sun Capital Partners, Thomas H. Lee Company, Willis Stein & Partners and others. In addition, Mr. Kirsch plays an increasing role amongst his clients in the execution of their business strategy and key company initiatives, which in the case of Madison Dearborn Partners led to his appointment as General Counsel while he was a Partner at Kirkland & Ellis. And more recently, as the President and CEO of Conseco Inc., a Fortune 500 insurance company. From 1981 until 2004, Mr. Kirsch was with Kirkland & Ellis where he was elected a partner in 1987. He led the firm's private equity practice and served in various management capacities including as a member of the firm's management committee, chair of the compensation committee, co-chair of the finance committee, as well as other management roles. Mr. Kirsch serves on the Board of Trustees of Northwestern University, the Board of Directors of Children's Inner City Education Fund, Stanford Law School's Dean's Circle and its Board of Visitors and the Board of Directors of Boise Cascade LLC. He served as General Counsel of Madison Dearborn Partners from 1999 through 2004 and as a member of the Sun Capital Board of Advisors. Mr. Kirsch received his J.D. from Stanford University and his B.A. from Northwestern University. He is currently admitted to practice in the state of Illinois.
