National Semiconductor Corp.

Dr. Bahai is a Fellow and chief technologist at National Semiconductor. He is also director of National Semiconductor Labs (NS Labs). Bahai is a consulting professor at Stanford University and an adjunct professor and member of the University of California at Berkeley's Electrical Engineering and Computer Science Industrial Advisory Board. Prior to joining National, he was chief technology officer at Algorex and a technical manager at AT&T Bell Labs Advanced Wireless Communications Labs. Bahai co-invented a multi-carrier spread spectrum theory which is being used in most modern wireless systems and standards. He is the author of a text book on OFDM, "Multi-carrier Digital Communications," and served as the associate editor of IEEE Communication Letters for five years. Bahai has authored more than 60 papers in journals/conferences and holds several patents in wireless, analog, and mixed-signal processing systems. Bahai received his master's degree in electrical engineering from Imperial College, University of London in 1988 and a Ph.D. in electrical engineering from the University of California at Berkeley in 1993.

Monticelli is chief technology officer for analog technologies. Monticelli received his bachelor's degree in engineering from the University of California at Santa Barbara in 1974 and joined National Semiconductor upon graduation. For 16 years he worked on a wide variety of analog and mixed-signal development projects, both as a circuit designer and as design manager. He was selected to lead the newly formed Power Management business unit in 1991 and promoted to vice president in 1995. He currently holds 20 patents in the area of circuit design and is a member of the National Semiconductor Patent Hall of Fame.

President and CEO John Mallard is currently CTO at National Semiconductor Corp. Responsible for the strategic technical direction of the company including M6A activity to enable execution of the strategic plan. Prior to NSC, John headed up H/W Engineering product lines, and key members of roadmap definitions teem at Digital Equipment, Norand, Zenith Data System in the portable computer product lines. VP S/W Development Sanjeev Kumar is currently the Director of Software Engineering for the Information Appliance Group at National Semiconductor. Sanjeev joined NSC to start a new design center for NSC in Seattle area for software architecture work. Prior to National, he worked at Signal Equipment Corp. As the Chief Architect and Software Engineering Manager in the Mobile PC Group responsible for the Ultra line of portables. Prior to Digital, he spent a number of years at American Megatrends Inc. in various roles ranging form BIOS architect to Notebook BIOS Group Manager. He also worked in computer industry in India before coming to USA for his Gradate Studied. He holds MS from Tulane Univ. and Bachelors Degree form Indian Institute of Technology, Kanpur, India, both in Electrical.

Chew has been National's CFO since 2001 and is responsible for all Finance functions of the corporation as well as Information Systems and Investor Relations. He has been with National since 1997 and his span of previous responsibilities has included corporate controllership, strategic business planning, business development, worldwide operations finance and global internal audit. Prior to joining National in 1997, Chew was a Partner and certified public accountant (CPA) at KPMG LLP. He joined KPMG in 1984 and served mainly technology and financial institution clients. In December 2002, Treasury and Risk Management Magazine named Chew as one of their top "40 under the age of 40" finance executives in the nation. He has also been recognized on multiple occasions as one of America's Best CFOs by Institutional Investor Magazine in their annual ranking of CFOs in America. Chew holds a bachelor's degree in accounting from Santa Clara University.

Seif joined the company in January 1980. Prior to becoming vice president, chief information officer in June 1997, he held positions as director of business operations for Analog & Mixed Signal, director of worldwide operational systems, director of corporate systems architecture, manager of worldwide marketing and sales systems and manager of European systems integration - Europe. In early 1996 Seif left National to join Cirrus Logic as CIO, and returned to National in June 1997.

Sweeney returned to National in May 2002 after recently serving as vice president of worldwide human resources at Vitria Technology, Inc., a leading supplier of integrated e-business software. Prior to that he was vice president of human resources for Candescent Technologies Corporation, a manufacturer of flat-panel displays. From 1983 to 1998 he served as a vice president of human resources for National Semiconductor's Central Manufacturing Technology Group and also for the company's Analog Products Group. He also directly supported National's worldwide sales and marketing organization and the company's manufacturing facility in Greenock, Scotland. Sweeney has a bachelor's degree in organization behavior and an master's degree in human resources and organization development, both from the University of San Francisco.

Mr. Noonen joined National in September 2001 and was named Senior Vice President, Worldwide Marketing and Sales at the beginning of the 2006 fiscal year. Prior to then, he had held positions at National as Vice President, Communications and Computing Interface Group and Vice President, Wired Communications Division. Prior to joining National, Mr. Noonen had served as Director of New Markets and Technologies at Cisco Systems, Inc. and had held sales management positions at 8x8, Inc. and the NCR Microelectronics division of NCR Corporation.

Polacek directs National's efforts to identify and serve key markets which can benefit from National's strength in energy efficiency. These markets include personal mobile devices, communications infrastructure, security and surveillance, medical imaging as well as alternative energy. Previously, Polacek served as vice president of National's Amplifiers Product Group as well as the Audio, Imaging and Information Appliance Divisions. He was senior director of National's PC and Processor Division in Japan. Prior to joining National, Polacek held management positions at Philips Semiconductor. He received a bachelor of science degree in electrical and computer engineering from the University of Illinois and an MBA degree from Santa Clara University.

Parulekar is senior vice president of National's Analog Signal Path Group. Parulekar joined National in 1989. He previously served as vice president of the Amplifier and Audio Products Group. Prior positions at National include director of marketing for the Mediamatics and Power Management business units and director of strategy for the Communication & Consumer Group Products. Before working for National, Parulekar was at GE-Intersil as a group marketing manager. He holds a master's degree in engineering from the Polytechnic Institute of Brooklyn, an MBA from University of New Orleans and a bachelor's degree in engineering from Maharaja Sayajirao University, Baroda/India.

Mr. DuChene joined National in January 2008 as Senior Vice President, General Counsel and Secretary. Prior to joining National, Mr. DuChene had held positions as Executive Vice President, General Counsel and Secretary of Solectron Corporation from 2005 to 2007 and as Senior Vice President, Corporate Development, Chief Legal Officer and Secretary of Fisher Scientific International Inc. from 1996 to 2005. Under Mr. Ross's leadership, Rockwell's semiconductor revenue grew from $140 million to more than $1 billion and Rockwell became the worldwide leader in voiceband modems. He retired in 1995. Later Rockwell spun off its semiconductor operations to the public to launch Conexant Systems. Before joining Rockwell, Mr. Ross served as Vice President and General Manager of National Semiconductor's ASIC business, and prior to that was Vice President and General Manager of Fairchild Semiconductor's ASIC division. During 1978-1982, he was Vice President and General Manager of the Fairchild Semiconductor Test Systems division, a manufacturer of computer-aided semiconductor test systems. During 1994, he served as Chairman of the Board of the Semiconductor Industry Association, the premier trade association representing the U.S. microchip industry. Mr. Ross also served on the Board of Sematech as well as the Telecommunications Industry Association. Gordon Mortensen is an Engineering Director in the Advanced Power Group at National Semiconductor. He has 23 years of experience in the semiconductor industry in engineering management, as a design engineer, and as a product engineer. Gordon's embedded systems experience includes 4 bit, 8 bit and 16 bit micro-controller products, x86 platform chipsets and PowerWise(R) Portable Power Management products.

Albert Lee is a Senior Applications Manager for the Display Division's Flat Panel Display product line at National Semiconductor Corp. in Santa Clara, California. With over 10 plus years of related experience in the applications and design of Flat Panel display products, Albert Lee is contributing to Nationals emerging leadership in this rapidly expanding market segment. Nancy Mirabella is the Risk and Insurance Manager for National Semiconductor, Inc. Prior to joining National she worked in the communication service industry for an internet and voice service provider as the company's Risk Manager. Prior to assuming the role of Risk Manager, she worked for the in-house corporate law department on large antitrust and other complex corporate matters. Nancy spent the early part of her career working as a litigation paralegal in both plaintiff and defense firms. Wanda Garrett is the Technical Communications Manager in the Web Business Group at National Semiconductor Corp. in Santa Clara, California. With 20 years experience in the design and application of DC/DC converters and related power management products, as well as being a key trainer on this subject, she is now a primary developer of National's Knowledge Base, the Online Seminar series, and other online technical tools. Before joining National in 1983, she received a BSEE from Washington State University.

Amarjit Gill is one of three cofounders of P.A. Semi and serves as its executive vice president, heading up sales and business development. Before joining P.A. Semi, Gill served as vice president of sales and business development at SiByte Inc. He has 17 years experience in the embedded-microprocessor industry, including work with National Semiconductor, Texas Instruments, and Digital Semiconductor, where he served as director of sales for global accounts. Gill holds a bachelor's degree in electrical engineering from San Jose State University.

Mr. Sheel has over 20 years of semiconductor-industry experience in various engineering and management roles. At BrightScale he is responsible for designing the product road map, developing growth strategies, building customer relationships and reducing costs. Most recently he was vice president of Engineering at CHIPS AG, and vice president and COO at Propulsion Networks. Mr. Sheel has also performed various engineering management roles at Synopsys, National Semiconductor, and Advancel.

David Thrope, who is based in the Northeastern U.S., is a leading international legal executive with broad experience for top technology companies i Motorola, National Semiconductor and United Technologies. Since 1986, David has been a key member of Motorolai s legal team. As Vice President International, he built the international section of the Motorola law department by opening, staffing and managing offices in Beijing, Delhi, Paris, Singapore, Sao Paulo and Moscow. David managed a team of 20 lawyers in 13 countries providing legal support for Motorolai s wide range of commercial operations and complex acquisition and divestiture transactions throughout Europe, Eastern Europe, Latin America and Asia. Dr. Jipeng Li is a senior design engineer at National Semiconductor Corp.(NSC), responsible for the research and development of high performance analog and mixed signal ICs for broadband digital communication systems and high quality video systems. He is the project lead for several NSC's leading edge data converter products. Prior to NSC, from 2003 to 2004, he was a member of technical staff at Engim Inc., responsible for the development of multi-channel wireless LAN system; from 1998 to 1999, he was with ZTE Corporation, China , designing RF transceiver for GSM base station system. Jipeng Li received the B.S.E.E. degree and the M.S.E.E. degree from Fudan University , and the Ph.D. degree in Electrical and Computer Engineering from Oregon State University in 1995, 1998 and 2003 respectively. Dr. Li has more than 20 publications and serves as the reviewer for several premier IEEE technical journals and conferences. Dr. Li is a member of Sigma Xi.

John Goldie is a graduate of San Francisco State University, holding a BS in Electrical Engineering with a minor in Design and Industry. John joined National in 1988 and has worked on LVDS, BLVDS, CML, ECL, GTL, BTL, RS-xxx and other interface technologies for data transmission and display applications. He has also authored over 30 articles and has chaired the TIA TR30.2.1 Electrical Standards committee, which authored LVDS and M-LVDS.

Kevin Hoskins has been a Staff Applications engineer since 1984. He wields his soldering iron at National Semiconductor Corporation's Audio Products Group in Santa Clara, California. He has also performed application duties with the Data Acquisition Products Group at National Semiconductor Corporation also in Santa Clara, California.

Nedi Nadershahi leads Magnum's engineering development for advanced products. Nadershahi joined Magnum in September 2005 as part of its long-term expansion strategy for the enhancement of its product roadmaps. He was previously employed at LSI Logic, where he held the position of director of engineering since 2002. Prior to LSI Logic, Nadershahi accepted the challenge of building the technical infrastructure in Oak Technology in 1997, where he served as its vice president of research and development. Among his successes were the creation of a strong engineering team, a vast roadmap of DVD front-end processor chips, and unprecedented growth in the company. From 1987 to 1997, Nadershahi was director of system architecture at Hitachi Semiconductor where he developed storage-related core blocks (such as hard disc controllers), some of which have been successfully commercialized by both Marvell and Seagate. Nadershahi received his BSEE from Washington University in St. Louis MO, after which time he joined National Semiconductor in 1979.

Nicholas "Nick" Gray is a Staff Applications Engineer with National Semiconductor's Data Conversion Products Group in Santa Clara, California, where he has been employed since 1991. He is currently working on the development of new products in the area of Analog-to-Digital Converters. A writer of many technical articles, Nick's career includes video circuit design and 19 years as an applications engineer for data conversion products. Nick holds a BSEE degree from Gonzaga University, Spokane, Washington (1965) and has done graduate work at California State University, San Jose.

Paul Rako is a Senior Analog Applications Engineer working in the Amplifier Group at National Semiconductor. He started his career as an automotive engineer in Detroit, working for both GM and Ford. After moving to Silicon Valley in the early eighties he worked for a military contractor and then started his own business as a system-level design consultant. His clients included Hewlett Packard, Teledyne and Schlumberger as well as several startups. He attended both General Motors Institute (now the Kettering Institute) and the University of Michigan. His interests include politics, philosophy, motorcycles and making music and videos.

Richard Cumberland, Vice President, has over 30 years of highly successful, general management, consultative sales and relationship management experience in a variety of industries, including Technology, Telecom, Finance and Retailing. He has written mission statements and compensation plans, experienced and led many acquisitions and mergers, managed engineering and manufacturing departments and has overseen the growth and expansion of several small and midsize companies. Rick has held senior positions in strategic business development for such firms as Data General, Telxon, National Semiconductor, and Northern Telecom. Rick received a BS in Economics from Merrimack College and served in the United States Air Force.

Russ Johnsen is a Director of the Company. Russ Johnsen is CEO of the Occtane Group, a start up company developing a new electronic point of decision advertising media, and President of Delumina, Inc., a strategic technology consulting and investment firm. He is lead outside director of Mercury Computer Systems, Inc., as well as a director of three venture capital backed private companies, including Cubic Wafer. Mr. Johnsen previously served as VP for Corporate Business Development and VP/General Manager of the Communications Products Division at Analog Devices. Prior to Analog Devices, Mr. Johnsen filled various senior management roles at National Semiconductor Corp. He holds a Bachelors Degree from MIT.

Mr. Ho has has a broad range of experience including yield engineering positions at AMD and Performance Semiconductor; managing product engineering groups at National Semiconductor and Sierra Semiconductor; and as Vice President of Applications Services and later Vice President of the Solutions Division at HPL Technologies. He is the author of numerous publications in semiconductor yield management. He holds B.S. degrees in Chemical Engineering and Materials Science from the University of California, Berkeley.

John T. Dickson has been a Director of KLA-Tencor since May 2007. Mr. Dickson is the former President and Chief Executive Officer of Agere Systems, Inc., a position he held from August 2000 until October 2005. Prior to that, he held positions as the Executive Vice President and Chief Executive Officer of Lucent s Microelectronics and Communications Technologies Group; Vice President of AT&T Corporation s integrated circuit business unit; Chairman and Chief Executive Officer of Shographics, Inc.; and President and Chief Executive Officer of Headland Technology Inc. Mr. Dickson is also a member of the Boards of Directors of National Semiconductor Corporation, Mettler-Toledo International Inc. and Frontier Silicon, Ltd.

Richard is currently the Nunn Prize Fellow at the Center for Strategic and International Studies in Washington, DC, a senior fellow at the CNA Corporation, and a consultant to the Department of Defense. Richard served as the 71st Secretary of the Navy from 1998 to 2001. He was the Undersecretary of the Navy from 1993 to 1997. He is currently a director at National Semiconductor Corporation, Human Genome Sciences Corporation, and Saffron Hill Ventures. He also serves as Chairman of the Board of the Center for Strategic and Budgetary Assessments, and a member of the Board of Directors of Public Agenda and the Partnership for Public Service. He holds a BA from Reed College, a JD from Yale Law, and a PhD from Oxford, where he was a Rhodes Scholar. He has three times received the Department of Defense's highest award for civilians, the Defense Distinguished Public Service Award

Richard Danzig is a member of the Audit Committee. He serves as a consultant to the U.S. government on biological terrorism. He is a Nunn Prize Fellow at the Center for Strategic and International Studies and Senior Fellow at the Center for Naval Analyses. Mr. Danzig is also a member of the U.S. Military Southern Command Advisory Board. He serves on the boards of directors of National Semiconductor Corporation and Saffron Hill Ventures, the Center for a New American Security and the Partnership for Public Service. He served as Secretary of the Navy from 1998 to 2001 and as Under Secretary of the Navy from 1993 to 1997. He was a Traveling Fellow of the Center for International Political Economy and an Adjunct Professor at Syracuse University's Maxwell School of Citizenship & Public Affairs between 1997 and 1998. He was a partner in the law firm of Latham and Watkins from 1981 to 1993.

Roderick C. McGeary, age 57, has been a member of the Board since August 1999 and Chairman of the Board since November 2004. From March 2005 until December 2007, Mr. McGeary served the Company in a full-time capacity, focusing on clients, employees and business partners. From 2004 until 2005, Mr. McGeary served as our Chief Executive Officer. From 2000 to 2002, Mr. McGeary was the Chief Executive Officer of Brience, Inc., a wireless and broadband company. Mr. McGeary is a director of Cisco Systems, Inc., a worldwide leader in networking for the Internet, and Dionex Corporation, a manufacturer and marketer of chromatography systems for chemical analysis. On December 31, 2007, Mr. McGeary retired as an employee of the Company. Mr. McGeary will continue serving as Chairman of the Board.

Steve Appleton is chairman and chief executive officer of Micron Technology Inc. Mr. Appleton joined Micron in 1983 and has held a series of increasingly responsible positions, including production manager, director of manufacturing, and vice president of manufacturing. In 1991, he was appointed president and chief operating officer of Micron and in 1994 he was appointed to the position of chairman, chief executive officer and president. He assumed his current position in 2007. Mr. Appleton currently serves on the board of directors for the Semiconductor Industry Association and National Semiconductor, Inc. He is also a member of the World Semiconductor Council and serves on the Idaho Business Council. He received a bachelor of business administration degree from Boise State University in 1982 and an honorary doctorate from Boise State University in 2007.
