Baxter International Inc.

Robert L. Parkinson, Jr., age 58, is Chairman and Chief Executive Officer of Baxter, having served in that capacity since April 2004. Prior to joining Baxter, Mr. Parkinson was Dean of Loyola University Chicago's School of Business Administration and Graduate School of Business from 2002 to 2004. He retired from Abbott Laboratories in 2001 following a 25-year career, having served in a variety of domestic and international management and leadership positions, including as President and Chief Operating Officer. Mr. Parkinson also serves on the boards of directors of Chicago-based Northwestern Memorial Hospital and the Northwestern Memorial Foundation as well as Loyola University Chicago's Board of Trustees.

Karenann Terrell is corporate vice president and chief information officer at Baxter and has responsibility for the company's global information technology function supporting Baxter's businesses worldwide, including its sales, manufacturing, science and technology, and supply chain operations. Terrell joined Baxter in April 2006 from DaimlerChrysler Corporation where she most recently served as vice president and chief information officer, Chrysler Group and Mercedes Benz North America. Prior to this, Terrell spent 16 years at General Motors where she had responsibility for brand development and e-business management. Terrell serves on the Mayor's Council of Technology Advisors for the City of Chicago and is a member of the Board of Directors for Women in Technology International. Terrell earned her master's degree in electrical engineering from Purdue University, and her Bachelor of Science in the same field from General Motors Institute.

Dr. Riedel is a corporate vice president and the chief scientific officer of Baxter International Inc., having served in that capacity since March 2001. He joined Baxter in 1998 as president of the recombinant unit within Baxter's BioScience business. Prior to joining Baxter, he was head of worldwide biotechnology and head of worldwide core research functions at Hoechst Marion Roussel. Dr. Riedel received his Ph.D. in biochemistry from the University of Frankfurt in 1983 and was a postdoctoral fellow at Harvard University from 1984 until 1987. Currently, Dr. Riedel is an adjunct professor at Boston University.

Robert M. Davis is corporate vice president and chief financial officer, overseeing Baxter's global financial operations. Davis joined Baxter as treasurer in November 2004 from Eli Lilly and Company, where he served as director of corporate financial planning. He held numerous positions, including assistant treasurer, director of planning and tax counsel. As assistant treasurer, he had responsibility for overseeing global treasury operations, including cash flow planning, capital markets, working capital management and affiliate funding worldwide. Davis currently serves on the Board of Trustees for Rush University Medical Center and is a member of its Finance Committee. Davis earned his juris doctorate from Northwestern University School of Law and his master's degree from Northwestern University's Kellogg Graduate School of Management, after graduating from Miami University with a bachelor's degree in finance.

Bruce McGillivray is corporate vice president and president of Baxter's Renal business. In this position, he is responsible for the development and worldwide marketing of Baxter's peritoneal and hemodialysis products and services. McGillivray has been with Baxter since 1980, joining the company as a territory manager for the Hospital Division in Canada. Throughout the years, he has held a succession of senior positions. He was named president of Baxter Canada in 1997 and in 2002, was named president of Renal Europe. McGillivray serves on the board of the Lake Forest School of Management. McGillivray has a degree in economics from York University and a master's degree in business administration from the University of Toronto.

Carlos Alonso is corporate vice president and president of Baxter's Latin America region. The regional operations consist of 19 countries, five manufacturing facilities, and a product portfolio representing all of Baxter's Renal, Medication Delivery and BioScience businesses. Alonso joined Baxter in August 1996 as a business unit director in Spain. In 2000, he became vice president of Baxter's BioScience business for Asia, Australia, Latin America, New Zealand and Turkey. He was named general manager of Baxter Argentina in 2001, and was appointed vice president of Renal in Canada in 2003. In 2004, he was named general manager of Baxter Brazil and soon after added oversight of Argentina and Chile to his responsibilities. In September 2006, Alonso was promoted to president, Latin America. Prior to joining Baxter, Alonso was Country Manager for Dentsply in Spain and Portugal for five years. He also previously held management roles at several Spain- and Brazil-based companies, including Leybold-Heraeus, Espec and Oxiteno. Alonso is a member of the University of Miami School of Business Advisory Board. Alonso is a graduate of Brazil's Universidade Federal do Paraná in Curitiba where he earned his degree in chemical engineering. In addition, he has a master's degree in chemical process automation from the Instituto Quimico de Sarriá in Barcelona, Spain and a master's degree in management from IESE-Universidad de Navarra, also in Barcelona, Spain.

Cheryl L. White is corporate vice president, quality at Baxter. Prior to assuming this position, White served as vice president, quality management for Baxter's BioScience business in Westlake, California. She has held senior positions within the BioScience business with direct supervision over global manufacturing facilities and product development for biopharmaceutical products, biosurgery and vaccines. She played a vital leadership position in the successful validation, staffing and licensure of the ADVATE manufacturing facility in Neuchatel, Switzerland. Before joining the company in 1998, she managed quality control and quality assurance activities for Hybritech, at the time a division of Eli Lilly and Beckman Instruments. In addition, she spent nine years in academic research in the University of California system. White is the executive sponsor of Baxter's Global Inclusion Council and serves on the board of directors of The Baxter International Foundation. She is a member of the Regulatory Affairs Professional Society (RAPS) and the Parenteral Drug Association (PDA). White earned her master's degree in business administration from the University of California, Irvine, and a Bachelor of Arts in biology from the University of California, San Diego.

David P. Scharf is corporate vice president, deputy counsel, and corporate secretary for Baxter and is responsible for the Transactions and Governance Law Team. Prior to joining Baxter in 2005, Scharf served as associate general counsel for Guidant Corporation, where his responsibilities included corporate governance, complex transactions, and capital market matters. Prior to Guidant, Scharf handled similar matters as assistant general counsel with Sears, Roebuck and Co. and was an associate with Baker & Daniels. Scharf received his law degree from the University of Chicago, where he was a member of the law review, and his bachelor's degree in finance from Indiana University. Prior to law school, Scharf worked in foreign exchange derivatives for a predecessor of UBS.

Gerald Lema is corporate vice president and president of Baxter's Asia Pacific region. He has responsibility for the company's operations in Japan, Australia and New Zealand, China/Hong Kong, India, North Asia and South East Asia. Lema has more than 20 years of pharmaceutical, diagnostics and healthcare experience in Asia, Japan, Europe, North/South America and the Middle East/Africa. Prior to joining Baxter in 2005, Lema held several positions in sales, marketing and business development at Abbott Laboratories. His most recent position with Abbott was corporate vice president, Asia Pacific, and chairman and representative director, Abbott Japan, in Tokyo. Lema earned a Bachelor of Science in engineering from Universidad del Valle, Colombia and a master's degree in business administration from the Freeman School of Business, Tulane University, New Orleans.

James Michael Gatling is corporate vice president, global manufacturing at Baxter. He is responsible for the global manufacturing operations for Baxter's Medication Delivery and Renal businesses, and for Environment, Health & Safety. Gatling leads Baxter's Manufacturing Council, which is responsible for identifying and addressing critical worldwide manufacturing issues. Gatling joined Baxter in 1975 as an industrial engineer and progressed through a variety of positions in manufacturing. His previous positions include plant manager for Baxter facilities in Cleveland, Mississippi, and Marion, North Carolina. Gatling assumed responsibility for I.V. Systems manufacturing operations in 1994, and in May 1996 was promoted to vice president of global manufacturing operations, I.V. Systems/Medical Products. In December 1996, Gatling was named corporate vice president, I.V. Systems/Medical Products. He also assumed responsibility for Renal manufacturing in 1997. Prior to joining Baxter, Gatling worked at Anderson Clayton and Northern Electric. Gatling received a bachelor's degree in industrial management from Mississippi State University.

Joy A. Amundson is corporate vice president and president of Baxter's BioScience business. In this position, she oversees Baxter's worldwide biopharmaceutical, vaccine and regenerative medicine products. Prior to joining Baxter in 2004, Ms. Amundson was a principal of Amundson Partners, Inc., a healthcare consulting firm. She served in a variety of executive positions at Abbott Laboratories for more than 20 years, including president and senior vice president of Ross Products. Ms. Amundson also served in several brand management roles during a six-year tenure at Procter & Gamble. Ms. Amundson is active in industry and community organizations. She is a member of the board of directors for Advocate Lutheran General Hospital in Park Ridge, IL. She holds a bachelor of arts degree in journalism and advertising from the University of Wisconsin and a masters of management degree from Northwestern University’s Kellogg Graduate School of Business.

Michael J. Baughman is corporate vice president and controller at Baxter. Baughman joined Baxter in 2003 as the vice president of corporate audit. He was appointed to the role of corporate controller in March 2005. Before joining Baxter, Baughman had a 16-year career at PricewaterhouseCoopers LLP, during which he held a number of senior roles, including audit partner and partner in the firm's mergers and acquisitions practice. Baughman is a board member of the Baxter Credit Union, as well as a member of the American Institute of Certified Public Accountants and The Corporate Executive Board, Controllers' Leadership Roundtable. Baughman received a bachelor's degree in business administration from the University of Michigan and is a Certified Public Accountant

Peter Nicklin is corporate vice president and president of Baxter's European region. In this position he is responsible for all of the company's commercial operations in Europe, Middle East and Africa. Before joining Baxter in October of 2006, Nicklin was at Bayer AG, where he most recently served as president of Bayer HealthCare's Animal Health Division and was also responsible for Bayer HealthCare operations in Asia Pacific. He was previously responsible for Bayer HealthCare's business development function. Prior to joining Bayer, Nicklin was with Novartis AG, where he oversaw the company's Western and Central European pharmaceuticals business from 2003 to mid-2005. From 1989 to 2003, he worked at Bristol-Myers Squibb, where he held several international executive management positions in the United Kingdom, Germany, Belgium, Australia, and China. These included senior positions in pharmaceuticals, business development and medical device management. Nicklin is a Chartered Accountant and began his career with PricewaterhouseCoopers in London after earning a bachelor's degree in finance and law at the University of Lancaster in England.

Robert J. Hombach is corporate vice president and treasurer at Baxter. Hombach joined Baxter in 1989 and has served in a number of finance positions with increasing responsibility in the planning, manufacturing, operations, and treasury areas. Prior to his current role, he served as vice president of finance, Europe, and vice president corporate planning and analysis where he led several enterprise-wide initiatives and served as a member of the Baxter strategy team. Hombach earned his master's degree in business administration from Northwestern University's Kellogg Graduate School of Management, and his Bachelor of Science in finance, cum laude, from the University of Colorado. He has also earned the Certified Public Accountant (CPA) and Certified Management Accountant (CMA) designations.

Susan R. Lichtenstein is corporate vice president and general counsel. In this role, she serves as the chief legal officer and is responsible for global communications, government affairs and public policy. Lichtenstein's career has spanned corporate, government, and private law practice. Prior to joining Baxter in March 2005, Lichtenstein served as general counsel to the governor of Illinois. Previously, Lichtenstein worked in the telecommunications industry where she served as general counsel and corporate secretary for both Ameritech Corporation and Tellabs, Inc. She also served as deputy corporation counsel for the City of Chicago after spending a decade with Schiff Hardin & Waite, where she was a partner working on complex litigation, corporate counseling and internal investigations, with particular emphasis on regulated industries. Lichtenstein serves on the boards of numerous civic and philanthropic organizations, including the Lyric Opera of Chicago, the Ravinia Festival, and Olin-Sang-Ruby Union Institute. She is a member of The Economic Club of Chicago, The Executives' Club of Chicago, The Chicago Network and is a steering committee member of the Senior Businesswomen's Forum. Additionally, Lichtenstein was co-founder and co-chair of the Women in Business, Politics and Powers symposium series. Lichtenstein received a Bachelor of Arts from the University of Minnesota and a law degree from Northwestern University Law School.

Chairman and Chief Executive Officer since December 2006. Previously Chief Executive Officer of HB Fuller Company, a manufacturer of adhesives, sealants, coatings, paints and other specialty chemical products 1998-2006, and Chairman of HB Fuller Company from 1999-2006.

Blake E. Devitt, age 62, has served as a Director of Baxter since 2005. Mr. Devitt retired in 2004 from the public accounting firm of Ernst & Young LLP. During his 33-year career at Ernst & Young, Mr. Devitt held several positions, including Senior Audit Partner and Director, Pharmaceutical and Medical Device Industry Practice, from 1994 to 2004.

Carole J. Shapazian, age 65, has served as a Director of Baxter since 2003. Ms. Shapazian served as Executive Vice President of Maytag Corporation, a producer of home and commercial appliances, and as President of Maytag's Home Solutions Group, from January 2000 to December 2000. Prior to that, she was Executive Vice President and Assistant Chief Operating Officer of Polaroid Corporation, a photographic equipment and supplies corporation, from 1998 to 1999. From 1997 to 1998, she served as Executive Vice President and President of Commercial Imaging for Polaroid.

James R. Gavin III, MD, Ph.D. is a clinical professor of medicine at Emory University School of Medicine. He is also executive vice president for clinical affairs at Healing Our Village, LLC. He serves as interim president and CEO for Microislet, Inc. of San Diego, CA, maintaining an office base in Atlanta, GA. From 2002 to 2004, Dr. Gavin was president of the Morehouse School of Medicine in Atlanta, GA. He served as senior scientific officer at the Howard Hughes Medical Institute (HHMI) from 1991 to 2002 and director of the HHMI-National Institutes of Health Research Scholars Program from 2000 to 2002. Before joining the senior staff of HHMI, Dr. Gavin was on the faculty at the University of Oklahoma Health Sciences Center as a professor and as chief of the Diabetes Section, acting chief of the Section on Endocrinology, Metabolism and Hypertension, and William K. Warren Professor for Diabetes Studies. He previously served as an associate professor of medicine at Washington University School of Medicine in St. Louis. He was a lieutenant commander in the US Public Health Service from 1971 to 1973 and continues to serve as a reserve officer. Dr. Gavin belongs to a number of organizations, including the Institute of Medicine of the National Academy of Sciences, the American Diabetes Association, the American Society of Clinical Investigation, the American Association of Physicians, the Alpha Omega Alpha Medical Honor Society, the Association of Black Cardiologists, and the Sigma Pi Phi Leadership Fraternity. He is a past president of the American Diabetes Association and was voted Clinician of the Year in Diabetes by ADA in 1991. He has served on many advisory boards and on the editorial boards of the American Journal of Physiology and the American Journal of Medical Sciences. He is on the board of trustees for Duke University, Emory University, Livingstone College and the Robert Wood Johnson Foundation. In addition, he is national program director of the Harold Amos Faculty Development Program of the Robert Wood Johnson Foundation. Dr. Gavin is immediate past chairman of the National Diabetes Education Program and a member of the Board of Scientific Councilors for the Intramural Research Program of NIDDK. He also serves as chairman of the Data Safety Monitoring Board for the VA Cooperative Diabetes Study. Dr. Gavin has published more than 190 articles and abstracts in such publications as Science, the Journal of Applied Physiology, Diabetes, and the American Journal of Physiology. He is author of two books, Healing Our Village: A Self-Care Guide for Diabetes Control (with L. Coleman) and Dr. Gavin's Health Guide for African Americans (with S. Landrum). He also hosts the "Powerpoint" health talk radio show for public radio station WCLK, 91.9 FM, Atlanta. Among the many honors Dr. Gavin has received are the Daniel Hale Williams Award, the E.E. Just Award, the Herbert Nickens Award, the Daniel Savage Memorial Award, the Emory University Medal for Distinguished Achievement, and the Banting Medal for Distinguished Service from the American Diabetes Association, the Distinguished Alumni Award from the Duke University School of Medicine, and the Internist of the Year from the National Medical Association. Dr. Gavin graduated from Livingstone College in Salisbury, NC with a degree in chemistry. He earned his PhD in biochemistry from Emory University and his MD degree from Duke University School of Medicine. He is married to Dr. Annie J. Gavin and they are the parents of three adult sons.

Peter S. Hellman, age 59, has served as a Director of Baxter since 2005. From 2000 until his retirement in 2008, Mr. Hellman held various positions at Nordson Corporation, a manufacturer of systems that apply adhesives, sealants and coatings during manufacturing operations, the most recent of which was President and Chief Financial and Administrative Officer. From 1989 to 1999, Mr. Hellman held various positions with TRW Inc., the most recent of which was President and Chief Operating Officer. Mr. Hellman also serves as a director of Qwest Communications International Inc. and Owens-Illinois, Inc.

Thomas T. Stallkamp, age 62, has served as a Director of Baxter since 2000. Mr. Stallkamp has been an Industrial Partner in Ripplewood Holdings L.L.C., a New York private equity group, since 2004. From 2003 to 2004, he served as Chairman of MSX International, Inc., a global provider of technology-driven engineering, business and specialized staffing services, and from 2000 to 2003, he served as Vice-Chairman and Chief Executive Officer of MSX. From 1980 to 1999, Mr. Stallkamp held various positions with DaimlerChrysler Corporation and its predecessor Chrysler Corporation, the most recent of which was Vice Chairman and President. Mr. Stallkamp also serves as a director of BorgWarner Inc. and Honsel International Technologies S.A and a director and non-executive co-chairman of Asahi Tec Corporation.
