Berkshire Hills Bancorp Inc.

Mr. Millet, a certified public accountant, was previously Chief Operating Officer of Berkshire Insurance Group, Inc. until August 1, 2008. He joined Berkshire Bank, another wholly owned subsidiary of the Company, in May 2005 overseeing development of strategic risk management and profitability measurement policies and systems. Mr. Millet also served as interim Chief Financial Officer of the Company and Berkshire Bank from November 2006 until August 2007 before becoming COO of Berkshire Insurance Group, Inc.

Kevin Riley is Executive Vice President, Chief Financial Officer and Treasurer. Mr. Riley joined the Company on August 1, 2007. Prior to joining the Company, Mr. Riley was Executive Vice President for Client Information and Relationship Management with KeyCorp where he was responsible for bank-wide customer relationship management, data governance and facilities. Previously from 1996 to 2002 he served as Executive Vice President and Chief Financial Officer of KeyBank National Association, Key Corp's flagship community bank and was a member of its executive team.

Shepard Rainie is Executive Vice President and Chief Risk Officer. Mr. Rainie joined the Company in August of 2006 and is responsible for credit risk, loan review, loan documentation, internal audit. Prior to joining the Company, Mr. Rainie has more than 31 years of sophisticated banking experience, most recently with Bank of America and its predecessor banks, Fleet Bank and First National Bank of Boston. Mr. Rainie was Bank of America Senior Vice President-Credit Review and led a team of examiners and strategic risk assessment officers covering Wealth and Investment Management, Business Banking and Principal Investing for the two years prior to joining the Company.

Michael Oleksak is Executive Vice President of Commercial Banking. Mr. Oleksak joined the Company and the Bank in February 2006 as Regional President for the Pioneer Valley. Mr. Oleksak is responsible for the development and implementation of all commercial banking strategies, including products, pricing and geography. Prior to joining the Company and the Bank, Mr. Oleksak was Senior Vice President and Co-Regional Executive of Western Massachusetts at TD Banknorth. During his 26 year banking career, Mr. Oleksak has had extensive commercial lending experience throughout New England, and served in various capacities at Fleet Bank and Shawmut Bank.

Mr. Lawrence A. Bossidy had served as Chairman and CEO of AlliedSignal from 1991 to 1999, when he became Chairman of Honeywell following the historic merger of AlliedSignal and Honeywell in December, 1999. He retired from the company in April 2000. He returned on July 3, 2001, as Chairman and CEO of Honeywell International Inc., following General Electric's prolonged and unsuccessful attempt to acquire Honeywell. Mr. Lawrence A. Bossidy's second term is focused on stabilizing the company by reinvigorating its core management processes and improving its operations and cost structures through the execution of comprehensive Six Sigma- and Digitization-based productivity initiatives. These efforts are expected to generate at least $1.3 billion in cost productivity savings in 2002 and result in the company having the best cost structure position in its history, which will serve as an effective springboard for Honeywell's future growth. Before joining AlliedSignal, Mr. Lawrence A. Bossidy served in a number of executive and financial positions with General Electric Company, which he joined as a trainee in 1957. He was Chief Operating Officer of General Electric Credit Corporation (now GE Capital Corporation) from 1979 to 1981, Executive Vice President and President of GE's Services and Materials Sector from 1981 to 1984, and Vice Chairman and Executive Officer of General Electric Company from 1984 to July 1991.

Catherine B. Miller was a Vice President and an owner of Wheeler & Taylor, Inc. an insurance agency with offices in Stockbridge, Great Barrington and Sheffield, Massachusetts. Ms. Miller previously held administrative and faculty appointments at the State University of New York in Albany and Simon's Rock College of Bard in Great Barrington, Massachusetts.

Cornelius D. Mahoney served as President, Chief Executive Officer and Chairman of the Board of Woronoco Savings Bank and Woronoco Bancorp before their merger with the Company in June 2005. He is past Chairman of America-s-Community Bankers, a past Chairman of the Massachusetts Bankers Association and a former Director of the Federal Home Loan Bank of Boston. He was a member of the Thrift Institution Advisory Council to the Federal Reserve Board of Governors and is a Chairman of the Board of Trustees at Westfield State College.

Corydon L. Thurston is an acquisition specialist for Redstone Properties, Inc., a land development company located in Williamstown, Massachusetts, since April 2005. He also serves as the President of North Adams Tower Company, Inc. which owns and manages telecommunication towers, since May 2004. Before these positions, he served as the President of Berkshire Broadcasting Company, Inc. until it sold the three radio stations it owned and operated in North Adams and Great Barrington, Massachusetts.

D. Jeffrey Templeton is the owner and President of The Mosher Company, Inc., located in Chicopee, Massachusetts, manufacturer of buffing and polishing compounds, abrasive slurries and a distributor of related grinding, polishing and lapping machinery. Mr. Templeton is a former director of Woronoco Bancorp.

Mr. Phelps is President and Chief Executive Officer of Berkshire Health Systems, whose major affiliates are Berkshire Medical Center, Fairview Hospital and Berkshire Health Care Systems, an operator of nursing and rehabilitative care facilities throughout Berkshire County and other areas of Massachusetts, Ohio and Pennsylvania.

John B. Davies was appointed Executive Vice President of Massachusetts Mutual Life Insurance Company in 1994 and is currently an Agent Emeritus providing high net worth counseling with a focus on tax efficiency and intergenerational transfers of wealth to clients nationwide. Mr. Davies is a former director of Woronoco Bancorp.

Michael P. Daly is President and Chief Executive Officer of the Company and the Bank. Before these appointments, Mr. Daly served as Executive Vice President and Senior Loan Officer of the Bank. He has been an employee of the Bank since 1986. Age 47. He has served as a Director of the company and the Bank since 2002.

Mr. Dimock is a Principal in Arrow Capital, LLC, a private investing, property development and consulting services entity. Mr. Dimock is the past President of Cornerstone Properties, a $4.8 billion REIT which was listed on the NYSE and past President of Aetna Realty Investors, Inc., one of the country's largest real estate investment advisors. Mr. Dimock also served on a number of real estate industry and community organization boards and also served on the boards of directors of Alliance Bancorp of New England and Tolland Bank, based in Vernon, Connecticut.

Ms. Hill was a Director of Factory Point Bancorp, Inc. from 1992 to 2007. Factory Point was a publicly traded one bank holding company for a $330 million community bank headquartered in Manchester Center, Vermont which was acquired by Berkshire in September, 2007. During her entire tenure as a director, she was a member of the Audit Committee and the Loan Committee, both of which she chaired at different times. Ms. Hill, a Certified Public Accountant, is founder and President of Hill & Thompson, P.C., an accounting firm that she established in 1992. In addition to traditional tax and accounting services, her firm provides management consulting to small businesses; assistance with financing, acquisitions and sales; and performance measurement. Her firm specializes in the hospitality industry and serves innkeeping, restaurant and tourism-related clients throughout New England. She has addressed 3 national conferences of the Professional Association of Innkeepers International and several regional innkeeping seminars in New England. Hill has also served as an instructor for the American Institute of Banking and the Small Business Development Center for the University of Vermont Extension Service. She is a member of the American Institute of Certified Public Accountants and the Vermont Society of Certified Public Accountants; she is also a Certified Financial Planner. Hill was recognized by the Small Business Administration in 2000 as Vermont’s Accountant Advocate of the Year, and she has received numerous other honors and awards for her civic and professional work.

Wallace W. Altes was the Executive-in-Residence at the Graduate College of Union University in Schenectady, New York until his retirement in 2007. Mr. Altes is currently a self-employed executive consultant providing consulting services to companies in the Albany Tech Valley Region. From 2002 to 2004, he was executive counsel to Sawchuk, Brown Associates, an Albany-based public relations firm and from 1989 to 2002, he was President of the Albany-Colonie Chamber of Commerce.
