Mr. Gunter Thielen has a doctorate in physical chemistry and a degree in economics and industrial engineering. Since January 2008, he has served as Chairman of the Supervisory Board of Bertelsmann AG, Gütersloh and Chairman of the Executive Board of Bertelsmann Stiftung (Foundation Bertelsmann).

Immanuel Hermreck studied Communication, Economics, Psychology and Political Sciences in Munich, Muenster and Palo Alto, participating in the scholarship program of the Konrad-Adenauer Foundation. After graduating from Stanford University in 1994, he joined the Transatlantic Academy and took on assignments in Bonn, Brussels and Berlin. In 1998 he received his PhD, writing about "Economic Theories of Communication". Having worked for several newspapers, market research institutes, Lufthansa, Volkswagen, Gruner+Jahr Publishing as well as other corporate divisions of Bertelsmann AG, Immanuel Hermreck has been able to leverage his experience in media and knowledge management as well as in the area of strategic issues related to communication. From 1998 to 2000, Immanuel Hermreck was named Director of the Media Economics Department at the Bertelsmann Foundation, where, among other initiatives, he was responsible for the planning and implementation of the Summer Academy on Business Journalism, the Medienakademie Koln in Cologne, Germany and the mcm Institute at the University of St. Gallen, Switzerland. After successfully launching these initiatives, Immanuel Hermreck was appointed Managing Director of the Bertelsmann University the global knowledge and top management learning network of the company.

Johannes Mohn , age 57, has been a director since April 2001. Since June 2001, Mr. Mohn has been serving as Executive Vice President of Corporate Media Technology at Bertelsmann AG. From December 1998 to May 2001, Mr. Mohn served as Vice President of Media Technology at Direct Group, Bertelsmann AG. From May 1995 to November 1998, Mr. Mohn served as Managing Director of Bertelsmann Kalender GmbH, a subsidiary of Bertelsmann AG and also served as Managing Director of Mohndruck Kalender und Promotion Verlag GmbH, a subsidiary of Bertelsmann AG, and Dohse & Broelemann GmbH. Unless marked otherwise, proxies received will be voted for the election of the nominee named above.

Dr. Horst M. Teltschik . Dr. Horst Teltschik is Chairman of Teltschik Associates in Munich, Germany. Since leaving government service, he has been closely associated with Bertelsmann AG as CEO of Bertelsmann Foundation with BMW and as a Member of the Board of Management of the BMW Group responsible for China. Since 1999 he has been the Chairman of the Munich Conference on Security Policy. From 1982 to 1990, Dr. Teltschik was National Security Adviser to Chancellor Helmut Kohl. In October 1993, he became Deputy Chief of Staff of the Federal Chancellery.

Joe Ward is an experienced direct marketing executive whose experience includes senior executive positions with multiple Direct Marketing centric companies including Time-Life, Inc., Meredith Corporation, Bertelsmann AG, Cadmus Professional Communications, and BMG Music.

Kevin Kelleher was named Executive Vice President and Chief Financial Officer of SONY BMG MUSIC ENTERTAINMENT at the company's formation in August of 2004. SONY BMG MUSIC ENTERTAINMENT is a joint venture comprising the recorded music businesses of Sony Corporation of America and Bertelsmann AG. In this role Mr. Kelleher is responsible for overseeing the music company's worldwide financial and information technology operations. From 1999 to 2004, Mr. Kelleher served as Executive Vice President and Chief Financial Officer, Sony Music Entertainment. From 1994 to 1999 he was Senior Vice President and Chief Financial Officer. He joined Sony Music in 1992 as Senior Vice President and Controller, Sony Music Entertainment. Prior to joining Sony Music Entertainment Mr. Kelleher was a partner in the Media/Entertainment Group of Price Waterhouse. He has extensive experience in the entertainment industry, having worked with an array of clients including cable operators and networks, radio and television broadcasters, and production and music companies. Mr. Kelleher, who is a certified public accountant, graduated from Middlebury College with a Bachelor of Arts degree in Economics and holds an MBA in finance/accounting from Rutgers Graduate School of Management.

Mr. Oberdorf has served as a director of the Company since 2004. Since June 2006, Mr. Oberdorf has been Senior Vice President, Chief Financial Officer and Treasurer of Getty Images Inc., the world’s leading creator and distributor of still imagery, footage and multi-media products, as well as a recognized provider of other forms of premium digital content, including music. From March 2002 through June 2006, Mr. Oberdorf was Senior Vice President, Chief Financial Officer and Treasurer of CMGI, Inc., a supply chain management, marketing distribution and ecommerce solutions company, where he served as a consultant from November 2001 through February 2002. From February 1999 through October 2001, Mr. Oberdorf was Senior Vice President and Chief Financial Officer of Bertelsmann AG’s subsidiary, BeMusic Direct, a direct-to-consumer music sales company. From January 1981 through January 1999, Mr. Oberdorf served in various capacities at Readers Digest Association, Inc., most recently as Vice President Global Books & Home Entertainment-Finance.

Dr. Joachim Milberg has been a member of BMW's Board of Management since 1993, and was named BMW's Chairman of the Board of Management in 1999, where he remained until his retirement in May 2002. Prior to joining BMW in 1993, Dr. Milberg taught at Munich (Germany) Technical University. He also served as Director of the Research Institute for Machine Tools and Management Science with the Centre for Production Automation and Robot Technology in Munich, and the Production Technology User Centre in Augsburg, Germany. He is also a member of the board of directors of Bertelsmann AG; BMW AG, Munich (Chairman of the Supervisory Board); Festo AG; and MAN AG, Munich. Dr. Milberg is a member of Partner Committee, TUV Suddeutschland, Munich, and Senat and Executive Committees, Max Planck Gesellschaft, Munich. Dr. Milberg earned his doctorate in production engineering at the Technical University of Berlin in 1971.
