BIO-key International, Inc., a Delaware corporation (the Company, BIO-key, we, or us), was founded in 1993 to develop and market advanced fingerprint biometric technology and software solutions. Biometric technology is the science of analyzing specific human characteristics which are unique to each individual in order to identify a specific person from a broader population. First incorporated as BBG Engineering, the company became SAC Technologies in 1994. The BIO-key name was introduced in 2002. We develop and market advanced fingerprint identification biometric technology and software solutions. We also deliver advanced identification solutions and information services to law enforcement departments, public safety agencies and other government and private sector customers. Our mobile wireless technology provides first responders with critical, reliable, real-time data and images from local, state and national databases. Thomas J. Colatosti is CEO and founder of American Security Ventures (ASV). ASV is a management advisory and investment company that serves early stage companies focused on homeland security, software security, identification management and biometric solutions. Aggregate market capitalization of ASV portfolio companies exceeds $250,000,000. Mr. Colatosti is Chairman of the Board of Directors of BIO-key International, a developer of advanced biometric finger identification and wireless mobile technologies. He is President and Director of Good Harbor Acquisitions Partners, a publicly traded special purpose acquisition company that acquires and invests in security companies. He is a Director for Opticon Medical Corporation and Enginivity; and he serves on a number of Advisory Boards such as Saflink, AssureTec, iCache and Ipswitch Corporations. Prior to founding ASV, Mr. Colatosti was President and CEO of Viisage Technology, a publicly traded leader in biometric face-recognition technology and in the delivery of highly secure, high-quality identification documents and systems. Viisage security technology and products are used by airports, the U.S. Government, the Department of Defense, numerous Departments of Motor Vehicles, and in physical and electronic access control applications. Under Colatosti's leadership, Viisage was revitalized, achieving consecutive years of operating profitability, doubling revenues and becoming the world's number one provider of Face Recognition solutions and the second largest supplier of U.S. Driver's Licenses. He also completed two acquisitions, raised $40 million in private financing and increased market capitalization from under $5 million to more than $250 million. Colatosti is a recognized spokesperson on biometric and homeland security issues and has appeared on national and international media and network and cable shows such as the Today Show, CBS and CNN; syndicated and local radio programs; and major print media including Time, USN&WR, New York Times and Wall Street Journal. Additionally he has presented to the White House, Congressional Committees and before other Federal and State Law Enforcement Agencies. Before joining Viisage, Colatosti was President and CEO of CIS Corporation, a leading provider of software solutions for the higher education. CIS designed and implemented integrated and flexible IT systems to manage entire university administrative computing operations such as Admissions, Registration, Financial Aid, Student Services, Human Resources, Facilities, Finance, and Institutional Advancement. Colatosti had a 20-year career with Digital Equipment Corporation (acquired by HP Corporation). As Vice President Federal Systems, he led the company's largest Business Unit - responsible for all products and services to the Federal Government, Aerospace, Electronics, and Manufacturing industries. This Business Unit employed 4000 people in Sales, Marketing, Consulting, Services and Operations and generated more than $1.2 billion in revenue.
