Stelios Papadopoulos, Ph.D., age 60, a co-founder of Exelixis, has been a director since December 1994 and the Chairman of the Board since January 1998. Dr. Papadopoulos retired as Vice Chairman of Cowen & Co., LLC in August 2006 after six years as an investment banker with the firm, where he focused on the biotechnology and pharmaceutical sectors. Prior to joining Cowen & Co., he spent 13 years as an investment banker at PaineWebber, Incorporated, where he was most recently Chairman of PaineWebber Development Corp., a PaineWebber subsidiary focusing on biotechnology. He joined PaineWebber in April 1987 from Drexel Burnham Lambert, where he was a Vice President in the Equity Research Department covering the biotechnology industry. Prior to Drexel, he was a biotechnology analyst at Donaldson, Lufkin & Jenrette. Before coming to Wall Street in 1985, Dr. Papadopoulos was on the faculty of the Department of Cell Biology at New York University Medical Center. He continues his affiliation with New York University Medical Center as an Adjunct Associate Professor of Cell Biology. Dr. Papadopoulos is a member of the board of directors of Biogen Idec, Inc. He is a co-founder and member of the board of directors of Anadys Pharmaceuticals, Inc. and Cellzome, Inc. He is vice-chairman of the board of directors of BG Medicine, Inc., a privately-held life sciences company, a member of the board of directors of Joule Biotechnologies, Inc., a privately-held biotechnology company, and a member of the Board of Directors of Regulus, Inc., a privately-held biotechnology company. Lawrence C. Fritz joined Anadys as President and Chief Executive Officer and a member of the Board of Directors on November 20, 2006. Previously, he founded and developed several successful biotechnology companies. He founded Conforma Therapeutics and served as its President and CEO from inception in 1999 through its acquisition by Biogen Idec in 2006. Conforma pioneered a new approach to cancer therapy, developing drugs that induce tumor cells to degrade their deregulated signaling proteins. Dr. Fritz is also a founder and Director of Cabrellis Pharmaceuticals, a specialty pharma cancer company spun-out from Conforma in conjunction with Biogen Idec's acquisition. Prior to Conforma, Dr. Fritz co-founded both Athena Neurosciences, now wholly-owned by Elan Corporation, and Idun Pharmaceuticals, subsequently acquired by Pfizer. As Vice President of Research at Athena, his work led to the clinical development of products for multiple sclerosis, Alzheimer's disease, and neuromuscular disorders. While Executive Vice President, Research at Idun, he led R&D teams that pioneered pharmaceutical applications in the field of programmed cell death, or apoptosis. These efforts led to new approaches to the treatment of hepatitis C, inflammation, and cancer. Dr. Fritz holds an A.B. Degree in Biochemical Sciences from Harvard, a M.Sc. Degree in Physiology from University College London, and a Ph.D. in Biophysics from The Rockefeller University.

Bill Rastetter joined Venrock in 2006 and comes to Venrock from Biogen Idec, where he was most recently executive chairman. Bill joined Idec Pharmaceuticals at its founding and grew it to a multi-billion-dollar market valuation company, while serving as president and CEO. Prior to Idec, he was Director of Corporate Ventures at Genentech, Inc. and served in a scientific capacity at Genentech. Adding to his corporate background, Bill held various faculty positions at MIT, won the award for "Excellence in the Teaching of Chemistry" at Harvard and is an Alfred P. Sloan Fellow. In late January 2009, Dr. Denner was interviewed by Messrs. LeBuhn, Micati and Salisbury, and Professor Mulligan was interviewed by Drs. Ando and Geltosky and, at their invitation, Dr. Ivan Horak, the Company s Executive Vice President, Research and Development and Chief Scientific Officer. At a meeting of the Governance and Nominating Committee held on January 28, 2009, the Committee determined to recommend to the Board the nominations of Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At a meeting of the Board held later that day, the Board determined to accept the recommendation of the Governance and Nominating Committee and nominated Dr. Denner and Professor Mulligan for election as Class I Directors at the Annual Meeting. At the request of the Icahn Group, the Board committed to the Icahn Group that if, for any reason, the Board subsequently determined not to nominate both Dr. Denner and Professor Mulligan, or to nominate any persons in addition to Dr. Denner and Professor Mulligan, for election as Class I Directors at the Annual Meeting, the Company would give the Icahn Group prompt written notice thereof and the Company would take all necessary action to permit the Icahn Group to nominate persons named in a notice of nomination for election to the Board which the Icahn Group would deliver to the Company on or before the close of business on the tenth day following the date on which the Icahn Group received such written notice from the Company.
Marijn E. Dekkers is President and CEO of Thermo Fisher Scientific. Prior to the merger of Thermo Electron Corporation and Fisher Scientific International in November 2006, Dekkers was President and Chief Executive Officer of Thermo Electron, a position he held since November 2002. He joined Thermo Electron in July 2000 as Chief Operating Officer. Before Thermo Electron, Dekkers was employed for five years at Honeywell International (formerly AlliedSignal), where he held a number of executive positions. Dekkers began his career as a research scientist within General Electric's corporate R&D center. From 1985 to 1995, he held various operating positions within GE in both the United States and Europe. A native of the Netherlands, Dekkers received both doctorate and master’s degrees in chemical engineering from the University of Eindhoven and a bachelor’s degree in chemistry from the University of Nijmegen. Dekkers is also a board member of Biogen Idec.

Craig Eric Schneier, Ph.D. is our Executive Vice President, Human Resources, Public Affairs & Corporate Communications and has served in that position since the merger in November 2003. Dr. Schneier was previously Executive Vice President, Human Resources of Biogen, Inc., a position he held since January 2003. He joined Biogen, Inc. in 2001 as Senior Vice President, Strategic Organization Design and Effectiveness, after having served as an external consultant to the company for eight years. Prior to joining Biogen, Inc., Dr. Schneier was president of his own management consulting firm in Princeton, NJ, where he provided consulting services to over 70 of the Fortune 100 companies, as well as several of the largest European and Asian firms. Dr. Schneier held a tenured professorship at the University of Maryland?s Smith School of Business and has held teaching positions at the business schools of the University of Michigan, Columbia University, and at the Tuck School of Business, Dartmouth College.

Mark C. Wiggins is our Executive Vice President, Corporate and Business Development and has served in that capacity since July 2004. Michael Gilman, Ph.D. is President and CEO of Stromedix, Inc. and most recently served as Executive Vice President of Research at Biogen Idec, Inc. During his six-year tenure at Biogen Idec, from 1999 to 2005, Dr. Gilman managed discovery research including inflammatory and autoimmune diseases, and cancer. From 1994 to 1999, Dr. Gilman served as Executive Vice President and Chief Scientific Officer of Ariad Pharmaceuticals Inc. where he was responsible for drug discovery activities to develop novel gene- and cell-regulation technologies. Earlier in his career, Dr. Gilman was a principal investigator at Cold Spring Harbor Laboratory where he ran an active research programs in growth control and cancer, signal transduction and gene transcription and held adjunct academic appointments at SUNY Stony Brook. He earned a Ph.D. in Biochemistry from the University of California, Berkeley, and holds an S.B. in Life Sciences from the Massachusetts Institute of Technology.

Dr. Sharp is currently Institute Professor in the Center for Cancer Research at the Massachusetts Institute of Technology. Over his 30-year career at MIT, he served as Director of the Center for Cancer Research, Head of the Department of Biology and Founding Director of the McGovern Institute. Dr. Sharp's landmark achievement was the discovery of RNA splicing in 1977. For this work, he shared the 1993 Nobel Prize in Physiology or Medicine. Dr. Sharp has authored more than 300 scientific papers and is co-founder of Biogen Idec, Inc. and Alnylam Pharmaceuticals. Dr. Sharp is a member of the National Academy of Sciences.
Jane Amara is Associate Director of Business Development at Biogen Idec. Since joining Biogen five years ago, she has been working to find, evaluate, negotiate and execute business deals for therapeutics and technologies. Jane?s background is on the technical side of biotech. Jane earned a Ph.D. in Pharmacology at Yale University followed by postdoctoral research at the Whitehead Institute, then worked as a research scientist at several companies including Genzyme and ARIAD Pharmaceuticals. While at ARIAD she transitioned to the business side of the company with a role in technology transfer and program management as Director of Technology Management.

Lynn Schenk is an attorney in private practice. She served as Chief of Staff to the Governor of California from January 1999 to November 2003. Ms. Schenk was previously an attorney in private practice from 1996 to 1998 and from 1983 to 1993. Ms. Schenk served as the U.S. Representative for the 49th District of the State of California from 1993 to 1995 and served as the California Secretary of Business, Transportation and Housing from 1980 to 1983. Jo-Dee has over 20 years of experience in the design and implementation of integrated compensation strategies including the assessment and development of executive total compensation plans, sales and management incentive plans, equity-based pay programs and market/competency based salary systems. Jo-Dee is highly experienced in developing competency models used in performance management, selection, workforce planning and compensation programs. She also has extensive experience in the development and communication of employee benefit programs and implementation of HRM Systems. Jo-Dee is a specialist in the biopharmaceutical industry having worked with companies across the full range of sizes and product stages such as Genzyme, Biogen Idec, Antigenics, Hypnion, and Alnylam Pharmaceuticals. She also has in-depth experience in the financial services, retail and high technology industries, and in working with companies to implement acquisitions and mergers. Jo-Dee has been actively involved with steering committees for key national and regional surveys. She has made numerous professional presentations, particularly on the design of incentives and broad-based stock plans. Jo-Dee was a recipient of a Lifetime Achievement Award from the WorldatWork in 1997. She has degrees from Mount Holyoke College and Harvard University.
Lisa Fuller is 33 years old and lives in Cambridge, Massachusetts. She is a registered nurse and after many years of providing bedside care for Oncology patients, she now manages global clinical trials for Biogen Idec. Lisa is also a part-time graduate student at Boston University and is working on a Masters of Business Administration in Health Sector Management. Lisa had always wanted to volunteer in Africa and found her way to HardtHaven through Cosmic Volunteers. Her first trip to Kpando was in December of 2007 and she fell immediately in love with the country, the people and especially the children. Once back in the US, she became increasingly involved with the organizational aspect of HardtHaven and made her second trip to Ghana in March of 2008. She has recently joined the Board of Directors for HardtHaven and is currently planning her next trip to Kpando.

Mr. Johnson has a proven track record with more than 20 years of healthcare experience in marketing and general management with professional service companies providing consultation to leading corporations including Abbott, Amgen, Baxter, Beckman Coulter, Biogen Idec, Guidant, Johnson & Johnson, 3M Healthcare and emerging companies. Dr. Hsu is currently a Principal Scientist in the Drug Development Group in Research Department at BiogenIdec, Inc. Cambridge, Massachusetts. Dr. Hsu obtained his Ph.D. in Biochemistry at Michigan State University and received his post-doctoral training in the Department of Biochemistry and Molecular Biology at Harvard University. He joined the Protein Engineering Department at the legacy Biogen, Inc. as a staff scientist in 1990. Over the past 15 years, Dr. Hsu has established a state of art protein engineering laboratory, specifically in the areas of protein foldings as well as protein-protein interactions. In addition, Dr. Hsu has been working on the research and development of a number of protein therapeutics each targets to regulate a critical pathway in human immune system. Most recently, his research focuses on the identification and development of a novel protein drug aiming to effectively slow down the disease progression in a number of autoimmune disorders by controlling life and death of B lymphocytes at different developmental stages. Dr. Hsu has been a Board Director of since year 2000 and was elected as the Chairman since August, 2005.

Richard C. Mulligan , Ph.D., is the Mallinckrodt Professor of Genetics at Harvard Medical School and Director of the Harvard Gene Therapy Initiative. Professor Mulligan received his B.S. degree from the Massachusetts Institute of Technology and his Ph.D. from the Department of Biochemistry at Stanford University School of Medicine. After receiving postdoctoral training at the Center for Cancer Research at MIT, Professor Mulligan joined the MIT faculty and subsequently was appointed Professor of Molecular Biology and Member of the Whitehead Institute for Biomedical Research before moving to Children s Hospital and Harvard in 1996. His honors include the MacArthur Foundation Prize, the Rhodes Memorial Award of the American Association for Cancer Research, the ASMB-Amgen Award and the Nagai Foundation International Prize. Professor Mulligan has been associated with a number of biotechnology companies, including DuPont (as Consultant), Genetics Institute (as Consultant), AMGEN (as Consultant), Somatix Therapy Corporation (as founder, member of the Scientific Advisory Board and Board of Directors, and Chief Scientific Officer), Cell Genesys (as member of the Scientific Advisory Board), ImClone (as member of Scientific Advisory Board, Board of Directors and Executive Committee) and Cellectis (as member of Board of Directors). He has also served on the National Institutes of Health s Recombinant DNA Advisory Committee and on the U.S. Food and Drug Administration Biological Response Modifiers Advisory Committee.
