Mr. Canfield brings over 30 years experience in finance and accounting to Biophan Technologies, Inc. as Chief Financial Officer, Vice President, Treasurer, and Secretary. The position was previously held by Robert Wood who announced his retirement in November 2005. For five years prior to joining Biophan, Mr. Canfield was Vice President, Corporate Controller, and Chief Accounting Officer at Genencor International, Inc., a $400 million, internationally recognized leader in the development and manufacturing of innovative diversified products for the biotechnology industry. Genencor was a multi-national NASDAQ-listed company before it was sold in April 2005. Mr. Canfield has held senior financial officer positions, including CFO and Corporate Controller, in other public companies where he gained experience in multiple industries including biotechnology, manufacturing, and distribution. He has been a major contributor at the executive and board of director levels by leading initiatives to set strategic direction as well as capture and build on new opportunities to improve profitability, cash flow and value creation. With an MBA degree in Finance from the Columbia University Graduate School of Business and a BS degree in Accounting (Cum Laude) from Clarkson University, Mr. Canfield is a New York State Certified Public Accountant and is a member of the American Institute of Certified Public Accountants, the New York State Society of Certified Public Accountants, and Financial Executives International. He also has extensive experience working with the requirements of the Sarbanes-Oxley Act. Mr. Canfield shares his expertise as a frequent speaker to professional and academic groups regarding technical financial, and business issues.

Theodore A. Greenberg is Chief Investment Officer, Chief Financial Officer, Secretary, and is a member of the Board of Directors of Infinity Capital Group, Inc., a business development company which he joined in 2005. Since 2004 he has been, and continues to be, a project consultant and advisor and has provided services to various companies. In 1999, Mr. Greenberg co-founded Park Avenue Equity Partners, LP, a $100 million middle market private equity fund and he was a general partner until 2003. From 1998 to 1999, Mr. Greenberg was the Chief Financial Officer of Development Capital, LLC. Mr. Greenberg has been a director of Biophan since April 2006.
Harold Gubnitsky is executive vice president of XL Techgroup, Inc., a unique value creation company focused on inventing and growing new companies in the biotech, ecotech, and medtech business sectors. Mr. Gubnitsky is a seasoned executive who has worked with and within several large, medium, and small corporations with a wide range of responsibilities spanning executive management and operations. In 2001, Mr. Gubnitsky founded Semtor Corporation, a technology services company, serving as its CEO. Prior to Semtor, he was an officer and senior executive of Proxicom, a technology business consulting firm with a market capitalization in excess of $1.5 billion. Previously, Mr. Gubnitsky served as vice president of Cambridge Technology Partners where he led numerous vendor/partner relationships and was responsible for selling and managing several Fortune 100 relationships. Prior to Cambridge, Mr. Gubnitsky served as part of the management team at Accenture.
FRANK G. SHELLOCK, PH.D. - Dr. Shellock is Adjunct Clinical Professor of Radiology and Medicine at the Keck School of Medicine, University of Southern California and the Founder of the Institute for Magnetic Resonance Safety, Education, and Research (www.IMRSER.org); Dr. Shellock is a world-renowned expert on MRI safety. He created the internationally popular website, www.MRIsafety.com. Dr. Shellock has authored five medical textbooks, over 60 book chapters, and more than 190 peer-reviewed articles. In 2004, the International Society for Magnetic Resonance in Medicine recognized the significant contributions Dr. Shellock has made to the scientific and educational mission of the ISMRM by designating him a Fellow of the Society.

Dr. Guenter Jaensch, Chairman of the Board, has been with Siemens for more than 25 years holding a number of executive positions with this company in Europe and in the United States. Among his assignments were service as President of Siemens Communications Systems, Inc.; President and Chairman of Siemens Corporate Research and Support, Inc.; Chairman and CEO of Siemens Pacesetter, Inc.; and head of the Cardiac Arrhythmia Division of Siemens AG Medical Group. Dr. Jaensch also served as Executive Director of Siemens Worldwide Accounting and Budgeting Operations and as controller of Siemens Data Systems Group. Dr. Jaensch holds a Masters degree in Business Administration and a Ph.D. degree in Business and Finance from the University of Frankfurt; he also taught business for three years. He has been a director of MRV Communications (NASD: MRVC) since 1997 and is a director of BioForce NanoSciences (BFNH.OB).

Dr. Spotnitz is the Professor of Surgery at Columbia Presbyterian Medical Center, George H. Humphreys, II, and Vice chairman, Research and Information Systems. He specializes in adult cardiac surgery and pacemaker and defibrillator implantation, including infants and children. Dr. Spotnitz is author of more than 160 peer reviewed publications, former member of the NIH Surgery and Bioengineering Study Section, past president of the New York Society for Thoracic Surgery and current president of the Surgical Biology Club of the American Association for Thoracic Surgery. His current research focuses on optimization of biventricular pacing for acute and chronic heart failure, as well as effects of surgery for congenital heart disease on ventricular mechanics.

Kenzie is a former Chairman and Chief Executive Officer of Goldome Bank, from which he retired in June 1989. He also is former Director of the Federal Home Loan Bank of New York and served on the boards of the National Council of Savings Institutions, the Federal Reserve Bank of New York, Buffalo Branch, and the Savings Banks Association of New York State. Kenzie is a Director of Millard Fillmore Hospitals and Past Chairman Emeritus. He serves on the board of the Kaleida Health, Education and Research Foundation and its investment committee. He is a director of the Health Systems Agency of Western New York, and is a member of the Western New York Commission on Health Care Reform. He was previously Executive Vice President of Merrill Lynch &Co., in their New York worldwide headquarters, and is a former member of the Merrill Lynch & Co. Board of Directors. Kenzie is a member of the College Council of the State University College at Buffalo and has served as Chairman. He is a director of the College s Foundation and a member of its finance committee and investment committee. He serves on the council of the Burchfield-Penney Art Center, and on its Executive Committee. He is also a Member of the Board, and the Chairman of the investment committee of the State University at Buffalo Foundation. Kenzie currently serves on the boards of several companies including many entrepreneurial ventures that are privately held.
Steven Katz joined the Board of Directors in May 1999. He is President of Steven Katz & Associates, Inc., a management consulting firm specializing in strategic planning and corporate development for technology and service-based companies in the health care, environmental, telecommunications and Internet markets. Mr. Katz's prior experience includes five years with PriceWaterhouse & Co. in audit, tax and management advisory services; two years of corporate planning with Revlon, Inc.; five years with National Patent Development Corporation (NPDC) in strategic planning, merger and acquisition, technology in-licensing and out-licensing, and corporate turnaround experience as President of three NPDC subsidiaries; and two years as a Vice President and General Manager of a non-banking division of Citicorp, N.A. Mr. Katz is also a Director of Health Systems Solutions Inc. and NaturalNano, Inc., each publicly traded companies. Mr. Katz is also President and Chairman of the Board of Gammacan International, Inc., a publicly traded company.
