BioSante is a specialty pharmaceutical company focused on developing products for female sexual health, menopause, contraception and male hypogonadism. BioSante's key products are LibiGel (testosterone gel) in Phase III clinical development under an SPA, to treat female sexual dysfunction, and Elestrin (estradiol gel), FDA approved to treat hot flashes in menopausal women. The current market for testosterone and estrogen products is approximately $2.5 billion dollars in the U.S. alone, with estimates for female sexual dysfunction potentially adding $2.0 - $4.0 billion, and the current market for hormonal contraception is approximately $3.0 billion. The company also is developing its calcium phosphate technology (CaP) for novel vaccines, drug delivery systems and aesthetic medicine (BioLook ). On June 30th, 2009, BioSante announced entering into a definitive merger agreement with Cell Genesys (CEGE) in an all-stock transaction, with BioSante as the surviving company. The merged company will focus primarily on LibiGel, BioSante's testosterone gel in Phase III clinical development for the treatment of female sexual dysfunction (FSD). The merged company will also seek future development opportunities for Cell Genesys' GVAX Immunotherapies including potential combination with BioVant , BioSante's vaccine adjuvant, as well as possible external collaborations, and will also seek to outlicense other Cell Genesys technologies. ...

Stephen M. Simes has served as our Vice Chairman, President and a director of our company since January 1998 and Chief Executive Officer since March 1998. Michael C. Snabes M.D., Ph.D. has served as our Vice President of Clinical Development since April, 2008. Dr. Snabes has served as a medical consultant to BioSante on clinical and regulatory matters since November, 2005. Dr. Snabes is a board certified reproductive endocrinologist, as well as holding a Ph.D. in physiology and reproductive endocrinology. Before joining our company, Dr. Snabes was an Associate Professor in the Section of Reproductive Endocrinology and Infertility in the Department of Obstetrics and Gynecology at The University of Chicago Pritzker School of Medicine. From 2003 to 2004, Dr. Snabes served as Medical Advisor in Clinical Research and Development in Inflammation, Arthritis, and Pain at Pfizer, Inc. and from 1999-2003 in the same position at Pharmacia, Inc. where he worked on the successful development of the COX-2 inhibitors, Celebrex and Bextra. From 1997 to 1999, Dr. Snabes served as Associate Director in Clinical Research in Women's Health at Searle/Monsanto. Dr. Snabes is an elected Fellow of the American College of Obstetrics and Gynecology, the American College of Surgeons and the American College of Endocrinology. Dr. Snabes is the author of more than 135 publications and abstracts.

Louis Sullivan served as U.S. Secretary of Health and Human Services from 1989 to 1993. Prior to and following his service as HHS Secretary, he was President of Morehouse School of Medicine, which he now serves as President Emeritus. He is co-chair of The Presidential Advisory Council on HIV/AIDS. A graduate of Morehouse College, he earned his medical degree from Boston University, and is certified in internal medicine and hematology. Edward C. Rosenow, III, M.D. has been a director of our company since November 1997. Dr. Rosenow is a Master Fellow of the American College of Physicians as well as Master Fellow the American College of Chest Physicians. Dr. Rosenow was the Arthur M. and Gladys D. Gray Professor of Medicine at the Mayo Clinic from 1988 until his retirement in 1996. Beginning with his residency in 1960, Dr. Rosenow has worked at the Mayo Clinic in many professional capacities including as a Consultant in Internal Medicine (Thoracic Diseases) from 1966 to 1996, an Assistant Professor, Associate Professor and Professor of Medicine at the Mayo Clinic Medical School, President of the Mayo Clinic Staff in 1986, and Chair of the Division of Pulmonary and Critical Care Medicine from 1987 to 1994. Dr. Rosenow has also served as a consultant to NASA, space station FREEDOM at the Johnson Space Center in Houston, Texas from 1989 to 1990 and as the President of the American College of Chest Physicians from 1989 to 1990. In 1998, he received the Mayo Distinguished Alumnus Award. Dr. Rosenow serves on the board of directors of Virex, Inc, a private company.
